The Trustees have pleasure in presenting their report and the unaudited financial statements of the charity for the year ended 31 March 2024.
Annual Report from the Chair, 2023-24
Merger between Scoliosis Association UK and British Scoliosis Research Foundation
Scoliosis Association UK (SAUK) had a long history of collaboration with its affiliated charity, the British Scoliosis Research Foundation (BSRF), which supported and funded research into scoliosis and other spinal conditions. Both charities were fortunate to have received substantial legacies in the previous financial year, putting both in a very stable financial situation. This led to the Trustees of both boards agreeing to a formal merger.
The merger was officially complete as of 1st January 2023, with members of the BSRF Council being coopted onto a joint board at the December 2022 Board meeting. The new Board agreed Dr Stephanie Clark, PhD, and Mr Ian Nelson, FRCS, as co-Chairs of the new organisation. The Board also agreed that the merged charity would continue to operate under the SAUK name for the first year, after which a new name and associated rebrand would be launched in January 2024. The charity was officially rebranded and relaunched as Scoliosis Support and Research on 1st January 2024, retaining the original SAUK charity number 1181463. The objects of the charity as stated in its governing document are, for the public benefit, to preserve and protect the physical and mental health of persons with the spinal condition known as scoliosis and other spinal conditions.
There are many benefits to this merger, not least the ability to bring together support and research to help to provide the best possible care and support for anyone affected by scoliosis or other spinal conditions. The merged charity will benefit all patients because there will be greater opportunity for involvement in research, which will help to inform future treatments and clinical work and provide a clear pathway to support and provision of information and the ability to advocate for all patients in a much more coherent way.
The British Scoliosis Research Foundation was formed in 1973 by Dr Philip Zorab. He specialised in respiratory problems caused by scoliosis and presented key research to important physicians and surgeons who had children and adults with scoliosis in their care. His work stimulated new research into scoliosis worldwide. Dr Zorab died in 1983 but we continue his work with the same passion and ensure the necessary financial grants facilitate further high quality research into scoliosis.
Scoliosis Association UK was started in 1981 by founding members Ailie Harrison and Stephanie Clark with around 200 members who came together to support each other at a self help group. Each member of this group has received treatment from renowned chest physician Dr Philip Zorab at the Brompton Hospital in London. At the time it was the only UK wide organisation providing support for people affected by scoliosis. Ailie's name continues to be honoured through our annual art competition.
We give people with scoliosis a voice. We represent their views and concerns and encourage support for better resources and understanding of the condition.

We support them through our Helpline which is manned five days a week, 9-5; we provide up to date information to families and also surgeries and hospitals; we provide online counselling groups for people to share their experiences and we provide a "safe space" in our Facebook groups.
Supporters can also join our community to receive benefits such as access to the Hill Pedder and Minns Welfare Fund and our twice yearly Backbone Magazine. In the financial year 2023-24 we awarded a total of £3,639 of Hill Pedder and Minns grants.
We support research by collaborating with researchers and making our members aware of the research and inviting them to participate. We have continued with the Charles Manning Award, which was a BSRF award arising from a legacy by Mr. Charles Manning, FRCS, to help early career researchers attend conferences to present their work. We awarded a total of £900 during this financial year.
Structure, governance, and management
SAUK (now SSR) was incorporated on January 7th, 2019, as a charitable incorporated organisation (CIO). The CIO is entered in the Central Register of Charities by the Charity Commissioners for England and Wales with registration number 1181463.
SSR is governed by a board of Trustees, consisting of a combination of spinal surgeons, general practitioners, scientists, and lay members. The office staff is composed of a Chief Executive, supported by a Community Engagement Manager and a Fundraising and Communications Manager.
The Board of Trustees meets four times a year and the Chief Executive reports formally to the Board at these meetings. New Trustees are generally selected from contacts with knowledge of scoliosis and related issues.
The Trustees confirm that they have had due regard to guidance published by the Charity Commission on public benefit. SSR’s aims are wholly directed at delivering public benefit.
The Trustees of SSR are listed on page 1. HRH Princess Eugenie is SSR's Royal Patron.
The staff team during 2023-24 consisted of Mrs Lesley McGinty, who has been in post as Chief Executive since April 2021, Natalie Cooper, Communications Officer since 2019, and Denise Aulsberry as Membership and Finance Officer for 26 years. Denise retired in May 2023 and Will Thommes joined as Fundraising and Communications Officer, incorporating elements of Denise's role, while some financial processes were refined and outsourced, ensuring greater compliance and robustness. Natalie left at Christmas 2023 for a new role at Cancer Research UK and Will also left at Christmas to take up a once in a lifetime opportunity to go travelling. He was replaced by Ellie Wilson in November 2023. Although not relevant to this financial year, James Alculumbre joined as Community Engagement Manager in June 2024. All employees are based at SSR's premises at Ground Floor 329 Latimer Road, London W10 6RA. The office moved in June 2023 from next door at 325 Latimer Road.

Finance
Unrestricted income, made up of donations, legacies, and fundraised income including Gift Aid was £161,965 compared with £513,153 in the previous year, unusually high because of the transfer of BSRF's assets. Our membership subscriptions stayed much the same as in 2022-23. We spent £277,359 in the current year compared with £189,129 in the previous year largely due to the costs of the merger and the office move. We are developing new projects and ways to support people with scoliosis, with the benefit of the increased funds.
During this year, we awarded £3,462 in new grants but made payments to existing grants of £78,600. We were fortunate to recoup the majority of this expenditure through funding from the UK MRI Covid Recovery Scheme. We received £37,000 in May 23 relating to funding paid out in the previous financial year, and a further £41,614 was received in April 2024 which relate to this financial year. We also received continued support of £25,000 from the Robert Luff Foundation which is restricted to research.
The internationally renowned Zorab Symposium, which was historically organised by BSRF, will continue to be held and the next event is in June 2025.
SSR holds almost all its assets as cash deposits and total funds amounted to £1,246,121 at the year end, of which £610,678 was unrestricted, £485,877 designated and £149,566 restricted. Our reserve policy is to maintain a minimum of £100,000 of unrestricted funds. The balance of cash assets is high because of the transfer of assets at point of merger. It was agreed by the Board that £1million was to be invested and after the required due diligence and security was undertaken, this was completed in July 2024, with our investment being managed by Rathbones. The invested money is intended to be used for an as yet unidentified "flagship" research project., as well as allowing us to invest in whatever resources are needed to implement a new strategy (being finalised in 2025) to take the charity forward. We receive interest on this investment every month.
The financial statements have been prepared in accordance with the accounting policies set out in notes to the accounts and comply with the charity’s governing document, the Charities Act 2011 and Accounting and Reporing by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland published on 16 July 2014.
This report has been prepared in accordance with the provisions applicable to companies entitled to the small companies’ exemption.

I report to the charity trustees on my examination of the accounts of the charity for the year ended 31 March 2024 which are set out on pages 6 to 16.
Responsibilities and basis of report
As the charity’s trustees you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).
I report in respect of my examination of the charity’s accounts carried out under section 145 of the Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner's statement
Since the charity's gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Certified Accountants, which is one of the listed bodies.
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of the charity as required by section 130 of the Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view’ which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1) ACCOUNTING POLICIES
General information and basis of preparation
Scoliosis Association UK is a Charitable Incorporated Organisation, registered in England and Wales (charity no: 1181463).
The charity constitutes a public benefit entity as defined by FRS102.
The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial reporting Standard applicable in the UK and Republic of Ireland (FRS102) issued in October 2019, the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102), the Charities Act 2011 and UK Generally Accepted Accounting Practice.
The financial statements have been prepared to give a ‘true and fair’ view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a ‘true and fair view’. This departure has involved following the Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland issued in October 2019 rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 which has since been withdrawn.
The financial statements are prepared on a going concern basis under the historical cost convention modified to include certain items at fair value. The financial statements are presented in sterling which is the functional currency of the charity and rounded to the nearest £1.
The significant accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all years presented unless otherwise stated.
Income recognition
All income is recognised once the charity has entitlement to the income, it is probable that the income will be received and the amount of the income can be measured reliably.
Expenditure recognition
All expenditure is recognised once there is a legal or constructive obligation to that expenditure, it is probable settlement is required and the amount can be measured reliably. All costs are allocated to the applicable expenditure heading that aggregate similar costs to the category.
Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them.
Governance costs are those incurred in connection with the administration of the charity and compliance with consitutional and statutory requirements.
Irrecoverable VAT is charged as an expense against the activity for which the expenditure arose.

Taxation
The charity is exempt from taxation in respect of income or capital gains to the extent that such income or gains are applied exclusively to charitable purposes.
Fixed assets
The charity's policy is to capitalise fixed assets over £1,000. Expenditure below this threshold is recognised as expenditure in the year in which it occurs.
Depreciation
Depreciation is provided on tangible fixed assets so as to write off the cost or valuation, less any estimated residual value, over their expected useful economic life as follows:

No value is placed on stocks of stationery or advertising materials held by the charity.
Debtors and creditors receivable /payable within one year
Debtors and creditors receivable or payable within one year are recorded at transaction price. Any losses arising from impairment are recognised in expenditure.

Cash and cash equivalents comprise cash on hand and at bank.
Fund Accounting
Funds held by the charity are either:
Unrestricted general funds - these are funds that can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds - these are funds that can only be used for particular restricted purposes within the objects of the charity.
Designated funds - these are funds that have been set aside by the trustees for particular purposes.

9) TRANSFER OF ASSETS
The assets of British Scoliosis Research Foundation (BSRF), registered charity no: 803772, were transferred to SSR with effect from 1 January 2023 following a decision to merge. Four BSRF trustees were appointed to the Board of SSR and BSRF was dissolved. The unrestricted funds transferred have been designated by the Trustees for research purposes.
