Structure, Governance and Management

Governing Document:

Winterton Men in Sheds is a registered Charitable Incorporated Organisation governed by its Constitution (foundation model). The organisation was registered with the Charity Commission on the 30[th] November 2018 and was amended on 23[rd] August 2020.

Recruitment and appointment of Trustees:

The trustees form the Executive Committee of the charity. The members of the Executive Committee are elected at the Annual General Meeting by the members of the Charity. All members are circulated with invitations to nominate trustees in advance of the AGM.

The Constitution of the Charity states that there must be at least three charity trustees and the maximum number of charity trustees is twelve.

Trustee Induction and Training:

All trustees are provided with the Charity Commissions ‘Roles and Responsibilities of Trustees’, the Constitution and the financial statements including the Annual Report. Any training required by the trustees may be requested at any point, where it is considered useful to their role as trustee.

Organisational Structure:

The board of Trustees manages the Charity, with the support of the shed members for the day to day general running of the shed. The board holds its board meeting every bi-monthly to discuss strategic planning for the charity future. Trustees are aware that any conflict of interest is declared and recorded

Risk Management:

The major risks, to which the charity is exposed, as identified by the Trustees, have been reviewed and systems have been established to mitigate those risks. All systems and procedures are reviewed regularly to ensure they meet charity law and our own

organisations aims and objectives. The charity has guidance and a specific trustee who is responsible for the safeguarding of every member.

Objectives and Activities

The charity’s object is:

“To promote social inclusion for the public benefit, by preventing men aged 18 or older within the Winterton and the surrounding area, becoming socially excluded. This is to be achieved by assisting them to integrate into society through the provision of facilities in which they can meet to undertake creative, physical or recreational activities, learn or pass on skills and knowledge and support each other socially as well as helping with communitybased projects.”

It is very important to the trustees that the charity helps to provide support, understanding and a safe environment to males who want to join due to suffering from depression and other mental health problems. Safeguarding and suitability is very important.

Main objectives for the following year:

In shaping our objectives for the following year and planning our activities, the Trustees have considered the Charity Commission’s guidance on public benefit and this is regularly revisited.

Achievements and Performance

This year 2024/25 has been a busy year for The Shed. Membership has grown with new members becoming involved in many of the projects conducted in The Shed, where we have continued to develop facilities with environmental and machinery improvements. On a visit to Barton Shed, we were impressed by the dust extraction/clean air filtering unit they had in place leading to the Trustees obtaining a grant and purchasing one for the Winterton Shed. This has improved the air quality and enabled members suffering with COPD to work longer on projects. We also acquired a new Dewalt cordless Jigsaw, (following grant funding), enabling work to be carried out without worrying about dangling cables.

On a few occasions during the year, we organised canal boat cruises for members, this proved very popular and will be run again in the future.

In addition, over the past year we have delivered a few projects which members have been able to engage with, but not limited to as described below: -

These are just a few of the projects The Shed was involved with during the year.

We have created videos and taken pictures of members working in The Shed and posted them to social media for followers to view. At Christmas The Shed Trustees organised a Christmas Lunch for members to come along and enjoy the festive season. A fabulous meal was enjoyed by those able to attend.

Sadly, during the year we lost a few members, some due to ill health, others moving to a distant part of the country and others through age. They left us with a wealth of great memories and stories which are still remembered regularly in The Shed.

We maintain a very low membership fee, which can be paid annually, half yearly or quarterly to enable members from any background to attend. Our financial position remains healthy, although not overly wealthy. We have obtained some lottery funding together with a group of other Men in Sheds through the Humber & Wolds Rural Action, which enables us to pay our ongoing costs for 3 years. Our public profile is good and is demonstrated by attracting new members on a regular basis.

We enjoy providing a warm and welcoming environment where men and women can call in for a cup of tea, a chat, a joke, friendship, and support as well as getting the opportunity to use the facilities available within our workshops.

Reserves Policy

The charity doesn’t have a reserves policy at the moment. At the financial year end the cash balance was £9,100, which is significantly exceeded the amount required by the policy.

In the year 2025/26 we are looking forward to moving to new and larger premises which will enable us to provide improved facilities for our members, including but not limited to:-

I report on the accounts of Winterton Men In Sheds for the year ending 31[st] March 2025, which are set out on pages 9 to 12.

Respective responsibilities of Trustees and examiner

The charity's trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the Charities Act) and that an independent examination is needed. It is my responsibility to:

Basis of independent examiner’s report

My examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below.

In connection with my examination, no material matters have come to my attention which gives me cause to believe that in, any material respect:

4 Taxation

Winterton Men in Sheds is a registered charity. All the charities’ income is applied to its charitable objectives and the association is therefore exempt under current legislation from most forms of taxation.

The charity is not VAT registered and all expenditure includes irrecoverable VAT.

5 Payments to Trustees

No remuneration directly or indirectly out of the funds of the Charity was paid or payable for the year to any Trustee.

There was no reimbursement of travel expenses paid or payable to Trustees in respect of the year.
