Structure, Governance and Management** ## **5.1 General** The charity is a charitable incorporated organisa'on (CIO), registered with the Charity Commission for England and Wales (Charity Registra'on Number 1180903) (Company Number CE 015740). The charity came into being on 29 November 2018. The financial period under review is the third period of opera'on. The governing instrument is the cons'tu'on dated 31 August 2018. The Cons'tu'on closely follows the Charity Commission’s model or template cons'tu'on for charitable incorporated organisa'ons (‘associa'on’ model). Those having an interest in the work and aims of the charity have opportunity (subject to the provisions of the cons'tu'on, and to payment of any applicable membership subscrip'on) to become members of the charity and to aEend and par'cipate in the AGM. The trustees look for opportuni'es to increase the membership. The charity is managed by its board of trustees. The charity does not act as custodian trustee for any other organisa'on. 2 **BELGRAVE HERITAGE TRUST** ## **Annual Report for the Year Ended 30 November 2022, Con7nued** ## **5.2 Recruitment and Appointment of Trustees** New trustees are appointed at the AGM. However, the trustees have power to co-opt addi'onal trustees at any 'me. Co-opted trustees serve only un'l the next AGM, at which 'me they are then eligible (subject to the provisions of the cons'tu'on) to be elected by the AGM as elected trustees. All trustees of the charity give their 'me voluntarily and receive no benefits from the charity. In order to bring a range of skills and experience to cater for the broad reach of the charity, the aim is that new trustees will be from backgrounds that reflect the charity’s needs. Suitable candidates are those who are sympathe'c to the needs and aims of the organisa'on and who have relevant skills and experience. The trustees are developing guidelines for iden'fying and selec'ng suitable individuals. All nine trustees stood down with effect from the AGM held on 9 April 2022. Seven of the nine were nominated for re-elec'on and all seven were re-elected during the AGM. ## **5.3 Trustee Induc7on and Training** New trustees are briefed by the exis'ng trustees on the charity’s objects and opera'ons and the new trustees are referred to the guidance for new trustees published by the Charity Commission. In addi'on, each new trustees is provided with a copy of the cons'tu'on (plus any bye-laws or similar adopted by the charity), and is encouraged to study the document(s) and to discuss with the exis'ng trustees any queries that he or she may have. All trustees are expected to be familiar with the work of the charity. ## The trustees confirm that they have referred to the guidance contained in the Charity Commission’s general guidance on public benefit and in par'cular to the Commission’s supplementary guidance on advancing educa'on when reviewing the charity’s ac'vi'es and planning future ac'vi'es and seIng policies, and that they have had due regard to such guidance. ## **5.5 Delay of AGM** Owing to restric'ons imposed by the coronavirus pandemic, the first AGM was postponed _sine die_ . Eventually, a date of 15 January 2022 was announced as the date for the delayed first AGM. However, the AGM was once again postponed, owing to concerns regarding the Omicron variant of coronavirus. An AGM was eventually held on 9 April 2022. 3 **BELGRAVE HERITAGE TRUST** **Annual Report for the Year Ended 30 November 2022, Con7nued** ## **5.6 Addi7onal Governance Issues** The charity is funded mainly through membership subscrip'ons, dona'ons, grants, admission charges at some of the charity’s events, and sales of books. Though all trustees give their 'me voluntarily, the charity recognises that trustees may incur expense such as travel to mee'ngs, conferences and other events. Trustees may from 'me to 'me, finances allowing, be reimbursed for expenses directly incurred in fulfilling their du'es. The charity’s income at this stage in its life is quite modest. The charity has substan'al aspira'ons for the future. The coronavirus epidemic meant that many plans had to be deferred. However, ac'vi'es were re-commenced during 2022. It is an'cipated that more funding will need to be generated in the future. The trustees are acutely alert to such issues and are always looking for suitable and prudent ways of developing the charity and increasing its resources. ## **6. Objec7ves** The six aims for which the charity exists are summarised below, and may be read in full in the cons'tu'on:- 1. to advance educa'on rela'ng to the history and heritage of the Old Belgrave Village, with par'cular regard to the history and heritage of the places of worship and former places of worship 2. to preserve, repair, maintain and enhance the land and structures of historic, architectural, archaeological or environmental value within the Old Belgrave Village (“the Heritage Land and Structures”) 3. to provide (on or near the Heritage Land and Structures) facili'es for the advancement of the aims stated in 1 above 4. to provide (on or near the Heritage Land and Structures) social welfare, recrea'on and/or leisure facili'es 5. generally to further the use of the Heritage Land and Structures for charitable purposes 6. other charitable aims incident or ancillary to the above. 4 **BELGRAVE HERITAGE TRUST** ## **Annual Report for the Year Ended 30 November 2022, Con7nued** ## **7. Geographical Area of Opera7on** The cons'tu'on states that the focus of the charity is primarily or mainly upon the following areas: 1. the land within the circumference of a circle having 400 metres radius, the centre of the circle being the crossroads and the junc'on of CheckeEs Road, Loughborough Road and Vicarage Lane (The Grid Reference of this crossroads is SK 59431 07138) 2. Belgrave Cemetery (Grid Reference SK 58803 07969) 3. the “Iron Church” on Abbey Lane (Grid Reference SK 58720 07227) 4. any outlying pre-nineteenth century buildings and sites of historical, architectural, archaeological or environmental value. The cons'tu'on also states that for the purposes of the cons'tu'on the expression ‘Old Belgrave Village’ is to be interpreted having regard to the above explana'on as general guidance as to its meaning. ## **8. Summary of Main Ac7vi7es During the Year** Some members of the charity con'nued to undertake some limited gardening care and maintenance tasks in the St Peter’s churchyard. A programme of events and ac'vi'es was re-commenced during the year, following the easing of the restric'ons that had existed owing to the coronavirus health emergency. In April 2022, the Trust gained permission to use a room at Belgrave Hall as an exhibi'on room. This room was used for displays of photographs, maps and other informa'on. The volunteers serving as stewards also collected stories from visitors of their memories of Old Belgrave. Through the summer period from April to September, the Trust had the use of the room when the Belgrave Hall was open to the public on every Wednesday (five hours each Wednesday) and on one weekend each month, plus several special event days. The display room was open in total on 36 days, and received more than a thousand visitors. In June 2022, the Trust bought ten (10) Ordnance Survey files of historical maps of Belgrave. Maps were printed from these files and the maps were laminated and were on display at the Belgrave Hall, genera'ng much interest. The Trust also bought an art case to store the maps, and a wheeled rack to display them. Tours were given of the Churchyard at St Peter’s, and these proved to be popular. Virtual Guided Walks were available between 9 and 18 September 2022 as part of the Heritage Open Days ini'a've. Several talks / lectures were held during the year. NewsleEers were issued in January 2022 and July 2022, in addi'on to several News Updates during the year. Permission was obtained for a representa've of the Trust to enter the St Peter’s Church on Armis'ce Day 11 November 2022 to place a wreath at the War Memorial. 5 ## **BELGRAVE HERITAGE TRUST** ## **Annual Report for the Year Ended 30 November 2022, Con7nued** ## **8 con7nued. Summary of Main Ac7vi7es During the Year** Owing to the fact that a suitable and appropriate financially-sustainable new use for the historic redundant St Peter’s church building has not at this 'me been iden'fied, the Trust is not at present in a posi'on to pursue in any effec've way its interest in securing the future of this important building. The Trust is aware that the Authori'es of the Church of England have once again put the building on the market for sale. Owing to the current impasse regarding the future of the St Peter’s Church building, the focus of the Trust’s aEen'on and ac'vi'es now falls increasingly upon other aspects of the history and heritage of Old Belgrave. Work is con'nuing on a project to develop a much improved website which will serve to promote the Trust and its Objects and will provide useful informa'on about Belgrave’s history and heritage. ## **9. Summary of Financial Performance** Receipts exceeded Payments by £ 338, whereas in the preceding year (ended 30 November 2021), Payments exceeded Receipts by £ 558. There is a con'ngent liability (carried forward from pre-coronavirus days) amoun'ng to £ 499, as stated in Sec'on **B6** of the Financial Statements and as explained in **Note 3** of the Notes to the Financial Statements. ## **10. Reserves Policy and Prac7ce** At this early stage in the life of the charity, the trustees have not formally designated any funds as reserves nor has a formal Reserves Policy been adopted. However, the trustees aspire to build-up the charity’s unexpended income as much as reasonably possible at the same 'me as seeking to strike a fair balance between spending on current events, ac'vi'es and promo'ons and building financial resilience for the future. One of the reasons for wan'ng to try and build financial resilience for the future is that with the arrangements for the future care, maintenance and use of the St Peter’s building s'll totally unresolved, the trustees would wish to be in the best possible financial posi'on in case the opportunity arises for the Trust to influence or be involved in this maEer. Even if it turns out that it is not prac'cally possible to build up the unexpended income above the year-end level of £ 3628, the trustees consider that every possible means should be used to ensure that the balance in hand does not fall below the level one full year’s an'cipated rou'ne expenditure. ## **11. Restricted funds are funds held by the charity where there is a contractual requirement for the funds to be spent on a par'cular purpose. ## **Note 3: Grants Received** A Ward Grant of £ 499 was received for use in connec'on with the Belgrave History Fair planned for July 2020. The Fair was postponed owing to the coronavirus emergency and the money remains unspent. There is a con'ngent liability (shown in Sec'on **B6** ) in that the Ward Grant may have to be repaid if it proves to be not possible eventually to use it for a delayed Belgrave History Fair. ## **Note 4: Membership Sta7s7cs and Temporary Waiver of Annual Membership Subscrip7ons** The number of members on the Roll of Members as at 30 November 2022 stood at 46 (99 as at 30 November 2021). Owing to the coronavirus emergency and the consequent curtailment of ac'vi'es, the trustees made the decision to waive the annual membership subscrip'ons for the period April 2020 to 31 December 2021. However, membership subscrip'ons were reinstated with effect from 1 January 2022. The membership fee income (amoun'ng to £ 44) shown in the accounts for the year-ended 30 November 2021 is advance payments of fees due for the year commenced 1 January 2022. ## **Note 5: Stock of Unsold Books and Envelopes** At 30 November 2022, the charity held a stock of 135 un-sold copies of the re-print of the ‘ _Story of Belgrave_ ’ book by Michael Smith. The books have a poten'al future sale value of £ 1350. There were 16 padded envelopes in stock, these having a poten'al future sale value of £ 8. ## **Note 6: Trustee Remunera7on and Expenses** No trustee was remunerated. No trustee claimed expenses. ## **Note 7: Employees** The charity had no employees. 9 **BELGRAVE HERITAGE TRUST** **Financial Statements for the Year Ended 30 November 2022, Con7nued** ## **NOTES TO THE FINANCIAL STATEMENTS, Con7nued** ## **Note 8: Plant and Machinery** The charity had no plant or machinery, other than that declared in **Note 12** of these Notes. ## **Note 9: Guarantees** The trustees declare that the charity has given no guarantee where poten'al liability is outstanding at the date of the statement of assets and liabili'es. ## **Note 10: Debtors** The trustees declare that the charity has no outstanding debts which are secured by an express charge on any of the assets of the charity at the date of the statement of assets and liabili'es. ## **Note 11: Related Party Informa7on and Related Party Transac7ons** Several years ago, a ‘ _Belgrave Hall Conserva�on Area Society’_ was formed, as an un-incorporated associa'on. One of the maEers that had the aEen'on of the Society was the uncertain future of the historic St Peter’s church building which had been declared redundant by the Church of England. The Society came to the view that the future of the St Peter’s building was a major project that would best be carried forward by a dedicated separate organisa'on. As a result, some of the members of the Society formed a group of ‘ _Friends of Belgrave St Peters_ ’ as an un-incorporated associa'on separate from the ‘ _Belgrave Hall Conserva�on Area Society_ ’. The commiEee of the ‘ _Friends of Belgrave St Peters’_ then came to the view that the project would best be carried forward by a body having formal charitable status and incorporated with limited liability. Plans were made to create such a body as a successor to the un-incorporated ‘ _Friends_ ’ group. While considering the wording for the charitable objects clause for the envisaged new body, the individuals who were the members of the commiEee of the ‘ _Friends_ ’ concluded that it was appropriate and opportune to declare wider charitable objects that were not restricted to the St Peter’s building, and to form a ‘ _Belgrave Heritage Trust’_ rela'ng to old Belgrave more generally. This plan was put to the members of the ‘ _Friends_ ’ group at its AGM held on 30 June 2018 and received their endorsement. A cons'tu'on for the new body was drawn-up, the individuals who were the commiEee of the ‘ _Friends_ ’ group standing as the first members and the first trustees of the new body. The new _‘Belgrave Heritage Trust’_ was incorporated by the Charity Commission as a ‘charitable incorporated organisa'on’ on 29 November 2018 and received registered charity status at that same 'me. The ‘ _Friends_ ’ group decided to wind-up its opera'ons. All members of the group were invited to transfer their membership to become members of the new charity, and the ‘ _Friends_ ’ group decided to transfer its assets to the new charity. The final or closing balance on the books of the ‘ _Friends_ ’ group was £ 3401 which was transferred in its en'rety to the charity. Also, such commercial or re-sale value (if any) may be difficult to quan'fy with any degree of accuracy. The trustees have decided to treat these items as fully depreciated.
