Trustees’ report Legal and Administrative Information

Trustees:
The following five members of the Council of NCUP were reconfirmed as Trustees in the initial Report made to the Charity Commission for the period 22[nd] November to the 21 February 2020. They hold the following positions on the Board of Trustees. All five Appointments were with effect from the 22[nd] November 2018.

At the first 2021 meeting of Trustees held on the 19[th] January 2021, it was unanimously agreed that Professor Terence Davis should be re-appointed a Trustee for a period of 3 years with effect from 22[nd] November 2020.
Note: This was necessary, since his initial appointment was for 2 years and re-appointments may only be for 3 years, see CIO, para 10 (1).
The Trustees appointed Professor Terence Davis as Chairman of Trustees for a period of a further one year or the first meeting of Trustees to be held in 2022, whichever is the earlier.
Professor Roger Watson, Vice Chairman of Council, was appointed a Trustee for a period of 3 years, with effect from 22[nd] November 2020.
It was agreed at the 3[rd] meeting of Trustees, 17[th] November 2021, that the Board of Trustees is expected to be, as follows, with effect from the Council meeting, 16[th] February 2022:

Constitution
The Charity was constituted pursuant to, and is governed by, the Constitution dated 14[th] November 2018. NCUP members have the rights prescribed in the Constitution, including the right to attend and vote at the Annual General Meeting and Extraordinary General Meetings of the NCUP Charity. Members of the Charity may obtain a copy of the Constitution, from the Hon. Secretary.
Members
There are two levels of the Charity membership:
1) Full membership (FNCUP) is open to all who hold, or have held, the title of Professor, Visiting Professor or Honorary Professor within a recognised University in the United Kingdom for a minimum of one year. It is also open to Professors of a recognised University from overseas, who are now permanently resident in UK Members and have the rights prescribed in the Constitution, including the right to attend and vote at the Annual General Meeting and Extraordinary General Meetings of the Charity.
2) Associate Membership (ANCUP). Applicants eligible to apply for include: All Associate Professors, Readers and Principal and Senior Lecturers of a recognized UK University and other academics that consider themselves to be of equal standing to those above. A Council Committee considers all cases for Associate Membership in terms of publications and relevant experience.
Membership Fees
The Full and Associate Membership fees are the same, £50 per annum by cheque (or £45 p.a. by standing order). Emeritus/retired membership is £20 per annum (whether by cheque or standing order). For those who are Emeritus/retired, there is an option of “Life Membership” for a single payment of Under 65 = £150, Age 65-80 = £100, Over 80 = £50.
NCUP Council
The Charity is administered and managed in accordance with the Constitution. Members of the NCUP Council are appointed at the AGM. The Trustees are appointed in accordance with the Constitution (CIO, para 9. Charity trustees). The Constitution specifies that there must be at least three and a maximum of twelve trustees. The five Trustees who were appointed as the first charity trustees hold the following positions on the NCUP Council:

Remuneration of Trustees
No NCUP Council member or Trustee has been remunerated for any time spent by such member in connection with the affairs of the Charity or of the NCUP. Further, it is also confirmed that no NCUP Council member or Trustee claimed any expenses to which they are entitled, e. g. train fares, during the period under review 22[nd] February 2020 to 10[th] July 2021.
Objects of the Conference (para 3 CIO)
To advance education in all aspects of learning and training in adulthood but not exclusively, through the provision of conferences and seminars and to facilitate and enhance teaching, researching, and studying the education of adults.
Treasurer’s Report (22[nd] February 2020 to 10[th] July 2021)
The income and expenditure report for the period from the 22 February 2020 to the 10[th] July 2021 is appended below as Appendix A.
Due to the restrictions arising from the COVID-19 pandemic, there have been no face-to-face meetings. All other activities during the reporting period have been by Zoom, Teams or by some other electronic means. As a result, there have been few expenses. However, subscriptions and donations have continued to be made and as a result the total bank balance has increased from £8,017.47 (22[nd] February 2020, the commencement of the current reporting period to £10,834.34, 10[th] July, the final day of the accounts period. Total donations during the reporting period were £1,065.00 The HMRC tax refund will be made after the next AGM in February 2022 and before the four years allowed by HMRC for any individual donation.
The NCUP does not employ any staff but uses the services of a Web Master and an Administrator, both of whom are paid on an hourly basis. Both will submit their claims for approval in due course.
Chairman’s Report - Activities
In addition to the ‘Objects of the Conference (para 3 CIO)’, given above, the Charity provides financial assistance to non-members, principally by way of awarding grants.
Four young researchers have been awarded grants; they were made through competition. Because of the Covid situation there has been a delay in implementation. It is hoped they will be awarded in due course, probably in 2022.
Decisions are proposed by the NCUP Council and confirmed or otherwise by the Trustees, all of whom are Council members.
Many students, parents and the public, who are interested in university matters, approach the NCUP for advice or information from NCUP or from one its members, other tasks, e.g. the completion of questionnaires are undertaken. Normally, queries that are sent to the Executive Officer are channelled through to individual Trustees and members of the NCUP Council.
There is no fee for such assistance provided to any person. Council members do receive requests direct from individuals and the expression of views are their own responsibility.
NCUP (Virtual) Annual Education Lecture 17th February 2021 addressed by Sir Anthony Seldon, “ A New Vision for Higher Education Post Covid-19”
Co-operation with the Higher Education Policy Institute (HEPI).
HEPI give approximately 12 annual presentations, currently by Zoom or Teams. These are available to all members, colleagues, students, and other interested parties – examples are given below:

NCUP Awards
Due to the lack of face-to-face lectures during the reporting period no new awards were made.
No travel awards were made during the reporting period. However, some NCUP members and past travel award members attended an online colloquium, organized by the University of Brescia on the morning of Saturday. 8 May 2020. There were no fees for this online colloquium. Unfortunately, the Conference, to be held 7[th] – 9[th] May 2021 was cancelled in early March due to the Coronavirus Pandemic. It was decided to hold sessions using ZOOM, on 8[th] May 2020. Three of the 4 NCUP travel award winners gave their presentations in person and one (Dr Oonagh McSweeney) gave a prerecorded presentation, as she had to work in a COVID-19 emergency clinic on the morning of the Colloquium.
The NCUP travel award winners gave particularly good presentations and two of them, who met for the first time at the colloquium, hope to collaborate in future research. Professor Eaton has subsequently received emails from two of the travel award winners thanking NCUP for the opportunity to present their research and saying how much they were looking forward to meeting all those next year, who took part in the Zoom sessions. The four are expected to take up their postponed awards at the Brescia event, now scheduled to take place in 2022.
The 2021 House of Lords luncheon and lecture by Dame Madeleine Atkins was cancelled due to the Coronavirus pandemic. It is now hoped to be held in May 2022
All activities involving face to face participation have been either cancelled or postponed, until the situation is clarified. The updating of entries onto the website, NCUP and Trustees meetings held by electronic means e. g. telephone, email, Zoom and providing advice and information to individuals are all continuing.
