## **1. Governance** 

Langdyke Countryside Trust CIO was registered as a Charitable Incorporate Organisation (CIO) (no 1180626) by the Charity Commission for England and Wales on 9th November 2018.  The objectives of the CIO are to promote the conservation, protection and enhancement of the biodiversity, landscape, natural and cultural heritage of the rural areas of Peterborough, for the benefit of local people, visitors and the general public; and to advance the education of the public in the conservation, protection and improvement of the physical and natural environment of the rural areas of Peterborough, and its historic and cultural aspects. 

These objectives are achieved by the conservation, protection and improvement of the natural environment and heritage in Cambridgeshire, Peterborough and South Lincolnshire through restoring and managing the habitat and promoting biological diversity to enhance people's enjoyment and understanding of wildlife and their heritage. 

Langdyke Countryside Trust CIO is governed by its Constitution approved and registered by the Charity Commission for England and Wales on 9 November 2018. The Trust holds an Annual General Meeting, at which, all full paid-up members and honorary members, are entitled to attend and vote. This meeting elects the Trustees of the Trust. 

The CIO is managed by its trustees supported by a Management Board. The number of trustees is set by the constitution and may be between four and twelve. As at 31/12/2023 there were eight trustees and a list of trustees is given below. Trustees are appointed by the Annual General Meeting (AGM). Other members of the Management Board are appointed by the Board of Trustees. There is no set time period for service on the Management Board. The Management Board is responsible for the day-to-day management of the trust, such as setting budgets, approving all trust management policies and procedures, approving the trust accounts, etc. All Trustees are full members of the Management Board. The Management Board is chaired by the Chair of Trustees. Trustees receive no remuneration, but are entitled to re-imbursement for any expenses, incurred on trust business. Currently no trustee receives any car or motoring expenses. 

In addition to the Management Board, there are three strategy groups which are responsible for helping to achieve the Trust's five strategic objectives. these groups report to the Management Board and have executive functions delegated to them under the trust’s Scheme of Delegation. 

Currently the Trust does not employ any paid staff, although it does use consultancy and professional services on a fee basis.

There were no serious incidents in the trust for the period of this return.

## **7. Annual Report of the Chair of the Trust.** 

2023 was another year of hard work and general success for the Trust.  Langdyke’s work revolves around nature and people. Wherever we can we aim to bring these two objectives together, allowing our members, local people and visitors a chance to enjoy and understand their local environment, while at the same time creating or maintaining areas where nature can thrive undisturbed. 

Over the course of the year, we **engaged our members** ( **strategic objectives 1 and 5** ) and other visitors through a programme of monthly events, ranging from walks around our reserves, visits to other local sites, training and identification courses and illustrated talks.  Our members also benefited from opportunities to volunteer on the reserves and to use our Facebook pages to post their photos and seek guidance on identification.  Membership has declined slightly over the year, but the number of active volunteers continues to increase, and our People and Communities Committee is developing a structured membership recruitment and retention strategy.   We will be undertaking a Membership Survey in 2024. We were also able to appoint a volunteer to look after our volunteers, in terms of communication and recognition.  Our Artists in Residence delivered a full programme during the year, including workshops for members and a wonderfully curated exhibition of their work, while our Poet in Residence was able to join several events and give readings of his poetry, inspired by the Trust’s reserves and work. 

Our reserves ( **strategic objectives 2 and 3** ) are all managed under the supervision of the Trust’s Reserves Committee and benefit greatly from this co-ordinated approach, allowing shared best practice as well as health and safety oversight.  A number of training courses were held during the year for our volunteers, including on key tasks such as strimming and a refresher first aid course. 

As well as the weekly work-parties on our existing reserves, we were able to commence work on a new reserve at M’Lady’s Pond, where removal of some surrounding trees will enable more light to enter the pond, which will encourage biodiversity.  We were unfortunately unable to finalise the purchase of another new reserve at Christ’s College Pits during the year, due to unforeseen legal issues. These have now been resolved and the acquisition was completed in April 2024 with initial management work starting on site soon afterwards.  We would like to record our thanks to all funders of this project and in particular Cambridge Chrysalis Trust and the Augean Community Fund.

Specific outcomes for nature include a record year for the rare Autumn Ladies Tresses at Swaddywell Pit and of Pyramidal Orchids at Etton-Maxey Pits.  There was also a welcome return of the Nightingale to our Bainton Heath reserve, although management work here was curtailed due to ongoing access issues over neighbouring land, which we are addressing through our landlord, National Grid. 

The appointment of a new Treasurer during 2023 provided a neat opportunity for the Trust to review its overall strategy and objectives over the summer, with a consensus that the current objectives continue to reflect the strategic intent of the Trust.  A key reflection of that review was that the Trust will need to consider carefully what additional commitments it can take on within the capacity of its current voluntary structure.  The new Treasurer also instituted an ongoing review of our governance structures and documentation, which will result in an updated and more detailed risk management plan. 

We continued our work to help nature recover across **the wider countryside (strategic objective 4)** , working with partners at Nene Park Trust, Natural England, the Wildlife Trusts and PECT as part of the John Clare Countryside project to help deliver nature projects across 25 parishes.  Langdyke acts as the co-ordinating partner for a cluster of five parishes within the project area and is actively engaged with volunteer groups in each of these parishes.  A number of projects were delivered during the year, including planting several new hedgerows and the creation of new wildflower meadows.  There was also an active programme of bulb planting across the parishes. Significantly our role within the John Clare Countryside partnership, allowed us to bring together the major local landowners in a new partnership to design a landscape scale nature recovery programme across their land. 

## **8. Achievements against objectives set** 

The Trust’s strategy sets out five key objectives, as set out below, a review of progress against objectives is contained in the Chair’s annual report. 

1. To double membership 

2. To enhance its existing reserves for nature 

3. To expand its reserves 

4. To promote the John Clare Countryside 

5. To engage and inspire its members. 

As set out above, the Trust reviewed these objectives during 2023 and concluded that the aspiration to double membership was unachievable in the medium term and that this should be re-worded as an objective to increase membership year on year. All other

objectives as noted in the Chairman’s report are being actively and successfully pursued. Each objective is ‘owned’ by one of the Trust’s committees and progress is regularly reviewed. 

## **9. Contributions made by volunteers.** 

Langdyke has no paid members of staff. All our activities are devised, organised and delivered by volunteers. 

Each week there are at least two work parties on our reserves, with additional work parties organised from September onwards at other locations through the John Clare Countryside project.  Behind the scenes we also have volunteer-led committees that plan our conservation work (The Reserves Committee), our membership recruitment and engagement (People and Communities Committee) and manage our operations (Finance and Governance Committee).  In total we have well over 70 active volunteers, playing a key role in the delivery of our objectives. 

## **10. Financial Review** 

2023 was the first year for 3 years largely unaffected by the Covid-19 pandemic with a full return to planned works at our various reserves.  Subscription income in the 2 years to 2022 had increased significantly, possibly as an unanticipated but potentially beneficial side effect of the pandemic. 2023 however, saw a reduction in subscription income of nearly 12% meaning it has returned to a very similar level to that experienced in 2021. 

Total income for the year amounted to £89,584 – a decrease from 2022 (£103,674) but still significantly higher than 2021 (£35,772). Income for unrestricted purposes amounted to £29,467 – very similar to 2022 (£29,782).  Restricted income however dropped from £73,893 in 2022 to £60,116 in 2023.   This change is mainly as a result of the differing fundraising activities in each year. 

The major elements of our restricted income arose from: 

- Further fundraising for the opportunity to purchase a strategic reserve from Christ’s College Cambridge - £32,866. 

- Gift aid of £7,500 on a donation received in 2022. 

- Grants received from National Grid plc in connection with Bainton Heath (£10,750) and Peterborough Environment City Trust (£8,000).

Government Agricultural Subsidies, such as Basic Farm Payments, Entry and Higher-level stewardship totalled £17,761 versus £21,185 in 2022 - a decrease of around 16%.  The regime around such payments from Government is changing and we can continue to expect further reductions in the future.  These payments are very important to the trust and represent a significant portion of the trust’s unrestricted revenue.   The changing regime continues to be monitored carefully by the trust. 

The trust received income only from sources within the United Kingdom during the year. 

Expenditure amounted to £28,633 (versus £44,757 in 2022). The major changes from 2022 included: 

- the relative absence of Professional fees which were £13,640 in 2022 - only £1,248 in 2023. 

- a significant increase in Training/Health and Safety costs to £4,657 (£26 in 2022) through our programme of triennial first aid training for volunteers and the purchase of 2 defibrillators. 

- Community projects which totalled £4,358 versus £7,600 in 2022. 

- Expenditure on reserves decreased from £16,834 in 2022 to £10,176 in 2023.  The majority of this reduction relates to Bainton Heath where we could only spend £679 in 2023 against £4,553 in 2022 due to issues which have arisen relating to access to the site.  The spend on the remainder of the wider reserves portfolio is not dissimilar to the previous year. 

Unrestricted cash reserves rose 6% from £43,574 at 31 December 2022 to £46,188 at 31 December 2023.    Restricted cash reserves increased from £69,178 to £127,463 at 31 December 2023.  Much of this increase relates to continued fundraising activity in anticipation of the purchase of the strategic reserve from Christ’s College in 2024. 

The trust has a policy that recommends that cash reserves should not fall below an average of 4 months expenditure.  The current unrestricted cash reserves indicate that the trust continues to operate within this threshold. 

As reported last year, in 2022 the trust used, for the first time, the services of a Professional fund raiser to assist in the successful fundraising for the purchase of Christ’s College Pit.   A further payment of £500 was made to the same fund raiser in 2023. 

The trust does not work, neither did it have expenses, outside England and Wales.

The trust receives no income from Central or Local Government Contracts during the year, neither has the Trust entered into any such contracts. During 2023 the Trust received income from Government Subsidy for Higher Level Stewardship and Basic Farm Payments of £17,761 (£21,185 in 2022).  It also received a restricted grant of £8,000 from Peterborough City Environment Trust for the purchase of equipment.

## **1 - Accounting Policies** 

The Accounts of the Langdyke Countryside Trust Charitable Incorporated Organisation meet the requirements of the Charity Commission. Under section 133 of the Charities Act 2011 charities, that are not companies, are allowed to prepare receipts and payments accounts provided that the charity's gross income does not exceed £250,000. The trustees have therefore opted to take advantage of this provision and to prepare receipts and payments accounts. 

As the accounts are prepared on a receipts and payments basis, all purchases of land and other assets are shown as part of the revenue account and charged in total in the year of purchase.

Other adjustments represent adjustments to write up or down to zero those funds (both positive and negative) which are effectively defunct with no further activity anticipated and are de minimis in the overall view of the accounts. The Trustees are responsible for the preparation of the accounts. The Trustees consider that an audit is not required but that an independent examination is required. It is my responsibility to: 

examine the accounts, and 

to state whether particular matters have come to my attention.

An examination includes a review of the accounting records kept by the trust and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as Trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a 'true and fair view' and the report is limited   to those matters set out in the statement below.

## **1 - Accounting Policies** 

The Accounts of the Langdyke Countryside Trust Charitable Incorporated Organisation meet the requirements of the Charity Commission. Under section 133 of the Charities Act 2011 charities, that are not companies, are allowed to prepare receipts and payments accounts provided that the charity's gross income does not exceed £250,000. The trustees have therefore opted to take advantage of this provision and to prepare receipts and payments accounts. 

As the accounts are prepared on a receipts and payments basis, all purchases of land and other assets are shown as part of the revenue account and charged in total in the year of purchase.
