## **Trustees' Report**

The trustees present the annual report together with the financial statements of the charity for the year ended 28 February 2021.

## **Objectives and activities**

## _**Objects and aims**_

The object of the CIO is the promotion in accordance with Christian principles and for the public benefit of freedom from violence and abuse for women and girls in particular, but not exclusively by (a) running awareness-raising national conferences, presentations and events; (b) signposting affected individuals to sources of help; (c) providing encouragement and a platform for charities and organisations already working in these areas; and (d) highlighting opportunities for individuals to take action.

Press Red is a UK based CIO with the expressed aim of turning off the silence around violence against women and children.

Press Red works with people of all faiths or none, educating, equipping, and empowering on the issues of violence and abuse against women and girls. We make people aware of the injustices which are happening both worldwide and on our doorstep, providing them with the tools and resources they need to make a difference.

We are a force for change, leading a movement of people, churches, and organisations who refuse to accept the status quo, and are committed to helping bring hope and healing into harrowing situations.

We do this because we believe that it is unacceptable that any woman or child is abused.

## _**Objectives, strategies and activities**_

Over the past 12 months the charity has had to adapt its activities to accommodate the restrictions placed on its operations by the Covid-19 pandemic.

We ran the Press Red annual conference in October utilising an online format that extended our reach and resulted in gathering 600+ delegates from the UK and abroad. The conference also served to launch the Press Red Directory – a digital resource centre acting as a ‘one stop shop’ for women needing information and points of contact for support.

Before the Covid-19 restrictions took effect, we ran 2 GRID breakfasts engaging 30 key leaders to educate them on issues such as FGM, religious persecution of women, child marriage and domestic abuse.

Social media is a key tool in continuing to challenge the silence on matters of violence and abuse against women and Press Red actively uses these channels to reach a wide audience. Campaigns included ‘Push, Pass, Pledge’ to engage Press Red ambassadors, #YouAreNotAlone highlighting the support services available to victims of abuse, and ‘I Press Red on’ to raise awareness in conjunction with the UN’s 16 Days of Activism.

Page 2

## **Press Red CIO**

## **Trustees' Report**

We launched 2 new projects to build awareness and initiate change. The first focuses on engaging men in changing attitudes to create communities where women can feel secure and free. The second involves developing a program to be rolled out across school age children and young people.

We continued our work with Redcliffe College running 2 further online courses during the year.

The staff team continue to engage with many partner charities, run supporting training events (e.g. addressing unconscious bias) and include spotlight sessions on different forms of abuse in monthly prayer meetings.

The drama production ‘Control’ could not be delivered through the year to live audiences due to the Covid restrictions.

## _**Public benefit**_

The trustees confirm that they have complied with the requirements of section 17 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission for England and Wales.

## **Financial review**

The charity has a surplus for the year of £16,012 (2020 - £47,642). At the balance sheet date the charity had restricted reserves of £19,095 (2020 - £20,319) and unrestricted reserves of £44,559 (2020 - £27,323)

## _**Policy on reserves**_

Press Red acknowledges that, in order to increase its resilience against unexpected events, it is appropriate and prudent for it to retain a certain amount of financial reserves.

It is therefore the policy of Press Red to keep approximately one month’s running costs in reserves to cover unforeseen emergencies. This amount will be calculated based on Press Red’s total predicted expenditure over the rest of the budgetary year (excluding any variable outgoings).

As of the date of this policy, no steps need to be taken to achieve this level of reserves. This policy will be reviewed on a six-monthly basis.

## _**Funds in deficit**_

At the balance sheet date there is one restricted funds which is in deficit. This is for an ongoing activity and as such there is still fundraising for these funds.

## _**Principal funding sources**_

The principal sources of funding are from individuals and grants.

## **Press Red CIO**

## **Trustees' Report**

## **Going concern**

The current situation regarding Covid-19 remains our principle risk. With face-to-face activities put on hold, the charity has effectively managed their operations through remote connectivity, and activities have utilised a greater online presence. This has led to reduced costs but with some funds redirected to support the change in the delivery of charity’s work. The level of donations and grant income has continued to adequately cover the charity’s activities, including a specific grant of £25,000 that covers the CEO salary.

Two staff members resigned during the year for non-Covid related issues. One part-time administrator was hired in October 2020. This creates a team of 4 staff, including the CEO, all of whom work part-time. This has reduced overall staff costs. At this point, there are no plans to hire further staff, although this is under regular review as the number of projects we undertake increases.

## **Structure, governance and management**

## _**Nature of governing document**_

The charity is a Charitable Incorporated Organisation and is governed by the Constitution. The charity was registered with the Charity Commission on 16 October 2018.

## _**Recruitment and appointment of trustees**_

Apart from the first charity trustees, every trustee must be appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees. Trustees are able to serve more than one term.

In selecting individuals for appointment as charity trustees, the charity trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO.

## _**Induction and training of trustees**_

During the reporting period the trustees were given training as to their obligations with reference to the Charity Commission guidance on public benefit..

## _**Arrangements for setting key management personnel remuneration**_

This is done by the trustees in accordance with government standards.

## _**Organisational structure**_

The final decisions for the charity lay with the trustees, the day to day operations are with the CEO who delegates to the staff. Any major decisions, such as staff, financial, legal are taken by the CEO to the Trustees.

## **Financial instruments**

The charity has basic financial instruments. At present we do not feel that there is unreasonable risk to the organisation or its structure.

## **Trustees' Report**

## **Statement of Trustees' Responsibilities**

The trustees are responsible for preparing the trustees' report and the financial statements in accordance with the United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice) and applicable law and regulations.

The law applicable to charities requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. In preparing these financial statements, the trustees are required to:

- select suitable accounting policies and then apply them consistently;

- observe the methods and principles in the Charities SORP;

- make judgements and estimates that are reasonable and prudent;

- state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; and

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations, and the provisions of the constitution. The trustees are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

4th Nov 2021 The annual report was approved by the trustees of the charity on .................... and signed on its behalf by:

## **Independent Examiner's Report to the trustees of Press Red CIO**

I report to the charity trustees on my examination of the accounts of the charity for the year ended 28 February 2021 which are set out on pages 7 to 21.

## **Respective responsibilities of trustees and examiner**

As the charity’s trustees of Press Red CIO you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).

I report in respect of my examination of the Press Red CIO's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

## **Independent examiner’s statement**

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

1. accounting records were not kept in respect of Press Red CIO as required by section 130 of the Act; or

2. the accounts do not accord with those records; or

3. the accounts do not comply with the accounting requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view' which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **Notes to the Financial Statements for the Year Ended 28 February 2021**

## **1 Accounting policies**

## **Statement of compliance**

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Charities Act 2011.

## **Basis of preparation**

Press Red CIO meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes.

## **Exemption from preparing a cash flow statement**

The charity opted to early adopt Bulletin 1 published on 2 February 2016 and have therefore not included a cash flow statement in these financial statements.

## **Disclosure of long or short period**

The prior year financial statements were for the 17 month period to 29 February 2020, therefore not all transactions and balances are comparable.

## **Going concern**

The trustees have considered the impact of COVID 19 on the charity within the financial year. They believe although this has impacted the business it has not affected the charity's ability to continue trading and as a result the accounts are prepared under the going concern basis.

## **Income and endowments**

Voluntary income including donations, gifts, legacies and grants that provide core funding or are of a general nature is recognised when the charity has entitlement to the income, it is probable that the income will be received and the amount can be measured with sufficient reliability.

## _**Donations and legacies**_

Donations and legacies are recognised on a receivable basis when receipt is probable and the amount can be reliably measured.

## _**Grants receivable**_

Grants are recognised when the charity has an entitlement to the funds and any conditions linked to the grants have been met. Where performance conditions are attached to the grant and are yet to be met, the income is recognised as a liability and included on the balance sheet as deferred income to be released.

Page 9

## **Press Red CIO**

## **Notes to the Financial Statements for the Year Ended 28 February 2021**

## **Expenditure**

All expenditure is recognised once there is a legal or constructive obligation to that expenditure, it is probable settlement is required and the amount can be measured reliably. All costs are allocated to the applicable expenditure heading that aggregate similar costs to that category. Where costs cannot be directly attributed to particular headings they have been allocated on a basis consistent with the use of resources, with central staff costs allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use. Other support costs are allocated based on the spread of staff costs.

## _**Charitable activities**_

Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them.

## **Support costs**

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, for example, allocating property costs by floor areas, or per capita, staff costs by the time spent and other costs by their usage.

## **Governance costs**

These include the costs attributable to the charity’s compliance with constitutional and statutory requirements, including audit, strategic management and trustees’s meetings and reimbursed expenses.

## **Government grants**

Government grants are recognised based on the accrual model and are measured at the fair value of the asset received or receivable. Grants are classified as relating either to revenue or to assets. Grants relating to revenue are recognised in income over the period in which the related costs are recognised. Grants relating to assets are recognised over the expected useful life of the asset. Where part of a grant relating to an asset is deferred, it is recognised as deferred income.

## **Taxation**

The charity is considered to pass the tests set out in Paragraph 1 Schedule 6 of the Finance Act 2010 and therefore it meets the definition of a charitable company for UK corporation tax purposes. Accordingly, the charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 Part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are applied exclusively to charitable purposes.

## **Tangible fixed assets**

Individual fixed assets are initially recorded at cost, less any subsequent accumulated depreciation and subsequent accumulated impairment losses.

## **Depreciation and amortisation**

Depreciation is provided on tangible fixed assets so as to write off the cost or valuation, less any estimated residual value, over their expected useful economic life as follows:

Page 10

## **Press Red CIO**

## **Notes to the Financial Statements for the Year Ended 28 February 2021**

## **Asset class**

Furniture & equipment

**Depreciation method and rate** 3 years straight line

## **Cash and cash equivalents**

Cash and cash equivalents comprise cash on hand and call deposits, and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value.

## **Fund structure**

Unrestricted income funds are general funds that are available for use at the trustees's discretion in furtherance of the objectives of the charity.

Restricted income funds are those donated for use in a particular area or for specific purposes, the use of which is restricted to that area or purpose.

## **Financial instruments**

## _**Classification**_

The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and are subsequently measured at settlement value.

## **Notes to the Financial Statements for the Year Ended 28 February 2021**

The specific purposes for which the funds are to be applied are as follows:

Control is a hard hitting drama about a couple in an abusive relationship. It charts the course of their relationship and shows how coercive control begins and grows. Along with the drama we have personnel present who can debrief and help anyone for whom it raises personal issues.

GRID is a breakfast event for leaders introducing them to various forms of abuse against women. The aim is to raise awareness that this happens and start a conversation in the between them about how they can respond.

Schools is going into schools to educate students about violence against women. This can take many forms, both in the schools and meeting with girls who the school has identified as being especially vulnerable to abusive relationships.

Conference are day events to raise awareness and educate about violence against women. They are aimed at Christians and cover many topics about abuse against women. We have a few keynote speakers and then breakout sessions where people can pursue the topic that most interests them.

Directory is for an online resource and networking base for people who need online information about violence against women. Research showed that there is a need for a “one stop shop” that has both contacts (of other organisations specialising in different areas of abuse), research papers on the topic, book reviews, etc.

Rank grant is for the payment of the CEO salary. The CEO salary is covered for a period of three years.

Grant is for the purchase of equipment. This is for tablets connected to the GRID breakfasts, to use for viewing videos in small groups.

Prisons is going into prisons to educate inmates about violence against women. We have gone into prisoners with women who can share about living in an abusive relationship and how to recognise and deal with abuse.

Page 3

- select suitable accounting policies and then apply them consistently;

- observe the methods and principles in the Charities SORP;

- make judgements and estimates that are reasonable and prudent;

## **Press Red CIO**

## **Notes to the Financial Statements for the Year Ended 28 February 2021**

Dear Sirs

## **For the year ended 28/02/2021**

The above accounts have been considered and approved at a duly convened meeting of the board of trustees at which the attention of the board was drawn to their responsibilities in connection with the accounts.

As trustees of the above company, we acknowledge we are responsible for preparing financial statements for each financial year which give a true and fair view and have been prepared in accordance with the 2006 Companies Act, for that period. In preparing those financial statements, we are required to:

- select suitable accounting policies and then apply them consistently;
