Resolution of closure

MANTRAA was set up as a CIO in September 2019. The main objectives of the CIO are to advance and promote the science and medical practice of Rare Disease Genomic Medicine To this end MANTRAA aimed to:

1. Further education in Rare Genetic Diseases, supporting those who have an interest in this area to diagnose, understand, prevent, alleviate and cure congenital malformations and rare genetic disorders

2. Support rare disease meetings, specifically the biannual Manchester Dysmorphology Conference. The first one was organized in 1984 by Professor Dian Donnai. Over the years, this biennial conference has brought experts within the field of genomic syndromology together from around the globe, to share knowledge and ideas which further our understanding of developmental disorders and congenital malformations. The conference aims to provide cutting edge content and a welcoming, relaxed setting to encourage discussions, forge collaborations and inspire new ways of improving the lives of patients.

3. Support training through bursaries and scholarships

4. Aid the collation and dissemination of reports, statements and research findings

On March 28[th] , 2025, with the opportunity of the annual general meeting of the trustees which has been agreed to happen on-line/via e-mails given the different geographical location of trustees (Manchester, United Kingdom and Bergen, Norway), Jill Clayton-Smith ended her membership and all three trustees agree to close the the CIO MANTRRA within the following financial year.

An on-line meeting to vote the resolution was agreed for today, Monday June 30[th] , 2025, and the resolution of closure is voted and agreed unanimously.

Final verification of accounts

These were verified over email. We declare no further income so far this year.

We will have to pay an accountant for audit as per the Charity commission rules. That charge will be added to our account later.

Trustee declaration

All three trustees declare that:

• We are not registered as a charity with HMRC, you will need to tell HMRC that you have closed

• any debts and other liabilities of the CIO have been settled or otherwise provided for in full

• no liquidator is acting for the CIO

• we are acting on behalf of the trustees/ourselves or the majority of them

• we have followed the exact procedure as set out in our charity’s constitution

• we are aware that once we have made the application to the Commission, we must not:

1. take any actions except those that are essential to closing the charity and permitted by the CIO (Insolvency and Dissolution) Regulations 2012

2. incur any debts or liabilities

3. We will tell the Commission if, after making the application, the CIO’s circumstances change.
