## **Trustees' Responsibilities** 

The accounts are the responsibility of the Trustees. 

The Trustees have supervised the preparation of the accounts and have agreed suitable accounting policies, to be applied consistently, making any estimates and judgements on a prudent and reasonable basis. 

The Trustees also have a general responsibility for ensuring that adequate accounting records are kept and for taking such steps as are reasonably open to them to safeguard the assets of the scheme and to prevent and detect fraud and other irregularities, and are required to act in accordance with the constitution and rules of the charity, within the framework of the law; act prudently, conscientiously and honestly, and with the utmost good faith; act in the best interests of the members and beneficiaries of the charity and strike a fair balance between the interests of the different classes of beneficiary and take advice on technical matters and any other matters which are not understood.

## **Structure, governance and management** 

The charity, which is a non-incorporated organisation, is governed by a constitution which was adopted 22 February 2015 

The Trustees throughout the year were: 

Chairman: Paul Street 

Treasurer: Rhys Dear 

Committee Members/Trustees: 

Paul Williams 

Remus Sawyerr Adrian Wallace (From 10.01.25) 

Scott Stewart (From 10.01.25) 

Trustees are appointed or reappointed annually at the Annual General Meeting usually held in September. 

They are elected from the charity's membership.

## **Objectives** 

The Objectives of The Woodfalls Band are: 

Helping to continue the existence and development of the brass band movement through dedicated rehearsals, performances in concerts, competitions, recordings and other related activities 

Musician development through teaching and mentoring, and the provision of facilities and instruments 

Supporting the fundraising efforts of other charities through live performance. 

## **Activities** 

The Band has benefitted from the continuity of management personnel over the past few years as well as the recruitment of energetic new blood both on the management and player personnel. 

This has supported many activities that celebrated The Band’s 150[th] Anniversary in 2024. This included stand out concerts in Romsey Abbey and a Tour to Lorient, France in August. 

The Band’s planning and organisation has benefitted through enhanced used of Spond (App/Online team management) enabling better forward planning.

Band Ethos has developed, and whilst there has been a significant turnover of players, there is a changed desire and good commitment from all current players. 

## **Concerts/Engagements** 

2024 Schedule outside of contesting included: Concert at Hanger Farm, Romsey Abbey 150[th] Anniversary Concert, Joint Concert with Southampton University Band, Band Tour to France, 150[th] Celebration Day including an open-air concert, a joint concert with the Salisbury Plain Military Wives Choir marking Remembrance Day; and several local Christmas concerts including a new venue at Wilton Italianate Church. 

The Band continues to support local charitable events where possible, including a carolling event in a Tithe Barn in Tisbury for the third year and the local British Legion Remembrance Parade. 

## **Contesting** 

The Band had an inconsistent year on the contest stage.  Results at both the Area Contest and at Blackpool were disappointing.  The Band attended the Scottish Open again after an absence of several years gaining a mid-placed result. 

## **Musical Directors/Conductors** 

Paul Holland replaced Ben Halstead as The Bands Resident Musical Director in July 2024. Russell Gray conducted The Band at the Area Contest (6[th] place) and Paul Holland conducted The Band at The Spring Festival (12[th] place) and at the Scottish Open (9[th] place). 

## **Brief statement of the charity's policy on reserves** 

The Woodfalls Band are fortunate to have sponsorship that meets some of its ongoing costs, especially that of the professional Music Director.  The Trustees are mindful that this may cease at any given moment and would, in the current climate, may be difficult to replace. The cost of maintenance and improvement of the Bandhall, purchase of new instruments, instrument repair and maintenance as well as the day to day running costs of The Band – including concert promotion – would be legitimate expenditure for the charity’s reserves. 

## **Reporting Serious Incidents** 

The trustees declare that there are no serious incidents or other matters relating to our charity over the financial period to 31 December 2023 that should have been brought to The Charity Commission's attention. 

## **Declaration** 

The Band Trustees and Committee approved the accounts at a meeting on 22[nd] September 2025.  They will be presented to The Band at the next AGM/EGM.

## **Independent examiner's report to the Trustees of Woodfalls Band** 

I report on the accounts of the charity for the period ended 31st December 2024, which are set out on pages 3 to 5. 

## **Respective responsibilities of trustees and examiner** 

The charity's trustees are responsible for the preparation of the accounts.  The charity's trustees consider that an audit is not required for this year under section 144 (2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

It is my responsibility to: 

(a)  examine the accounts under section 145 of the 2011 Act; 

(b)  to follow the procedures laid down in the General Directions given by the Charity Commissioner under section 145 (5)(b) of the 2011 Act; 

(c)  to state whether particular matters have come to my attention. 

## **Basis of independent examiner's report** 

My examination was carried out in accordance with the General Directions given by the Charity Commissioner.  An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the accounts and the seeking of explanations from you as trustees concerning such matters.  The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently no opinion is given as to whether the accounts present a true and fair view and the report is limited to those matters set out in the statement below. 

## **Independent examiner's statement** 

In connection with my examination, no matter has come to my attention: 

(I)  which gives me reasonable cause to believe that, in any material respect, the requirements: 

(a)  to keep accounting records in accordance with section 130 of the 2011 Act; and (b)  to prepare accounts which accord with the accounting records and to comply with the accounting requirements of the 2011 Act have not been met; or 

(II)  to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
