## **Trustees' Responsibilities** 

The accounts are the responsibility of the Trustees. 

The Trustees have supervised the preparation of the accounts and have agreed suitable accounting policies, to be applied consistently, making any estimates and judgements on a prudent and reasonable basis. 

The Trustees also have a general responsibility for ensuring that adequate accounting records are kept and for taking such steps as are reasonably open to them to safeguard the assets of the scheme and to prevent and detect fraud and other irregularities, and are required to act in accordance with the constitution and rules of the charity, within the framework of the law; act prudently, conscientiously and honestly, and with the utmost good faith; act in the best interests of the members and beneficiaries of the charity and strike a fair balance between the interests of the different classes of beneficiary and take advice on technical matters and any other matters which are not understood.

## **Structure, governance and management** 

The charity, which is a non-incorporated organisation, is governed by a constitution which was adopted 22 February 2015 

The Trustees throughout the year were: 

Chairman: Paul Street 

Treasurer: Rhys Dear 

Committee Members/Trustees: 

Paul Williams & Remus Sawyerr 

Trustees are appointed or reappointed annually at the Annual General Meeting usually held in the summer months. 

They are elected from the charity's membership.

## **Objectives** 

The Objectives of The Woodfalls Band are: 

Helping to continue the existence and development of the brass band movement through dedicated rehearsals, performances in concerts, competitions, recordings and other related activities 

Musician development through teaching and mentoring, and the provision of facilities and instruments 

Supporting the fundraising efforts of other charities through live performance. 

## **Activities** 

The Band had succeeded in attracting players but not retaining new players; it was a frustrating period for the band.  The number of regular members was an issue for the band but reflective of many bands nationally.  Stephen Sykes was appointed as part of the rebuilding programme for the band, unfortunately the appointment did not work out as hoped. His tenure as MD finished with a plan in place to return to a resident musical director, plus professional for major competitions. 

Approaches were made to potential conductors for 2024 with Russel Gray appointed for 2024 Area Contest and Ben Halstead appointed as Resident Musical Director. 

The following year (2024) would be the band’s 150th Anniversary for the band and planning was underway for a series of events including:

- ‘Celebration Concert’ 

- Tour 

## **Concerts/Engagements** 

The Band’s engagement schedule was considerably busier than 2022. Events included playing for our sponsors celebration event at the Park Plaza Hotel, Westminster Bridge; Hosting The Nidaros Band from Norway as part of their May tour; sharing a concert with a local band Downton, to celebrate their 150[th] anniversary; a joint concert with the Salisbury Plain Military Wives Choir marking Remembrance Day; and many local events including our annual free concert ‘Picnic in the Park’. 

The Band continues to support local charitable events where possible, including a carolling event in a Tithe Barn in Tisbury for the second year and the local British Legion Remembrance Parade. 

## **Contesting** 

The Band had a disappointing year on the contest stage.  Results at both the Area Contest and at Blackpool were disappointing, with the Blackpool result seeing the band relegated to the lower section.  In November, despite a good performance, the Band did not find favour with the adjudicator at the local Wessex Brass Band Association winter contest, although winning some individual trophies. 

## **Musical Directors/Conductors** 

Ben Halstead took on the role of Resident Musical Director in the autumn, leading the band for all our concert commitments.  Paul Holland conducted the band at The Wessex Contest. 

## **Brief statement of the charity's policy on reserves** 

The Woodfalls Band are fortunate to have sponsorship that meets some of its ongoing costs, especially that of the professional Music Director.  The Trustees are mindful that this may cease at any given moment and would, in the current climate, may be difficult to replace. The cost of maintenance and improvement of the Bandhall, purchase of new instruments, instrument repair and maintenance as well as the day to day running costs of The Band – including concert promotion – would be legitimate expenditure for the charity’s reserves. 

## **Reporting Serious Incidents** 

The trustees declare that there are no serious incidents or other matters relating to our charity over the financial period to 31 December 2023 that should have been brought to The Charity Commission's attention. 

## **Declaration** 

The Band has approved the accounts at a meeting on 25[th] September 2024 and the Trustees this report 25[th] September 2024.

## **Independent examiner's report to the Trustees of Woodfalls Band** 

I report on the accounts of the charity for the period ended 31st December 2023, which are set out on pages 3 to 5. 

## **Respective responsibilities of trustees and examiner** 

The charity's trustees are responsible for the preparation of the accounts.  The charity's trustees consider that an audit is not required for this year under section 144 (2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

It is my responsibility to: 

(a)  examine the accounts under section 145 of the 2011 Act; 

(b)  to follow the procedures laid down in the General Directions given by the Charity Commissioner under section 145 (5)(b) of the 2011 Act; 

(c)  to state whether particular matters have come to my attention. 

## **Basis of independent examiner's report** 

My examination was carried out in accordance with the General Directions given by the Charity Commissioner.  An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the accounts and the seeking of explanations from you as trustees concerning such matters.  The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently no opinion is given as to whether the accounts present a true and fair view and the report is limited to those matters set out in the statement below. 

## **Independent examiner's statement** 

In connection with my examination, no matter has come to my attention: 

(I)  which gives me reasonable cause to believe that, in any material respect, the requirements: 

(a)  to keep accounting records in accordance with section 130 of the 2011 Act; and (b)  to prepare accounts which accord with the accounting records and to comply with the accounting requirements of the 2011 Act have not been met; or 

(II)  to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
