The Trusle8s hold the capital and income of the Charity from which Ihey may make dOna￿On5 for such
charitable organisations in such rnanner and in suth proportions as they in Ihelr absolute disc¥elion decSde.
With consideration of the settlor'5 Wi5h85 but without prejudice lo Ihe generality of Ihe fo￿goIng. the
Trustees currently give prOferen￿ lo prO￿dIng funding lor causes benefitting the Wirral and Liverpool area

Restricted funds, known as the 81tsombeTg Scholarships, are held lo award Scholarships to siudenls of thè
University of Liverpool. The number of students and arnounts awarded rernain at the Trustee's discretson after
reviewing available Income Funds each year.

The performance of the fund is monltored against a bespoke bènchmark agreed by the Trustees annually.
The Investment Manager pro*ides regular reports lo the Trustee5. who review the performance of the ptsrtlolio.
The Tnjstees ar6 satisfied with the investment perfomiance. The Trustees are regulady reviewing thè Policy
statement with the Inveslmenl Manager.
Financial Review
Endowment Funds are expendable and held to generate a strearn of incorne from which grants will be made.
Income g8n8raled from investments lotalled £80,102 during the year1£76.621 in 20241 and £20,415 (£20,331
in 20241 was spent raising funds. Grants were pledged and awarrled during the year in Ihe surn of £62,648
(£88,470 in 20241 and £12,0001£15,970 in 20241 was spent on support, governanc& and office cost5.
The SOFA includes the net gains l Qossèsl arising on revaluations and di5pusals of investments Ihroughoyl
the year. During the year. net gains of £97.066 (net gains of £178,640 in 20241 arose. There wa5 8 net increase in
total funds for the year of £82.1051£152,226 in 20241.
The Trustees held Expendable Endowment Funds of £1,621,1921£1,591,525 in 20241 prirnarify represented by
investment5. and Unrestricted Funds of £5,1461£2,422 in 20241. mainly represented by incorne c35h. The
Restricted Funds of income lolalled £18.783 represented by cash and Endowment of £717,952 m8inty

General reserves are unrèstricted incomè lunds. freely available to spend on furthering the Charitys purp05es.
General reserves are those whieh remain after the Trustees have set aside afflounts required for specific
purposes. such as designated funds. Reslricled Funds, Expendable Endowment and Pern￿nent Endow*nent
are excluded when Trustees ¢on5ider the Reserve5 01 a Charity.
It 15 not the intention ol the Trustees lo bulld up incomè reserves. Th8 Truslees liaise with the inveslrnent
man8ger ￿gularlY to ensure they are awa￿ ol any forward commitment5. which are Ihen taken into account
when managing the Charitrfs investrnen15. Transfers are made be￿een Unrestricted Incorne and ExpendBble
Endowment as necessary. A￿ordinglY, the Trustees consider the balance of Unrestricted Income Funds held
at the finanrAal year-end to be General Reserves.

The Trusl's capital 15 invested in marketable investments or held in Cash. There are no speclfic restrictions
under the terrns of the governing document. The Trustees have full discretion over the investments. The
Trustees have deleoated full discretionary day lo day control of the investments io Rathbones Investment
Management.
Inv85tmenls been acquired and disposed of in accordance with the power5 avallable to the Truste85. The TTUStees
have agreèd with the Investment Manager the objectives to secure a reasonable growlh in income consislènl
with the long tem preservation of capital in real lemis. Investment dètisions should be made based on view5 of
the prudent peison in accordance with the standard investmen¢ criteria relating to suitability and divetsificalion.
The Truslees wish to ensure that the objectives outlined are achieved with an acceptable risk. This implies
the need for diversification of investment of the Trust to include a range of assets including fixed intere51
st¢)cks. UK and overse85 shares.
Investments cornprise holdings in UK, large overseas listed companies, unit and investment trust5
including Ih05e investing in rnajor international markets and also fixed interest securities. The portfolio may
th8relore include a proportion ol mediurn-sized or smaller UK companies and have exposure to
inlernational markets.

The Price Pary Charitable Trust Iregistialion no.. 1178567) is an unincorporated grant-making tru51. Its
goveming body a￿ the Trustèes ol a Will dated 30 October 1995, which was proved by the Executors on
4 January 2017.
The power of appointing new TTUStee5 is vestsd in the then current Trustees. Trustees are selecled due
lo their connection with the currènt Trustees in accordance with their skills. experience and understanding
of Ihe obligations imposed on such an appointment.
The Trustee5 meet iwice a year to Teview perforrnance and applications forfvnding. During the year uttE1•r
financial review, the Trustees mel virtually and by conference call to discuss applications for funding received
and other governance rn8tters, including a rèview of the Charity's inveslmenl asset perfomiance and position.
The Truste85 ensure they are operating within the Current guidelines by discussing any rnatters arising
from updated ChaTlty Commission practice and guideline5 and, along wrth their own ￿ading, they lake
advice from Rathbones Tiust Company Ltd.

The Twsl's capital is mainly invested on stock mathets. As the Trustees have unrestricted powers of
investment underlhe governing deed, the Trustees have resolved to delegate the day to day managernènl
ol the Trust's Funds to Ralhbone5 Inveslment Management Ltd.
By deed ol appointment dated 18 July 2023. the Trustee5 of The Bloornberg Foundation resolved that the
Goveming Document of the Foundation be read and construed 35 il it provided that the Twslees of the Charity
shall be the Twstees of the Prtce Parry Charitable Trust.
Th8 Trustees aro to hold the Restrided fftjnds as Expendable Endowrnènt to generatè an Incon￿ to be applied
lo award the 8lcK)mberg Scholarships.
The University of Liverpool will be responsible lor idenlifyirEg 51udenls who meet the criteria set out by Ihe
Trustees, the identified individuals mu51 be in financial need and residents of the Wirral or Merseyside should be
given priority before awarding grants to individuals outside the catchment area. The value and number of
stholarships awarded each year 15 at Ihe discretion of the Trustees but sh311 be restricted to undergiadu31es or
graduates who are studying at the UnlveTsity of Liverpool at the time they apply foi an award.
Risk 8S5essment'.
Ttte Charity Tiustees have given consideration to the rnajor risks lo which the Charity is exposed and are
preparing a Risk Assessment and Policy document. The Trustees a￿ satisfied that syslerns or procedure5
have been established in order to m8nage those risks. After considering the areas of govemance, operation,
finance, environment and compliance the Trustee5 have identified that major negative fluctuations in
investment assets could cause a material risk to the Charity's lund5. In order lo rnrtigate this risk and in
accordance wilh $15 TTh5tèe Act 2000 thè Trustees have established a Policy Statement lo be adhered lo by
the Investment Managei. which will be reviewed al least once a year in line with inveslfflenl performance.
