## **Governance structure and management** 

Timu Rafiki is a registered charity in England and Wales was incorporated as charitable incorporated organisation in 22 May 2018. 

Trustees are appointed by the members of the board, who are the current trustees, for an initial time of three years. Trustees receive an induction into the organisation upon appointment and are appointed based upon their skills and what they are able to offer the organisation. 

The trustee board supports the governance, strategic direction and financial responsibility of the organisation and meet throughout the at regular intervals. 

The trustee board is supported by a number of operational volunteers who support the day to day operations of the charity. 

We have previously worked with the Kenyan Scout Association, a registered charity in Kenya, to support the development scouting in Siaya County in northwest Kenya. As a result of the pandemic we have not done so during the financial year. 

Risks are managed by the board of trustees through regular updates at trustee meetings and since the charities inception several policies have been implemented and drafted to support the organisation. 

Related parties and conflicts of interests recognised through trustee declarations annually and consider it as a standing board meeting agenda item. 

## **Objectives and activities** 

The objectives of the charity are to support scouting in Kenya which has, in the past, been in a partnership with the Kenyan Scouts Association. Particular focus has been given in Siaya County to the development of a local campsite for use by young scouts locally and this has also benefited members of the local community. 

The charity also supports the development of young people in the UK through expeditions to Kenya and supporting the enrichment and development of young people through UK based programmes where they are unable to travel to Africa. This has not been possible due to travel restrictions as a result of the pandemic. 

The trustees have reviewed the Charity Commission guidance on public benefit entities and believe through the following measures they meet the applicable definitions. 

- working in partnership with the Kenyan Scout Association to develop the campsite in Siaya County for young people in this region of Kenya. 

- supporting Expeditions of young people from the UK to travel to Kenya to understand and experience Kenyan culture. 

- supporting UK based experiences for young people unable to travel to experience in order to understand and experience Kenyan culture.

## **Achievements and performance** 

We regularly receive updates from local scouts on the impact of the pandemic on the local area in Siaya. We continue to work closely with the Scout leaders at the Siaya site to support them where possible. 

The Trustees have agreed to explore working with organisations in Kenya to utilise the current reserves balance. Exploratory discussions are ongoing with site visits organised with trusted partners in Kenya. 

## **Financial performance** 

Throughout the year the charity has received income of £1,776 and has recognised expenditure of £3,073. 

Throughout the year we have been supported by a number of individual donors. We are thankful for all of our donors who have donated throughout the year and for their continued support for the charity’s activities. We do not work with external fundraisers and donations are recognised as they are received. Expenditure has related to support of individuals in Kenya who support Timu Rafiki projects. 

We continue to have healthy cash reserves at the year end to continue to support the causes planned for future financial years. 

The charity maintains reserves to meet its liabilities as they fall due and continue to operate for a minimum of 12 months. 

## **Risk Management** 

The trustees consider the risks associated with the organisation. We have been managing the risk that global travel disruptions during the pandemic had limited our ability to organise trips to Kenya from the UK. Active discussions are taking place to review potential organisations in Kenya to support the delivery of our work. 

Additional restrictions in Kenya have reduced our ability to make progress in understanding our next projects. 

The Trustees continue to develop internal policies and procedures to further support the internal governance landscape and in turn reduce risk for the organisation.

## **Future periods** 

The Trustees have begun discussing the next stage to support key projects in Kenya. Discussions have begun on resuming trips from the UK, which the Trustees would look to support, to enable projects to take place in Kenya, in partnership with local Scouting. 

The Trustees continue to look at new ways to support local scouting in Kenya through working with organisations based in Kenya.

## **INDEPENDENT EXAMINER’S REPORT TO THE TRUSTEES OF TIMU RAFIKI** 

I report to the trustees on my examination of the accounts of Timu Rafiki (“the charity”) for the period ending 31 October 2024. 

## **Responsibilities and basis of report** 

As the trustees of the charity, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’). 

I report in respect of my examination of the charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **Independent examiner’s statement** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Trust as required by section 130 of the Act; or 

2. the accounts do not accord with those records. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
