## **Objec�ves and ac�vi�es** 

educa�on in, and apprecia�on of, the art and science of music in all its aspects by any means the trustees see fit, including through the presenta�on of public concerts and recitals and by encouraging the apprecia�on and prac�ce of the arts through scholarships, studentships, prizes, compe��ons or other means. 

The trustees have paid due regard to guidance issued by the Charity Commission in deciding what ac�vi�es the charity should undertake. 

## **Achievements and performance** 

The �me covered in these accounts represented a strong and busy �me for Riot Ensemble, with twenty-one (21) concerts and nine (9) educa�on projects in higher educa�on ins�tu�ons across Manchester, Liverpool, Cardiff, Southampton, and London. The work in higher educa�on is a par�cularly strong area of Riot Ensemble’s work, and through workshops and educa�on projects the ensemble gave more than thirty (30) first performances of student work. 

This work was further recognised by a grant from the Lucerne Art Mentor Founda�on, through which Riot Ensemble’s residency at the Royal Academy of Music was firmly established for the next three years. During this �me, six performers and three composers will come into residence with the ensemble, working on numerous commissions, side-by-side and professional projects, culmina�ng in research events, concerts and commercial CD recordings. Unusually for such a scheme, the composers are invited to write mul�ple pieces (five, in total) across numerous years where they really come into close contact and collabora�on with Riot’s players. Addi�onally, they are paired closely with the performer colleagues in the residency, giving the en�re project the feeling of an ‘incubator’ with a vision toward crea�ng the next Riot Ensemble, from this genera�on of ar�sts. A�er many years, Riot is ambi�ously pursuing such work, with a vision of transforming as many ‘one-off’ contact points as possible into mul�ple contact points that are so much more beneficial and rewarding for all involved. 

Addi�onal concert projects included AI Love Le�ers at Southampton University, which resulted in live concerts in both Southampton (Turners Sims Hall) and Kings Place (Hall Two) alongside a commercial recording released in the next financial year.  This recording received cri�cal acclaim in industry magazine Tempo (“Over a lopsided locked groove expertly held down by Riot Ensemble, a tender vocal is delivered…”) and provided two sold out audiences over its two nights. This represents a growing interest Riot has had in suppor�ng composers crossing over into science/research/AI (previous projects especially including the PRiSM collabora�on).

These projects saw Riot deliver half-a-dozen world premieres, including a Wigmore Hall commission of interna�onally acclaimed composer Hilda Paeredes. Riot has been a regular performer at Wigmore Hall since our debut there during the COVID19 pandemic, and this performance was addi�onally recorded and broadcast by BBC Radio 3 (including our performance of Clara Ianno�a’s Limun, for two string players and two harmonicaplaying page turners.) 

Interna�onally, Riot appeared in Norway (Arc�c Arts Fes�val), Denmark (SPOR), Finland (Vitasaari) and Poland (Warsaw Autumn). The Arc�c Arts and Vitasaari Fes�val’s both took Riot’s most important commission to-date: Georg Friedrich Haas’ Sols�ces, which is played from memory and takes place in the dark over more than 70 minutes. Riot has toured this piece to more than a dozen venues and it has gone on to be performed across the world by many other leading ensembles. 

In Norway, Riot brought call-for-scores winner Jasmine Morris with the ensemble to perform her commissioned work Atom Cry, which was premiered earlier in the year at a programme featuring the d&b immersive Soundscape system in Kings Place. Placed along work by Alvin Lucier and James Tenney, this commission showcases Riot’s ability to iden�fy and nurture the most exci�ng young talent from the UK, and the importance the ensemble places in raising the profile of these composers to interna�onal audiences. 

At SPOR, Riot brought the moon is an eye is a pond (and so on and so forth) from long-�me collaborator Bára Gísladó�r. This work was premiered at HCMF23, and is now the fourth major commission between Riot and Gísladó�r since our first work together in 2017. In that �me, Bára and the ensemble have developed alongside – and with – each other into two mature and forceful stallwarts of the European new music scene. A video about our collabora�ons together – and the preciousness of this collabora�on to both par�es, was commissioned and produced by Riot Ensemble, and can be viewed here:

These projects saw Riot perform nine concerts to interna�onal audiences of more than 8,000. Subsequent radio broadcasts in Norway, Finland and Poland reached across these countries to audiences numbering in the hundreds-of-thousands. 

In addi�on to these concerts, Riot’s recordings con�nued to garner cri�cal acclaim, as this review of Ves�ge from The Arts Desk: 

impressed: listen to them to be moved, confronted, challenged. Ashkan Behzadi’s az hoosh mi… start with just a breath and grows into a song of intense ecstacy…Naomi Pinnock’s vocal solo Ves�ge, is a haun�ng response to lockdown that offers up fragments of her past in a musical patchwork. Add in a striking cover illustra�on and beau�ful booklet essay by Tim Rutherford-Johnson, this collabora�on between Riot Ensemble and Deutschlandfunk…is a strong recommend.”

## **Financial review** 

During the year the charity was in receipt of income totalling £155,112 (2023 - £238,400), of which £42,932 (2023 - £116,318) were dona�ons and grants received. Expenditure incurred totalled £134,678 (2023 - £192,003) rela�ng to charitable ac�vi�es and raising funds. Reserves remaining at the of the financial period were £63,795 (2023 - £43,361).

The original chair of Riot Ensemble, Judith Serota, was recruited personally by the Ar�s�c Director, Aaron Holloway-Nahum. A�er this point, other trustees were recruited and appointed by the trustees. 

The charity's current policy concerning the payment of trade creditors is to follow the CBI's Prompt Payers Code (copies are available from the CBI, Centre Point, 103 New Oxford Street, London WC1A 1DU).

The charity's current policy concerning the payment of trade creditors is to: 

• se�le the terms of payment with suppliers when agreeing the terms of each transac�on; 

• ensure that suppliers are made aware of the terms of payment by inclusion of the relevant terms in contracts; and 

- pay in accordance with the charity's contractual and other legal obliga�ons. 

The Trustees' report was approved by the Board of Trustees. 

## **Statement of Trustees' responsibili�es** 

The Trustees (who are also the directors of the Charity for the purposes of company law) are responsible for preparing the Trustees' report and the financial statements in accordance with applicable law and United Kingdom Accoun�ng Standards (United Kingdom Generally Accepted Accoun�ng Prac�ce). 

the Trustees must not approve the financial statements unless they are sa�sfied that they give a true and fair view of the state of affairs of the Charity and of its incoming resources and applica�on of resources, including its income and expenditure, for that period. In preparing these financial statements, the Trustees are required to: 

- select suitable accoun�ng policies and then apply them consistently; 

- observe the methods and principles of the Chari�es SORP (FRS 102); 

- make judgments and accoun�ng es�mates that are reasonable and prudent; 

- state whether applicable UK Accoun�ng Standards (FRS 102) have been followed, subject to any material departures disclosed and explained in the financial statements; 

- the Charity will con�nue in business. 

Charity's transac�ons and disclose with reasonable accuracy at any �me the financial posi�on of the Charity and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the preven�on and detec�on of fraud and other irregulari�es.

I report to the charity trustees on my examination of the accounts of the charity for the year ended 30 April 2024. 

## **Responsibilities and basis of report** 

As the charity's trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

- 1 accounting records were not kept in respect of the company as required by section 386 of the 2006 Act; or 

- 2 the accounts do not accord with those records; or 

- 3 the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

- 4 the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The members have not required the company to obtain an audit of its financial statements for the year ended 30 April 2024 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for : 

a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and

- 1 **Basis of preparing the financial statements** 

These accounts have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. 

The accounts have been prepared in accordance with: 

•  the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', 

- Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' 

- and with the Charities Act 2011. 

The charity is a Company limited by guarantee and constitutes a public benefit entity as defined by FRS 102. 

## 2 **Accounting Policies** 

## **Income** 

Income is included in the Statement of Financial Activities (SoFA) when: 

- the charity becomes entitled to the resources; 

- it is more likely than not that the trustees will receive the resources; 

- the monetary value can be measured with sufficient reliability. 

## **Grants and donations** 

Grants and donations are included in the SoFA when the general income recognition criteria are met. 

In the case of performance related grants, income must only be recognised to the extent that the charity has provided the specified goods or services as entitlement to the grant only occurs when the performance related conditions are met. 

## **Expenditure** 

Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Governance  and support costs** 

Support costs have been allocated between governance costs and other support.  Governance costs comprise all costs involving public accountability of the charity and its compliance with regulation and good practice. 

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, e.g. allocating property costs by floor areas, or per capita, staff costs by the time spent and other costs by their usage.

## **Taxation** 

The charity registered as a charity on 8 May 2018 and since that date has been exempt from corporation tax on its charitable trading activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

## **Debtors** 

Debtors (including trade debtors and loans receivable) are measured on initial recognition at settlement amount after any trade discounts or amount advanced by the charity.  Subsequently, they are measured at the cash or other consideration expected to be received. 

## **Cash at bank and in hand** 

Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account. 

## **Liability recognition** 

Liabilities are recognised where it is more likely than not that there is a legal or constructive obligation committing the charity to pay out resources and the amount of the obligation can be measured with reasonable certainty. 

The charity has creditors which are measured at settlement amounts less any trade discounts
