The tnjstees present their report and the accounts of Wildlife and Welfare for the year ended
31 sl December 2024 which are Pfepared to meet the requirements for a Directors, Report and
accounts for Companies Act purposes.
The financial statements comply with the Charities Act 2011, the Companies Act 2006. the
charitable company's memorandum and articles and Accounting and Reporting by Charities..
Stalemenl of Recomrnended Practice applicable to charities preparing their accounts in
accordance with the Financial Reporting Standard applicable in Ihe UK and Republic of Ireland
IFRS 1021 published in October 2019.
In preparing this annual report the trustees confirm that due regard has been paid to the public
benefit guidance published by the Charity Commission.

Our charity's purposes as set out in the objects contained in the company's memorandum of
association are..

public by providing support lo charitable and non-charitable bodi8S that arg working toWa￿S
improving anim81 welfare 8nd th8 conservation and proteclion of the environment.
Financial Review
Al the start of 2024 we launched our Ukraine Project to support animals and shelters in the area
of Odessa, Kherson and Kharkiv. who have been affected by the ongoing war. An appeal was
set up and project funding was received throughout the year from charities and private donors.
During the course of 2024 this project has supplied 81,900kg of pel food, slerilised. vaccinated
and microchipped 1,471 free-roaming dogs and cats, provided veterinary treatment to 105
animals and provided funding for three animal shelters to repair bomb damage to their buildings.
Wildlife & Welfare Chief Executive and the Ukraine Project Managers visited Ukraine in May
2024 to meet the local volunteer teams, identify new project partners and to obseTve the impact
of our support. With many other international charities halting their wo¥k in Ukraine, this trip
emphasised the importance 8 project like this can make to both animals and people.
The Trustees acknowledged that with the success of the Ukraine appeal, it would be important to
invest a small amount of funding into a cloud-based donor management package. This can then
be used to manage our current data and help with fundraising pipelines to bring new fvnding into
the charity. The CRM platform will be launched at the start of 2025.
Our Indigenous Animal Health Programme- IAHP, that has been running in Australia since
2021. saw our team carry oul a parvo virus vaccination programme in an area in South Australia.
Working with Ihe Indigenous community, dogs and cats were provided with va¢¢inalions and
veterinary health check free of charge. This project was funded by a grant received by Lush.
Following the launch of our e-commerce shop in 2023. we expanded the product range in 2024
to include seasonal items and a wider range of greeting cards.

Our principle funding source is currently through grant and contract income, which has been
the main focus of our activities. Our plans to grow donations and other fundraising income
continues.
Investment Polic
The charity is not yet in a position to invest funds and the Management Committee have
decided this is unlikely lo happen in the short-lerm.
Reserves Polic
The Management Committee has examined the charity's requirements for reserves in light of
the main risks to the organisation. The charity has very low fixed monthly expenditure and no
salaried staff. A policy has been agreed where the charity will ensure an amount of £1,500 of
unrestncted funds will be present, which would easily cover the current running costs for a six-
month period.

The organisation is a charitable company limited by guarantee, incorporated on 9, March
2017 and registered as a charity on 5 March 2018. The company was established under a
Memorandum of Association which established the objects and powers of the charitable
company and is governed under ils Articles of Association. In the event ofthe company being
wound up members are required to contribute an amount not exceeding £10.

The directors of the company are also charity Iruslees for the purposes of charity law and
under the company's Articles are known as members of the Management Committee. Under
the requirements of the Memorandum and Articles of Association the members of the
Management Committee are elected to serve for a period ofthree years after which they must
be re-elected al the next Annual General Meeting.

All members of Ihe Management Committee give their time voluntarily and received no
benefits from the charity.
The Management Committee have established a detailed Truslee Recruitment Policy, which
was signed off in 2019 and will be used for all future appointments.

anisational Structure
Wildlife and Welfare has a Management Committee of 6 members who meet quarterly and
are responsible for the strategic direction and policy of the charity. The Committee members
are from a variety of professional backgrounds relevant lo Ihe work of the charlty. The Chief
Executive also sits on the Committee but has no voting rights.
The Chief Executive is responsible for the day lo day running of the charity and ensuring th8
objectives and strategic vision of the Management Committee are being delivered.
Trustees, Respon8ibilitie8 Statement
The trustees (who are also directors of Wildlife and Welfare for the purposes of company lawl
are responsible for preparing the Trustees, Annual Report and the financial statements in
accordance with applicable law and United Kingdom Accounting Standards (United Kingdom
Generally Accepted Accounting Practice).
Company law requires the Iruslees to prepare financial statements for each financial year.
Under company law the trustees musl not approve the financial statements unless they are
satisfied that they give a true and fair view of the slate of affairs of the charitable company and
of the incoming resources and application of resources, including the income and expenditure,
of the charitable company for that period. In preparing these financial statements. the trustees
are required lo..

observe the methods and principles in the Charities SORP..
make judgements and estimates that are reasonable and prudent.,
state whether applicable UK Accounting Standards have been followed. subjèctto any

to presume that the charitable Gompany will continue in operation.
The trustees are responsiblè for keeping adequate accounting records that disclose with
reasonable accuracy al any time the financial position of the charitable company and enable
them lo ensure that the financial statements comply with the Companies Act 2006. They are
also responsible for safeguarding the assets of the charitable company and hence for taking
reasonable steps for the prevention and detection of fraud and other irregularities.

As the charity trustees of the company (and also its directors for the purposes of company
law} you are ￿spOnSible for the preparation of the accounts in accordance with the
requirements of the Companies Act 20061.the 2006 Act'i.
Having satisfied myself that the accounts of the company are not required to be audited under
Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my
examination of your company's accounts as carried out under section 145 of the Charilies Act
2011 I'lhe 2011 Act'l. In carying out my examination I have followed the Directions given by
the Charity Commission under section 14515llb) of the 2011 Act.

connection with the examination giving me cause to believe that in any material respect..
accounting records were not kept in respect of the company as required by section

The members have not required the charity lo obtain an audil of its accounts for the
year in question in accordance with section 476,. and
The directors acknowledge their responsibilities for complying with the requirements
of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared in accordan￿ with the provisions applicable to

Summary of slgnlflcant accountlng policles and key accounting estimates
The principal accounting policies applied in the preparation of these financial
statements are set out below. These policies have been consistently applied lo all the
years presented, unless Otherwise slated.
Statement of compllance
The financial statements have been prepared in accordance with Accounting and
Reporting by Charities.. Statement of Recommended Practice applicable to charities
preparing their accounls in accordance with the Financial Reporting Standard
applicable in the UK and Republic of Ireland {FRS 1021 leffeclive 1 April 20151
{Charilies SORP (FRS 102)), the Financial Reporting Standard applicable in the UK
and Republic of Ireland IFRS 1021 and the Companies Act 2006.
Basls of prgparation
Wildlife and Welfare is a company limited by guarantee in the United Kingdom. In the
event of the charity been wound up. the liability in respect of the guarantee is limited to
£10 per member of the charity. The address of the charity is detailed in page 2 of the
financial slatemenls.
Wildlife and Welfare meets the definition of a public benefit entity under FRS 102.
Assets and liabilities are initially recognised al historical cost or transaction value
unless otherwise slated in the relevant accounting policy notes. The financial
statements have been prepared using pound sterling 1£) and rounded to the nearest
whole pound.
Golng concern
The trustees consider that there are no material uncertainties about the Gharity's ability
to continue as a going concern nor any significant areas of uncertainty that affect the
carrying value of assets held by the charity.
Exemption from preparlng a Cash flow statement
The charity adopted Bulletin 1 published on 2 February 2016 and have therefore not
included a cash flow statement in these financial statements.

Unrestricted funds are available for use at the discretion of the Iru51ees in
furtherance of the general objectives of the Charity.
Designated funds are unrestricted funds earmarf(ed by the Management Committee
for particular purposes.
Reslrided funds are subjected to reslriclions on their expenditure imposed by the
donor or through the terms of an appeal.
(cl Incomo
All incoming resources are included in the Statement of Financial Activities when the
charity is entitled lo. and probable lo receive. the income and the amount can be
measured with sufficient reliability. The following policies are applied to particular
categories of incorne..
Grants, donations and gifts are included in full in the Statement of Financial
Activities when receivable. Grants, where entitlement is not conditional on the
delivery of a specific performance by the charity, are recognised when the charity
becomes unconditionally entitled to the grant.
Donated goods for resale are recognised as income when sold.
Id) Expendlture
Expenditure is recognised on an accrual basis as a liability is incurred. Expenditure
includes any VAT which cannot be fully recovered, and is raported as part of the
expenditure lo which il relates..
Cosls of raising funds comprise the costs associated with attracting voluntary
income.
Charitable expenditure comprlses those costs incurred by the charfly in the
delivery of its activities and services for its beneficiaries.11 includes both costs
that can be allocated directly to such activities and those costs of an indirect
nature ne￿$sary lo support them.
Governance costs include those costs associated with meeting the constitutional
and slalulory requirements of the charity and include costs linked to the strategic
management of the charity.

lel Fixed assets
Fixed assets (excluding investments) are stated at cost less accumulated depreciation.
The costs of minor additions or those costing below £1,000 are not capitalised.
Depreciation is provided at rates calculated to write off the cost of each asset over its
expecled useful life, which in all cases is estimated al 4 years. Impairment reviews are
arried out as and when evidence comes to light that thal the recoverable amount of
functional fixed asset is below its net book value due to damage, obsolescence or
other relevant factors.
Investments held as fixed assets are revalued at mid-market value at the balan
sheet date and the gain or loss taken to the Statement of Financial Activities.
