Legal Structure

KindLink Foundation is a registered Charity (registration number 1177210) governed by its constitution and rules. The constitution can only be amended in relation to the Charity’s name and application of income and property by the assent of not less than two thirds of the members present at a general meeting and in relation to the remainder of the constitution by the assent of a majority of members present at a general meeting.

The chairman is Mr Adriano Mancinelli.

Objects and Policies

The KindLink Foundation operates a free online donor engagement platform created to help charities embrace digital technology and run more efficiently. Any UK nonprofit can sign for free and have access to tools to increase their ability to raise donations online, record donors’ data safely, engage with their supporters and communicate their impact in a better way.

Management and Organisation

The officers of the Charity are the Chairman, Secretary and Treasurer. The officers and committee are elected by members at the AGM. The trustees do not receive any remuneration or benefits from the organisation and no staff are employed by the Charity.

Review of Activities and Achievements during the Year 2024

The donations received this year were £343,086, the Gift Aid Repayments from HMRC were £2,629 and the management fees charged to corporate donors were £2,804. The grants and aims expenditure for the year were £205,974 and charity expenses were £9,478. During the year some of the payments to charities were delayed due to banking issues processing multi-payments. This was addressed and resolved early 2025 by opening a new bank account with Wise.

The KindLink Foundation has continued to provide free fundraising and database software to more than 3,300 charities allowing them to raise funds over 2 million via the KindLink online platform. The trustees have focussed their work two main areas of activity –

  1. Ensuring continuous support to UK charities through the provision of free online software. The number of new registered charities on the platform increased. This is a great achievement in a year of increased demand for funding.

  2. Ensuring the foundation has financial stability over a long run. We increased the number of Payroll-Giving clients and have considerably increased donations from private and corporate donors, which we have distributed in exchange of a small management fee.

Risk Management

The trustees have considered the major risks to which the Charity is exposed, reviewed, and revised the Risk Register and satisfied themselves that systems or procedures are established in order to manage those risks. The trustees will continue to monitor risks and to carry out an annual review. The charity has a Privacy Statement on its website and manages data in line with its Privacy Policy and the General Data Protection Regulation.

Trustees’ Responsibilities

Charity Law requires the trustees to prepare financial statements for each financial year. In preparing those financial statements, the trustees are required to:

The trustees are responsible for keeping proper accounting records which disclose, with reasonable accuracy at any time, the financial position of the Charity and enable them to ensure that the financial statements comply with the Charities Act 1993. They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Report of the Independent Examiner

I report on the financial statements of the Charity for the year ended 31 December 2024.

This report is made solely to the Charity's trustees, as a body, in accordance with section 145 of the Charities Act 2011. My work has been undertaken so that I might state to the Charity's trustees those matters I am required to state to them in this report and for no other purpose. To the fullest extent permitted by law, I do not accept or assume responsibility for anyone other than the Charity's trustees as a body, for my work, for this report or for the opinions I have formed.

Respective responsibilities of Trustees and Examiner

The Charity's trustees are responsible for the preparation of the financial statements. They consider that an audit is not required under section 144(2) of the Charities Act 2011 (the act) and that an independent examination is needed.

Basis of Independent Examiner's Report

My examination was carried out in accordance with the General Directions given by the Charity Commissioners. An examination includes a review of the accounting records kept by the Charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
