## **The Perimeter London Report of the Trustees For the year ended 31 October 2022**

The Trustees, who are also directors for the purposes of company law, have pleasure in presenting their report and the financial statements for the charitable company for the year ended 31 October 2022. The Trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and the Republic of Ireland (FRS 102) (effective 1 January 2019).

## **OBJECTIVES AND ACTIVITIES**

## **Objectives and aims**

The objects of the Charity are to advance education in the arts by the establishment and running of an art gallery.

The trustees have considered the Charity Commision's guidance on public benefit, including the guidance 'public benefit: running a charity (PB2)'.

## **ACHIEVEMENTS AND PERFORMANCE**

## **Significant activities**

The charity has established an art gallery which it has opened to the public, by appointment, in order to advance education in the arts. There is currently one gallery based in Camden. The Perimeter does not own any of the artworks itself, therefore, all exhibitions are of borrowed works with terms agreed on a case by case basis.

The charity's objective for 2021-2022 was to host three exhibitions that were open to the public by appointment in Bloomsbury in the area of Camden. The first, Sarah Lucas: SEX LIFE, was a solo exhibition of Sarah Lucas and a survey of her career. The second, My Reflection of You, was a group show displaying the collection of Russell Tovey. The third Anj Smith: Where the Mountain Hare has Lain was a solo exhibition of the British Artist's work. These exhibitions where a great success and each attracted over 900 visitors.

In addition, The Perimeter continued to produce exhibition videos and share these online to allow the public to continue to enjoy the works even after the shows have closed.

Due to the success and popularity of solo shows, The Perimeter is looking to expand its exhibition programming to showcase more solo exhibitions in 2022-2023, and plans to open a solo exhibition with an emerging artist, Joseph Yaeger, in January 2023 featuring all new works.

## **FINANCIAL REVIEW**

Funds were largely spent on utilities and exhibition costs, including installation materials and technicians. The Perimeter now sells catalogues for the exhibitions on show, which brings in a small amount of revenue. There were no debts or unexpected costs.

## **Reserves**

The Charity's aim is to maintain minimal reserves but adequate for its anticapted requirements.

## **STRUCTURE, GOVERNANCE AND MANAGEMENT**

## **Recruitment and appointment of trustees**

Any person may be appointed to be a trustee by ordinary resolution, or by a decision of the trustees. The number of trustees should be fewer than 3.

## Statement of Trustees' Responsibilities

The Trustees (who are also the directors of The Perimeter London for the purposes of company law) are responsible for preparing the Trustees Annual Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company law requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure of the charitable company for that year. In preparing those financial statements, the Trustees are required to.

- select suitable accounting policies and then apply them consistently;

- observe the methods and principles in the Charity SORP;

- make judgments and estimates that are reasonable and prudent;

- state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue to operate.

The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **The Perimeter London Independent Examiners Report to the Trustees For the year ended 31 October 2022**

I report to the trustees on my examination of the accounts of the charitable company for the year ended 31 October 2022.

## **Responsibilities and basis of report**

As the charity Trustees, who are also directors for the purposes of company law, are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.

## **Independent examiners statement**

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or

3. the accounts do not comply with the requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or 4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
