CONSTITUTION
The Company was incorporated on 16 June 2017. The governing document is the Memorandum and Articles of Association adopted on that date. The company became a registered charity on 27 November 2017.
TRUSTEES AND OFFICERS
The names of the Trustees who have served during the year are shown on page two of this report.
STATEMENT OF RESPONSIBILITIES OF TRUSTEES
The trustees (who are also directors of Adventist Radio London for the purposes of company law) are responsible for preparing the Trustees’ Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law required trustees to prepare financial statements for each financial year which give a true and fair view of the state of the affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial statements, the trustees are required to:

select suitable accounting policies and then apply them consistently;

observe the methods and principles in the Charities SORP;
-
make judgements and estimates that are reasonable and prudent;

state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;

prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business.

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other
PUBLIC BENEFIT
The trustees confirm that they have complied with the duty in Charities Act 2011 to have due regard to the Charity Commission General Guidance on Public Benefit, when reviewing their aims and objectives and in planning future activities. In particular, the Trustees consider how planned activities will contribute to the aims and objectives they have set.
PRINCIPAL OFFICE
The principal office of the charity is: 25 St Johns Road, Watford, Hertfordshire WD17 1PZ.
ORGANISATION
The Company is under the control of the Trustees.
The radio is run on a daily basis by the Director Michael Hamilton, and the Programming Manager Michael S Johnson.
OBJECTIVES AND ACTIVITIES
To successfully launch an Adventist Radio station in London which will reach at least 150,000 regular listeners in 3 years with the pure truth of the gospel, and more than 350,000 listeners in 5 years.
To increase the number of Londoners who will be exposed to the gospel and, more specifically, to produce a compelling schedule of programmes for the purpose. To make a greater audience aware of the church’s teachings of the Bible.
To use the teachings of the bible to address social challenges facing many people in London and thus represent a vital source of change, growth and development for its listeners To be a catalyst for a comprehensive mass media strategy, which creates content for a website, and an appealing app among other social media initiatives. This also involves hosting community seminars for our audiences, with great presenters of present truth in the bible, health and other areas of life and so strengthen their walk with God. To be the destination for people who yearn to be drawn closer to God and experience a pure, holy sound that is distinctive and different from what they have in the world.
To help people already in the church to grow their faith and be a source where they can learn more about Christ and keep them from the growing tide of secularism and deception that has swept away so many other Christians into apathy and error.

ACHIEVEMENTS AND PERFORMANCE

Streamlining the programme schedule and providing new content

PLANS FOR THE FUTURE:
Establish more consistent fund-raising channels - churches and member of Seventh-day Adventist churches in the South of England
Develop and execute 7-year strategic plan to reach more listeners in London and the outer London area
RISK ASSESSMENT
The major risks to the Company have been identified. The Trustees and management have an ongoing process to review these risks.
RESERVES POLICY
The charity is relaint on the support of other charities related to the Seventh- Day Adventist Church. The charity has agreed necessary funding from these charities for the forseeable future.
RECRUITMENT AND APPOINTMENT OF TRUSTEES
Trustees are appointed from people who either have experience of or an interest in dealing with the Charity's objective.
TRUSTEE INDUCTION AND TRAINING
New trustees are provided with documentation to enable them to appreciate the Trust’s objectives, organisation, method of operation and their responsibilities under the law. In addition existing trustees assist them in becoming fully conversant with their role.

FINANCIAL REVIEW
The results for the year are set out on pages seven and eight. The trustees are satisfied with the financial progress of the charity.
These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime within Part 15 of the Companies Act 2006.
COVID-19
The Trustees have considered the impact of the on-going Covid-19 pandemic, and government measures introducted to reduce the spread of it, on the charity. The charity has adapted throughout previous lockdowns and would continue to do so should further restrictions be improsed. The charity also has sufficient cash and reserves to continue to operate.

Independent Examiner’s Report to the Trustees of Adventist Radio London
I report on the accounts of Adventist Radio London for the year ended 31 December 2021, which comprise the Statement of Financial Activities, the Balance Sheet and related notes.
Responsibilities and Basis of Report
As the charity's trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).
I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent Examiner's Statement
The charity’s gross income exceeded £250,000 and I am qualified to undertake the examination by being a qualified member of ACCA.
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect:

the accounting records were not kept in accordance with section 130 of the Charities Act; or
-
the accounts did not accord with the accounting records; or the accounts did not comply with the applicable requirements concerning the form and
-
content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair’ view which is not a matter
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

For the financial period ended 31 December 2021 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of financial statements.
The members have not required the company to obtain an audit of its financial statements for the period in question in accordance with section 476.

1 Accounting Policies
1.1 Basis of preparation
The financial statements have been prepared in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). The company is a public benefit entity for the purposes of FRS 102 and a registered charity established as a company limited by guarantee and therefore has also prepared its financial statements in accordance with the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (The FRS 102 Charities SORP), the Companies Act 2006 and Charities Act 2011.
All expenditure is accounted for on an accruals basis and, where incurred directly to further the charity’s charitable objects, is shown under charitable activities.
The financial statements cover the period 1 January 2021 to 31 December 2021 as the year end was brought in line with other group companies.
1.2 Governance costs
Governance costs include the management of the charitable company’s assets and organisational management and compliance with constitutional and statutory requirements.
1.3 Tangible fixed assets
Tangible fixed assets are stated at cost less depreciation. Depreciation is provided at rates calculated to write off the cost less estimated residual value of each asset over its expected useful life, as follows:

1.4 Fund accounting
Unrestricted Funds are resources which can be used in accordance with the charitable objects at the discretion of the trustees and include Designated Funds set aside by the directors for specific purposes.
1.5 Going concern
The trustees believe that going concern basis is appropriate due to the support of associated charities.
1.6 Financial instruments
Creditors:
Creditors receivable or payable within one year of the reporting date are carried at their transaction price.
