Section B Structure, Governance and Management
Description of the Charity’s Trusts, governing documents and how it is constituted
Richard Taylor’s Educational Trust (RTET) is a charitable incorporated organisation. Its Constitution, as amended on 11th November 2019, was approved by the Charity Commission. By reason of the formation of the CIO and under its Constitution RTET became the Trustee for the existing charities - Richard Taylor’s Educational Foundation (RTEF) and Bilton Youth Centre (BYC) which operate under their own schemes and hold the endowment.
The RTEF scheme dated 9th June 1966 has been amended by the Secretary of State for Education and, with the approval of the Charity Commission, extensively amended by a deed of amendment dated 18th October 2019.
On 8th March 2019 BYC was granted a new scheme by the Charity Commission which further amended the provisions of the RTEF 1966 scheme.
The merger of the two existing charities with the charitable incorporated organisation RTET was completed in January 2020. It has the charitable objects of its endowment charities.
Trustee selection method
Under the Constitution the First Trustees of RTET were the existing Trustees of RTEF and BYC. After the Annual Meeting in 2023 the only remaining first trustee holds that office for as long as he remains Rector of Bilton St John and St Luke, which means the term is indefinite.
With the formation of the CIO, the local authorities no longer appointed any trustees as they did previously, but made nominations. It is not expected that a local authority nominee is likely to be unacceptable, RTEF was well served by its local authority appointees over the decades, but the Trust now has the final decision which is appropriate since Richard Taylor Church of England Primary School(RTS) is an academy independent of local authority control.
Harrogate Borough Council and North Yorkshire County Council were both abolished as from 1st April 2023. Their former sole nominee applied to remain a trustee and, in order to maintain the Trust’s earlier decisions on the number and rotation of trustees, now fills an already vacant post for the remainder of its term. At the same meeting the Trust adopted an administrative rule that only one nominee would be sought from the new unitary council. In due course the Constitution can be altered. North Yorkshire Council made a nomination in June 2023 and an appointment was made by the Trust in September.
Other Trustees applied for Membership of the Trust and were appointed in accordance with the Constitution. It is open to anyone to apply to be a trustee within the number limited by the Constitution and by decision of the Trust. The Trustees have decided that there is currently no necessity to increase their number to the maximum permitted under the Constitution.
Additional Governance Issues: RTEF - The charity has a director on the Board of Yorkshire Causeway Schools Trust (YCST), formerly St Aidan’s Academy Trust, of which Richard Taylor Church of England Primary School is a constituent academy. The director of TCST was Terry Harrison, a former Trustee of RTEF and First Trustee of RTET, who had retired in January 2020. He decided to retire from the YCST Board at their AGM in November 2023 after eight years of service. Paul Haslam was nominated by the Trust as its new director.
Section C Objectives and activities
The objects of RTET are in summary :- 1. To advance education: a) by applying not more than 25% of its net income, in providing special benefits, not normally provided from central or local government funds, for Richard Taylor Church of England Primary School, as may be agreed by Trustees and the governors of the School and, with the approval of the Charity Commission to approve a sum in excess of the 25%.
b) by applying the net yearly income in all or any of the following ways for the benefit of young people resident in Harrogate (the beneficiaries) who, in the opinion of the charity Trustees, are in need of financial assistance: –
i) by awarding grants for secondary or tertiary education under rules to be made by the
charity Trustees;
ii) by awarding grants towards outfits, clothing, tools, instruments or books to help beneficiaries on leaving school to prepare for, or to enter a profession, trade or calling; or
iii) otherwise promoting the education (including social and physical training) of
beneficiaries;
provided that in the allocation of any benefits, the charity Trustees shall have regard to the promotion of education in the principles of the Church of England.
- For the public benefit, including for the benefit of the inhabitants of the borough of Harrogate:-
i) to promote the development of children and young people aged under 25 years in achieving their full physical, mental, social and spiritual capacities so that they may grow to full maturity as individuals and members of society and that their conditions of life may be improved; and
ii) to provide, or assist in the provision of, facilities for recreation or other leisure time occupation, to such persons who have need of such facilities by reason of their youth, age, infirmity, disability, poverty or social and economic circumstances or for the public at large in the interests of social welfare and with the object of improving their conditions of life.
The objects in paragraph 1 mirror those set out in the amended 1966 scheme of RTEF and those in paragraph 2 mirror those in the 2019 scheme of BYC.
In November 2020 the Charity Commission gave approval to the Trustees, in any year, to exceed the 25% of the income which can be made available to Richard Taylor School if the Trustees are satisfied it will further the purposes in paragraph 1a).
Summary of main activities undertaken for the public benefit
RTEF - In making decisions the Trustees have regard to the Trust’s objects and to the Charity Commission guidance on public benefit.

a) The Trust received requests for support from the Governors and Headteacher of RTS concerning the social, physical and mental health and wellbeing of the children in their care as well as the more obvious educational requirements where they were not met by Government funding. The after effects of the pandemic continued to impact the children’s education and health and wellbeing so that practically all the 25% of the RTEF annual income which could be allocated to the School for special benefits, in accordance with the order of the Secretary of State, was made available.

b) The Trust has an application form which is reviewed and updated to ensure that the intended use of grant funds being sought will provide educational benefit and that the recipient is in financial need in order to evidence compliance with the objects when a grant is considered. Grants were made for young people from across Harrogate where financial need was demonstrated and where the purpose of the expenditure would promote education including the social and physical aspects. School trips led an increase in applications in 2023 - a this period of recovery from the Covid 19 Pandemic.

c) The Trust’s Director on YCST, continued actively to participate in the regular meetings of the Board of Directors and its estate subcommittee, which allocates capital funding for projects put forward by the nine schools within YCST. Perhaps his most important contribution in his final year was his involvement in the appointment of their new Chief Executive.
BYC - Having regard to the Charity Commission guidance on public benefit and the Scheme granted in March 2019 the premises forming Bilton Youth Centre were held under a series of tenancies by North Yorkshire Sport Ltd (NYS) - a charity. The future of the Centre was secured when a full repairing and insuring lease with NYS was signed on 2nd June 2023 for a 20 year term. The objects of BYC and RTET form the user clause of the lease so the Trust’s objects should be pursued more actively than has been possible for some years.. As one of the lease terms and for the improvement of the environmental credentials and security of the building, the Centre was reroofed during 2023. The rent now provides a secure income for BYC both for the future of the building and for other public benefit in the area.
Additional details of RTEF supported activities - Performance
RTS Special Benefits - The Trust continued support following the trauma of the pandemic for:-

the Early Intervention Programme covering counselling and emotional literacy
-
the six week Outdoor Learning Initiative (forest schools);
These were requested by the Governors on the advice of the Headteacher because of the considerable improvements which had been exhibited by children who had experienced these initiatives.
The Trust also agreed to

match fund the National Tutoring Programme where a 50% contribution was required from schools for which the school had no funds

the acquisition of the “No Outsiders” programme to encourage full acceptance of minorities.

Some funding was approved for the restoration of the Key Stage 1 Outdoor Learning Area and also to refurbish a space within the school for discussions with vulnerable families.
Grants - The Trustees considered 71 validly submitted applications for grant support for individual young people and approved 56 which fell within the objects including financial need. The grants included:-

financial support for children whose parents could not afford the cost of school trips known to be very beneficial to a child’s social and educational development and for older special needs children to experience time away from home;
-
financial support also for children to sing in The Young Voices Competition;
-
the provision of a tablet to assist a special needs child with artistic talent;
-
support for a dyslexia assessment to secure the improvements to education for a child considered by the School as needing expert assessment;
-
to allow attendances at after school club where a parent or sibling required specialist medical treatment;
-
support for attendance at a Christian Summer Camp;
-
specialist equipment for young people being supported by North Yorkshire Social Services;
-
young people referred through SASH (Safe and Sound Homes - a charity looking after the welfare of young people who become homeless), funding for bicycles etc and laptops etc in order to attend and pursue college courses.
-
funding for specialist clothing for a young person to train as a plumber and sports equipment and clothing for others.
-
special assistance was approved for a young person following involuntary absence from the school system for many months.
BYC - Performance
The Centre has continued to function as the operational centre for NYS, who work with young people throughout North Yorkshire with a view to improving health and well-being, and, also, with older and disadvantaged people in the local area with the same sort of need.
Section D Impact of activities and issues for the future
RTEF - Although pleased with the increase in grant applications the Trustees remain concerned that there is not enough knowledge about the Trust and the availability of financial assistance for educational purposes. Because it is a grant funding body the Trust cannot assess the impact of the use of the grants but relies on the number of applications to judge its impact. The applications in 2023 covered a good deal more than school trips, with applications supported by Social Services and SASH and a broader range of applications from individuals and a larger number of participating schools. However, the Trust has to balance the relatively small amount of money available for grants against any advertising.
BYC - the long-term future of BYC has been secured by the lease together with the new roof for the building which has increased its EPC to level C. The Trust retained from the lease an existing garage recently converted to a store which might serve the Trust as a store and office in the future as, currently, storage is in private homes and at St John's Church and the Trust has no centre for its activities. This is a project for the future.
The income from the rent is expected over time, possibly, to develop an HQ for the Trust at BYC and to pursue avenues beyond the use of the Centre in order to meet its objects.
Section E Financial Review
Overall position
During the year, RTET as a whole made a deficit of £47,258 mainly due to the new roof at Bilton Youth Centre. As at the end of 2023 cash funds stood at £74,353.
RTEF - Earnings from the endowment investments were £24,645 an increase of £696 over the previous year. The grant payment to the School was £5,793 for the various initiatives described
earlier. The Trust made grant payments to individuals totalling £12,028 an increase of £883 over the previous year.
During 2022, the Trustees agreed to erect a new roof on Bilton Youth Centre and accepted a tender for construction during 2023. As BYC did not have sufficient funds wholly to fund the new roof, RTEF made a loan to BYC, on a commercial basis, of £21,000 repayable over a period of up to 2 years. Principal and interest payments were made from BYC to RTEF during the year of £7500 and £667 respectively. These transactions are shown in the consolidated accounts, for reasons of transparency only, as they have no net effect on the cash funds available at the year end. The loan balance outstanding as at the 31st of December 2023 was £13,500.
RTEF Investment Assets - As at the 31st December 2023, the valuation of the endowment investments amounted to £853,729 compared to £779,190 at the end of 2022.
BYC - During 2023 the Youth Centre building was held over on terms of their tenancy by North Yorkshire Sport Ltd until the lease was signed. Lease terms had been agreed in March 2022 with a commencement date of the 1st of April 2022. The finalisation and execution of the lease were not completed until the 1st of June 2023 when the back rent and other payments fell due. During the year, the Trust incurred professional fees of £1,700 primarily in relation to the finalisation of the new lease.
The major receipt was £32,372 net back rent from North Yorkshire Sport Ltd. an increase of £14,039 in 2023 but this included back rent for nine months of 2022. The main payment out was for the new roof constructed in early summer 2023, which cost £86,208 including VAT - funded by BYC reserves and the loan from RTEF.
Policy on reserves.
RTET - The contract for the new roof had been let during 2022 so the Trustees were aware that BYC charity would require additional funding and that a loan on commercial terms between the two charities which form the CIO would be needed. The surplus funds at the end of 2022 had not been reinvested in order to help cover this requirement. These were in accordance with the reserves Policy approved in 2022. An updated policy on reserves was approved in December 2023.
RTEF - At the year end the Trust had a prudent level of reserves of £52,525. During the year, £7,500 was added to the RTEF reserves being the principal repayment in respect of the loan to BYC.
BYC - As at 31st December 2023 reserves had reduced to £560 having been almost fully used up to help fund the new roof for the building. Once the loan from RTEF has been repaid, reserves will be replenished from the rent payments received for BYC as and when funds allow.
Sources of funding
RTET had funding only from its constituent charities for administration purposes.
RTEF and BYC - all payments, including those for the key objects of the two charities, were financed:

for RTEF, from dividends from the investments in the endowment funds;

for BYC, from in year receipts from NYS Ltd., from the commercial loan from RTEF and from its reserves.
Loans - No loans from external sources. Internal loan within the CIO from RTEF to BYC to fund the new BYC roof.
