The trustees present their report and the financial statements for the year ended 31 December 2025.
## **Objectives and Activities**
## **Aims and Objectives**
The object of the CIO is to advance Christian religions for all the people of Tolladine and adjacent parishes.
## **Significant Activities**
The Highlights of the year have been: -
Completion of the sale of the property in Avon Road. Completion of the purchase of the garden area of the property in Tolladine Road.
The property in Tolladine Road continues to be sublet to tenants at a commercial rent. The tenants remain the same and are foster carers for 2 children.
We applied for full Planning Permission for the development of the properties in the purchased garden at Tolladine Road, and despite having Planning in Principle approval, the Planning Department have raised objections. There is substantial need for supported housing in Worcester and local Councillors are keen for our project to progress. We have a meeting with the Planning Department in January 2026.
As stated in the previous Charity Commission Report, despite the very best efforts of the Worcester Community Trust, the tenant at Avon Road continued not responding to the help offered. The tenant was also not able to maintain the property to a satisfactory standard, We issued warning letters which were not acted upon and unfortunately, we had to issue an Eviction Notice.
With the help of WCT the tenant was rehoused in the Worcester Area.
We let the house and provided support to the family for 5 years. The tenant was able to raise her family safely and move on to a housing association tenancy when we needed to sell the house to repay the original loan. We have developed our experience of renovating and managing a rented home which we are now able to use to build new homes in Tolladine.
## **Social Enterprise Project**
The TMCIO continues to develop a Social Enterprise Project to address the major issues confronting Tolladine residents.
An Environmental Survey of the land was actioned in January 2025.
All of the surveys required to submit Full Planning Permission Application are now complete and The Planning Application was submitted on 12th June 2025 by Matthew Guillick on our behalf.
With regard to the provision of Mission within the area,
The Tolladine CIO is still not in a position at present to support a Missioner and will aim to continue to develop its property portfolio with the aim of generating sustainable funds in the future to support Mission in the area.
Our primary aim still remains to generate the income needed to support Mission work in the Tolladine area, and with the leasing of 214 Tolladine Road and progressing with plans to build in the garden, we are hoping that we are getting closer to providing that support.
We still want to enable church communities across the Diocese to grow in health and sustainability by:
Inspiring local church communities to be ambitious in generating appropriately local responses that enable them to flourish and grow.
Equipping and strengthening church communities by providing training, and by establishing new approaches and forms of support.
Adopting leadership models that support and develop ordained and lay leaders in enabling local church communities to be adaptive, and to grow spiritually, numerically and in depth of discipleship.
Promoting wise stewardship that ensures financial stability and provides the space to deliver a robust growth programme.
Tolladine CIO wants to work in partnership with the Diocese of Worcester to deliver Mission in Tolladine alongside social supported housing. We want to use the Tolladine Rd property and its associated land to provide social housing to rent to those who are homeless, disabled, unable to access private rented housing and who need support to maintain their tenancy. The income generated from the social housing will be used to support Mission in the area.

## **Significant Activities - continued**
The Church of England have introduced a Fund for Housing Projects and the TMCIO is in discussion with the Officers concerned to see what Grants we may be eligible for.
The fund is set up to help local Parishes with funds to get a project off the ground, and although we have progressed a long way there are still areas we could be eligible for. – amended architect drawings, ground surveys etc.
We are grateful for the voluntary support of our Trustees and of members of the St. Barnabas and St Wulstans church community who have volunteered their time to support us.
## **Public Benefit**
The trustees confirm that they have complied with the requirements of Section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s guidance on public benefit.
## **Achievements and Performance**
## **Main Achievements**
The CIO has continued to lease the property in Tolladine Road from the Diocese of Worcester and sublet the property at a commercial rent for a short time let, to a family that fosters children.
We have purchased the land behind the property at Tolladine Road.
Full Planning Permission has been applied for and issues raised by the Planners are being dealt with.
We are developing a Business Plan to enable us to apply for funds from various Grant Bodies. We just need final decisions from the Planners so that we can finalise our costs –
We are hoping to have Full Planning Permission during the early part of 2026 and will then develop a timetable for the development to commence the Project.
## **Financial Review**
## **Financial Position**
As detailed above, the tenant at our property in Avon Road, has not responded to the advice/help being offered. The cost of supporting the tenant has resulted in the Charity not being able to build up the necessary reserves to gain a mortgage for the property. As a result, we have had no other option but to sell the property, enabling us to repay the interest free loan. The profit from the sale has been added to funds to develop the Project in Tolladine Road.
The principal sources of funding are rent from the property on Tolladine Road.
Expenditure is all related to the property on Tolladine Road, the purchase of the land and the development costs of the Building Project detailed above.
## **Reserves Policy**
For 2025 the charity made a surplus of £48,308. The charities reserves stood at £141,215 as at 31 December 2025 (2024: £92,907).
The charity aims to maintain around 6 months of operating expenditure in free reserves (excluding fixed assets). Free reserves currently stand at £100,434 which is well in excess of six months of current ongoing expenditure however with the planned investment into the building project on Tolladine Road this is expected to reduce in future to a more reasonable level.

Apart from the first charity trustees, every trustee must be appointed (for a term of three years) by a resolution passed at a properly convened meeting of the charity trustees. In selecting individuals for appointment as charity trustees, the charity trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO.

## **Tolladine Mission Independent Examiner's Report to the Trustees of Tolladine Mission For The Year Ended 31 December 2025**
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 December 2025.
## **Responsibilities and Basis of Report**
As the charity trustees of the Company (and also its directors for the purposes of company law), you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (“the 2006 Act”).
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act.
## **Independent Examiner's Statement**
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:
1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## 1. **General Information**
Tolladine Mission is a company limited by guarantee, incorporated in England & Wales, registered number CE011079 and registered charity number 1173450. The registered office is 20 Shrubbery Road, Worcester, WR1 1QR.
## 2. **Accounting Policies**
## 2.1. **Basis of Preparation of Financial Statements**
The financial statements have been prepared in accordance with the Charities SORP (FRS 102) "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)", Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The charitable company is a Public Benefit Entity as defined by FRS 102.
## 2.2. **Going Concern Disclosure**
The financial statements have been prepared on a going concern basis as the trustees believe that no material uncertainties exist. The trustees have considered the level of funds held and the expected level of income and expenditure for 12 months from authorising these financial statements. The budgeted income and expenditure are sufficient with the level of reserves for the charity to be able to continue as a going concern.
## 2.3. **Fund Accounting**
Unrestricted funds are available for use at the discretion of the trustees in furtherance of the general objectives of the charity and which have not been designated for other purposes.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the charity for particular purposes. The cost of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements. The charity does not currently hold any restricted funds.
## 2.4. **Incoming Resources**
All incoming resources are included in the Statement of Financial Activities (SoFA) when the charity is legally entitled to the income after any performance conditions have been met, the amount can be measured reliably, and it is probable that the income will be received.
## 2.5. **Resources Expended**
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings, they have been allocated to activities on a basis consistent with the use of resources.
## 2.6. **Investment Properties**
Programme related investments includes an investment property which is held for the purposes of providing accessible/affordable housing and support more vulnerable residents.
Changes in fair value are recognised in the statement of financial activities.
## 2.7. **Leasing and Hire Purchase Contracts**
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.
## 2.8. **Cash and Cash Equivalents**
Cash and cash equivalents are basic financial assets and include cash in hand and deposits held at call with banks, other short-term highly liquid investments that mature in no more than three months from the date of acquisition and are readily convertible to a known amount of cash with insignificant risk of change in value, and bank overdrafts.
## 2.9. **Taxation**
The charity is an exempt charity within the meaning of schedule 3 of the Charities Act 2011 and is considered to pass the tests set out in Paragraph 1 Schedule 6 Finance Act 2010 and therefore it meets the definition of a charitable company for UK corporation tax purposes.
