TheTrustees,whoarealsodirectorsofthecharityforthepurposesoftheCompaniesAct2006,presenttheirreportwith the
financialstatementsofthecharityfortheyearended30June2025.ThetrusteeshaveadoptedtheprovisionsofAccounting and
Reportingby Charities:Statementof RecommendedPracticeapplicableto all charitiespreparingtheir accountsin accordance with
the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102 - effective 1 January 2015)
Adopta PotterLimitedwasestablishedto takeoverfromAdopta PotterCharitableTrust.Thetwocompaniesran parallelfrom 1
July2017.AdoptaPotterCharitableTrustwasclosedon30June2019anditsassetsmergedintoAdoptaPotterLimitedon that
day.

OBJECTIVES AND ACTIVITIES

Objectives and aims

The objectives of Adopt a Potter Limited are as follows:
(i)AdvancingtheeducationofstudentceramicistsatClayCollege,Stoke-onTrent,byprovidingandassistingintheprovision of
facilities for ceramics education at that college.
(ii)Providingsupporttoenableceramiciststotakeuptrainingapprenticeshipswithexperiencedpotters,therebytofurnish the
apprentice ceramicists with practical experience and training.
(iii)To developthe practicalskills,creativedirectionand visionof the apprenticeceramiciststhroughmentoringand direction from
the experienced potters.
(iv)Therebyfittheapprenticepotterstobeproactiveasceramicistsandcontributetothecontinuedgrowthanddevelopment of
the ceramic art.
(v)Developthe publicappreciationof the ceramicartsthroughexposureto the workof the apprenticepottersand through public
courses to be held at Clay College, Stoke-on-Trent.

STRATEGIC REPORT

Achievements and performance

Charitable activities

Thefinancialyearstartedverywellwiththegraduationofthethirdcohortoffull-timestudents.VerysuccessfulDiploma Shows
wereheldin bothStoke-onTrentandLondon.Thehighqualityandwiderangeofworkwasa testamenttothehardworkof the
students as well as to the depth and breadth of the course.  All of these (now former) students are now working as ceramicists.
A new collegemanagerstartedin August,and we welcomedthe fourthcohortof full-timestudentsin September.Theyall settled
in quickly and had made excellent progress by the end of their first year.
OvertheyearAdoptAPottersponsoredthreeapprenticeswithdifferentpotters.TheonewhostartedinJanuary'24 completed
her year and another started in February.  In addition, there was a third apprentice who began her year in October '24.

Financial review

Financial position

Net incomeforthe yearshoweda deficitof £40,396(2024surplus:£673).Thisrepresentedincomeof £253,210(2024: £246,284)
and expenditure of £293,606 (2024: £245,611).
Incomefrom coursesand classeswas down £22,000but donationincomewas up £9,000,and gallerysales were up £20,000due to
the biennial diploma show.
Increasedexpenditurecame aboutfrom increasedmaterialscosts,increasedtutor costs,and the introductionof a gallery manager
into the college. Student commission was also a cost this year, again due to the diploma show.
Studenttrips costswere down as there was no trip to Japan this year. That is also biennial,since the studentcoursesare two years
in length.
ThenextJapantripwillbefundedbyanextremelykinddonationof£30,000receivedthisyear,whichisshowninthe restricted
College Trips fund.
At the end of the periodthe bursaryaccountcontained£109,980(2024:£127,980).£28,000was paid out in bursariesbut this was
partly offset by £10,000 of very generous donations to the scheme.

Future plans

Withthecurrentcohortofstudentsat thestartoftheirtwo-yearDiplomawearelookingforwardtoseeingtheirdevelopment as
potters.
We expect to see growthin the offeringof masterclassesand eveningclassesto the publicand have a range of exhibitions planned
for the gallery.  All of which help to spread ceramics to a wider audience.

Governing document

The Charityis controlledby its governingdocument,Memorandumand Articlesof Association,and constitutesa limited company,
limited by guarantee as defined by the Companies Act 2006.

Recruitment and appointment of new trustees

TrusteesarechosenfortheskillstheybringtotheBoard.Threearepotterswhomaketheirlivingfromceramicsandthey have
extensiveexperienceinteachingceramics.TheotherTrusteesbringspecificbusinessskillstothegroup,fromlaw, finance,
publishing and high-level corporate management.

I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 June 2025.

Responsibilities and basis of report

Asthecharity'strusteesoftheCompany(andalsoitsdirectorsforthepurposesofcompanylaw)youareresponsiblefor the
preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
HavingsatisfiedmyselfthattheaccountsoftheCompanyarenotrequiredtobeauditedunderPart16ofthe2006Actand are
eligiblefor independentexamination,I reportin respectof my examinationof yourcharity'saccountsas carriedout under Section
145oftheCharitiesAct2011('the2011Act').IncarryingoutmyexaminationIhavefollowedtheDirectionsgivenbythe Charity
Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement

Sinceyourcharity'sgrossincomeexceeded£250,000yourexaminermustbeamemberofalistedbody.IcanconfirmthatI am
qualifiedtoundertaketheexaminationbecauseIamamemberoftheInstituteofCharteredAccountantsinEnglandand Wales,
which is one of the listed bodies.
I have completedmy examination.I confirmthat no mattershave cometo my attentionin connectionwith the examination giving
me cause to believe:

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or

2. the accounts do not accord with those records; or

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

The financialstatementsof the charitablecompany,whichis a publicbenefitentityunderFRS 102,havebeen prepared in
accordancewith the CharitiesSORP (FRS 102) 'Accountingand Reportingby Charities:Statementof Recommended Practice
applicabletocharitiespreparingtheiraccountsinaccordancewiththeFinancialReportingStandardapplicableinthe UK
andRepublicofIreland(FRS102)(effective1January2019)',FinancialReportingStandard102'TheFinancial Reporting
StandardapplicableintheUKandRepublicofIreland'andtheCompaniesAct2006.Thefinancialstatementshave been
prepared under the historical cost convention.
Thefinancialstatementsarepreparedinsterling,whichisthefunctionalcurrencyofthecharity.Monetaryamounts in
these financial statements are rounded to the nearest £.

Income

All incomeis recognisedin the Statementof FinancialActivitiesonce the charityhas entitlementto the funds, it is probable
that the income will be received and the amount can be measured reliably.
Sources of income are recognised and classified in the notes to the accounts.

Expenditure

Liabilitiesare recognisedas expenditureas soon as there is a legal or constructiveobligationcommittingthe charityto that
expenditure,itisprobablethatatransferofeconomicbenefitswillberequiredinsettlementandtheamountof the
obligationcanbemeasuredreliably.Expenditureisaccountedforonanaccrualsbasisandhasbeenclassified under
headingsthataggregateallcostrelatedtothecategory.Wherecostscannotbedirectlyattributedtoparticular headings
they have been allocated to activities on a basis consistent with the use of resources.

Taxation

The charity is exempt from corporation tax on its charitable and other related activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restrictedfundscanonlybeusedforparticularrestrictedpurposeswithintheobjectsofthecharity.Restrictions arise
when specified by the donor or when funds are raised for particular restricted purposes.
Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.

Pension costs and other post-retirement benefits

Thecharitablecompanyoperatesadefinedcontributionpensionscheme.Contributionspayabletothe charitable
