STRUCTURE, GOVÈRNANCE AND MANAGEMENT
The charity Is a charttable company limited by guarantee governed by its Memorandum and Articles
of Association. The charity was incorporated on 25 April 2017 and was registered with the Charity
Commission on 22 May 2017.
The charity is governed by the boa￿1 of trustees who are also directors of the company. The board
has met at regular intervals, rnostly by telephone, to discuss strategy and the future direction of the
charity, and how to measure the success of the activiiies undertaken by the charity. The day-to-day
operations of the charity are delegaled lo Ken Bonsu and Ron Wilson, with whom the trustees are in
frequent contact in otder to be kept informed.
Recruitment & appointhient of trnstees
Trustees are recruited in conjunction with ongoing needs and skills analysis to provide balanced and
informed govemance for the char5ty. New trustees are elected by the memberts or co-opted by the
trustees. No more than 5 and no less than 2 persons may be elected. Appointments are for a term of
three years after which Trustees may be re-appointed. Co-opted trustees may only hokl office for a
period of three years.

OBJECTIVES AND

The objecis of Astar Foundation Lirnited as set out in the Memorandum and AtsAes of AssocAa140n
are as follows..
The Trnstees shall hpld the capital and income to apply the income and all or such parts of the
capr(al- at such lime ortimes and in such manner to, orfor the benefrt of, such exclusively chariiable
objects and purposes in any part of the world as the Trustees may in their discretion think fti.
Public benefit
The trustees have complied with the duty in section 4 of the 2011 Charities Act to have due regard to
guidance published by the Charity Commtssion, including public benefrt guidance. We have referred
to the Charity Commission's general guidance on public benefft when reviewing our aims and
objectives and in planning our future adivities.
The chaiity furthers its charitable purposes for the public benefit as follows..
The aim is lo build a support networf( for young people of all backgrounds and abilities, to enable
them to play sport, mainly football, given this is where the exisling skills within the chartty Ile. Parents
are included within the network to encourage their children to maintain their level of activity, at any
level of skill, but particularty where the young person involved has excelled at the 5POrt and needs
support and encouragement to continue to improve. or even be taken to an elite level where they
might be signed by a club on professional tenns.
ACHIEVEMENTS AND PERFORMANCE
As befo￿. efftirts are still being made lo beneftl young people and 8 number of projecis are being
considered. Additional fundraising efforts will need to be made in the future if these projects are to
come to fruition. The main activity in the year concerned receiving a major donation and w0￿1ng with
a US charrty. which has identical objects to Astar, for the improvemenl of the heamh and diet of young
people.
FINANCIAL REVIEW
The income of the charity amounted to £250,000 (2024.. £224) with net expenditufe of £338 (2024:
£476).
Reserves policy
The charity continues to aim for reserves equal to six months operating costs. Unrestricted reserves
at 30 April 2025 were £569 (2024: £907). As at 30 April 2025 the assets of the charity are considered
adequate to fuffil its obligations and the trustees consider the state of our financial affairs to be
satlsfactory.

The trustees will continue with their efforts to increase funding and to support projects for the benefrt
of both adults and y
ung people, whilst at the same time increasing awareness of the A Star brand.
TRUSTEES. RESPONSIBIUTIES IN RELATION TO THE FINANCIAL STATEMENTS
The charity trustees Iwho are also director5 of Astar Foundation Limited for the punyose of company
law) are responsible for preparing a trustees. annual report and financial statemerrts in accordance
with applicable law and United Kingdom Accounting Standards (Uniied Kingdom Generally Accepted
Accounting Practice .
Company law requires the charity trustees to prepare financial statements for each financial year
which give a true and fair view of the state of affairs of the charitable company and of the income and
expenditu￿ of the charttable company for that period. In p￿paring the financial statements, the

The trustees are responsible for keeping proper accounting records that disclose with reasonable
accuracy at any time the financial posilion of the chartlable company and to enable them to ensure
that the financial statements comply wtth the Companies Act 2006. They are also responsible for
safeguarding the assets of the chaiity and taking reasonable steps for the prevention and detection of
fraud and other irregularities.
The trustees are responsible for the maintenance and integrity of the charity and financial information
included on the charity's website in accordance with legislation in the United Kingdom goveming the
preparation and dissemination of financial statements.
