Flexlcare was orfginally cor￿tuted by a Deed of Tntst dated 25" Aprll 1985. During 2017 the
Trustees declded, In the best Interests of the thlldren and famllles It supports and its trustees
and staff, to change the statu5 of Flexkare (Oxford aThJ Ablngdon) to that of a Chadtsble
Incorporated Organlsatlon (CIO). Flexlcare {Oxford arKI Ablngdon) (CIO) was formally
registered wlth the Charfty Commlsslon on *¥nl 2017 {registratlon number 1172635)

At the same tlme FleXIca￿ (Oxford and Abingdon) (registratlon nurnber 291844) c105ed and
wa5 removed from the Charlty tommlssi<>n rwter on 21￿ February 2018. In Febwary 2022,
the Chartty Commlsslon approved the amendment of the Nexicare Oblects as detalled below.

New Trustees are glven the mèln documents that set out the operational framework for the
CIO Including the Constitutlon and a summary of the work of the CIO. They a150 receive the
guidance of the Charity Commlssk)n on the responsibllltbe5 of Charity twst
The Trustees have rev1w￿d the fflalor risks to which the CIO Is exposed. Internal flnandal
risks are mlnlmlsed by the requlrement that all cheys arKI external bank payments have to
be authorlsed by two people. one of wtrM)m has to be a trustee. The CIO follows wrltten
polide5 regarding safeguarding cNidren, moving and harKllln& equality, health arKI safety
and admSnistrotK)n of medications guldance. All carers are offered regular updates in Flrst
Aid, Movlng aThJ Handlln& Sofeguardlng and indlvldual tralning for the admlnlstration of
medlcation, undertaking feed5 and other requirements of the Oxfordshire Delegation of
Tasks Protocol. The CIO15 Inspected by the Cqc aTKI Is currently graded a5"Good" The last
inspection took place In Ortober 2018. SlrKe the lessenlng of the Covtd pandemlc, CQC have
contlnued to undertake monthEy desktop assessment of Aexlcare based on the dats and
Informatlon avallable to them arKI have not found ethlence that tlw need to carry out an
Inspectlon or reassess Flexlcare's ratlng currentty. Vthi15t Flexlcare contlnue to assess the
rlsks arf￿ng from Covid. thls Is now beir6 done in accordarKe with the latest requlrements of
England's ndes and regulatlons on Infection Prevention and Contrds. The Trustee5 monitor

The Trustees conftrm that they have complied wlth thetrduty under sectlon 4 of The Charftles

Flexlcare {Oxford aThl Abtngdon) contlnues to wovlde a totally flexlble, famlly4ed slttlng
servlce for fr4mllles Ilvlng wlthln an el8ht to ten mme radlus of the centre of Oxford, plus
Grove and Wantage who have a chlld or chlldren ￿th a severe dlsablllty. The tlme that the
sttter Spends wlth the famlly allow5 the parentslcarers andlor slbllngs to go out and do thlngs
that most famllles take for granted. or to catch up on some muchvneeded sleep. SSbllngs
under 14 may also be looke<l after by sltter or sltter4 aswe are more th)n happy to put In
more than one sltter where requlred.
Durlng the year there were 46 famllie5 wSth 50 chlldren wlth dlsabllltles reglstered to use the
servlc¢. TPffee bereaved hmllles contlnue to recelve supporL
Care and support was provlded by 8 acthie slttlng volunteers and 4 Pa￿ staffi plus a part tine
Office Manager and for the last 2 month5 of the finandal year a replacement Sentor
Coordlnator was shado%thg the retlrlng Sthorcoordlnator.
The number of requests for stts thls year has In¢rea5ed agaln de5plte the continued Impact of
Covld19 on our famllles: 401 compared to 311. Indudlng the hours spent Ylsiting a total of
hours ia17 (2Q21: 781) was spent wlth th familles, despfte there belng no new reglstratlons
sn 2022. Covkl contlnued to have an Impact on the servke, but post-chrlstmas 2021, slt
numbers contlnued to clbnb and by the end of tr* year there were only a handful of famllles
that had not rotumed to uslrg us.
20 (2021: 15) famllles wffe referred to tt* 5ervke durlng the year and o V￿re reg15tered fr¢)m
the waltlng Ilst. Of those 13 were not offered registratlon because: 7 were out of arew• 3
were over the maxlmum age for registratton {12 years); 2 dld not meet our criterla and 1 dld
not want to walt. seven famllles and tsn professk)na15 were 5tlll on the waiting Ilst at the
end of the year. We alm to brlng further farnllles on to our books as soon a5 we have
capaclty.

Staff
The 5eThlce was wn on a day-todoy basls by Katherine Boyce, asslsted by Lynn Ross, Amella
Macpherson and Jayne Castle untll her retirement In March 2022. Maureen Tossl lolned
exlcare as a Coordlnator In February 2022 and Hannah Dunnlng In July 2022 as Senlor Cov
ordlnator to take over from Katherfne Boyce before the end of December 2022. Staff costs
re higher thls year as there were periods of overlap to ensure sufflclent handover.
Remunoratlm & Related P4rtyTr•n5actltsns of the Board ofTrustees
No members of the Board of Trustees recefved any remuneratlon from the CIO durlng tP
year. Travel costs and expense5 of trustees amounted to £nil (2021: £nll).
Andrea Balnes Is Office Manager and the wlfe of Ben Staggi the Treasurer of the CIO.
In
addltlonp Lym Ross, a member of staff,15 the wfe of James R055, the Chalr of the CIO. AII
other trustees are satisfied wlth thi5 a￿angement and the Charlty Commlsslon confirmed, for
both appolntments, thattkw had rK> concwrs elther.
Katherlne Boyce, the senlor Co￿rdInatOr, is also a trustee of Helen and Douglas House, who
provlde tralnlng for Hexicare volunteer5 in practkal movlng and handling.
No other members of the Board of Trustees or other persons related to the CIO had any
personal Interest in any contract or trdnsactlon entered Into by the CIO durfng the year.
Fln•nclal Revlew
The total Income for the year to 31 August 2022 amounted to £60,000 (2021: £106,000) and
expendlture to £103,000 (2021: £70,000). The decrease In Income was due to a legacy of
£551000 recelyed In 2021 forwhlch the trustees are extremely gratefvl.
A proportlon of the annual IrKome derlyed from a Contract wlth Oxfordshire Soclal Servlos
£26,750 (2021: £21,400) to provlde care to chlldren. The dlfference ts due to tlming of recelpt.
Thi5 year the CIO urKlertook fundra151ng agaln, wlth a Cla5slcal Concert raising £3.392 and
Walk, £4,725. Sadly. the Flexlcare Supporters group have announced their redrement thls
year. but hetd a successful final lunch on our behalf (£11980).

Aslde from retalnlng a prudent amount In reserve5 eath year most of the Clo's funds are to
be spent In the short tem) so there are no fuThls for long term investment. It Is the Tntstees,
pollcy to retsln the bulk of Its funds In an interert*arning deposit account. In the current
clr¢umstsnces of negllgSble interest rates even thi5 is h¥dty signifKant, but the CAF Gold
Fund Is consklered to gfve 35 good a return as ary.
Ben's Fund is held In a 604lay notke account to galn sll8hdy better Interest. As thls Is
supporter provided fund its use15 planned arKI doe5 not forni part of the day-t¢>day finance5
of the charity.
The Tn￿ee5 have examined CIO'S requtrements for reseryes In Itght of the maln T15k5 to
the organ15ation. It has estsbllshed a policy wtr￿eby the unrestrlcted funds not commltted
should amount to a minimum of 9-12 montr6 of runnlng costs. The reserves are needed to
meet the wo￿ng capital requlrements of the CIO and the Trustees are confident that at this
level they would have the necessary fltxlbllfty to wind down the actlvftSe5 of the CIO in an
orderfy manner In the event of a WifKantdrop In fvDd1￿.
Based on actual expendlture for 1022 the re%Yves tsrget for genwal funds should be broadty
between £69.000 arKI £92,000. Desplte the dlfflcult drcumstaTKes, the level of unrestricted
reserves at 3151 August 2022 wa5 £751000, which 55 rwded by the Tru5tee5 as sufficient In
the current uncertaln tEmes. The trustets wlll aim to contlnue to manage the actlvltles of the
CIO within the Ilmlts of the funds availabte wlth prudent plannin&
There Is a restrlcted fund known as Ben's Memorial Fund. whkh was Set up by a famlly In
memory of thelr son who was cared for by the serylce until Ns death. The fund was
estsb115hed to provkle or Inuease care to fwnllles appropr?ate to thelr needs. thls
would be over and above the ure that Flexicare ¢(￿ld normally offer. Thlsknnd spent £2,787
(2021: £1iy8) on famlues thts year.
