Governing Document

Rah Rah Community Theatre Company is a charity constituted as a private company limited by shares. Its purpose and administration arrangements are set out in the constitution. The constitution was adopted on 7 November 2016 and amended by special resolution on 28 February 2017.

Recruitment and Appointment of Trustees

Recruitment and appointment of trustees is done by the company. Gaps in experience and expertise are identified and a search for new trustees from our own networks is carried out. As written in the Articles of Association, trustees of the charity should be:

Objects of the Charity

The Charity’s objects are to advance education for the public benefit and to preserve and protect the good physical and mental health of the general public by the provision of artistic performances and workshops. Our aim is to take theatre into the community that makes an impact, having a particular focus on using theatre for social change so as to raise awareness and using theatre as a form of therapy. We specialise in physical theatre, audience interaction and using drama therapy techniques. Our work focuses on reaching out to marginalised groups such as the elderly, people with learning difficulties, young people from disadvantaged backgrounds and those who have been trafficked and enslaved.

Main Activities for the benefit of the public in the Period

The trustees have read the guidance issued by the Charity Commission on public benefit and will continue to deliver the charity’s projects within the guidance.

Main Achievements of the Charity in the period

• Country Roads -Take Me Home (8th May to 28th July 2023) - Featured Cow Boys and Girls who sing and dance their way through all the Country and Western greatest hits. It had audiences laughing, singing and even dancing with the cast to the lively score. The show toured 115 community venues in London and the Home Counties primarily to an elderly or learning difficulties audience.

Summer Singing Sensations (19th June to 28th July 2023) - Was a talented group performing a selection of feelgood singalong summer songs with 3-part harmonies, comedy and dancing. The show toured 115 community venues in London and the Home Counties primarily to an elderly or learning difficulties audience.

Jingle Bell Singers (28th November to 28th December 2023) - A collection of ‘feel good’ Christmas songs performed by our ‘Christmas Carollers’ with 3 part harmonies and a comic through line. The show toured 117 (25 venues more than last year) community venues in London and the Home Counties primarily to an elderly or learning difficulties audience.

Jack and the Beanstalk (27th November 2023 to 19th January 2024) - An inventive and magical panto full of toetapping, singalong songs, audience interaction and laugh-out-loud comedy. Festive, feel-good fun for all! The show toured 199 community venues in London and the Home Counties primarily to an elderly or learning difficulties audience.

Work Related Learning Shows (On going project) - We continued to tour our shows: “Wex Factor” which prepares pupils for work experience and the world of work; “Enterprise: The Next Generation” which introduces pupils to the idea of Business and Enterprise; and our Communication Workshop which looks at enhancing pupils' communication skills in the workplace and in everyday life. We toured 10 schools across London and the Home Counties. Unfortunately, bookings were still relatively low due to insufficient time to market the projects and funding within schools.

Teddy Bear’s Picnic (On going project) - The show is about Milly and her Bear who go on an exciting adventure to get to the picnic on time! The show incorporates puppets, well-known songs and dancing together with important educational areas such as numbers, colours and shapes. It is aimed at children aged 2-6. We went to some lovely new venues this year including Thorington Theatre, The Lyric, Hedingham Castle and Peterborough Cathedral all of which have opened doors to new future work. The show was very popular this year; however due to the actor’s availability we were not able to perform as many shows as there was interest for.

My Mind is Free (On going project) - My Mind is Free is a powerful interpretation of the degradations of human trafficking. It tells the interlinked stories of four people trafficked to and within the UK and their horrifying tales of abuse, exploitation and enslavement. The production uses a mixture of physical theatre and multi–role playing to portray the epic journey and terrible risks that desperate people will go to in the pursuit of what they believe to be a better life, only to find that they are then exploited, ending up in a far worse position than when they started. As part of the project we offer frontline worker training workshops, an immersive experience and an online version. We did not take any bookings for this project this year due to insufficient funding.

Challenges Faced

• The community venues we visit can sometimes be very challenging. The quality of care may not be up to standard and the service users may have complex mental health needs. Rah Rah’s mission is to make a difference and bring happiness in such places. Rah Rah tries to prepare its actors for these types of venues. However, it can be too overwhelming for certain actors which unfortunately results in them not wishing to do this type of work again. Rah Rah has a thorough risk assessment with safety guidelines for all our actors to follow.

• Bookings for our work related learning shows were disappointingly lower than expected primarily due to insufficient time to market these projects and the lack of funding in schools. Rah Rah is strongly considering removing this show from our repertoire as it is no longer as financially viable. A decision will be made regarding this when the current actors involved in the project no longer wish to continue.

• Rah Rah is struggling to meet the demand for its services and the challenges involved in making the next step to become a larger charity. The transition to employing more staff to meet the demand and expand is currently too big a financial risk. We are also struggling to meet the financial demands of the rising cost of living and reflecting this in the wages we pay our performers. We are unable to charge the communities we support more as they are also facing financial hardship and often they have to fundraise to book our projects. Where time permits we will continue to seek funding opportunities to allow us to support the groups we visit and pay our performers a wage that meets industry standards. Unfortunately, these types of application are lengthy and very time consuming.

• Interest for our Teddy Bear’s Picnic show this year has increased but unfortunately the availability of the two selfemployed actors performing the show could not meet the demand. We are seeking to employ more actors for the project although this is tricky due to the ad hoc basis of the bookings.

• Unfortunately, an actor due to personal reasons was unable to complete the final two weeks of the Summer Frolics tour. Most of the bookings for this period were for funded shows and the funders generously allowed us to either do a 2 handed variation of the show or transfer the bookings to the Christmas tour.

• We received the occasional very small audience for both our Teddy Bear’s Picnic show and Community shows this year. On these occasions the marketing had been left to the venues who booked us. We have noted these venues, and should they wish to rebook we will offer additional support and advice on how to market these.

• Rah Rah spent two months applying to funders to enable them to go on tour with their human trafficking project in October 2024. The tour was being supported by over 15 trafficking charities and was short-listed by many funders: unfortunately we did not secure enough funds to allow the project to go ahead. We are hugely disappointed and disheartened by the outcome.

Funding

We are incredibly grateful for the funding we have received this year which has supported our Community Theatre Projects aimed at elderly and learning difficulties audiences. The funding has allowed us to see firsthand the truth of the Arts Council statement, “Getting involved in creative activities in communities reduces loneliness, supports physical and mental health and wellbeing, sustains older people and helps to build and strengthen social ties.” Sharing in watching a show with music, comedy and drama is a perfect way for the elderly (especially those suffering with dementia) to reconnect and bring some much needed joy back into their lives. “A smile starts on the lips, a grin spreads to the eyes, a chuckle comes from the belly; but a good laugh bursts forth from the soul, overflows, and bubbles all around”.

We received the following funding this year:

· Heathrow Community Trust funded 16 shows within the Heathrow Flight Path (£4,800).

· Guildford Aspire Community Foundation contributed funds towards 2 shows within the borough of Guildford. (£500).

· Heart of Bucks Community Foundation funded 20 Summer shows within Buckinghamshire (£6,800).

· Wimbledon Foundation funded 30 Summer shows within Merton and Wandsworth (£10,000).

· London Borough of Richmond upon Thames Active Richmond Fund funded 10 Summer shows within the borough of Richmond upon Thames (£3,600)

Plans for the Future / next year

· Top Hat Tales and Summer Frolics will be visiting community venues in June - August 2024. The target is 200 shows - 3 shows a day, 5 days a week. Funding applications are being made to allow us to offer some of the shows for free.

· Christmas 2024 - Jingle Bell Singers and Red Riding Hood will be visiting community venues in December and January 2025 – target 300 shows. Funding applications will be made to offer some of these shows for free.

· Summer 2025 - planned shows are Rock Around the Clock and we would also like to write a new show to add to our repertoire and are considering the idea of a new show featuring all the ABBA hits.

· Teddy Bear’s picnic 2024-2025 – Target 30 shows. Trialling box office splits as opposed to flat fees in some venues. We are looking to expand the team of actors involved in the show to enable us to deliver the show to more venues.

· WRL – Reworking marketing and mailing out. Unfortunately, this is currently a tough sell due to limited time resources and schools’ budgets. We plan to purchase an up-to-date schools database to allow us to continue to market the show. Rah Rah will re-evaluate the project after the next 6 months and see if the project is still financially viable.

· MMIF –after failing to secure funding this year Rah Rah will spend some time evaluating and working out what is best regarding this project.

· Rah Rah would like to explore the possibility of creating a new show for primary school aged children on autism. We would like to educate young people on the topic so there is greater acceptance, understanding and inclusion within community settings.

· We would like to employ a part-time funding officer.

· We would like to look at creating a new booking system for the charity.

· We will continue to seek and apply for funding opportunities to allow us to achieve our goals and help develop our new projects.

Reserves Policy

The charity’s reserves target is £18,000 which is equal to three months payroll costs to pay our core team.

I wanted to sincerely thank and appreciate the wonderful theatrical performance of Jack and the Beanstalk that your team put on for our nursing home residents on Friday.

The whimsical costumes, lively music, and animated storytelling truly captivated our residents and transported them into a magical world for the afternoon. We could see the joy and wonder sparkling in their eyes as they became immersed in the classic fairytale brought to life before them. Our staff has received such positive feedback from residents raving about how much they enjoyed the comedic moments and heartfelt characters.

Thank you for helping make beloved childhood stories come alive for our residents and for all your efforts that went into putting on such a polished and professional show.

They communicated with the people we support so well and posed for photo’s with them. Nothing was too much trouble and the show was fantastic! But what really made everyone’s day was the performers themselves so please say a big ‘Thank you’ to them and wish them a very Happy Christmas. They deserve it.

This afternoon the Rah Rah Theatre company came to the QEF at Leatherhead to perform the Christmas Panto, it was brilliant.

Please pass on our sincere thanks to the three gorgeous young (individuals) in the panto, Jack and the Beanstalk, they were brilliant.

It really was a great hour of fun and laughter for all the clients at the Queen Elizabeth Foundation. I was at the panto with my son Damian and his sister, it was wonderful to see him smiling and laughing, so thank you.

We are so pleased to have Your guys from Theatre in Kent House. All performance was brilliant. All our service users have a brain injury, not always we had an opportunity to go outside and enjoy any performance, it’s quite difficult. I would love to give you feedback about yesterday's performance of the jingle bells singers.

May I start by saying ladies have arrived in head of time and once set up they have chatting with our residents before the show has started. I know this is their job to interact with customers however the way they have engaged with our residents living on the journey with dementia and their different stages was just incredibly amazing.

It had touched my heart - I just had to let you know.

They had everyone singing and dancing and most importantly they had so much laughter together with our residents. Seeing their smiles and how much fun they had was something so nice it left a very positive impression that everyone was talking about the ladies today.

Once the show has finished I had a cheeky request if they could sing a song or two for two or our residents on palliative care and they have done so well even it has Brought some sad memories for some. It is very important for me to say this such a kindness from the ladies has made two of our ladies so happy especially for one of them as their family was with them.

· The Cast members at 'Country Roads - Take Me Home' were absolutely wonderful. They are so very talented and so very kind and caring to the resident's at Sycamore House. The cast were very entertaining and held attention of the residents, and made them laugh!

· Enthusiasm from all the actors - brilliant!!

· The songs. And the interaction between the performers and the residents; made it personal.

· Even the staff commented on the talent of the young people and are begging me to book them again.

· The singers all had really good voices and the comedy was very funny and also the interaction with our residents was great.

· There was lots of laughter and the audience were heavily involved with the performance, which our clients liked.

· It was nice to have the story which linked with songs, the interaction with the audience was great.

· It was great that the performers called on an audience member to join them on 'the stage'. Everyone loved that.

· How kind and inclusive the performers are to the people we support.

· The Rah Rah Theatre Company are really amazing and so very talented and we always love to see the cast members performing at Sycamore House. All of the cast members are so very kind and caring to all of the residents at Sycamore House. They are such a credit to the Theatre Company.

· So lovely to watch people totally engaged and mesmerised by the performance. The people we support love being included in the show - so much fun!

· The anticipation of the show lifted spirits of our residents, and it enabled our activity workers to include various art projects (country & western) prior to the show.

· "Wonderful show. I really enjoyed the music." "The performers were really good; very professional!"

· Really engaging and something so different at our Cafe. Loved the music and actors were so delightful and fun. Very uplifting.

· The feedback we received was that everyone had a good time, enjoyed the show and felt uplifted. One resident hadn't wanted to come because her son had been taken to hospital. Her friends persuaded her to come and she was so pleased she did as it took her mind of it for a while.

· Our residents were very engaged and animated, which we do not normally see with just a singer.

· The crowd were laughing and singing along, they thoroughly enjoyed themselves. It was lovely to see.

· Residents asked if we could have the show back a few more times before Christmas!

· Our residents loved the singing and a couple got up to dance. They loved the engagement with the audience and enjoyed the range of songs. One of our residents said it was the 'best show they had seen'. The residents continued to socialise after and spoke very fondly of the performers.

· "I couldn't stop tapping my feet & singing to the song"

· All of the people we support had smiles on their faces during and after the performance.

· Thank you for including the residents in the show by asking them questions using their names and asking them to join in and sing along. The feedback from the residents was great. Thank you!

· Lovely young people, very talented and entertaining and great sing -a- long opportunities.

· Great company, really accommodating and helpful.

· The performers were punctual, very friendly and engaging. We would all love to see them again.

· We have had 2 performances so far and we are looking forward to seeing Singing Summer Sensation. The actors are really lively and so good with our client group.

· The actors were brilliant and our residents love them. Rah Rah is also so efficient at the booking and billing level. Thank you for my senior slip ups.

· Even though the number of attendees at our schemes are sometimes quite low, the performers always give 100% and the residents really do love the shows. Personally I like that the performers take the time to chat to residents, get to know their names and then use that to make a personal connection to those residents during the show. It's a lovely touch and works well.

· Very professional and courteous people. Have them back any time.

· Actors really worked well with client base and adapted the script where needed.

· Just a huge big thankyou and keep on doing what you do.

· Thank you for the opportunity for our client group to see this lovely fun performance. Special needs clients don't get the opportunity to see live singing enough. They were all smiling. The singers were very friendly and engaged with our clients beautifully.

· Thank you for making our clients very happy, there was a real buzz in the building afterwards. Lovely to see everyone laughing and smiling.

· The team are always, polite, happy they have never been late. They were patient with us. Keep up the good work.

· The fact that the entire cast took time to get to know many of our Visitors and then mention them by name during the performance. Experience has shown that the entertainers we hire throughout the year and who do this are the best loved and most popular. I also liked the fact that there were a good number of songs that our Visitors knew and could join in with.

· The 3 ladies were very entertaining, interacting with our service users and kept us on our toes. They were outstanding.

· The Christmas Carol Singers were just so wonderful and all 3 singers had the most incredible energy.

· The artists and slapstick humour as well as audience participation. The residents talked of it for days after.

· All our Clients enjoyed the show everyone was singing along and taking part. One Gentleman said it really felt like Christmas and it really cheered him up. A MASSIVE THANK YOU FROM OUR RESIDENTS.

· Our residents had a great time as for some of them they had never had the opportunity to see a pantomime so this was there first time we also had great feedback from relatives’ families who were also invited.

· Residents thoroughly enjoyed it and couldn't stop talking about it for days after! They said they'd like to see another.

· Overall everyone of our Visitors thoroughly enjoyed the performance with good engagement and participation by them. Most of them know RahRah and what they do and we are always guaranteed a full house when they come to perform for us.

· We have pictures on the wall of all the people we support it was great that these were looked at by the actors before hand so they could make the show more personal.

· How wonderful, the ladies were full of energy and spoke to all that came to see them, they made a point of asking and remembering names, it was a fantastic show.

· Overall the residents loved the performance, the ladies kept everyone very engaged and happy and a couple of them were especially big fans of the costumes!

· They were fantastic! Really enjoyed that! Amazing how they remember our names!

· Our residents had the most enjoyable afternoon, smiling with happiness and laughing. It brought residents together. Our residents continued to talk about the show for days after the performance and told their relatives how enjoyable it was.

· We had so many glowing compliments from residents and relatives - they loved it! Absolutely worth every penny!

· The residents really enjoyed the show. There was a good atmosphere, and the performance was inclusive to the residents and they felt involved. Many sang along to the well known songs and played bells and tambourines, it was lovely to see their smiling faces.

· The residents liked the show as they interacted well with the audience/residents and it was nice to see that they made it more adult type panto then childlike and that it was funny.

· The performance was professional, humorous, well organised and performed to a stage quality with the comfort of home, so that all residents regardless of their needs can access such theatrical excellence.

· They thought the story line was very funny using old and up to date songs within the story and jokes. They thought it was very good to get over the story with just three performers with the props they had. One of our ladies said they were marvellous.

· Was an amazing performance and we enjoy this every year at Christmas and our Residents are totally engaged as well as their family members. Can’t wait for the Panto in January.

· One of our young people couldn't stop singing for the rest of the week after the shows!

· We also had a young person who was a bit anxious about coming along as he can become quite upset with certain songs. His trigger song was Silent Night and I found it out quite late. I called the RahRah team and the person I spoke to on the phone was very reassuring and accommodating, and then when I greeted the 3 performers later they were more than happy to help and had adapted the show especially removing that song. This particular young person was very taken with the three girls and had the absolute best time especially knowing he didn't have to worry about hearing that song. He even asked for a photo at the end with the girls and he had a huge cheeky grin! (we are extremely grateful for everyone being so understanding and helpful).

· Your actors were amazing. Prior to the show they introduced themselves to all attendees and engaged in conversation. This was great and really showed how professional they were. This minor touch that created a warm environment for those attending.

· All of our 11 of our 12 feedback forms gave maximum rating 5 for the panto being fun, and one mum specifically commented that it was good how the actors had engaged with the children who were calling out. Other feedback "The panto was brilliant" "This was amazing". It's incredible how your actors do four shows a day and drive around in between so all credit to them - thank you!

· Maybe it was the group performing, but they wanted to perform from the floor, which really helped them engage with the audience. Before performing they asked some audience members their names to personalise the show and we in the audience were encouraged to give the usual Panto responses. "Oh no we weren't", "Oh yes we were" and "he's behind you", as examples. A thoroughly enjoyable afternoon brought to our venue by performers who really did work their socks off; oh yes they did!

· A client stood up and said this was the best performance he had ever seen.

· I can't remember the three girls’ names that you sent to us but they were absolutely amazing really great fun and the residents laughed at the jokes I didn't think they would understand. It's the most I’ve seen the residents interact in a while. A MASSIVE THANK YOU FROM NAZARETH HOUSE.

· Another great pantomime, this is why we have you back each year. Looking forward to 2024's!

· It’s absolutely wonderful that you are able to offer free shows it makes such a difference to our residents across all of our homes, being a free performance means that it is well within the activity budget which I know a lot of homes across the board struggle with especially this time of year so your offer goes a long way to making residents Christmases that little more special.

· It was a lot of money for us (much more than normal), but genuinely worth every penny. The girls were fantastic; so engaging with EVERYONE. The carols they kindly sang acapella in some residents' rooms were very lovely and moving. Thank you!

· The ladies were lovely with the residents. They mingled with them and chatted and got to know their names and made them feel at ease. They arrived early and got set up quickly so there wasn't any waiting around. It was a good performance and was enjoyed by all.

· The show was really good and you at rah rah never seem to fail as we know the shows you provide are always at a high standard and that is why we return to you every year as the performers interacted well with the audience/residents and it was nice and made everyone laugh.

1. ACCOUNTING POLICIES

Basis of Preparation & Assessment of Going Concern

Basis of Preparation

The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities (SORP 2015) (Second Edition, effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) and the Charities Act 2011.

The Charity meets the definition of a public benefit entity under FRS102. Assets and liabilities are initially recognised at historical cost unless otherwise stated in the relevant accounting policy notes.

Assessment of Going Concern

Preparation of the accounts is on a going concern basis. The trustees consider that there are no material uncertainties about the Charity’s ability to continue as a going concern.

Incoming Resources

Recognition of Incoming Resources

These are included in the Statement of Financial Activities (SOFA) when:

▪ the charity becomes entitled to the resources;

▪ the Directors are virtually certain they will receive the resources; and

▪ the monetary value can be measured with sufficient reliability

Incoming Resources with Related Expenditure

Where incoming resources have related expenditure (as with fundraising or contract income) the incoming resource and related expenditure are reported gross in the SOFA.

Grants and Donations

Grants and Donations are only included in the SOFA when the charity has unconditional entitlement to the resources.

Tax Reclaims on Donations and Gifts

Incoming resources from tax reclaims are included in the SOFA in the same financial period as the gift to which they relate.

Contractual Income and Performance Related Grants

This is only included in the SOFA once the related goods or services has been delivered.

Gifts in Kind

Gifts in kind are accounted for at a reasonable estimate of their value to the charity or the amount actually realised. Gifts in kind for sale or distribution are included in the accounts as gifts only when sold or distributed by the charity. Gifts in kind for use by the charity are included in the SOFA as incoming resources when receivable.

Donated Services and Facilities

These are only included in incoming resources (with an equivalent amount in resources expended) where the benefit to the charity is reasonably quantifiable, measurable and material. The value placed on these resources is the estimated value to the charity of the service or facility received.

Volunteer Help

The value of any voluntary help received is not included in the accounts but is described in the Directors' annual report.

Investment Income

This is included in the accounts when receivable.

Investment Gains and Losses

This included any gain or loss on the sale of investments and any gain or loss resulting from revaluing investments to market value at the end of the year.

Liability Recognition

Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to pay out

Governance Costs

Include costs of the preparation and examination of statutory accounts, the costs of the Directors' meetings and cost of any legal advice to Directors on governance or constitutional matters.

Changes in Accounting Policies and Previous Accounts

There has been no change to the accounting policies (variation rules and methods of accounting) since last year, and no changes to the previous accounts.

Grants Payable without Performance Conditions

These are only recognised in the accounts when a commitment has been made and there are no conditions to be met relating to a grant which remain in control of the charity.

Unrestricted funds

These funds can be used for the general objectives of the charity as set out in the trustees report. The movements of the unrestricted funds are given in the Statement of Financial Activities.

Restricted funds

These funds are where the donor has specified a purpose for the donation made. These restrictions often arise as a result of appeals for special offerings for specific purposes.

Taxation

The charity is exempt from tax on its charitable activities.

Legal Status of the Charity

The charity is a company limited by guarantee and has no share capital. In the event of the charity being wound up, the liability in respect of the guarantee is limited to £1 per member of the charity.

Fixed Assets

These are capitalised if they can be used for more than one year, and cost at least £1,500. They are valued at cost or, if gifted, at the value to the charity on receipt.

Depreciation Expense

Depreciation is calculated at a rate to write off the cost of tangible fixed assets over their estimated useful lives. The rates applied per annum are as follows:

13. DIRECTORS AND OTHER RELATED PARTIES

14. RISK ASSESSMENT

The Directors actively review the major risks which the charity faces on a regular basis and believe that maintaining the free reserves stated, combined with the annual review of the controls over key financial systems carried out on an annual basis will provide sufficient resources in the event of adverse conditions. The Directors have also examined other operational and business risks which they face and confirm that they have established systems to mitigate the significant risks.

15. RESERVES POLICY

The Directors have considered the level of reserves they wish to retain, appropriate to the charity's needs. This is based on the charity's size and the level of financial commitments held. The Directors aim to ensure the charity will be able to continue to fulfil its charitable objectives even if there is a temporary shortfall in income or unexpected expenditure. The directors will endeavour not to set aside funds unnecessarily.

16. PUBLIC BENEFIT

The Charity acknowledges its requirement to demonstrate clearly that it must have charitable purposes or ‘aims’ that are for the public benefit. Details of how the charity has achieved this are provided in the Trustees report. The Trustees confirm that they have paid due regard to the Charity Commission guidance on public benefit before deciding what activities the charity should undertake.

INDEPENDENT EXAMINER’S REPORT ON THE ACCOUNTS

Report to the trustees/ members of the Rah Rah Community Theatre Company on the accounts for the year ended 31st March 2024 set out on pages 18 to 26.

Respective responsibilities of trustees and examiner

The Charity's trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the financial statements. The trustees are satisfied that the audit requirement of Section 144(1) of the Charities Act 2011 (the Act) does not apply, and that there is no requirement in the governing document or constitution of the Charity for the conducting of an audit. As a consequence, the trustees have elected that the financial statements be subject to independent examination.

Having satisfied myself that the charity is not subject to audit, and is eligible for independent examination, it is my responsibility to:-

a) examine the accounts under section 145 of the Act;

b) to follow the procedures laid down in the General Directions given by the Charity Commission under section 145(5)(b) of the Act; and;

c) to state whether particular matters have come to my attention.

Basis of independent examiner's statement

I conducted my examination in accordance with the General Directions given by the Charity Commissioners for England & Wales in relation to the conducting of an independent examination, referred to above. An independent examination includes a review of the accounting records kept by the Charity and of the accounting systems employed by the Charity and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the financial statements, and seeking explanations from you as trustees concerning such matters. The purpose of the examination is to establish as far as possible that there have been no breaches of the Charities legislation and that the financial statements comply with the SORP, on a test basis, of evidence relevant to the amounts and disclosures in the financial statements.

The procedures undertaken do not provide all the evidence that would be required in an audit, and information supplied by the trustees in the course of the examination is not subjected to audit tests or enquiries, and consequently I do not express an audit opinion on the view given by the financial statements, and in particular, I express no opinion as to whether the financial statements give a true and fair view of the affairs of the charity, and my report is limited to the matters set out in the statement below.

I planned and performed my examination so as to satisfy myself that the objectives of the independent examination are achieved and before finalising the report I obtain written assurances from the trustees of all material matters.

Independent examiner's statement

In the course of my examination, no matter has come to my attention:

  1. which gives me reasonable cause to believe that in, any material respect, the trustees requirements:

  2. to keep accounting records in accordance with section 386 of the Companies Act 2006; and

· to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of recommended Practice: Accounting and Reporting by Charities.

have not been met; or

  1. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
