TRUSTEES, REPORT- 202412025 2.1 Brief History of CLT In 1990, just after the Revolutions in Eastern Europe, Brian Mansfield (The Protekton Trust) asked David White to go to Romania to run some training sessions in selected hospitals. We never believed that we would return again and again for the next 30 years. But we did, and in the process got to know many British and Romanian people who wanted to contribute to improving the poor conditions in central and Eastern Europe. Originally, the charity we formed, The Clinical Science Foundation ICSF} {Registered Charity No. 10381481, concentrated on clinical science, providing medical equipment to children's hospitals, medical laboratories and GP practices in Cluj-Napoca, Romania. Numerous West-East and East-west training visits were organised, covering topics such as clinical physics, community medicine. nutrition, paediatrics and medical laboratory science. A chance meeting in November 1996 between one of our Trustees. Maureen Hancock, and a UK volunteer special needs teacher, Paul Bramwell, significantly changed our direction. Paul, who was working at The School for the Deaf No. l (now called Liceul Tehnologic Special pentru Deficienti de Auz) in CluJ-Napoca, drew our attention to severe problems in providing hearing aids to over 200 children there. We supplied, f ree of any charge, hearing a ids for all the children and set up an Ear-mould Laboratory and a Hearing Aid Repair Workshop at the school. Our work was then extended to the Hungarian School for the Deaf No. 2 (now called Kozmutza Flora Hallassérultek 5pecialis15kolajal and a Special Professional (Vocational) School in the city, which together cared for a f urther 250 children. We soon realised that providing just medical support for these children was not enough. To give them a real chance of a better life we had to tackle their education. Consequently, in 2001 we established The Clinical Science and Education Foundation CSEF} (Registered Charity No. 1086712), with an extended remit. In subsequent years we set up specialist teaching rooms and general classrooms at the schools in Cluj-Napoca. In 2009 the charity started ref urbishing facilities at the Transylvanian Autism Association in the city. In recent years the CSEF'S clinical work in Romania significantly diminished and the Trustees decided that they should focus their efforts on the education of children and adults with special needs in both Romania and the UK. The CSF was removed from the Register of Charities in 2017 and the CSEF was removed in 2018. In their place a new charity, The Creative Learning Trust (CLT), was established in March. 2017. The CLT currently has four Trustees. Three were CSEF Trustees (Dr David White, Mr lan Johnson, Dr Paul Bramwelll. The fourth Trustee is Ms Carmen Stan. Collectively, the CLT Trustees have extensive experience in special needs education and therapy in both the UK and Romania.

2.2 Objects and Powers of CLT A summary of the main objects and powers from the Constitution of The Creative Learning Trust ICLTI are given here. We gratefully acknowledge the support of Ms Penny Chapman and Ms Harriet Ainsworth (BDB Pitmans LLP) for producing the necessary documentation to present to the Charities Commi55ion. Objects The purposes of the Charity are= a) the advancement of the education of those who are in need lincluding children and adults with special educational needs andlor within multicultural communities) in any part of the world, in particular but not exclusively in the United Kingdom, central and eastern Europe- and b) the advancement of the education of medical practitioners and other healthcare workers in any part of the world, in particular but not exclusively in the United Kingdom, central and eastern Europe,. particularly but not exclusively by developing and distributing educational materials and resources and by making grants. Powers The Charity has specif ic powers in the pursult of the objects. including= a) develop educational materials for children and adults with special educational needs- b) provide f inancial support for the education of children and adults with special educational needs- cl develop modern, creative educational resources, tailored to the specific language, communication and cultural needs of children and adults, including those living within multicultural communities in the UK,. d) develop modern, creative educational resources for speech and language therapists working with multicultural communities,. e) liaise with representatives of communities and organisations involved in the support and education of multicultural communities in the UK to ensure that the resources developed by the CLT are culturally appropriate and tailored to their language needs- fl administer the Laurie Whelan Education Awards- g) maintain educational facilities upgraded to date by the Clinical Science and Education Foundation,. h) obtain, manufacture or provide by any means equipment, apparatus or devices appropriate for achieving any of the objects,. j) promote the interchange of professional staff from any part of the world for the purpose of training and continuing professional development and exchanging information and expertise- j) foster and undertake research into any aspecL of the Objects and its work and to disseminate and exchange the results of any such research- The Creative Learning Trust was entered in the Register of Charities on 8 March, 2017.

2.3 Future of the CLT On 2 September. 2024 the trustees unanimously agreed that The Creative Learning Trust ICLTI should be wound up during the next twelve months. The majority of Romanian and British organisations supported by the CLT are now able to f und and upgrade their classroomsltherapy rooms without the involvement of the charity. Similarly, these orga nisations can create viable resources with the help of the extensive Resource Portfolio produced by the CLT. In addition, donated f unds have decreased signif icantly over the past four years. It is also proposed that the remaining restricted and general f unds should be given as grants to those organisations supported by the CLT, In line with the wishes of donors. Comments fr m Aunali Sadikot Accountin and Taxation Consultant on29Au ust 2024 I have gone through the constitution documents of CLT and agree that winding up proposal documents put forward to the Trustees and Doners are in accordance with the constitution documents of CLT. Section 4.19 allows the Trustees to dispose of the assets of CLT to appropriate charities with similar aims. Sections 117, 119 & 123 of Charities Act do not apply to CLT as there is no disposal of land involved. It wa5 decided that the charity's reserves would be allocated to the following organisations that the CLT has successf ully collaborated with for many years. Accounting Policies

  1. The accounts have been prepared on an income and expenditure basis under the historical cost convention in accordance with applicable accounting standards and follow the recommendations in Statement of Recommended Practice: Accounting by Charities (SORP) issued October 1995.

  2. Restricted funds are to be used for specified purposes as laid down by the donor. Expenditure that meets these criteria is identified to the fund, together with a fair allocation of overhead and support costs.

  3. Unrestricted funds are donations and other income received or generated for the objects of the charity without further specified purpose and is available as general funds. Intangible income is not included unless it represents goods or services that would have otherwise been purchased according to the annual budget plan and objectives.

  4. Depreciation is charged on fixed assets in equal proportions over a five-year period (annual rate of 20%). Assets costing under £500 are treated as revenue expenditure.

  5. Stocks of purchased goods are valued at the lower of cost and net realisable value. Stocks of donated goods are not valued for accounting purposes.

  6. The charity is not engaged in any trading activity and is therefore not liable for corporation tax.

  7. The financial period for which these accounts cover is from 1 April 2023 to 31 March 2024 and this is the set of accounts prepared.

2. Restricted Funds Income was received as either general donations or as grants. Some grants were specific in indicating that the money had to be spent on specific projects to improve the standard of educational provision for special needs children and adults in the UK and Romania.

The balance on each restricted fund is carried forward to the new financial year to be applied to the specific fund at the request of the donor. Where it is not possible to apply the funds as per the donors’ requests then permission will be required to redirect these funds to other projects that the CLT is involved in.

The table below shows the income and expenditure for the current year, together with the net position being either a surplus or deficit on current year activities. This surplus or deficit is then added to the fund brought forward balance from the previous year, which then gives the closing balance which is carried forward to the next financial year. Fund expenditure is limited to the funds available, and any excess expenditure is charged directly to unrestricted funds. The carry forward balance is presented as pounds and pence.

3. Unrestricted Funds

These funds are used for overhead costs and for restricted funds where the income is insufficient to cover expenditure. Unrestricted funds give flexibility for the Trustees to fund non specific projects which are in the overall remit of the charity’s objectives.

Fundatia Romana pentru Stiinte Clinice si Educatie (FRSCE) is the Romanian sister charity of the The Clinical Science and Education Foundation (CSEF) (now removed and amalgamated with CLT) and was set up to facilitate, safeguard and to maintain its projects and interests in Romania. The involvement of CSEF and CLT Trustees in FRSCE was terminated on 26 April, 2024 when new Romanian board members/trustees were appointed. As the FRSCE now has funding from local Romanian sources, supportive expenditures from the CLT have ceased.

4. Staff Costs and Numbers

There are no directly employed staff. The Trustees and unpaid volunteers presently conduct all the charities activities.

5. FRSCE Grant

Goods delivered by the CLT to Romania are donated to FRSCE, which in turn either offers the items on free loan (under contract) or by donation to appropriate organisations or individuals. The remaining goods delivered to Romania are donated to known and trusted Romanian colleagues and charities, such as Asociatia KOFLEG, a charitable association run by the Hungarian school Kozmutza Flóra Hallássérültek Speciális Iskolája in Cluj-Napoca, Romania.

Funds are transferred to the FRSCE, Kozmutza Flóra or selected Romanian companies for the purchase of goods and services needed to maintain and develop projects in Romania. These include:

Reserves Policy

The CLT Trustees have always maintained sufficient unrestricted funds to meet ongoing commitments whilst not maintaining official reserves. To enhance the Charity’s financial resilience, the Trustees are developing a policy for setting up reserve amounts to fund known commitments, the majority of which to be funded from unrestricted funds. The Trustees will aim to have a prudent approach to reserves in that they should be at the correct level to fund commitments that generally will be for an initial period of two years unless rolled forward by one incremental year at a time. Reserves will be reviewed every six months to ensure they are pitched at the correct level.

8. Tangible Fixed Assets

The charity only capitalises its own equipment where the cost is greater than £500. At present the charity does not possess any equipment where the value of each piece exceeds £500.

9. Investments

The charity does not presently have any investments. However, if any of the planned projects run into significant delays then monies will be invested in medium term investments.

10. Debtors

There were no debtor balances.

11. Creditors - Amounts falling due within one year

The accountant’s fee of £150 is payable once the accounts are reviewed.

13. Associated Charities

The Creative Learning Trust is associated with these charities:

1. Fundatia Romana pentru Stiinte Clinice si Educatie (FRSCE). The involvement of CSEF and CLT Trustees in the running of FRSCE terminated on 26 April, 2024. Romanian board members/trustees now solely run this charity.

2. The Creative Learning Trust is the successor charity which took over all assets and liabilities of The Clinical Science & Education Foundation (Registered Charity No. 1086712) which closed during 2017.

14. Future of the CLT

In September, 2024 the Trustees agreed that the CLT should be wound up during the next twelve months. The reasons being that the Romanian and British organisations supported by the CLT are now able to fund and upgrade classrooms/therapy rooms without the involvement of the charity. Similarly, these organisations can create viable educational resources with the help of the extensive Resource Portfolio produced by the CLT. In addition, donated funds have decreased significantly over the past four years. It was also proposed that the remaining restricted and general funds would be given as grants to those organisations supported by the CLT, in line with the wishes of donors. Consequently, this is the penultimate set of accounts for the CLT.
