## **Trustees Report for the year ended 31 December 2021** 

The Trustees present their report along with the financial statements of the charity for the year ended 31 December 2021. The financial statements have been prepared in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) and adhere to the Accounting and Reporting by Charities: Statement of Recommended Practice. 

## **Objectives and Activities** 

The Purposes of the Church, are set out in Paragraph 3 of the constitution; 

_The advancement of the Christian faith in accordance with the Basis of Faith, primarily, but not exclusively, within Llandudno and the surrounding neighbourhood; and such other charitable purposes, as shall in the opinion of the charity trustees, facilitate the work of the Fellowship, provided that such purposes must be carried out in a manner consistent with the Basis of Faith. (3.1.1 & 3.1.2)_ 

The purposes of the church as stated above, are fulfilled in a number of ways. The Church primarily achieves these purposes through its core activities. These activities are Sunday morning worship services, mid-week meetings and small home groups that meet in a variety of locations to study scripture together and pray. 

Due to the Covid-19 crisis the Church had to close its doors to the public in March 2020 to comply with restrictions set down in law by the Welsh Government. The Church quickly adapted, and Sunday morning sermons were pre-recorded and uploaded weekly to the Church website. The Congregation were encouraged to watch the sermon at home and to then attend a virtual “Coffee and Chat” over Zoom each week. The midweek small groups were also replaced by a weekly Zoom bible study and prayer group which all were encouraged to attend. The Church continued meeting in this way until July 2021 when we began to meet in person at the Church building. 

The Church has continued with broadly the same missionary giving as in 2020. (For a breakdown see note 4 to the financial statements). Two areas of significant support have been to: Firstly, a local church in the nearby area that shares the vision, outlook and objective to bring the gospel to Llanfairfechan; Secondly to continue to support the significant work of Youth for Christ Llandudno. The Church also continues to support the work and improve Gospel partnership with a church in Poland, but for administrative reasons has been unable to make a donation this year. Donations are expected to resume in 2022. 

The charity is supported by numerous volunteers. Under the direction of the pastor and elders, they assist in running church events, organise and oversee the upkeep and maintenance of the building, and carry out various administrative tasks. The church is grateful for their support and commitment. 

## **Community benefit** 

The Trustees have had regard to the Charity Commission’s guidance on public benefit. The core worship services are open to the public and special events in the church calendar, for example the Christmas carol service, are advertised locally. 

## **Future Plans / Objectives** 

The future plans of the church are to work towards our mission and objectives as laid out in our constitution; which, succinctly, are for more people to hear the good news of the Gospel and for them to know Jesus Christ as their Lord and Saviour.

The church is currently investigating a variety of possibilities to improve the building facilities and increase the capacity of the church. The trustees sees it as a priority to either find new larger premises or significantly improve the current environment. 

## **Achievements and Performance** 

The church was delighted to reopen the doors to the public in July 2021 after 16 months of online services due to Covid. This was carried out in a covid-safe manner with regard to the relevant guidelines at the time. The church has enjoyed getting to know some new faces to the fellowship who joined the congregation during the period of online zoom meetings. A post service picnic at the local park has now become a regular fixture. This was initially organized to discourage gathering inside the building after the service (to reduce covid-19 transmission risk) however it has proved very popular and so has been continued when weather permits. 

The childrens work was combined with the main worship service when the church reopened and tables with craft equipment were set up at the back of the church. It is planned that Sunday School teaching in the back room during the service will restart for the younger children in 2022. 

## **Financial Review** 

Full details of the financial transactions are detailed in the attached accounts. Total income for the period was £59,462 (2020: £144,280). Total expenditure for the period was £49,072 (2020: £45,366). The net incoming resources for the period were £10,390 (2020: £98,914). The net assets amount to £312,617 (2020: £302,227) at the end of the reporting period, of which £150,000 (2020: £150,000) is represented by tangible fixed assets. The reserves are all unrestricted. 

The trustees consider an adequate reserves policy is to maintain savings at a minimum of 3 months of fixed costs. This has been assessed prudently as £5,000 a month (2020: £5,000 a month) and has been adhered to throughout the reporting period. 

The principal funding source of the charity is donations received from the church congregation. This also includes gift aid reclaimable where the appropriate declarations have been made. 

During the year £3,480 was spent on a building survey as part of the investigative work to improve the church building facilities. 

The trustees have not identified any material risks and uncertainties affecting the church, and there were no material amounts committed at the period end. The trustees consider the charity to be a going concern. 

## **Structure, Governance and Management** 

The charity is constituted as a Charitable Incorporated Organisation and governed by a Constitution dated 2nd November 2016. Each trustee is appointed by the Church Elders in accordance with section 10.2 of the Constitution. The constitution details the functions and duties of the trustees in paragraph 9. 

_The charity trustees shall manage the affairs of the CIO and may for that purpose exercise all the powers of the CIO. It is the duty of each charity trustee:_ 

_a) to exercise his or her powers and to perform his or her functions in his or her capacity as a trustee of the CIO in the way he or she decides in good faith would be most likely to further the purposes of the CIO; and (9.1.1)_

## **Notes to the Financial Statements for the year ended 31 December 2021** 

**1. Accounting Policies** The principal accounting policies adopted, judgements and key sources of estimation and uncertainty in the preparation of the financial statements are as follows: 

**(a) Basis of accounting** The financial statements have been prepared on an accruals basis and in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (Charities SORP (FRS102)). The charity constitutes a public benefit entity as defined by FRS102. **(b) Preparation of the accounts on a going concern basis** The trustees consider that there are no material uncertainties about the charity’s ability to continue as a going concern. 

## **(c) Income** 

Income is recognised when the charity has entitlement to the funds, it is probable that the income will be received, and the amount can be measured reliably. Any Gift Aid amount recovered on a donation is considered to be part of that gift and is treated as an addition to the same fund as the initial donation unless the donor or the terms of the appeal have specified otherwise. 

## **(d) Donated goods, facilities and services** 

The charity benefits greatly from the involvement and support of its many volunteers. In accordance with Charities SORP (FRS102) and FRS102, the economic contribution of general volunteers is not recognised in the accounts. Donated services have not been recognised in the accounts either because they are not material or cannot be measured reliably. The charity does not receive donated goods. 

## **(e) Fund accounting** 

Unrestricted funds are available for use at the discretion of the trustees in furthering the general objectives of the charity. Restricted funds are subject to restrictions on their expenditure imposed by the donor or through the terms of an appeal. Unrestricted and restricted funds are shown separately in the financial statements. 

## **(f) Expenditure** 

Expenditure is recognised once there is a legal or constructive obligation to make a payment to a third party, it is probable that settlement will be required and the amount of the obligation can be measured reliably. The charity takes advantage of the exemption to not report expenditure on an activity basis, as permitted for charities under the statutory audit threshold per the FRS102 Charities SORP. 

## **(g) Offsetting** 

There has been no offsetting of assets and liabilities, or income and expenses. **(h) Tangible Fixed Assets** Individual fixed assets costing £500 or more are capitalised at cost and depreciated over their estimated useful economic lives as follows; Buildings not depreciated Furniture depreciated over 5 years IT Equipment depreciated over 3 years **(i) Debtors** 

Debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount paid net of any trade discounts. **(j) Creditors and provisions** 

Creditors and provisions are recognised where there is a past obligation resulting from a past event that will probably result in a transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated with reasonable accuracy.

Creditors and provisions are normally recognised at their settlement amount allowing for any trade discounts due. 

## **(k) Pensions** 

All employees are members of a defined contribution pension scheme. The charity’s contribution is restricted to the contributions in note 2 and it has no liability beyond making its contribution. 

## **(l) Grants** 

Income from grants is recognised when there is evidence of entitlement to the grant, and any terms or conditions required for the grant have been met.

The church claimed the HMRC Employment Allowance which covered all of employer’s national insurance payments due for the year. 

## **3. Trustee Remuneration and Expenses** 

The key management personnel of the charity comprises the trustees and elders, one of whom was an employee of the charity throughout the year. The remaining four trustees were not paid and did not receive any other benefits from the church. No trustee received payment for professional or other services supplied to the charity. 

The one paid trustee was reimbursed expenses incurred on behalf of the church totaling £104. (2020: £8).  This related to the purchase of theological books. One unpaid trustee was reimbursed costs associated with the attendance of four elders at an F.I.E.C conference, a total of £197 (tickets, parking and mileage).

Missionary Gifts relates to gifts agreed to be paid after review of the income and expenditure for the year but not physically paid by the year end. Historically this has been agreed annually by the trustees. 

## **8. Independent Examiner Fees** 

The independent examiner made no charge for the service. (2020: no charge). 

## **9. Related party transactions** 

The total amount of donations received from the trustees, without conditions, during the year was £10,955. (2020: £10,195) 

The wife of a Trustee was employed as an Administrative Assistant for the church on a flexible basis up to 24 hours a month for part of the year. The remuneration paid in respect of her employment during the period was £1,202. (2020: £2,295)
