The trustees are pleased to present their annual report, together with the independently examined financial statements of the charity for the year ending 31 December 2023.
The trustees have adopted the provisions of the Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (as amended for accounting periods commencing from 1 January 2016).
Objectives and activities
The objectives of the charity continue to be:
1) To contribute towards or for the benefit or furtherance of such charitable institutions or charitable purposes in such a manner and (if more than one) in such shares as the trustees shall in their absolute discretion from time to time determine and in particular but without prejudice to the generality of the foregoing to or towards or for all or any of the charitable purposes
2) To make grants principally in respect of drama, music and arts teaching at Thomas Mills School and, secondarily, to make grants for other applications by pupils at Thomas Mills School in relation to sports and other activities
3) To make grants to persons under the age of 18 years to assist with the costs of the study of music and singing as well as coaching in live musical performance and to include without limitation the cost of buying musical instruments, vocal coaching, associated musical equipment, the cost of rehearsal rooms and the cost of putting on of live performances.

Achievements and performance
Significant activities and achievements against objectives
Further grants were given to Thomas Mills High School, to continue to provide students and teachers with top class learning resources.
The main focus of this year’s increased grant has been the amazing expansion of the music department’s facilities and the construction of a recording studio. This is now fully complete and in use. We have combined this with investment in the sound system in the main hall, greatly improving the quality of presentations, assemblies and other activities.
As we write every year, we continue to reap the benefits of the initial capital investment made in 2017. The Mac suite continues to be an immensely important asset to the department and school enabling GCSE and A level musicians most particularly, to produce work of high quality in the composition element of their courses. Despite the rather grim national picture for music teaching, Year 7 students at this school unusually continue to have two lessons a week in Music, one of which is a dedicated composition lesson in the Mac suite. The refurbishment of the main music room in 2019 has also meant that students have an attractive and engaging music environment in which to work.
The Art department continues to thrive as a result of the grant and has been able to continue trips and events otherwise not available, offering exceptional artistic opportunities to our pupils. The ambition of the staff is wonderfully demonstrated by making use of a local art gallery to display this year's exam work, both for moderation and public display, thus truly involving the school within the local community.

The increase in The Framlingham Foundation support for Thomas Mills High School & Sixth Form has created a special sense of excitement across the school and we are committed to using this unparalleled opportunity to ensure all our students benefit on their learning journey with us.
You already know that we have committed some of the 2024/2025 grant to the PE Department changing rooms Improvement project. This is well underway in terms of planning and design and work will start the day after the school breaks up for the summer holidays. Both changing room areas will have refitted showers and toilets for staff and pupils, new flooring and redecoration. We are undertaking some remodelling in the boys’ area to create changing cubicles Not only will our pupils benefit from a much brighter and cleaner environment, but the local community will have the use of these facilities hopefully encouraging greater participation and involvement.
We are also grateful for your agreement to invest some of the 2024/2025 grant on student recruitment – marketing! In partnership with our marketing agency, Splice Creative, we have already completely redesigned our website and have become far more active and current on social media channels. We are about to launch our re-branding programme alongside new prospectuses and other materials. This has included an official name change to Thomas Mills High School & Sixth Form to emphasise the fact we have a sixth form, and students can receive 7 years of quality education at this school. We are also replacing our old external school signage. We have developed and are implementing a detailed marketing plan, which includes an expanding social media presence. As we mentioned above, we are competing with other schools for students – the main draw must always be the quality of the education received, we need to make sure that message is being heard loud and clear to attract students to Thomas Mills High School & Sixth Form.

Looking further forward, we have worked on plans to re-develop the East wing of the school where our oldest building – the old canteen – has been assessed as beyond life expectancy and should be demolished – it’s a prewar prefabricated building with all the ‘charms’ of a building of its construction and age!
Our focus has centred on using this re-development opportunity to re-locate the 6th Form block to the East wing, expanding and modifying those buildings and creating a state-of-the-art centre for 6th form education equal to anything else available in the area. This is a large project and something we would welcome an opportunity to discuss with you.
The charity donated further funds to Framlingham Parochial Church Council, to facilitate the continuation of an educational program for children of Sir Robert Hitcham CEVA Primary School as part of 'Sing Praise'. This donation continued to allow the expansion to the curriculum benefitting the children.
Lastly, the foundation continued to grant young applicants funds under 'The Ed Sheeran Suffolk Music Foundation' fund. ESSMF is a charitable music foundation which aims to help young people under the age of 18, and living in Suffolk (UK), with small but useful grants to help with studying or playing music. These grants could be used for almost anything, such as buying an instrument, funding your music studies, or paying for rehearsal space.
Financial review
Reserves policy
It is the policy of the charity that unrestricted funds which have not been designated for a specific use should be maintained at a level to allow the work of the charity to continue going forward. The trustees consider that reserves at this level will ensure that, in the event of a significant drop in funding or any unexpected but necessary expenditure, that they will be able to continue the charity’s current activities, while consideration is given to ways in which additional funds may be raised.
Structure, governance and management
The charity is a company limited by guarantee governed by its Memorandum and Articles of association. It is registered as a charity with the Charity Commission and there are currently 3 trustees, all of whom do not have a beneficial interest in the company.
The trustees, who are also the directors for the purpose of company law, and who served during the period and up to the date of signature of the financial statements were:

Recruitment and appointment of trustees
The charity currently has one employed staff member, with the routine business of the trust being carried out by the trustees. The management of the charities assets are monitored by the board of trustees solely. The trustees meet regularly throughout the year and communicate frequently by telephone/email to discuss trust matters and policies.

I report to the trustees on my examination of the financial statements of The Framlingham Foundation Trust (the charity) for the year ended 31 December 2023.
Responsibilities and basis of report
As the trustees of the charity (and also its directors for the purposes of company law) you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 (the 2006 Act).
Having satisfied myself that the financial statements of the charity are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the charity’s financial statements carried out under section 145 of the Charities Act 2011 (the 2011 Act). In carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.
Independent examiner's statement
Since the charity’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of ACCA, which is one of the listed bodies.
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

1 accounting records were not kept in respect of the Trust as required by section 386 of the 2006 Act; or
-
2 the financial statements do not accord with those records; or
-
3 the financial statements do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
-
4 the financial statements have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the financial statements to be reached.

The company is entitled to the exemption from the audit requirement contained in section 477 of the Companies Act 2006, for the year ended 31 December 2023.
The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.
The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.
These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

1 Accounting policies
Charity information
The Framlingham Foundation Trust is a private company limited by guarantee incorporated in England and Wales. The registered office is 41 Great Portland Street, London, W1W 7LA.
1.1 Accounting convention
The financial statements have been prepared in accordance with the Charities SORP "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)" (effective 1 January 2019) and the Companies Act 2006. The charity is a Public Benefit Entity as defined by FRS 102.
The charity has taken advantage of the provisions in the SORP for charities not to prepare a Statement of Cash Flows.
The financial statements are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.
1.2 Going concern
At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.
1.3 Charitable funds
Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.
1.4 Incoming resources
Income is recognised in the Statement of Financial Activities, when the charity is legally entitled to it, can be measured reliably, and is probable that income will be received.
1.5 Resources expended
Expenses are recognised in the Statement of Financial Activities, when the charity has a legal or constructive obligation, which can be measured reliably and it is probable that a transfer of economic benefits will be required in settlement. Expenditure is accounted for on an accruals basis and have been classified under headings that aggregate all cost related to the category.
