Structure, Governance and Management
Governing document
The Dan Rhodes Foundation is a charitable incorporated organisation governed by its Constitution dated 15[th] November 2016. It is registered as a charity with the Charity Commission in England and Wales.
Appointment of trustees
The board of trustees currently consists of three members, the original founders; further trustees will be invited as and when required by the charity. The original founders will decide at the Annual General Meeting if new trustees are to be appointed.
Trustee induction and training
New trustees will undergo an induction to brief them on their legal obligations under charity and company law, the content of the Constitution, the decision-making process, the business plan and the recent financial performance of the charity.
Organisation
The trustees administer the charity and meet at least three times a year. Mr Stuart Middleton is appointed as the Custodian Trustee and makes day-to-day decisions necessary for the Charity.

Objectives and activities
The Dan Rhodes Foundation vision and mission
The aim of the Charity is to bring mental health out of the darkness by shining a light on it and raising awareness. As mental illness is hidden it takes people talking about it to bring it out into the open. We also want to promote good mental health through physical health and how having a healthy approach can help your mental health.
The Dan Rhodes Foundation activities
The charity is administered from its head office in Riccall, North Yorkshire.
The charity offers support for people suffering with mental health issues by posting support, articles, blogs, advice and points of contact for those struggling with their mental health and for their loved ones who help and support them. Funds are raised through physical challenges to support the Charity’s social media presence and to support the work of the Blurt Foundation and York Mind.
Main objectives for the period
This is the eighth period of operating; the main objectives were:

Raise sufficient funds to continue to raise awareness through our social media presence

Raise awareness of the importance of maintaining both mental and physical health through our social media accounts and through completing charitable events

Increase the reach of the charity through social media and make a positive impact on our supporters’ mental wellbeing
Public benefit
We have referred to the guidance contained in the Charity Commission’s general guidance on public benefit when reviewing our aim and objectives and in planning our future activities. In particular, the trustees consider how planned activities will contribute to the aims and objectives they have set.
Evidence shows that reaching out via social media is a proven method for educating those affected by mental health issues and in reducing stigma associated with the condition. The Charity has had feedback suggesting that our efforts have been useful in reducing the pain and suffering of those suffering with depression and anxiety.
Use of volunteers
Trustees give considerable support to the organisation on a voluntary basis and this is recognised and very much appreciated.

Achievements and Performance
Statutory declaration
The trustees declare that they have complied with their duty to have due regard to the guidance on public benefit published by the commission in exercising their powers or duties.
Summary of the main achievements of the Charity for the period
It has been another difficult year for the Charity as it becomes increasingly difficult to raise money and to increase our profile in a challenging and saturated sector. Fundraising across the charity sector is becoming increasingly difficult year on year and being a small charity we are heavily dependant on a few key fundraisers and regular donators. Despite it being another year when it was difficult to raise funds through challenging physical events due to time constraints and injury, we have managed to keep things going thanks to one of the Trustees covering some of the ongoing running costs.
Increasing our reach has also been challenging again as social media companies continue to try and make organic growth difficult and push you towards paid advertising to increase your audience. Interaction has remained strong with our more dedicated followers but beyond that it is difficult to break through without having to pay for advertising. We have remained committed to regular posting but our reliance on one person running all our social media accounts remains an issue, but we haven’t been able to get any help to ease this. It looks like gaining any traction will be difficult in the short term so the focus is to review our current offering and provide the best information for our loyal followers.
There is still the hope of doing more events to mark the 10th anniversary of Dan’s passing but again due to the reliance on one person, who is currently struggling with injury, this could prove to be difficult. To make up for this we are looking at organising some non-physical events such as bake sales to try and raise some much needed funds.
Financial review
Reserves
At the end of the period the Charity held cash at bank of just over £76 all of which was unrestricted funds. We aim to hold at least £50 in reserves.
Funds in deficit
At the end of the period the Charity had no outstanding financial commitments.

Accountant’s report
The Dan Rhodes Foundation was registered on 15[th] November 2016 as a Charitable Incorporated Organisation. These are the Financial Statements for year ended 31[st] March 2025.
The Trustees have elected to prepare the accounts under the receipts and payments basis rather than using FRS102.
It is the Trustee’s responsibility to ensure the accounting records represent a true and fair view of the state of the Charity; the Trustees consider that the Charity is exempt from the audit or external verification requirements; and have not requested an audit of the accounting records. Therefore, the accuracy and completeness of the accounting records has not been verified.
The financial statements have been supplied to the Board of Trustees of The Dan Rhodes Foundation, solely for their use and Charity Commission purposes; Accounting Genie does not accept nor assume responsibility to anyone other than the Charity and its Board of Trustees for the work done or for this report.

1 Accounting policies
a) Statement of compliance
The financial statements have been prepared under the receipts and payments basis as gross income is less than £250,000.
The trustees consider that the charity constitutes a public benefit entity.
b) Basis period
The basis period of these financial statements is 1[st] April 2024 until 31[st] March 2025.
c) Going concern
The trustees have considered the current position and budget of the charity, and after making appropriate enquiries they have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus they continue to adopt the going concern basis of accounting in preparing the annual financial statements.
d) Taxation
The charity meets the definition of a charitable company for UK corporation tax purposes. Accordingly, the charity is exempt from taxation in accordance with the Corporation Tax Act 2010, to the extent that such income is applied exclusively for charitable purposes.
e) General information
The Charity is a Charitable Incorporated Organisation registered in England and Wales. The address of its registered offices is: 33 King Rudding Close, Riccall, York, YO19 6RY
