The directors of the charitable organisation (the charity) are its trustees for the purpose of charity law and throughout this report are referred to as the trustees. The Trustees report includes requirements of the Directors’ report as required by company law.

Structure, Governance and Management
Governing document
The Dan Rhodes Foundation is a charitable incorporated organisation governed by its Constitution dated 15[th] November 2016. It is registered as a charity with the Charity Commission in England and Wales.
Appointment of trustees
The board of trustees currently consists of three members, the original founders; further trustees will be invited as and when required by the charity. The original founders will decide at the Annual General Meeting if new trustees are to be appointed.
Trustee induction and training
New trustees will undergo an induction to brief them on their legal obligations under charity and company law, the content of the Constitution, the decision-making process, the business plan and the recent financial performance of the charity.
Organisation
The trustees administer the charity and meet at least three times a year. Mr Stuart Middleton is appointed as the Custodian Trustee and makes day-to-day decisions necessary for the Charity.

Objectives and activities
The Dan Rhodes Foundation vision and mission
The aim of the Charity is to bring mental health out of the darkness by shining a light on it and raising awareness. As mental illness is hidden it takes people talking about it to bring it out into the open. We also want to promote good mental health through physical health and how having a healthy approach can help your mental health.
The Dan Rhodes Foundation activities
The charity is administered from its head office in Riccall, West Yorkshire.
The charity offers support for people suffering with mental health issues by posting support, articles, blogs, advice and points of contact for those struggling with their mental health and for their loved ones who help and support them. Funds are raised through physical challenges to support the Charity’s social media presence and to support the work of the Blurt Foundation and York Mind.
Main objectives for the period
This is the sixth period of operating; the main objectives were:

Raise sufficient funds to continue providing information and raise awareness through our social media presence

Raise awareness of the importance of maintaining both mental and physical health through our social media presence and through completing physical charitable events

Raise the reach of the charity through social media, through traditional media and make a positive impact on our supporters' mental wellbeing

Mark the 10th anniversary of Dan's passing with a year of fundraising events
Public benefit
We have referred to the guidance contained in the Charity Commission’s general guidance on public benefit when reviewing our aim and objectives and in planning our future activities. In particular, the trustees consider how planned activities will contribute to the aims and objectives they have set.
Evidence shows that reaching out via social media is a proven method for educating those affected by mental health issues and in reducing stigma associated with the condition. The Charity has had feedback suggesting that our efforts have been useful in reducing the pain and suffering of those suffering with depression and anxiety.
Use of volunteers
Trustees give considerable support to the organisation on a voluntary basis and this is recognised and very much appreciated.

Achievements and Performance
Statutory declaration
The trustees declare that they have complied with their duty to have due regard to the guidance on public benefit published by the commission in exercising their powers or duties.
Summary of the main achievements of the Charity for the period
It has been a difficult year for the Charity through the period as injury and illness have had an impact on our ability to fundraise through challenging physical events. It has been a steady year on social media where we have struggled to boost interaction due to the constant changes in the algorithms and despite good engagement from some supporters, spreading the message remains difficult. We remain committed to regular posting and trying to raise awareness through social media but it continues to be a challenge to get traction when you are such a small organisation.
We have had to close the program to get people back into fitness as we had been unable to secure further funding from the Matthew Good Foundation in order to keep the program running. The initiative remains something that we are keen to return to but we need to secure funding in order to do so and the current priority is to raise funds in order to keep the Charity going, in order to complete the events as part of the 10th anniversary of Dan's passing. This could still be a point of difference for the charity and a route to helping more people become active as a means to managing their mental wellbeing.
We are hopeful that through the events to mark the 10th anniversary of Dan's passing we can try and raise our profile and secure the future of the Charity.
Financial review
Reserves
At the end of the period the Charity held cash at bank of just over £39 all of which was unrestricted funds. We aim to hold at least £300 in reserves, however, due to ongoing costs and a lack of fundraising activity, the reserves at the end of the year were below that figure. Any unforeseen expenditure will be covered by one of the Trustees in order to keep the charity going until further fundraising events can be completed.
Funds in deficit
At the end of the period the Charity had no outstanding financial commitments.

Accountant’s report
The Dan Rhodes Foundation was registered on 15[th] November 2016 as a Charitable Incorporated Organisation. These are the Financial Statements for year ended 31[st] March 2023.
The Trustees have elected to prepare the accounts under the receipts and payments basis rather than using FRS102.
It is the Trustee’s responsibility to ensure the accounting records represent a true and fair view of the state of the Charity; the Trustees consider that the Charity is exempt from the audit or external verification requirements; and have not requested an audit of the accounting records. Therefore, the accuracy and completeness of the accounting records has not been verified.
The financial statements have been supplied to the Board of Trustees of The Dan Rhodes Foundation, solely for their use and Charity Commission purposes; Accounting Genie does not accept nor assume responsibility to anyone other than the Charity and its Board of Trustees for the work done or for this report.

1 Accounting policies
a) Statement of compliance
The financial statements have been prepared under the receipts and payments basis as gross income is less than £250,000.
The trustees consider that the charity constitutes a public benefit entity.
b) Basis period
The basis period of these financial statements is 1[st] April 2022 until 31[st] March 2023.
c) Going concern
The trustees have considered the current position and budget of the charity, and after making appropriate enquiries they have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus they continue to adopt the going concern basis of accounting in preparing the annual financial statements.
d) Taxation
The charity meets the definition of a charitable company for UK corporation tax purposes. Accordingly, the charity is exempt from taxation in accordance with the Corporation Tax Act 2010, to the extent that such income is applied exclusively for charitable purposes.
e) General information
The Charity is a Charitable Incorporated Organisation registered in England and Wales. The address of its registered offices is: 33 King Rudding Close, Riccall, York, YO19 6RY
