ANNUAL GENERAL MEETING – 10[th] January 2024 at 1030.

1. Welcome: Andy Pottinger welcomed all to the Annual General Meeting of the Portsea Shed.
2. Minutes of the previous AGM (5th January 2023).
Andy reviewed the Minutes …
Matters Arising: Noted that the previous Minutes had referred to the idea of a Banner to promote the Shed – which had also come up again at a recent Monday Meeting. Last year’s AGM Minutes were approved .
3. Chairman’s Report: Andy read out his report (Copy attached). There was a Vote of Thanks to Andy for all his efforts during the year.
4. Treasurer’s Report: Dave’s Accounts attached.
Dave Weston reviewed the printed Accounts. (Income and Expenditure: 6[th] November 2022 - 5[th] November 2023).
He told us that the Accounts were generally healthy.
Income approximately £6600, Expenditure approximately £5500. Closing Balance: £4079.56.
In 2022 there had been a big COVID Grant. In 2023 we had received generous donations from Co-op Funeral Care and PCC (possible further grant pending). It has been a good year for donations - but we have to try and keep a reasonable reserve (£2000-£3000) in case later years are not so good. We need to look for Donations of around £2500 pa to cover costs of machine and Shed maintenance etc.
Group Events have been quite high at nearly £700 – in future we should make a nominal charge to (partly) cover some of these costs. Tony Keen has retired from PCC. We have a new Support Officer (David ….) who will chase the PCC grant and seek further support (eg: Waitrose).
Paid-up Membership currently 32. Subscriptions provide enough Income to cover Basic Costs (Tax, Insurance). We remain grateful to LandSec for supply of Power and Water.
Q&A: Members Donations are to remain as before (£60 pa).
There was a Vote of Thanks to Dave Weston for handling the Accounts.
5. Fundraising
(Covered above). Some funds generated by Projects for Cathedral and Schools. We discussed the possible Sales of Shed Items (eg: Chopping Boards, Turned Items). The aim should be to sustain operations rather than to make profits. Publicity benefits arise from projects such as Kiddies’ Trains for Schools.
6. Membership:
(Covered above). Paid-up Membership now 32 – delayed payment system works OK for those who come along for a while but then disappear.
7. Election of Officers:
Officers have to be elected each year – separately from the Trustees. By general agreement the existing Officers all resigned – and offered themselves for re-election:

8. Election of Trustees
Trustees are elected for a period of five years after which they must retire - but can then be re-appointed. None of the present team have been in post as long as 5 years – but it was thought prudent to arrange some rotation in future.
On this occasion – all Trustees retired from office and offered themselves for re-election.
New Trustee team agreed:

9. Trustees Report
Chairman reviewed the Role and Responsibilities of the Trustees – and reminded us all that we have a collective responsibility for safe working in the Shed. Anybody who feels that another may be doing something risky or dangerous should feel free to point this out. Anyone unsure or unfamiliar with machine operation should seek the advice of a more experienced person.
A recent Trustees Meeting had been principally concerned with Health and Safety. It was thought that we should have a nominated person to oversee the operation and maintenance of individual machines – and standing instructions (eg: Laminated List) for each machine. After discussion of this idea, it was decided that we should appoint a Safety Officer who would be able to intervene if (eg) there arose a dispute over safe operation of a machine.
It was agreed that Billy McCutcheon would take the role of Safety Officer/Co-ordinator with support from Bob Kite and Jim Steele.
A list of Key Holders is now displayed on the door. The responsibility of Key Holder – if last man out of the Shed includes: (Tidy up/Sweep up)/Machines OFF/ Heaters OFF/Lights OFF/Doors Locked. General Opening Hours to remain: Monday/Wednesday/Friday Mornings. No solo working with machinery. Solo workers (out of hours) should bring another person (eg: Family Member) as cover in case of accident.

Chairman thanked all Members for another successful year. Bob Kite proposed a Vote of Thanks to the Officers and Trustees. AGREED. Meeting closed 1045.
