## **PORTSEA MENS SHED** 

## **ANNUAL GENERAL MEETING – 9[th] January 2023 at 1000.** 

**Present:** Andy Pottinger, Dave Weston, Angus Ross, John Worley, Frank Worley, Ian Dann, Dave Duncan, Bob Kite, Ian McKill, Alan Turner, Mick Weyman, Garry Shipp, Paul Booth, Norman Cock. 

## **1. Welcome:** Andy Pottinger welcomed all to the Annual General Meeting of the Portsea Shed 

(which we are obliged to hold as a CIO). 

**Apologies:** Nick Castle, Bruce Clark, Steve Thomas, Peter Rodgers. 

Sadly, there would be no Brunch to follow the AGM as there has been a fire at the Ship Anson at the weekend. We hope to have a Brunch there later in January. 

## **2. Minutes of the previous AGM (4th April 2022).** 

Andy reviewed the Minutes … 

**Matters Arising:** Andy told us that the role of the Trustees had been reviewed. There had been a Trustees Meeting recently – and this would be discussed later in the Meeting. Last year’s AGM was in April – due to COVID. We have now reverted to January. The Membership Year runs from April. 

Last year’s AGM Minutes were approved. 

**3. Chairman’ Report:** Andy read out his report (Copy attached). 

There was a Vote of Thanks to Andy for all his efforts during the year. 

## **4. Treasurer’s Report:** Dave’s Accounts attached. 

Dave Weston reviewed the printed Accounts. (Income and Expenditure: 6[th] November 2021 - 5[th] November 2022). 

He told us that the Accounts were in good shape and the situation was encouraging. Income approximately £9000, Expenditure approximately £8000. We currently have £2978.61 in the Bank. 

We plan to hold £2000-£3000 as a Reserve for Contingencies. 

Machine Tool Purchases – Lathe (PCC Grant), Planer/Thicknesser. Material Purchases mostly covered by Project Donations (eg: Benches and Poles). Other expenses were: Computer/Stationery, Council Tax and Insurance. We had a number of Group Events (Amberley Museum Visit, Meals). 

This has been the first ‘stable’ year for a while (post COVID). 

Paid-up Membership currently 26. Subscriptions provide enough Income to cover Basic Costs (Tax, Insurance). 

We remain grateful to LandSec for Power and Water – and to Hannah for Legal support. 

Q&A:  - Subscriptions are to remain as before (£60 pa). It was suggested that these be better described as ‘Donations’ – with lesser amounts paid by those in reduced circumstances. - There was a suggestion that Reserves might be held in a Deposit Account.

## **5. Fundraising** 

This Year we received a Grant of £2500 from PCC – which was used to purchase the new Lathe. The OMICRON Grant was a welcome return on our (reduced) Council Tax payment. Tony Keen (PCC) still has one Grant Application in the pipeline. 

The Portsea Shed stall at the Cathedral Christmas Fayre raised a good amount (mainly Turned Items) – and proved good publicity for the Shed. 

It was pointed out that Promotion and Advertising the Shed is also part of Fundraising – and that it would be a good idea to have a PORTSEA MENS SHED Banner and Display Board for use in future. 

## **6. Membership:** 

Paid-up Membership now 26 – with others ‘in transit’. 

## **7. Election of Officers:** 

It was generally agreed that we should retain basically the same team as last year – with some small changes in roles: 

**Chairman: Andy Pottinger Treasurer/Membership: Dave Weston Secretary: Angus Ross Fundraising: Jim Steele SMSN: Steve Redrup** 

**Re-elected en-bloc.** 

## _**The Chairman suggested that Steve Thomas might be persuaded to take on an Officer role. Shortly following the AGM, Steve Thomas agreed to take on the role of Vice-Chairman.**_ 

## **8. Election of Trustees** 

Trustees are elected for a period of five years after which they must retire - but can then be re-appointed. None of the present team have been in post as long as 5 years – but it was thought prudent to arrange some rotation. 

On this occasion – all Trustees retired from office and offered themselves for re-election. 

Gary Shipp volunteered to become a Trustee. Proposed by Andy Pottinger. Seconded by Dave Weston. **AGREED**

## **9. Trustees Report** (Copy attached). 

Chairman reviewed the Role and Responsibilities of the Trustees – and reminded us all that we have a collective responsibility for safe working in the Shed. Anybody who feels that another may be doing something risky or dangerous should feel free to point this out. Anyone unsure or unfamiliar with machine operation should seek the advice of a more experienced person. Ideally, we should have a nominated person for each type of machine who can be asked for help when needed. 

Membership Forms need to be read and signed off individually. These set out the rules for safe working. Reading/Signing-off should be an Annual Task for all Members. 

## **10. AOB** 

The suggestion that Subscriptions be described as Donations was discussed and Approved. New Members need to be loaded onto the Rogues Gallery (Names and Faces) as and when they arrive. There is an App. on the Computer which allows addition of new faces and Reprint – but a Universal Cable is needed so that Mobile Phones can be attached (It was agreed that we should purchase this).
