The Trustees present their report for the period from 1 September 2021 to 31 August 2022.

## **Structure, Governance and Management** 

The Charity was registered as a CIO on 31 August 2016. 

The CIO’s official address is Gloucestershire Heritage Hub, Alvin Street, Gloucester GL1 3DW. 

The charity has a membership which is open to anyone who is interested in furthering its purposes. No annual subscription is charged. 

The constitution provides for a minimum of six and a maximum of 12 trustees. The constitution sets out the powers of trustees, the manner of appointment, resignation and removal of trustees, and the procedures and controls which govern the administration of the charity. 

The Trustees have most recently been reappointed for the following terms of office:

## Public benefit 

The trustees of the Gloucester Rugby Heritage CIO have paid due regard to the Charity Commission's guidance on public benefit. The trustees believe that the requirements of the public benefit test are being met. 

## Risk management 

The trustees periodically review the operational, financial, regulatory, legal and strategic risks affecting the charity. Appropriate measures to mitigate the effects of identified risks are in place and remain under review. 

## **Objectives** 

The object of the charity is to advance the education of the public in the history of Gloucester Rugby Club and the part it has played in the life of the City of Gloucester and the County of Gloucestershire, by collecting, preserving and sharing its heritage. 

## **Activities, Achievements and Performance** 

During the sixth year of the CIO from September 2021 to August 2022 there were four formal meetings of the trustees. There were two sad losses to our Board of Trustees during the year - John Cowen resigned, having worked hard for our project right from the start, and David Smith died, the epitome of a volunteer, who provided unique technical expertise. Other existing trustees were re-appointed when their terms of tenure ran out. No new trustees were appointed. There have been no changes to the constitution of the CIO. 

The pandemic caused all meetings of the trustees to be held on Zoom, and the activities of the CIO to be reduced. Research of original documents, and cataloguing and deposits of memorabilia, in the Heritage Hub were restricted. 

Nevertheless, during the year, eleven volunteers contributed 2,355 hours of work to GRH CIO activities. The majority of these hours were expended by a team researching and drafting our next book, “Gloucester Rugby: The Players”, which was scheduled for publication by the end of 2022. Sponsorship was sought for this book, initial income from these sources being received on the final day of this reporting period. There was a drop in demand for our previous books and our DVD. 

Material continued to be produced and loaded onto the GRH website, including approximately 1,000 match reports transcribed from old newspapers and covering 26 seasons, as well as scans of about 100 match programmes. Access to the website by the public has not been interrupted by the pandemic and there were 21,500 sessions on it. Individual requests from members of the public and from the Gloucester Club for information, including obituaries, have been answered by e-mail.

## **Activities, Achievements and Performance – cont.** 

Approximately 4,000 articles relating to the effects of the pandemic on Gloucester Rugby, March 2000– June 2022, were transcribed and entered into an archive which was copied to the Gloucestershire Heritage Hub. Articles on the history of the Club were published in the match programme for every home fixture. The skills of volunteers have been enhanced in digital systems, image restoration and presentation of material on the website. 

## **Future plans** 

It had been agreed that the CIO would provide displays to fill a room at The Folk, a new museum in Gloucester. Both visual and audio displays were prepared, but no progress was achieved on this project because The Folk have not yet been in a position to proceed. 

Following publication of the Players book by the end of 2022, another book, which will present the complete playing record of the Club, is planned for publication in 2023 to coincide with the 150[th] anniversary of Gloucester Rugby, and much work has been undertaken in its preparation. 

## **Financial Review** 

Reserves policy - the trustees aim to retain a minimum of £2,000 as a reserve. 

The attached accounts show the current state of the finances which the Trustees consider to be sound. The independent examiner is Miss S.E. Brown, who is a Chartered Accountant.

## **INDEPENDENT EXAMINER’S REPORT** 

## **TO THE TRUSTEES OF GLOUCESTER RUGBY HERITAGE CIO** 

I report on the accounts of the CIO for the year ended 31 August 2021, which are set out on pages 5 to 7. 

## **Respective responsibilities of Trustees and Examiner** 

The CIO’s Trustees are responsible for the preparation of the accounts. The Trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the Charities Act) and that an independent examination is needed. 

- It is my responsibility to: 

- examine the accounts under section 145 of the Charities Act, 

- to follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the Charities Act, and 

- to state whether particular matters have come to my attention. 

## **Basis of Independent Examiner’s report** 

My examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the CIO and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the Trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below. 

## **Independent Examiner’s statement** 

In connection with my examination, no matter has come to my attention: 

1. which gives me reasonable cause to believe that, in any material respect, the trustees have not met the requirements: 

      - to keep proper accounting records in accordance with section 130 of the Charities Act; and 

   - to prepare accounts which accord with the accounting records and comply with 

   - the accounting requirement of the Charities Act; or 

2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
