## **TRUSTEES' ANNUAL REPORT** 

The Trustees present their report and financial statements for the year ended 31 October 2025. 

The accounts have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the charity's governing document and “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (effective 1 January 2019).

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

The Society is a Charitable Incorporated Organisation (CIO) established by a Constitution dated 16th May 2016. 

## **MANAGEMENT** 

The general management of the Society is undertaken by charity trustees (the Trustees) comprising minimum of three natural persons. 

One third of the Trustees form a quorum at meetings of the Trustees. 

None of the Trustees are remunerated as a result of their position. 

Trustees are elected by members of the CIO at the AGM. One third of the Trustees retire by rotation at the AGM and shall be eligible for reappointment. 

The following officers have been appointed by the Trustees:-

The Secretary, Membership & Assistant Secretary and Treasurer are remunerated for their services. 

## **MEMBERSHIP** 

Members of the Society are expected to pay the appropriate class of subscription in January each year. 

The greater of 2% or 3 members shall form a quorum at general meetings.

## **OBJECTS AND AIMS** 

The objects of the CIO are to improve, promote and encourage agriculture for the public benefit by the improvement of the breeding of horses, cattle and sheep and the demonstration, exhibition and showing of livestock, machinery, crafts, products, methods and processes connected with agriculture and agricultural education in particular by holding an annual agricultural show and supporting students undertaking land based vocational courses by way of annual bursaries. 

## **PUBLIC BENEFIT** 

The Trustees confirm that they have complied with the requirements of section 17 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission for England and Wales. 

## **ACHIEVEMENTS AND PERFORMANCE** 

The Society had a surplus of £23,693 after making bursary payments of £16,500 and grants of £5,050. 

The main fundraising event of the Society, the 177th Dunster Show, was held in August 2025. The Society would not be able to run Dunster Show to the standard it does without the substantial voluntary assistance from trustees, members and supporters. 

## **TRUSTEE, MEMBER AND VOLUNTEER ENGAGEMENT** 

Trustees meet at least six times a year and are actively involved in strategic decision making for the charity. Members are invited to the AGM each year and are able to put themselves forward to act as a trustee of the charity. The running of the annual Show relies upon the support of volunteers numbering up to 100 people each year. 

## **GRANT MAKING POLICY** 

Grants to local charities which support agriculture are considered by the committee and confirmed by vote at the AGM each year. The charity also has an annual budget for bursaries to support students studying landbased subjects. The budget is agreed annually by the committee. 

## **FINANCIAL REVIEW** 

## **FINANCIAL POSITION** 

As at 31 October 2025 the charity held total unrestricted funds of £257,847 (2024 - £234,154). The closing balance for restricted funds was £nil (2024 - £nil). 

## **INVESTMENT POWERS** 

The Society’s constitution does not mention specific investment powers. Investment decisions are referred to the full Committee. 

## **INVESTMENT POLICY** 

Investments have been made with the advice of stockbrokers, Messrs J M Finn & Co, Bristol. The Society requested their advisors to produce a balanced return from income and capital growth and that they would accept a medium risk. The Society currently invests in funds specific to charities. The value of the portfolio now stands at £104,649 (2024 - £96,681). 

## **MONETARY RESERVES** 

The Society retains free reserves that are approximately equivalent to the cost of two cancelled shows, together with a contingency of no more than £100,000 to cover the cost of a potential uninsured claim.

## **MAJOR RISKS** 

An agricultural show’s main risk is the close proximity to each other of the public, animals and machinery. The Society is insured against all foreseeable risks. 

The Society conforms to all Health and Safety and animal handling legislation and keeps procedures under review. 

Financial risk is controlled through budgeting, planning and insurance such that the risk of financial loss is minimal and the Society would be able to meet all its commitments.

## **STATEMENT OF TRUSTEES’ RESPONSIBILITIES** 

## **FOR THE YEAR ENDED 31 OCTOBER 2025** 

The trustees are responsible for preparing the Trustees’ Annual Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). 

The law applicable to charities in England & Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. 

In preparing these financial statements, the trustees are required to: 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles in the Charities SORP 2019 (FRS 102); 

- make judgements and estimates that are reasonable and prudent; 

- state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation. 

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the Charities (Accounts and Reports) Regulations and the provisions of the trust deed. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The trustees are responsible for the maintenance and integrity of the charity and financial information included on the charity’s website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.

**INDEPENDENT EXAMINER'S REPORT** 

## **TO THE TRUSTEES OF DUNSTER SHOW SOCIETY** 

I report to the charity trustees on my examination of the accounts of the above charity (the “Trust”) for the year ended 31 October 2025, which are set out on pages 7 to 17. 

## **Responsibilities and basis of report** 

As the charity’s trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **Independent examiner's statement** 

The charity’s gross income exceeded £250,000 and I am qualified to undertake the examination by being a qualified member of the ICAEW. 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect: 

- the accounting records were not kept in accordance with section 130 of the Charities Act; or 

- the accounts did not accord with the accounting records; or 

- the accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. Accounting policies** 

## **1.1 Basis of preparation** 

The Financial Statements have been prepared under the historical cost convention, with the exception of investments which are included at market value. The Financial statements are prepared in sterling, which is the functional currency of the charity and rounded to the nearest £. 

The Dunster Show Society meets the definition of a public benefit entity under FRS 102. 

## **1.2 Statement of compliance** 

- The financial statements have been prepared in accordance with the second edition of the Charities Statement of Recommended Practice issued in October 2019, the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102) and the Charities Act 2011. 

## **1.3 Incoming resources** 

All incoming resources are recognised once the charity has entitlement to the resources, it is certain that the resources will be received and the monetary value of incoming resources can be measured with sufficient reliability. 

## **1.4** 

## **Resources expended** 

- Liabilities are recognised as resources expended as soon as there is a legal or constructive obligation committing the charity to the expenditure. All expenditure is accounted for on an accruals basis and has been classified under headings that aggregate ail costs related to the category. 

## **1.5 Tangible fixed assets** 

- Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses. 

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases: 

Plant and machinery 10% straight line Computer equipment 25% straight line 

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is recognised in net income/(expenditure) for the year. 

## **1.6 Investment assets** 

Investments are included at market value. 

## **1.7 Exemption from preparing a cash flow statements** 

The charity has taken advantage of the exemption from the requirement of producing a cash flow statement based in the level of income received. 

## **1.8 Going concern** 

The Trustees consider the level of reserves and financial risk to be sufficient as such to support the conclusion that the charity is a going concern.

## **1.9 Charitable activities** 

Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries.  It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them. 

## **1.10 Governance costs** 

Support costs have been allocated between governance costs and other support.  Governance costs comprise all costs involving public accountability of the charity and its compliance with regulation and good practice. 

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, e.g. allocating staff costs by the time spent. 

## **1.11 Taxation** 

The charity is a registered charity and is potentially exempt from taxation on income and gains falling within sections 505 to 506 of the Income and Corporation Taxes Act 1988 or section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that these are applied to its charitable objectives. 

## **1.12 Debtors** 

Debtors (including trade debtors and loans receivable) are measured on initial recognition at settlement amount after any trade discounts or amount advanced by the charity.  Subsequently, they are measured at the cash or other consideration expected to be received. 

## **1.13 Cash and cash equivalents** 

Cash and cash equivalents comprise cash on hand, demand deposits, and short-term, highly liquid investments that are readily convertible to known amounts of cash and which are subject to an insignificant risk of changes in value. 

## **1.14 Creditors** 

The charity has creditors which are measured at settlement amounts less any trade discounts 

## **1.15 Fund Structure** 

General funds are unrestricted funds which are available for use at the discretion of the Trustees in the furtherance of the general objectives of the Charity and which have not been designated for other purposes. 

Restricted funds are funds which are to be used in accordance with the specific restrictions imposed by donors or which have been raised by the Charity for a particular purpose. The costs of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements. 

## **1.16 Financial instruments** 

The charity accounts for basic financial instruments on initial recognition as per paragraph 10.7 FRS102 SORP.  Subsequent measurement is as per paragraphs 11.17 to 11.19, FRS102 SORP.

## **17 Trustee remuneration and expenses** 

No trustees were remunerated for their services to the Charity during the year (2024 - £nil). 

During the year, expenses of £2,750 (2024 - £4,316) were reimbursed to five trustees (2024 - three trustees) in respect of expenditure incurred on behalf of the charity.
