Shrewsbury Orthodox Church Appeal Foundation Trustees’ Annual Report to 31.3.25

The principal activity of the year has been the re-writing of the Governance Document and the change of name of this charity to the Shrewsbury Orthodox Church (SOC) with no change in the registration number (1166735).

A small number of members of the church were recruited onto a working group to make changes to the Association model of the Charity Commission (CC) template for Charitable Incorporated Organisations (CIO) in order to produce a new governing document suitable for our needs. Meetings were held in June, July and August 1924 and three groups of people, the trustees of SOCAF, the trustees of the Church of the Holy Fathers (CHF, charity no 1087910), a sister charity whose functions are to be taken over by the new-look SOC, and also the elected Board of the CHF, a separate executive authority within the CHF which we had in obedience to the Constitution of the Greek Orthodox Archdiocese of Thyatera and Great Britain (charity no 243715), were kept up-to-date at all stages of the process. In addition, the whole membership of the CHF in Shrewsbury were kept informed by publication of our working documents on our website.

Then in August we informed His Eminence, Archbishop Nikitas, of our work and obtained his blessing. In September, the Archdiocesan solicitors were informed of our work and provided with copies of the documents destined for the CC.

Starting in late September, we sent our application in stages to the CC for approval and registration of our new CIO but various delays meant that its full registration did not happen until 14.3.25 and further votes of the three groups mentioned above (2 sets of trustees and the CHF church board) were then needed to ratify the whole process so that the new CIO finally began its life in May 2025.

5 further meetings of our working group took place from September 2024 to March 2025 to thrash out the details of 13 supporting policies, including documents like Safeguarding, Health and Safety, and Data Protection. These, with the governing document, are now part of this charity’s constitution.

Mention should also be made of more routine matters. We have begun using a much larger church – the church of St Juliana of Nicomedia, in the centre of town. A great deal of repair and tidying up needed to be done throughout the rest of the period of this report and was carried out by numerous working parties. However, the routine day-today running of the church remained with the CHF and its Board until at least the end of May 2025.

Statement of director's responsibilities

The director is responsible for preparing the directors' report and the financial statements in accordance with applicable law and regulations and in accordance with United Kingdom Generally Accepted Accounting Practice. Company law requires the director to prepare financial statements for each financial year. Under that law the director has elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the director must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and the profit or loss of the company for that period. In preparing these financial statements, the director is required to : e select suitable accounting policies and then apply them consistently e make judgements and accounting estimates that are reasonable and prudent e state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements and

e prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.

The director is responsible for keeping adequate accounting records that are sufficient to show and explain the company’s transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. The director is also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

The director is responsible for the maintenance and integrity of the corporate and financial information included on the company's website. Legislation in the United Kingdom, governing the preparation and dissemination of financial statements, may differ from legislation in other jurisdictions
