## **Declaration of Interest** 

All trustees are members of the Kent & East Sussex Railway Company Ltd (K&ESR). Matt Hyner and David Nibloe are (and remain) trustees of the K&ESR. Graham Hukins is the Commercial Manager of the North Norfolk Railway (NNR). Graham has no managerial responsibility for or pecuniary interest in NNR Engineering (NNRE), NNR’s wholly owned subsidiary, that was contracted by K&ESR to overhaul No 3 _Bodiam/_ 70 _Poplar_ .

Trustee Patrick Favell was Secretary throughout 2022/23. 

## **Governance** 

The constitution of The Terrier Trust CIO (TTT-CIO) was approved by the Charity Commission on 26 February 2016. The charity is a charitable incorporated organisation (CIO) having an ‘Association’ Model Constitution and minimum of three and a maximum of five trustees. 

At every Annual General Meeting (AGM) of the members of the CIO, one-third of the charity trustees shall retire from office and are eligible for re-election. All trustees give their time voluntarily and receive no remuneration or other benefits. The incorporated charity TTT-CIO replaced and received all the assets and members of unincorporated charity The Terrier Trust (Registered Charity No 1050480). 

## **Objectives and Activities** 

To advance the education of the public about the engineering achievement and legacy of steam railway engines, in particular but not exclusively by the acquisition, preservation, restoration and maintenance

of locomotives of the Terrier Class, designed by William Stroudley of the former London Brighton and South Coast Railway, for public display and operation. 

TTT-CIO owns 100% of No 2678 _Knowle_ and owns 75% of No 3 _Bodiam/_ 70 _Poplar_ , with the K&ESR owning the other 25%. Both locomotives are based at the K&ESR, which maintains and operates them under long-term hire agreements signed in 2017. Each locomotive has a brass plate in its cab showing its ownership. 

Our website, www.terriertrust.org.uk, provides information about the TTT-CIO and how it can be supported, together with news, educational material and ongoing appeals and projects. 

The trustees of TTT-CIO thank our members and the K&ESR for their continuing support. 

## **Achievements and Performance** 

2022-23 can be summarised as one with glorious successes followed by huge disappointment. 

L&BSCR No 70 _Poplar,_ the first of the class and one of the first batch of six locomotives to enter service, was built in 1872. As explained previously, the Trustees had decided that the 150[th] anniversary of _Poplar_ and the Terrier class in 2022 would provide an excellent opportunity to meet our public benefit objectives through the promotion of Terriers in partnership with the K&ESR. 

The ‘Terrier 150 Appeal’ raised £150,000 to finance the restoration of both locos and in May 2021 _Knowle_ was the first to return to service as Southern Railway 2678. It made visits to a number of other heritage lines, with an extended stay at the Didcot Railway Centre before returning in early 2022. Unfortunately, an examination found that the chassis needed a major overhaul ( _Poplar_ had had similar work done at the NNRE) and so was restricted to light duties. 

Work on the overhaul of _Bodiam_ at the Weybourne Works of NNRE began in 2019 but after delays caused by covid restrictions did not return until 13[th] May 2023. This left very limited time before the press launch was to be on 31[st] May for Rolvenden to finish off the overhaul. The work included the remaining fitting tasks, completion of the repaint into Stroudley Improved Engine Green as No 70 _Poplar_ and some running-in trips. Staff and volunteers worked long hours to ensure this deadline was met and we would like to thank them for going above and beyond to achieve it just in time. The press launch was well-attended and achieved good coverage, including a video package on ITV Meridian News. A well-filled Special for members of TTT and K&ESR was run that evening. On 2[nd] June, both Terriers hauled the first public passenger train after _Poplar’s_ overhaul and our Terriers continued to double-head passenger trains trouble-free throughout the three-day Platinum Jubilee weekend. Since arriving back at the K&ESR, _Poplar_ had run over 200 miles without problems. 

Our Terriers are very popular locomotives and working visits by _Poplar_ to other heritage lines were planned. However, the first outing was as a static exhibit at the Poplar Dockland Light Railway Depot to star in the ‘Tracks Through Poplar’ education project which was 73% funded by the Lottery Heritage Fund grant awarded in 2020. Our partners Global Learning London had co-created a railway themed educational resource with children from local schools which freely available through our website. _Poplar’s_ visit allowed some of the children to walk to the depot and see the loco for themselves, stand in the cab and have the controls explained. The project required a lot more input from TTT and K&ESR than originally expected and again volunteers and staff pulled out all the stops to make the 8-day Poplar depot event (during an extreme heat wave) a great success – the smiles on the children’s faces rewarded our efforts. The loco was also visited by 500 members of the public over the middle weekend

when there were no school visits. The DLR staff also enjoyed the visit and their co-operation helped make the event a great success. 

Next _Poplar_ went to the Bluebell Railway for the ‘Fenchurch 150 Gala’. Although their Terrier 72 _Fenchurch_ was still under overhaul, _Poplar_ was joined by a Terrier from the Isle of Wight Railway. However, on the first day of the event, whilst double-heading with W11, disaster struck as _Poplar’s_ big end bearings seized as the train entered Horsted Keynes station. It is very disappointing for us all that _Poplar_ has been out of service ever since, pending the conclusion of the K&ESR’s insurance claim. At the date of this report, the protracted negotiations were still ongoing and so over a year since the incident, repairs have not yet begun. As a consequence, our plans for _Poplar’s_ T150 celebrations during the rest of 2022 had to be abandoned. 

_Knowle_ was also withdrawn from service to prevent more damage pending the chassis overhaul. Given _Knowle’s_ own 150[th] anniversary is in 2030, the trustees current thinking is that the best strategy is to start the next 10-year overhaul early so that it can be in traffic for its 150[th] Anniversary in 2030. However, funding will be necessary to make this possible and sources are being actively pursued. 

## **Poplar Education Project** 

This project was conceived in late 2020 and in May 2021 we obtained a National Lottery Heritage Fund award of up to £33,000 (73% of the £45,032 budget). On completion total expenditure was slightly under budget at £43,671 so that the NLHF paid us £31,880 and TTT-CIO funded the remaining £11,791. The project completion and evaluation reports were signed off by the NLHF and after their final grant payment was received and all bills settled the project was closed. 


The educational resource produced by the project is available to anyone at no charge from our website (https://terriertrust.org.uk/education) and nationwide to schools through the Schools Library Services with additional resources boxes. 


Prior to the end of the financial year this unique project was nominated for the Team Award at the 2023 Heritage Railway Association Awards. Our team comprised the three project partners and we were one of only three submissions to be short-listed. Trustees attended the Awards Ceremony in Birmingham on 10[th] March 2023 and, although disappointed that the project team did not win the award, we were pleased to receive a framed ‘short-listed’ certificate to mark our achievement. 

## **Financial Review** 

As at 31 January 2023, the balance on TTT-CIO’s bank accounts was £67,685 (2021/22 £70,249). In 2022/23 income was £21,071 (2021/22 £20,163) and expenditure was £23,535 (2020/21 £13,330). The majority of the expenditure comprised contributions to the Terrier Education Project that was organised in partnership with the K&ESR and Global Learning London and was part funded by a National Lottery Heritage Fund grant; the project was successfully completed at end March 2023.

The Trust’s routine sources of income are donations and membership subscriptions with additional funds for specific projects obtained from grant applications and appeals. 

The Trust’s Reserves Policy is to maintain an Emergency Reserve, e.g. to allow the TTT-CIO to safeguard its locomotives should K&ESR encounter serious financial difficulties. The trustees consider £50,000 to be an appropriate figure and this amount is contained within the bank balances. 

The trustees have not identified any significant risks to prevent it from continuing its planned programme in 2023-24.

- 1 Under the Ownership Agreement of 2001 and Transfer Agreement of 2017, 'Bodiam' is owned by The Terrier Trust CIO and the Kent & East Sussex Railway Company Ltd in the ratio 75:25. 

2 'Bodiam' was placed in store from 31-Dec-16 and is not being depreciated. As at 31-Jan-21 it was part-way through a 10-year overhaul. 

- 3 'Knowle' is wholly owned by The Terrier Trust CIO. 

4 'Knowle' was withdrawn from service in February 2019 after which it was not depreciated. 

- 5 'Knowle' was revalued to £200,000 on 31-Jan-21, shortly after the completion of 10-year overhaul. 

6 The Terrier Trust's interests in 'Bodiam' and 'Knowle' were transferred to The Terrier Trust CIO on 18-Nov-17. 

7 The Terrier Trust CIO has committed to contribute £10,000 in 2022-23 to the Terrier 150 Appeal Restricted Fund held by the Kent & East Sussex Railway Company Ltd.

I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 31-Jan-21. 

Responsibilites and basis of report: As the charity trustees of the Trust, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

1 The Terrier Trust's interests in 'Bodiam' and 'Knowle' were transferred to The Terrier Trust CIO on 18-Nov-17. 

2 Under the Ownership Agreement of 2001 and Transfer Agreement of 2017, 'Bodiam' is owned by The Terrier Trust CIO and the Kent & East Sussex Railway Company Ltd in the ratio 75:25. 

3 'Bodiam' was withdrawn in December 2016 after which it was not depreciated. Revalued to £200,000 In June 2022, shortly after the completion of its '10-year' overhaul. 

4 Bodiam' was withdrawn on 29-Jul-22 due to a major mechnical failure at the Bluebell Railway. For the brief period in traffic depreciated pro rata at £5,000 p.a. on a straight-line basis. 5 'Knowle' is wholly owned by The Terrier Trust CIO. 

6 'Knowle' was withdrawn in February 2019 after which it was not depreciated then revalued to £200,000 on 31-Jan-21, shortly after the completion of its 10-year overhaul. 

7 'Knowle' was withdrawn in June 2022 needing a chassis overhaul. For period in traffic depreciated pro rata at £5,000 p.a. on a straight-line basis. 

8 TEP 2021- 23: The Terrier Trust CIO is fundholder for the NHLF's grant (73% of project costs) and has committed to contribute 27% (maximum £12,032) of own funds by end March 2023. 9 Terrier Education Project. £304 remains to be claimed from the Heritage Lottery Fund's grant. 

10 2023: £2,000 for the return to traffic of  'Knowle' & £3,693 NHLF advance funding for the TEP. 2022: £3418 HLF advance funding for the TEP.

It is my responsibility to state, on t General Directions given by the Charity Commissioners under section 43(7)(b) of the Act, whether particular matters have come to my attention Basis.
