GREENBANKS CARE TRUST TRUSTEES REPORT
The Trustees (who are also directors of the charitable company for the purposes of company law) present their annual report together with the financial statements of Greenbanks Care Trust (the charitable company) for the year ended 31 October 2025. The Trustees confirm that the annual report and financial statements of the charitable company have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the Companies Act 2006, the Financial Reporting Standard for Smaller Entities (effective January 2015) and the Statement of Recommended Practice.
Structure, governance and management
a) Constitution
The charitable company is registered as a charitable company limited by guarantee and was set up by a Memorandum and Articles of Association on 5 October 2015 and is a registered charity number 1165685.
The reference and administration information is set out on page 1 of the financial statements
b) Method of appointment of election of trustees
The management of the charitable company is the responsibility of the trustees who are elected and co-opted under the terms of the Memorandum and Articles of Association.
c) Policies adopted for the induction and training of trustees

The Trustees have been chosen with a view of their providing the charitable company with a range of skills expedient to setting up, development and management of the running of the Greenbanks Care Trust.

d) Organisation structure and decision making

The charitable company is relying upon the guidance issued by the Charity Commission in relation to decision making. There is no formal scheme for training trustees at present but this will be kept under close review
Objectives and Activities
The Charity supports people with learning disabilities, to live happy and fulfilling lives by the provision of accommodation, sustenance, education, training and care, to enable the beneficiaries to contribute as far as possible to their own well-being and maintenance and to ensure that they live happy and useful lives.
Achievements and performance
During the year, the Trust continued to strengthen its financial position as a result of legacy donations, enabling further progress towards its long ‑ term objectives and supporting the sustainability of Greenbanks House. Following a review of the Trust’s finances, the Trustees agreed that the Trust was able to offer to purchase shares from existing shareholders in Greenbanks House Ltd. The Trustees agreed to release up to £128,000 from reserves to enable the purchase of up to eight shareholdings at a price of £16,000 per share, in line with the proposals previously presented to and agreed by shareholders at the Board AGM.
The Trustees considered this to be a prudent use of the Trust’s resources, balancing the opportunity to increase the Trust’s stake in Greenbanks House with the need to maintain financial resilience and stability in the context of ongoing operational pressures. This approach places the Trust well to continue supporting the home and its residents while safeguarding its ability to respond to future risks and opportunities
At the time of signing the Trustees report the Trustees are pleased to report that six shareholdings have been purchased (in two cases the proceeds have then been donated) and one further shareholding was gifted, giving the Charity in total 50% of the shareholding of Greenbanks House Ltd
These steps have been taken in furtherance of the Trust’s charitable purposes, helping to secure the long ‑ term sustainability of Greenbanks House for the benefit of its residents.
Fundraising and other voluntary income continued to support the Trust’s work during the year: total income was £25,686, including donations and grants of £23,989, Gift Aid of £867 and fundraising income of £3,391, with costs of raising funds of £223.
The Trustees would particularly like to thank Claudia Carey and the Women’s East Kent Bowls Club for choosing Greenbanks Care Trust as their nominated charity and raising £4311.52 over the year. We would also like to express thanks to Matt Gurney for his fundraising efforts, completing another London marathon in aid of the Care Trust. The donations were used to purchase much needed additional equipment for Greenbanks House.

Plans for the future
Building on the progress made during the year, the Trustees will continue to deliver the long ‑ term objectives set out in the Trust’s original strategy, taking a measured and financially prudent approach to future activity. In particular, the Trustees will continue to implement their agreed approach to the acquisition of shares in Greenbanks House Ltd, supported by the designated share purchase reserve disclosed within these accounts. This reserve provides a clear framework for the orderly purchase of shares from existing shareholders, while ensuring that sufficient funds are retained to protect the Trust’s financial resilience and its ability to respond to future pressures.
The Trustees’ ongoing objectives remain unchanged and include:

Developing and implementing a fundraising strategy to increase income from external organisations.

Maintaining a close and effective working relationship with the Greenbanks House Board.

Strengthening trustee knowledge and training to support regulatory and inspection requirements.

Raising awareness of Greenbanks within the local community

Accepting voluntary donations of shares where this supports the Trust’s charitable purposes
The Trustees expect discussions with the Greenbanks House Board to continue regarding how the Trust can best support the long ‑ term business model of the House. The Trust remains willing to receive shares donated voluntarily by shareholders and to hold those shares in trust. Any such arrangements will be considered carefully, managed in accordance with normal procedures, and undertaken in the best interests of residents.
Review of financial position
The charity has received income of £25,686(2024 £44,416 during the year which included Gift aid of £867 (2024 £757) and incurred expenditure of £13,930(2024 £9,229) resulting in a surplus of £11,756(2024 £35,187) further details can be found on page 6
Public benefit
When considering the Greenbanks Care Trust activities, the trustees have complied with the duty in Section 4 of the Charities Act 2011 to have due regard to the Charity Commission's general guidance on public benefit.

Trustees' responsibilities in financial statements
The Charity Trustees are responsible for preparing a trustees' annual report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
The law applicable to charities in England and Wales requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, of the charity for that period. In preparing these financial statements, the trustees are required to:

select suitable accounting policies and then apply them consistently;
-
make judgements and estimates that are reasonable and prudent;
-
state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and prepare the financial statements on the going concern basis unless it is inappropriate to

presume that the charitable company will continue in operation.
The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations and the provisions of the Trust deed. They are also responsible for safeguarding the assets of the charity and for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The Trustees are responsible for the maintenance and integrity of the corporate and financial information. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other

INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF GREENBANKS CARE TRUST
I report to the charity trustees on my examination of the accounts of the company for the year ended 31st October 2025 which are set out on pages 6 to 9.
Responsibilities and basis of report
As the charity Trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (''the 2006 Act'').
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your Charity's accounts as carried out under section 145 of the Charities Act 2011 (''the 2011 Act''). In carrying out my examination I have followed the Directions' given by the Charity Commission under section 145(5)(b) of the 2011 Act.
Independent examiner's statements
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

1 accounting records were not kept in respect of the company as required by section 386 of the 2006 Act; or

2 the accounts do not accord with those records; or
-
3 the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or
-
4 the accounts have not been prepared in accordance with the Charities SORP (FRS102).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
Use of Report
This report is made solely to the Company's Trustees, as a body, in accordance with section 145 of the Charities Act 2011 and regulations made under section 145 of that Act. My work has been undertaken so that I might state to the Company's Trustees those matters I am required to state to them in an Independent examiner's report and for no other purpose. To the fullest extent permitted by law, I do not accept or assume responsibility to anyone other than the Company and the Company's Trustees as a body, for my work or this report.

For the financial year in question the Company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.
No members have required the Company to obtain an audit of its accounts for the year in accordance with section 476 of the Companies Act 2006.
The Directors acknowledge their responsibility for complying with the requirements of the Act with respect to accounting records and for the preparation of the accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime .

1 Accounting Policies
The principal accounting policies adopted, judgements and key sources of estimation uncertainty in the preparation of the financial statements are as follows:
a) General information and basis of Preparation
The charity constitutes a public benefit entity as defined by FRS 102. The financial statements are prepared under the historical cost convention.

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued on 16th July 2014 as updated through Update Bulletin 1 published on 1st January 2019, the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102), the Charities Act 2011, Companies Act 2006 and UK Generally Accepted Practice as it applies from 1 January 2019
There are no material uncertainties related to events or conditions which would cast doubt on the Charity's ability to continue as a going concern.
The financial statements will be prepared in sterling which is the functional currency of the charity and rounded
b) Incoming resources
All incoming resources are included in the statement of financial activities when the charitable company is legally entitled to the income and the amount can be quantified with reasonable accuracy.
No amounts are included in the financial statements for services donated by volunteers.
Income tax recoverable in relation to donations received under gift aid or deeds of covenant is recognised at the time of the donation.
Fundraising income is recognised when the income is receivable.
c) Resources expended
All expenditure is accounted for on an accruals basis and has been included under expense categories that aggregate all costs for allocation to activities. All expenditure includes attributable VAT which cannot be recovered. Where costs cannot be directly attributed to particular activities they have been allocated on a basis consistent with the use of the resources.
Costs of generating funds include fundraising, publicity costs and non-charitable trading activities together with their related support costs.
Support costs are those costs incurred directly in support of expenditure on the objects of the charitable company and are allocated across charitable and non-charitable activities on a pro-rata basis guided by the value of attributable costs, unless they can be attributed directly, being a measurement considered representative of the specific input into each activity.
Governance costs include those costs associated with meeting the constitutional and statuette requirements of the Charity and include Independent examination fees.
d Company Status
The charitable company is a company limited by guarantee. In the event of the charitable company being wound up, the liability in respect of the guarantee is limited to £10 per member of the charitable company. 8 Contingent Liability ( an update)
We reported in the 2024 statutory accounts that the Charity was the sole residuary beneficiary under the will of the Late Mrs Freda Goodridge, also known as Swami Satyaratnanda whose son is a resident of Greenbanks House. We reported that the Deputy for Freda’s son Malcolm was considering making a claim against the estate under the Inheritance (Provision for Family and Dependants) Act 1975 and that negotiations were taking place. The Directors as part of these negotiations created a Designated Fund to put aside £75,000 should resident fees not be paid by the local authority. We are pleased to report that these negotiations concluded in December 2025 and that the executors were then able to distribute the estate and the Charity received in early 2026 the sum of £205,390 which is considerably less than the figure we were advised the net estate was worth in 2023 approximately £212,000, We anticipated the solicitors, who are also the executor's costs in negotiating a settlement would be high. We have not received any breakdown of the costs and have only been able to deduct the amount received from the debtor we had brought forward.
