STRUCTURE, GOVERNANCE AND MANAGEMENT
GOVERNING DOCUMENT
Central Vineyard Northampton is a Charitable Incorporated Organisation. Charity Registration No. 1165184.
ORGANISATIONAL STRUCTURE
The day to day running of the church is delegated to the pastoral and administrative staff led by the Lead Pastors, Revd Stephen & Tammy Gee. Stephen Gee is also a trustee.
APPOINTMENT OF TRUSTEES
A new trustee may be appointed by a resolution of the Trustees passed at a meeting of Trustees at which there is a majority of the Trustees present and such resolution shall be recorded in the minutes and signed by the new Trustee and by the chairman of the meeting and such records shall be conclusive evidence of his / her appointment.
RELATIONSHIP WITH VINEYARD CHURCHES UK & IRELAND
Central Vineyard Northampton is a member of Vineyard Churches UK & Ireland, (Charity No. 1099748) which functions as a resource for similar churches. In particular, they provide significant resources, training and pastoral oversight. Membership also allows Stephen & Tammy Gee to be a licensed accredited pastors who has a right to use the trademarked “Vineyard” name.
The association provides pastoral care for the Lead Pastors and family, and an external reference concerning church affairs and doctrine. Steve & Tammy Gee also have some trans-local Leadership and serve Vineyard Churches UK & Ireland as Regional Leaders for the Midlands and North of England helping to overseeing 33 other Vineyard churches. Central Vineyard Northampton grants 5% of its annual unrestricted income to Vineyard Churches UK & Ireland.
LEADERSHIP STRUCTURE
Central Vineyard Northampton has four areas of leadership which overlap under the overall direction of the Lead Pastors. Each area has distinct responsibilities in order to take adequate care of each church member and continue ongoing outward ministry to benefit the community. The leadership structure and responsibilities are as follows:

Group leaders are the pastoral carers of the church, so they provide “one to one” pastoral care for church members. They also help teach and train church members in a life of following Jesus (i.e, the Christian Faith).

OUR VISION
Central Vineyard Northampton operates in two distinct church communities; Central Vineyard (Working name) that gathers at 42 Sheep Street, Northampton and Nene Valley Vineyard (Working name) that gathers in Raunds, in East Northamptonshire.
Although both church communities operate under the same charity, they have each established their own local vision for the communities they serve:

Intentional Community
Being an Intentional Community - this is about loving, supporting and discipling each other in the position we are in.
Counter Formation
Practicing the way of Jesus together - we call it Counter Formation, which is about living and practising spiritual disciplines in community. This is often counter to how the world forms us.
Kingdom Mission
Proactively seek to renew the neighbourhoods around us through Kingdom Mission. We seek to look at the needs of the people and neighbourhoods around us, responding to practical, social or spiritual needs in the power of the Holy Spirit.

THE CHARITABLE OBJECTIVES OF CENTRAL VINEYARD NORTHAMPTON

A. The advancement of the Christian faith in accordance with the Vineyard Churches UK statement of faith, values, priorities, practices and leadership standards appearing in the schedule hereto in Northampton and in such other parts of the United Kingdom as the trustees may from time to time think fit.

B. The relief of the poor and needy, the sick and elderly in Northampton and in such other parts of the United Kingdom or the World as the trustees may from time to time see fit.

C. The furtherance of religious or secular public education.

D. Such other charitable object and for the benefit of such other charitable institutions as the trustees in their absolute discretion see fit.
The activities of Central Vineyard Northampton can be summarised as follows:

A. Providing worship for those who attend the church on a weekly basis.

B. Proclaiming the gospel of Jesus Christ through teaching and demonstrating the love, mercy and grace of God.

C. Undertaking regular ‘projects’, that aim to provide help and assistance to those in need, to encourage people to be more aware of God and to demonstrate the gospel of Jesus Christ in a practical and tangible way.

D. Providing emergency food parcels to families and individuals in crisis through our Northampton Food Bank project.

E. Caring for the most vulnerable and homeless in our community through our weekly Soup Run and involvement with the Northampton Street Church.
The trustees believe that Central Vineyard Northampton complies with the Charities Commission’s guidance on public benefit and in particular, the specific guidance on charities for the advancement of religion.

ACHIEVEMENTS AND PERFORMANCE
In planning the charity’s activities the Trustees have given consideration to the guidance provided by the Charity Commission on ‘public benefit’ issued in December 1998.
Change & Transition
The 2022 - 23 FY represents a continued time of change and transition as we seek to go from functioning as a Multisite church to becoming four autonomous Vineyard churches. This transition started in April 2021, with the Kettering site becoming Kettering Vineyard and then in October 2021 with the Raunds & Wellingborough sites merging to form Nene Valley Vineyard.
Then in April 2022 Steve & Tammy Gee came off the church payroll and in July they stepped down from the day-to-day leadership in Central Vineyard. In the interim Steve & Tammy remain the licensed pastors, allowing both Central Vineyard and Nene Valley Vineyard to meet the licensing requirements for the use of the trademarked “Vineyard” name, and they now function as the Founding Pastors, giving leadership and oversight to our transitioning structure.
In their absence a Leadership Team has been appointed over Central Vineyard, until suitable Licensed Pastors are appointed. This team, made up of paid and volunteer staff currently takes care of the pastoral and operational needs of the church. Similarly Tom & Ashleigh Nicholson continue to take the lead of the church community in Raunds (which from October 2021 is known as Nene Valley Vineyard).
Plans are in place to appoint new Licensed Pastors of Central Vineyard in 2024 and also for Nene Valley Vineyard to become an independent charity, so that Tom & Ashleigh Nicholson can be Licensed by Vineyard Churches UK & Ireland.
All of these changes form the next phase of our new structure, which has taken us from being one church that met in multiple locations to becoming a family of churches, gathered across the NN and MK postcode area.
CV Family of Churches
We believe this transition helps to simplify our structure, it will give each church location more local autonomy and it will enable us to go further than we've previously imagined, while remaining rooted in the conviction that we are better together than we are alone.

In practice this means that everything we do flows out of a foundation of friendship, where we are seeking to learn together, share resources and collaborate, with a renewed commitment of planting even more healthy reproducing churches.
As part of the CV Family in July 2022 we had the joy of commissioning Steve & Tammy Gee to plant Garden City Vineyard in Milton Keynes and have continued to support this new church plant financially each month as a Family of Churches.

Central Vineyard Achievements
With a new leadership team, a refined vision statement and strategic focus areas identified, we are thankful for God’s provision for the year, of which here are some highlights.
i) Intentional Community
-
Summer Hospitality groups - we launched a range of hospitality groups that were led by members of the church to seek opportunities in practising hospitality and building relationships. These included sharing food together, going for walks, a supper club and a game night for example.

Equipping - we also ran a set of 3 evenings where we explored what community means as a church
-
Through the above we identified Community Circle leaders who could lead our small groups as we explored practising community together.

Community Circles were launched in October 2022 - 3 in total and to start with they gathered people into their groups and started to build a rhythm of community together. Included in the rhythm was practising the way of Jesus together. The first practice was Sabbath which was explored in the groups through teaching and practice in the community.

ii) Counter Formation
-
Prayer - Upper room. We continued to make room to hear God’s voice for Northampton and our church. Our monthly Friday evening prayer meeting has continued to be a popular place to pray and seek God together.

Ran Leadership Essentials and Theology Cohort to equip our leaders and gather those who wanted to go deeper in theology

Kids, Youth and Families ministry
-
Kids Ministry taught a programme including Old and New Testament biblical sessions using God’s Big Story to help children to understand how the Bible speaks to them and how God’s Big Story fits together and is relevant for their everyday life.

The Youth Ministry on Sunday followed a similar programme to the children’s programme but tailored to older secondary-school aged children. On Wednesdays, Youth met and explored the Bible further together. They also explored Apologetics to help understand more about how to answer big questions when out in the world.

- Our Families, Children’s and Youth Pastor also had a day a week to go out into schools and take God’s Big Story into schools. The relationship with schools has gone deeper and the resources have been highly appreciated by the schools to deliver religious education in a helpful and practical way

iii) Kingdom Mission

We continue to support Restore Northampton as part of our Compassion ministry
-
We created a “Stories from 42” slot in our Sunday services to communicate how God is working outside of the church building. We hear about our compassion ministries, how God is working in the workplaces he has put our church members, stories of answers to prayer and opportunities to step into

We had a group go to a local school to repaint the playground and we were able to bless the school through helping them
-
We held a 7 week Christianity Explored course in Farsi with several Iranians and saw a few commit their lives to Jesus.
Nene Valley Vineyard Achievements
i) Solidified the congregation in the wake of new leadership, new structures and a new name and build a new unified community. By March 2023 we had more new faces than those who were attending prior to the changes.
ii) Established new Community groups aimed at bringing people “together” as our vision statement suggests, that reach out in the various communities across the Nene Valley.
iii) Strengthened existing ministry leaders, and put in place new ones, particularly appointing folks to lead our Communities, Dot to Tot, worship and building a team to help plan Sunday teaching.
iii) Started a new preschooler stay-and-play called ‘Dot to Tot’, that engaged over 75 families in its first 10 months in operation.
iv) Engaged in generosity at Christmas - working with local foodbanks to provide gifts for families, providing a Christmas Day meal for isolated individuals in Thrapston, a free community Kids Christmas Party.
v) Built a partnership with the Souster Youth Trust to provide Culture & Ethics lessons in Manor School, ultimately starting a Lunchtime Club every Friday with 20+ pupils.

Summary
The Trustees consider that they have complied with section 4 of the Charities Act 2006 and that the church and its membership are meeting the charitable objectives that were determined when the church was formed. As it grows, it is expected that the church’s community will have further opportunities to increase its activity and influence.

FINANCIAL REVIEW
Financial Performance
Our funds primarily come from gifts and offerings by members of the church as part of their act of worship. We also received funds through grants made toward the different projects we run.
Income for the year was £283,188 (2021-22 £281,498). Expenditure for the year was £249,837 (2021-22 £295,853).
The Trustees have considered the level of reserves they wish to retain, appropriate to the charity's needs. This Is based on the charity's size and the level of financial commitments held. The Trustees aim to ensure the charity will be able to continue to fulfil its charitable objectives even if there is a temporary shortfall in Income or unexpected expenditure. The Trustees will endeavour not to set aside funds unnecessarily.
Independent Examiner
CVS Northamptonshire has agreed to offer herself as Independent Examiner of Central Vineyard Northampton.

1. BASIS OF PREPARATION
1.1 Basis of Accounting
The accounts have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued on 16 July 2014, the Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland (FRS102) and with the Charities Act 2011. The charity constitutes a public benefit entity as defined by FRS 102.
The financial statements are prepared on a going concern basis under the historical cost convention modified to include certain items at fair value. The financial statements are presented in sterling which is the functional currency of the charity and rounded to the nearest £.
1.2 Going Concern
The financial statements have been prepared on a going concern basis as the trustees believe that no material uncertainties exist. The trustees have considered the level of funds held and the expected level of income and expenditure for 12 months from authorising these financial statements. The budgeted income and expenditure is sufficient with the level of reserves for the charity to be able to continue as a going concern.
2. ACCOUNTING POLICIES
2.1 Recognition of Income
All incoming resources are included in the Statement of Financial Activities (SoFA) when the charity is legally entitled to the income after any performance conditions have been met, the amount can be measured reliably and it is probable that the income will be received. For donations to be recognised the charity will have been notified of the amounts and the settlement date in writing. If there are conditions attached to the donation and this requires a level of performance before entitlement can be obtained then income is deferred until those conditions are fully met or the fulfilment of those conditions is within the control of the charity and it is probable that they will be fulfilled.
No amount is included in the financial statements for volunteer time in line with the SORP (FRS 102).

2.2 Recognition of Expenditure
All expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all costs related to the category. Expenditure is recognised where there is a legal or constructive obligation to make payments to third parties, it is
probable that the settlement will be required and the amount of the obligation can be measured reliably. It is categorised under the following heading:
- Expenditure on charitable activities includes all costs incurred in fulfilling the church’s objectives, together with any costs in support of these. This category includes costs normally considered support costs but because the building and staff are integral to fulfilling our objectives, they are included here.
2.3 Tangible fixed assets
Tangible fixed assets are stated at cost (or deemed cost) or valuation less accumulated depreciation and accumulated impairment losses. Cost includes costs directly attributable to making the asset capable of operating as intended. Depreciation has not been charged on the Building, because in the opinion of the Trustees, the residual value of the asset is not less than the original cost price. Minor fixed assets are only capitalised and depreciated for single items valued above £1,000 as follows:-
Depreciation on other fixed assets over £1,000 is calculated to write off the cost on a straight-line basis over their expected useful life, at the following rates:

2.4 Debtors and Creditors
Debtors and creditors with no stated interest rate and receivable or payable within one year are recorded at transaction price. Any losses arising from impairment are recognised in expenditure.
2.5 Provisions for Liabilities
A liability is measured on recognition at its historical cost and then subsequently measured at the best estimate of the amount required to settle the obligation at the reporting date

No employees had employee benefits in excess of £60,000. There is a defined contribution pension scheme in place for Church employees.
None of the trustees received any fees for their services as Trustees. S Gee is a Trustee and also has oversight for the church, during the year he not receive any remuneration (2021-22 £32,136). S. Gee was also reimbursed for expenses incurred whilst performing his duties for the church totalling £758 (2021-22 £1,568) during the period.
T Gee wife of S Gee was not paid a salary (2021-22 £24,480) during the year.
