The TrLJStees, who are the directors of the company lor the purposes of company law, present their annual
report and financial statements ol the charity lor the year ended 31 March 2023. This Trustees, Annual
Report is also the director's report lor company law purposes. The Fleference and adminislralive information
sel out on page 1 forms part of this report. The financial slalemenls comply with current stalulory
requirements, the charity's governing document, and the Slalemenl of Recommended Practice.. Accounting
and Reporting by Chartties preparing their accounts in accordance with the Financial Reporting Standard
applicable in the UK and Republic ol Ireland ISORP FRS 1021 ledilion October 2019, elleclive January
20191, and the Finan¢ial Reporting Standard applicable in the United Kingdom and Republi¢ ol Ireland IFRS
Income and expenditure have been analysed on a'natural basis, taking advantage of sections 4.6 and 4.22-
4.26 of this SORP.

STRUCTURE, GOVERNANCE ANO MANAGEMENT
CONSTITUTION
Rools4Lile is a Charitable Incorporated Organisalion ICIOI. It is governed by a Conslitulion, dated 25
September 2015, and was règistered al the Charity Commission on 30 December 2015. The Charity
Registration number is 1165003.
METHOD OF APPOINTMENT OR ELECTION OF TRUSTEES
The management ol the charity is the responsibility of the Trustees who are elected and co-opted to Conform
to the terms of the Memorandum and Articles ol Association.
An annual skills audit identifies any gaps in Trustees, existing skills and an open recruitment process is
conducted with Trustee skill profiles lo aid application. An advert is placed on Rools4Life website and other
voluntary sector recruitment sites lor volunteerl Trustee positions. Applications are made on re￿Ipl ol CV
and cover leller. New Trustees are interviewed by existing Trustees and the Charity Manager and are
appointed lor three years according lo the Roots4Life charitable conslitulion. Trustees are re-elected al the
POLICIES ADOPTED FOR THE INDUCTION AND TRAINING OF TRUSTEES
New trLJStees attend meetings and are familiarised with how the activities are designed to deliver charity
aims and objectives. They are termed Trainee Trustees until legally signed up as Directors ol the Company.

PUBLIC BENEFIT
In undertaking their duties, the trustees have had due regard lo the charity commission's guidance on public
benefit.
ORGANISATIONAL STRUCTURE AND DECISION MAKING
The key management personnel ol the charity report directly to the board of Trustees. The Charity as 0131
March 2022 had three employees - a full lime Charity Manager, a lull-lime Deputy Manager and a part-time
Horticultural Therapist and Gardener.
TRUSTEES AND OTHER RELATED PARTY RELATIONSHIPS
The Iruslees consider that the members ol the board are the primary related parties ol the charity- None of
the Trustees receive remuneration or other benefit from their work with the charity. Any connection between
a Trustee or staff ol the charity and a contractor, supplier or customer lo the charity musl be disclosed to the
full Board ol Trustees. In the current year no such related party transactions were reported.
The Iruslees have identified no other related party relationships or transactions lo report in the current year.
PAY POLICY FOR SENIOR MANAGEMENT PERSONNEL
The Manager's pay is reviewed al intervals. Remuneration is benchmarked against the range paid for similar
roles with similar levels of experience.
RISK MANAGEMENT
The Board of Trustees fully accepts ils responsibilities for ensuring that the major risks lo which the Charity
is exposed are idenlilied, and that there are systems and prcKedures in place The Trustees have assessed
the major risks lo which the charity is exposed - in particular, those related to the operations and finances of
the charity and are satisfied that the systems and procedures are in place lo mitigate the charity's exposure
to the major risks. Cash flow and forward lorecasling to the end ol the financial year are reviewed at every
trustee meeting. A budget lor all charity costs is prepared every year lo support loMard planning and is
regularly reviewed. There are no serious incidents to report.
The costs of living crisis and rising energy costs are having an impact on the organisalion's in¢ome and
service users. For this reason the reserves have been adjusted accordingly lo ensure we are able lo
continue to support our service users during these difficu￿ limes. The Charity is committed lo rising
additional unreslricled income through venue hire and providing paid educational, cooking and grow and
As a small new charity with the majority ol funding being reslricled, financial management has been
identified as a risk and considerable ellorl has been put in lo ensure Rools4Lile is able lo maintain good
financial management. The charity has invested in a new online accounts package QuickBooks which
allows the Charity lo monitor both grant expenditure and cashllow which have lo dale been done via excel

STAFF AND VOLUNTEERS
Rools4Lile is managed by a dedicated work-force who develop our education and environment aclivilies.
Trustees would like to record a note ol thanks to the stall and volunteer team. The stall team is Currently
three employees (two lull lime and one parl-limel and is supported in ils work by a growing volunteer team of
over 30 people helping with community fridge. food growing sessions and nature conservation.
ACHIEVEMENTS AND PERFORMANCE
Operating from the Baker Cenlre, a new community hub and 8.6-acre sile in New Eltham, Greenwich,
London, OLJr goal is lo ensure access to a heatthy and green life is accessible lo all ages.
OLJr community hub is a purpose-bLJiII centre that has a main hall. changing rooms, a reception, catering and
teaching kitchen facilities. The outdoor space measures 8.6 acres with a secure fence boundary and
includes raised beds lor vegetable growing, commercial-size polytunnel. garden, wetland area, orchard and
grass amphilhealre. Levi Roots officially opened our centre in July 2021. To dale we have welcome over
6,000 visitors since opening.

The charity incurred net expenditure for the year of £24,74712022 £1,206), delails ol which are shown in
the Slalemenl ol Financial Activities on page 10. This brings the charity's total funds lo £14.533 12022

Total income for the year was £117,51512022 - £87,746). Total expenditure amounted to £142,26212022

Reserves Pollcy
The charity s currently has no reserves policy.
Going Concern
Due lo the costs ol living and significant increases in energy bills, food and resource costs, Roots4Lile as a
small charity has struggled lo maintain ils financial security. A recent grant application being unsuccessful
has meant that as of August 2024 Rools4Life Trustees are reviewing ils capacity to manage the large 8 acre
sile and community building which is on 40 year lease. As parl ol this Trustees are reviewing closure ol the
charity and Iransilioning the lease lo another local charitable organisalion in negotiation wilh the sile owner.
As ol September 2024 discussions are ongoing with the site owner and the Royal Borough ol Greenwich.
Ftools4Life employees who are entitled to slalutory redundancy have been informed due lo a lack of funding
ol the likelihood ol closure as well as key donors and stakeholders.

The financial statements have been prepared under the histori¢al Cost convention with items
recognised at cost or transaction value unless olheNise staled in the relevant nolelsl to these
accounts. The financial slalements have been prepared in accordance with the Statement ol
Recommended Practice.. Accounting and Reporting by Charities preparing their accounts in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland
ISORP FRS 1021 ledilion October 2019, elleclive January 20191, and the Financial Reporting
Standard applicable in the United Kingdom and Republic ol Ireland IFRS 1021 and the Charities Act
2011.
Income and expendilure have been analysed on a 'nalural basis, taking advantage of sections 4.6
and 4.22-4.26 of the SORP.
The effect of events relating to the year ended 31 March 2023 which occurred before the dale ol
approval of the financial statements by the Trustees has been included in the linaneial statements to
the exlenl required lo show a true and fair view of the slate ol allairs al 31 March 2023 and the
results for the year ended on that date.
The financial statements have been prepared lo give a 'lrue and lair, view and have departed from
the Charities IAccounls and Reports) Regulations 2008 only lo the extent required to provide a 'lrue
and fair view.. This departure has involved following SORP 2015 rather than the Accounting and
Reporting by Charities.. Statement ol Recommended Pra¢lice effe¢live from 1 April 2005 ISORP
20051 which has since been withdrawn.
The CIO is a public benefit entity within the meaning of FRS 102.
Golng concern
The Trustees consider that there are no material uncertainties about the charills ability lo continue
as a going concern.
Key judgements that the charity has made which have a significant ellecl on the accounts include
estimating income and expenditure for the next 12 months.
Statement of Cash Flows
The Company has taken advantage of the exemption conferred by Section 1 of FRSI 02 in relation to
the Sialement of Cash Flows.
Income
All incoming resources are included in the Statement of Financial Activities when the Charity is
enlilled to the income and the amount can be quanlilied with reasonable accuracy. Grants which
have a reslriclion as lo liming are recognised over the period lor which they are given.
The value ol services provided by volunteers has not been included in the accounts.

Fund accounting
General funds are unreslricled funds which are available lor use al the discretion of the Trustees in
furtherance of the general objects of the Charity and which have not been designated for other
PLJrposes.
Restricted funds are funds which are to be used in accordance with specific reslriclions imposed by
donors which have been raised by the Charity lor particular purposes. The cost ol raising and
administering such funds are charged against the specific fund. The aim and use ol each reslricled
fund is sel out in the notes to the financial statements. Statutory grants which are given as
contributions towards the Charity's core services are treated as unreslricled.
Expenditu￿ and irrecoverable VA T
Expenditure is recognised once there is a legal or conslruclive obligation lo make a payment lo a
third paty, it is probable that selllemenl will be reqLJired and the amount of the obligation can be
measured reliably.
All the expenditure ol the charity is in the furtherance ol its charitable activities and includes the costs
ol delivering services Ljndertaken lo further the purposes ol the charity and their associated SLJPPOrt
costs.
Irrecoverable VAT is included in expenditure as parl ol the gross cost ol items. Where VAT is
recoverable, expenditure is shown net of this VAT.
Basic financial instruments
The charity only has financial assets and financial liabilities of a kind that qualify as basic financial
instruments. Basic linaneial instruments are initially recognised al transaction value and subsequently
measured al their settlement value with the exception ol bank loans which are subsequently
measured al amortised cost using the elleclive interest method.
Debtors
Trade and other debtors are recognised at the settlement amount due after any trade discoLJnl
ollered. Prepayments are valued at the amount prepaid nel ol any trade discounts due.
Cash at bank and in hand
Cash al bank and cash in hand includes cash and short term highly liquid investments with a short
malurily ol three months or less from the dale ol acquisition or opening of the deposit or similar
account.

Creditors and provisions
Creditors and provisions are recognised where the charity has a present obligation resulting from a
past event that will probably result in the transfer of funds to a third party and the amount due to settle
the obligation can be measured or estimated reliably. Creditors and provisions are normally
recognised at their settlement amount after allowing lor any trade discounts due.

During 2020-21, the signed a new propety lease lor 40 years with Linden Homes (the landlord). As
part of the lease agreement, the landlord made a one-oll payment of £100,000 to the charity lo be
used in offset against future repair costs ol the building. The charity musl return the building in the
same Condition as it was acquired, and the landlord retains the right to disallow the use of these funds
if they consider that supporting documents requested and provided are not salislaclory.

9. OPERATING LEASE COMMITMENTS
DLJring 2020-21, the charity entered a 40 year property lease with Linden Homes. Under the lease,
the charity is required to pay a peppercorn rent, and can serve notice of lerminalion of the lease al
any lime without penalties. The landlord cannot seNe notice ol lerminalion ol the lease during the
lease term.
In addition, under the terms of the lease, the landlord has made a one-off payment of £100,000 lo the
charity, as an advance payment in lieu ol covering any lulure repair costs. Al the end ol the lease
term. the charity musl return the premises in the same condition as at the start ol the lease.
While the lease transfers some rights and obligations ownership, the landlord retains lull ownership ol
the premises, and retains the right lo inspect the premises and any supporting documents in relation
to repair costs charged lo the £100,000 advance. In substan￿, the rights and obligations ol
ownership have not been transferred. Therefore the lease is treated as an operating lease in these
accounts.
BecaLJse the landlord retains the right lo inspect supporting documents in relation lo any repair costs
that are charged lo the £100k advance money, and can reject expenses that they consider
unsatisfactory, this amount is recorded as an advance in creditors. The amount will be released into
income when all conditions ol any chargeable repair Costs have been mel.
