## Trustees’ annual report

## for the year ended 5[th] April 2025

The trustees present their report and the unaudited financial statements for the year ended 5[th] April 2025.

Reference and administrative information set out on page 1 forms part of this report. The financial statements comply with current statutory requirements, the memorandum and articles of association and the Statement of Recommended Practice - Accounting and Reporting by Charities: SORP applicable to charities preparing their accounts in accordance with FRS 102.

## **Objectives and activities**

The aims of our charity are to advance such charitable purposes (according to the law of England and Wales) as the trustees see fit from time to time in particular but not limited to the advancement and promotion of health, education and amateur sport opportunities for the underprivileged in the UK and India for the public benefit by making grants and awards to organisations which provide such opportunities.

For the purposes of this clause 'underprivileged' means individuals in need of compassionate or financial assistance by reason of social or economic circumstances.

The trustees review the aims, objectives and activities of the charity each year. This report looks at what the charity has achieved and the outcomes of its work in the reporting period. The trustees report the success of each key activity and the benefits the charity has brought to those groups of people that it is set up to help. The review also helps the trustees ensure the charity's aims, objectives and activities remain focused on its stated purposes.

The trustees have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing the charity's aims and objectives and in planning its future activities. In particular, the trustees consider how planned activities will contribute to the aims and objectives that have been set.

## **Grant making policy**

Arora Foundation does not accept unsolicited grant applications. Grants are awarded to projects which meet the objectives of the charity.

## **Achievements and performance**

The charity's main activities and who it tries to help are undertaken to further charitable purposes for the public benefit.

for the year ended 5[th] April 2025

## **Financial review**

## **Investment policy and performance**

The Trustees agreed a risk averse strategy to investments and in the current economic climate have taken a prudent view to hold any cash funds in a bank account earning a small rate of interest.

## **Reserves policy**

The charity has sufficient reserves to continue its work. The Trustees continuously monitor cash flow.

## **Principal Funding Sources**

Arora Foundation is funded by donations from private individuals.

## **Structure, governance and management**

## **Governing Document**

The charity is set up as a charitable trust and its constitution is the Deed of Trust which established the objects and powers of the charity and it is governed under its Deed.

## **Organisational structure**

The day to day management of the organisation is the responsibility of Bobby Arora, who then reports to the trustees.

All trustees give their time voluntarily and receive no benefits from the charity.

## **Related parties and relationships with other organisations**

In so far as is complementary to the charity’s objectives, the charity is guided by the judgement and experience if its trustees.

## **Risk management**

The management has conducted a review of the major risks to which the charity is exposed. These are mainly in the area of grant making where a project may be supported which is not in line with the charity’s objectives or which does not deliver the results expected by the organisation. Systems and procedures have been introduced to mitigate these risks.

## Trustees’ annual report

for the year ended 5[th] April 2025

## **Statement of responsibilities of the trustees**

The trustees are responsible for preparing the trustees’ annual report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Charity law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure, of the charity for that period. In preparing these financial statements, the trustees are required to:

- Select suitable accounting policies and then apply them consistently

- Observe the methods and principles in the Charities SORP

- Make judgements and estimates that are reasonable and prudent

- State whether applicable UK Accounting Standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements

- Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Charities Act 2011. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

The trustees’ annual report has been approved by the trustees on 30/10/2025 and signed on their behalf by

Bobby Arora

## Independent Examiner’s Report

## to the members of

## Arora Foundation

I report on the accounts of the Charity for the year ended 5[th] April 2025 which are set out on pages 6 to 14.

## **Responsibilities and basis of report**

As the charity’s trustees you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).

I report in respect of my examination of the charity’s accounts carried out under section 145 of the Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

## **Independent examiner's statement**

Since the charity’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Association of Chartered Certified Accountants, which is one of the listed bodies.

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

1. accounting records were not kept in respect of the charity as required by section 130 of the Act; or

2. the accounts do not accord with those records; or

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view’ which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
