## **ANNUAL REPORT 2021/22** 

## **FOREWARD** 

This is our seventh annual report and covers the year from August 2021 to June 2022. The pandemic which had a major impact on visitor numbers, income and the range of services we can deliver. But as we recover from the pandemic you see our income increase from £113,664 in 2020 to £223,548 in 2021 

The Trust was also required to undertake extensive capital investments to improve fire safety and has opened floors 2 & 3 and is completing works on Floor 4 to open in early July 2022 , Plans are to continue improvements in the mill and invest extensive amounts on  Floor 5 to create an Event space and additional rentable units. 

It is hoped the opening of floors 2, 3 & 4 will create additional revenue to support our business plan. 

Nevertheless the Trust has survived the year with continued strong support from tenants, volunteers and other stakeholders and we look forward to coming back stronger.

## **WHO WE ARE** 

Leigh Building Preservation Trust is a registered charity (number 1164641) established in 2014. We are a Company limited by Guarantee number 9796346. We have Ten Trustees and currently have 64 registered volunteers some 46 of whom are regular attendees at the mill. 

The Trust was established to secure the restoration of the Grade II* Listed Leigh Spinners Mill, the largest building in Leigh with an initial emphasis on restoring our steam engine to operation. Since achieving this, the Trust has put a considerable amount of effort into providing space for local enterprises and the delivery of services to our local community. 

## **BUILDING DESCRIPTION**

The Leigh Spinners Mill comprises two main mill buildings built respectively in 1913 and 1925. The building has been extended several times to meet modern production needs and there are substantial modern extensions to the eastern, western and northern sides. These are modern portal framed structures now used for production and warehousing. The buildings sit in a large site of 8 acres. 

This Annual Report relates to progress on  Mill 2 of the complex. The Leigh Building Preservation Trust has taken a 99 year lease on this building subletting two floors (ground and first) back to Leigh Spinners Ltd. On these floors the Trust has retained the main reception area, and a first floor area of some 500 square meters, which has been converted into the main heritage area featuring our original very large steam engine. 

The  building has been converted to provide a range of smaller units but whilst these have proved popular the entrance and access from the main staircase remained as left by Leigh Spinners with a stepped entrance, a free standing reception desk with no disabled provision, and heavy industrial doors to each floor. Internally there were few  fire doors and whilst the Trust has refurbished the lift and installed a fire alarm system to the ground, first and second floors, further investment in a fixed alarm system was required to replace the current battery operated system. 

Internally there is a new electrical system with emergency lighting but externally lighting of our car park and routes to the mill entrance is poor and deters a number of people. 

A major achievement during the year was therefore to secure funding from the Community Ownership Fund to continue the development of our spaces,  and to begin the process of delivering services to our town which is an area of industrial decline with little local employment and relatively few services. 

## **COMMUNITY  PROJECT** 

The main emphasis during the year  was to create a management/ out reach promotion function to assist with the management of existing tenants and our heritage and meeting facilities, working with them to promote the use of the building’s facilities and services for the benefit of the local community. It will also address how the building is accessed particularly by people in those target groups unlikely to access the building particularly those with physical and learning difficulties to make it fully inclusive.

1. The appointment of a manager/ outreach officer to work with tenants and groups to maximise the use of the building’s facilities and opportunities; 

2. A capital element to provide enhanced entrances and spaces for new activities; 

3. A seed budget to support new activities/ small items of equipment/ access to facilities; 

4. Admin/ office support 

5. ICT support for new initiatives including purchase of computers and access to high speed internet. 

6. Purchase and initial operating costs of wheelchair enabled minibus. 

## This works included: 

1. Working with tenants, other groups and agencies to provide services to disenfranchised and hard to reach groups such as young people, ethnic minorities, the elderly and special needs groups. ; providing transport to enable local ethnic minority groups especially young people and schools to access our building. 

2. Promoting our meeting facilities to local residents – we will have four theatre/ performance spaces which will be capable of use on several days a week when not in use by the tenants. Examples of this could include working with residents’ associations to provide meeting opportunities, providing space to the local film society, working with schools on local productions. 

3. Developing community events using our spaces both inside and outside including a covered events area. We have already formed a partnership with Royal Exchange Theatre which will include the establishment of a pop up theatre in August 2021 and a legacy programme intended to increase cultural activity within Leigh. 

4. Working with groups and new social and commercial enterprises to enable them to develop to the point where they can take space within the building ensuring their sustainability but also enhancing the sustainability of the Trust and the project by generating additional income from rents. 

5. Improving access to digital facilities for local areas of deprivation to improve local peoples’ skills and employability. We now have a high quality 1 Gb internet access through a new link which will be enhanced shortly to provide the highest possible quality service to enable the mill to become a digital hub.

6. Improving access and signage to enable users to move around what is a very large building easily including enhancing disabled access, installing a hearing induction loop and additional disabled toilets. At present we have a disabled ramp and toilet but our doors are heavy and difficult for users with disabilities to use. We therefore wish to improve our entrances to make it easier to gain entry to the building and our second and third floors. 

7. Acquiring a wheel chair accessible mini bus to allow easy access for special groups ie elderly, those from a BME background and people with a physical disability. Providing a dedicated minibus for the mill will enable us to collect groups and deliver them to our entrance. Other uses for the minibus would be local schools. We have had nine school visits thus far this year most of whom have walked. 

8. Another area of use would be special groups seeking to access our sports and arts provision. 

As a consequence we now have a building which was extensively used by the public with 112,000 visitors per annum pro rata based on a survey in November 2019 and January 2020 showing 2314 visitors in a single week, is compliant with most regulations but is not designed or adapted to meet the needs of particular groups. Whilst lockdown has had a major impact on visitors we have no doubt we can return to these levels once full re-opening can be achieved. 

## **PROJECT OUTPUTS** 

We anticipated the following outputs during the next 12 months

## **OUTCOMES AND IMPACTS** 

The following outcomes and impacts are anticipated over the next two years based on the thought process above. 

1. Improved health as more people are encouraged to engage in healthy activities and fitness 

2. Improved Well Being though Increased opportunities for people to engage in cultural and heritage activities locally through visiting, using our facilities and volunteering 

3. Improved Economic Performance through provision of greater infrastructure to encourage and host start up businesses and social enterprises 

4. Attraction of inward investment for heritage and ongoing tourism 

5. Improved Community Pride within the area resulting from the improvement of the building and the increased range of community facilities available 

6. More engaged pupils within schools from enhanced educational experiences leading to increase ambition and attainment 

## **THE IMPACT OF THE PANDEMIC** 

There is no doubt that the Trust has been through a very difficult 24 months with Covid and fire safety issues combining to keep the mill largely empty and are now emerging from these difficulties. The Covid issues coincided with issues of fire safety due to previous poor advice which meant large sections of the mill had to be closed to tenants and visitors until works were completed. Despite this the Trust made considerable progress and has achieved the outputs and outcomes envisaged.: 

_1. Our major works for fire safety are now complete. There have been delays and difficulties over the delivery of a new staircase with wrong information  on the size of the opening and the condition of the ground floor which have unplanned cost implications but fortunately did not delay completion. The new staircase allows the full opening of the mill and includes making the fifth floor accessible so does bring additional benefits to the project. In particular it will_

_bring the whole of floor four into use and enable activity to begin on floor five. On floor four it will allow the use of spaces as galleries including for disaffected young people_ 

_2. A particular mention needs to be give to the fact that the Trust secured £250,000 under the first round of the Community Ownership Fund. This is providing match funding for much of the works in Mill Two but is enabling the Trust to acquire Mill One and our Bale Store._ 

_3. Positive news is that we have let all our units and there remains strong interest in any available spaces within the mill. This is colouring our thinking for floor five which can provide a range of units as well as events and community spaces._ 

_4. Work was undertaken on a master plan and condition survey for Mill One._ 

_5. We have provided free storage to a local food bank which needed space due to increased demand available spaces we have and have secured funding to develop a community supermarket_ 

_6. Despite having limited access to spaces within the mill we have maintained a service to tenants with eight tenants remaining in occupation throughout the pandemic but we now have 34 in situ with another 23 arriving soon when floor four is completed._ 

_7. A local BAME group Everything Human Rights has taken space_ 

_8. The Armed Forces HQ charity is also taking a large space with the idea of developing a hub in the mill_ 

_9. Our original café operator left and we have sought a new user. We were delighted to receive 12 proposals and selected Aspiring People a St Helens based CIC which operates an existing café but also provides community outdoor events._ 

_10. We continue to have a strong demand for space so have let one of our meeting rooms with a community supermarket taking space next to our new cafe._ 

_11. An LGBT+ group is establishing in the mill and we have hosted an inaugural Leigh Pride event which will become an annual event._ 

_12. Our schools programme has restarted with eleven visits since November 2021t._ 

_13. We have a project working with disaffected young people and NEETs ._ 

_14. An outdoor events programme is being developed with the Royal Exchange Theatre now coming in August and we have funding to develop an outdoor gym._ 

_15. A women's advice centre has taken space_ 

_16. We are providing storage and support for a group taking medical equipment into Ukraine.._

The role of General Manager will include responsibility for a continuous monitoring programme recording all outputs. A full assessment of Outcomes will be undertaken towards the end of the project as part of the wider impact assessment of the wider mill project.  Any external budget requirements for this will be met by the Trust as it will be reporting to several funders.

## **CONCLUSIONS** 

Despite the unique constraints of the pandemic and issues of fire safety following Grenfell the mill has survived, has retained its original purpose and has developed new and unanticipated roles in the community. We see the opportunity to complete Mill Two and are already working on the acquisition of Mill One which should be completed by June 2022.

There have been minor changes to the structure of the project and some anticipated outputs eg around educational and training qualifications especially ICT have not been achieved because of the pandemic but progress is being made in achieving these now tenants have returned. 

The project is increasingly seen as an exemplar in combining the restoration of a major listed building in a community with low levels of community activity into a hub delivering a wide range of services to our community as well as economic benefits through support for enterprise and tourism. 

There have been  unintended benefits as the mill has provided a resource for new initiatives and relocation of others which would have failed and this has been a major learning point.

I report to the charity trustees on my examination of pages one to thirteen of the accounts of the Company for the year ended 30 September 2021. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Long leasehold -  2% on cost Plant and machinery -  20% on cost Motor vehicles -  25% on cost

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme.  Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.
