The trustees have pleasure in presenting their report and the unaudited financial statements of the charity for the year ended 31 March 2023. 

## **OBJECTIVES AND ACTIVITIES** 

## **Charitable Objects** 

1. For the public benefit to advance education in and promote public appreciation of the art of drama. 

2. To relieve the needs of people with learning and/or physical disabilities by providing them with opportunities to engage in theatre, drama and movement as a creative, social and educational experience. 

## **Artistic Review** 

2022 2023 were: 

- To secure funding to enable the charity to continue to develop creative work with company, community, educational partners and venues, increasing Learning Disabled and quality arts provision in Derby, the East Midlands and beyond. 

- To bring co-created work (developed for The Drum, which began in 2019, postponed through Lockdown), out to public performance at Derby Feste Sep 2022 with the aim of generating interest from future partners for further performances in the summer of 2023. 

- in 2012 (before becoming a registered charity) with an installation of photos and memorabilia at Deda and a celebratory event for our partners and community. 

- To offer creative, social and performance experiences for our Learning Disabled community with weekly activity, The Hub, and to introduce a new Tuesday group. 

- To expand the Get Involved programme for people with additional needs, to feel they are fulfilling their individual potential, with a sense of purpose, community, and creative expression facilitated through being part of Hubbub Theatre Company. To bring communities in Derby/shire to experience a greater from those supporting members to

## **ACHEIVEMENT AND PERFORMANCE** 

The charity achieved an enormous amount, despite significant funding challenges, in this period April 2022March 2023. This included: 

1. The Drum 

2. Celebrating 10 Years of Creativity and Kindness Hubbub is 10!

4. Marketing and Communications 

5. Conferences and Profile Raising 

6. Get Involved Programme (our community programme) National Lottery Reaching Communities Fund 

## **1. The Drum** 

An essential part of our programme this year was the performance of The Drum at Derby Feste (an annual outdoor festival in Derby). The company had been working on The Drum since 2019 and, despite not receiving Arts Council England funding to support it, we achieved a brilliant presentation of the show even on a much-reduced budget and, through budget constraints, a new model of working was created which included the creative team working together without job titles or descriptions as equal co-creatives with all company members, experimenting with a more radical flat-lined, democratic rehearsal process in line with the organizational values of integrity, commitment, creativity, communication and kindness. This model proved highly effective and enhanced the co-creative process with all creatives taking lead on certain areas of strength that emerged during the process. The model has now been developed further across the company in all areas of delivery and has contributed to the new business model that formed the basis of a TEDX talk in May 2023. 

The show featured 9 LD performers, 2 actor musicians and 3 performers from core team members. It was BSL translated and introduced elements of integrated audio description. We had 2 performances: one reaching 60 attendees, and the second selling out, with 70+ attendees (some people watched from over the fences as they standing ovation and dancing and bunting-making as part of the Drum experience after the show. ## **The Drum @ Deda February 2023** 

Following the success of the show at Derby Feste, Deda (a centre for dance, movement and creativity in Derby in the Deda café after the final show. 339 people saw the show over the 4 days, including a sellout schools show funded directly by ReImagine Derby (a city-wide social and community impact initiative). 

The performances at Deda sparked interest in our workshops, leading to 5 new schools and community bookings (funded by National Lottery Community Fund) which in themselves bring new longer term creative partnerships into the Hubbub portfolio of work.

**2. Celebrating 10 Years of Creativity and Kindness Hubbub is 10!** highlight of this year and formed part of our birthday celebrations. Taking over the Deda building from Sep 2022 March 2023, this was a celebration of the development of the organisation and charity (from 2015) over the last 10 years. It included photographs of productions, events, rehearsals, and projects, as well as props, costumes and brilliantly entertaining Hubbub 

er we installed has now become a permanent fixture in the Deda café and we are now aspiring to create a 10 Year celebratory book in the coming year. Our 10th Birthday Party took place at Deda on 4th Nov 2022. It began with a cultivation event to celebrate current, and possible new, partnerships, and then continued 

**3. The Hubbub Way Training** Throughout 22-23 we saw an increase in demand for our training in inclusive and accessible practice from individuals and organisations. In particular, we delivered 2 sessions for the University of Derby, both for their BA Dance undergraduates, and their MA course in Applied Theatre. We also delivered:

Interest in and demand for our training continues to grow, largely as a result of funded organisations / charities needing to upskill in inclusive and accessible practice in order to deliver against newly developed internal targets.

## **4. Marketing and Communications** 

During 2022-2023 we saw an increase in the reach and distribution of our work on digital and social media platforms. 

Facebook engagement rose by 77.5% reaching 5,542 accounts 

Instagram rose by 275% reaching 690 accounts 

## **5. Conferences and Profile Raising** 

Throughout 2022-2023 we continued to deepen the skills, knowledge and expertise of the company despite restrictions on available funds. Our Artistic Director undertook professional development and opportunities to network and raise the profile of Hubbub Theatre across the region and sector. In particular, she completed the Clore Leadership Pulse Programme and became a trustee for Maison Foo, a Derbyshire-based theatre, art and community company. She attended and represented Hubbub as part of the East Midlands Participatory Arts Forum and was a member of the Arts Derbyshire panel. 

**6. Get Involved Programme National Lottery Reaching Communities Fund** The Get Involved programme (our community engagement programme) has benefited enormously from the investment from National Lottery Reaching Communities Fund.  The programme has delivered x7 free community workshops and has more planned for 23-24. 

The Hub group (part of the Get involved programme of activity) holds weekly workshops, and we reached capacity in 22-23, with a waiting list highlighting demand for our work. We delivered 4 taster sessions in 22-23 too, to encourage new community members into our Tuesday group and since the tasters, a NEW group began to meet -24 we will be requesting an uplift to support this additional group. The group decided that they would like to continue working together using creative activities to explore identity and Joyful Protest.

Some of the key successes of The Hub in 2022-23 are: 

- Creating a short film which was presented at The Hubbub 10th Birthday Party 

- Presenting and co-hosting their first x 2 social events including the Hubbub 10th Birthday Party, followed by the party after the final performance of The Drum in February. 

- DJ training, developing a Co-Director model and appointing x 2 Co-Directors to increase the democratic process throughout the group. thanks to a steady and caring approach to the delivery of the group. 

- The group feeding back that Hubbub is a place where they can be themselves and feel safe. Several participants have had major shifts in confidence, identity and noted feeling part of a community that matters. 

Going forward, The Hub will continue to increase co-leadership and teamwork deciding what they want to do next and developing personal, social and professional skills in the weekly workshops and the additional events. 

The Get Involved Programme across 22-23 also included Professional Development for staff, allowing for Team Development and Planning Days as well as concrete training in areas including: 

- Autism Awareness, Mindfulness, Effective Communication, Authentic Movement, Nature based working, Intensive Dance Interaction, Wellbeing for Creative Practitioners 

Additional training around Mental Health First Aid will happen in 23-24. We will also continue to train our new community Get Involved Co-Directors to lead all activity along with the community and team. These co-directors will also support reporting to NLCF and the board of Trustees. 

An external evaluator was recruited in 22-23 to evaluate the Get Involved programme, which will continue into 2324.

## **Organisational Development and Staffing** 

2022-2023 was a period of change for the organization. The unexpected unsuccessful application to Arts Council England through their National Portfolio funds and success of the National Lottery Reaching Communities funding application had an impact on our staffing model.

And finally, as the Get Involved programme developed across 22-23, and due to Hubbub not receiving core funding - ordinator role in 22-23 which will continue into 23-24. 

## **Deda** 

We continued to be a resident company at Deda in Derby and in 2022-2023 we formalized our relationship with the venue through an agreement which included almost exclusive use of a studio for Hubbub and a new Hubbub office. The relationship with Deda goes beyond a rental relationship and includes support such as help to deliver our social activities and Hubbub performing and delivering programme activity at Deda as public events. Our Artistic Director attends regular planning and networking meeting with the CEO of Deda and Hubbub is supporting Deda to become an autism friendly venue and the Inclusive Hub for the ACE National Funded Derby Place Partnership Project a legacy of the ReImagine 4 year project. Hubbub are a partner in leading and delivering in 2023-4.

## **Arts Council England** 

Despite a disappointing outcome to our application to Arts Council England, National Portfolio funding we had several meetings with ACE officers in the later part of 22-23 to discuss how Hubbub could apply for funding through their open grants programme. In addition to this x 2 ACE officers attended performances of The Drum at Deda in relationship with Arts Council England. We intend to submit a funding application in early 23-24.

## **FINANCIAL REVIEW** 

-23 was £195,204. The planned net deficit of (£22,196) was -2022. 

## **Reserves Policy** 

The organisation aims to build up reserves to cover 6-9 months operating costs in the event of a drop in income. For the 2023-24 financial year, this is likely to be in the region of £93k - £140k. Unrestricted reserves at 31 March 2023 were £116,950

Hubbub Theatre Company is a Charitable Incorporated Organisation, constituted on 1 October 2015. The governing document is a foundation model constitution. Prior to incorporation, the current Artistic Director and Chief Executive Officer Jennifer Sumner, had been running a group using the name Hubbub Theatre Company as part of her sole trader practice.

## **Board Development** 

A skills audit of the board took place in 21-22 and a recruitment drive took place to extend and diversify the Board further. Hubbub are also working with Access All Areas in their Transforming Leadership mission to engage more learning disabled and autistic leaders at all levels of the company, including Governance. Company member Bharat Singh is now trainee Trustee and will begin engaging more directly with the Board of Trustees in 2023-4. Vickie Minion is supporting this process. 

The Co-Directors of the Company and Get Involved programme now report quarterly to the Board of Trustees with an update video. Questions can be returned to the Co-Directors and new ways to integrate these processes and make more accessible board meetings / steering group meetings will be developed in 2023-4. 

Hubbub have also been asked to train the trustees of another arts organisation around inclusive leadership and boards in November 2023.

As the charity trustees of the Charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 

I report in respect of my examination of accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

## **1. ACCOUNTING POLICIES** 

## **Basis of preparation of financial statements** 

These financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) (Charities SORP (FRS 102)). 

The charity has taken advantage of the disclosure exemption, otherwise requiring a Statement of Cash Flows, as permitted by Update Bulletin 1. 

## **Public benefit** 

Hubbub Theatre meets the definition of a public benefit entity under FRS 102.  Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy; 

## **Going concern** 

After 

and possible changes in trading performance, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future.  The charity therefore continues to adopt the going concern basis in preparing the financial statements. 

The trustees have also considered the impact of the COVID-19 pandemic on the future viability of the charity.  Activity has now returned to pre-pandemic levels though attendance at public events has not quite returned to pre-pandemic levels, particularly in the LD community, many of whom are still shielding.  Budgets for the coming year show a cautious approach to this income stream and predict a small surplus. 

Consequently, the trustees have a reasonable expectation that the charity will have sufficient funds to continue to meet its liabilities as they fall due for the foreseeable future and therefore have prepared the financial statements on a going concern basis. 

## **Judgements and key sources of estimation uncertainty** 

The preparation of financial statements requires management to make judgements, estimates and assumptions about the carrying values of assets and liabilities that are not readily apparent from other sources. The estimates and underlying assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates. 

The estimates and underlying assumptions are reviewed on a continuing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised if the revision affects only that period, or in the period of the revision and future periods if the revision affects both current and future periods. 

## **Income** 

All income, including grants, are recognised in the Statement of Financial Activites (SoFA) once the charity has entitlement to the income, it is probably that the income will be received and the amount of income receivable can be measured reliably. 

Incoming resources from charitable activates includes income from performance fees received under contract. Grant income included in this category provided funding to support performance activities, touring or workshop projects and is recognised where there is entitlement, certainty of receipt and the amount can be measured with sufficient reliability. 

Grants received for specific purposes are treated as restricted funds. Income is deferred when performance fees or grants are received in advance of the performance or event to which they relate.

## **1. ACCOUNTING POLICIES (continued)** 

## **Expenditure** 

Expenditure is recognized once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. 

Expenditure is classified by activity.  The costs of each activity are made up of the total of direct costs and shared costs, including support costs, involved in undertaking each activity. 

Direct costs attributable to a single activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. 

Central costs are allocated on the basis of time spent. 

## **Pension costs and other post-retirement benefits** 

The charity contributes to personal pension plans and the pension charge represents the amounts payable by the charity to the fund in respect of the year. 

## **Taxation** 

The charity is exempt from corporation tax in respect of income to the extent that such income is applied exclusively to charitable purposes. 

## **Debtors** 

Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due. 

## **Cash at bank and in hand** 

Cash at bank and in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account. 

## **Creditors** 

Liabilities are recognised when there is an obligation at the balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably.  Liabilities are recognised at the amount that the charity anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.  Provisions are measured at the best estimate of the amounts required to settle the obligation.  Where the effect of the time value of money is material, the provision is based on the present value of those amounts, discounted at the pre-tax discount rate that reflects the risks specific to the liability. The unwinding of the discount is recognised within interest payable and similar charges. 

## **Financial instruments** 

The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments.  Basic financial instruments are recognised at transaction value and subsequently measured at their settlement value. 

## **Fund accounting** 

General funds are unrestricted which are available for use at the discretion of the Trustees in furtherance of the general objectives of the charity and which have not been designated for other purposes. 

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors of which have been raised by the charity for particular purposes.  The costs of raising and administering the funds are charged against the specific fund.  The aim and use of the restricted fund is set out in the notes to the financial statements. 

## **Operating leases** 

The charity classifies the rental lease as an operating leases, where substantially all of the benefits and risks of ownership remain with the lessor. 

Rental charges are charged on a straight line basis over the term of the lease.

The key management of the charitable company comprise of the Trustees and the Artistic Director. The Trustees do not receive any remuneration for this role.  The total employee benefits of the key management personnel for the charitable company were £44,250 (2022: £38,654)
