Structure. yovernance and management
Goveming document
The Trust Is governed by ils trust deed dated 26 June 2015.
Governance of the Foundation
The year under Teview is the eighth operating and flnart181 year ofthe Twst during which th& Trustees
mel to review its policies and procedures.
Administrative support is provided by The James Dyson Foundation. Financial and accounting support
is provided by Weybourn8 Limited.
R￿ruitrnent and training of frustees
The Trust885 have been appointed to provide the skills identrfted as being necessary for the good
governance of the Trust. The Trustees arfj fully awar8 of their responsibilities under charity law having
re￿ived infomiation in the form of written dwumentation. It is intended that this w￿1 be made avallable
to any newly appointed Trustees as well.
Objgctlves and actkvities
The principal objects of the Trust are to advance charitabte Purposes as the Trustees see frt, in
particular, but not limited to, advancing for the public benefit he81thcare and research into cancer,
principally bul not exclusively the care of those who are suffering or have suffered from cancer. The
main activity to achieve the objectives is making grants and donations.
Evidenced by the Trust's grant making activities The Trustees confinn that they have compli8d with
theirduty in Section 17 of the Ch8rit18s Act 201110 hav8 due regardto public benefitguidance published
by the Charity Commission for England and Wales.
Grant maklng pollcy
Grants are determined by the TNStees in accordance with the objects of the Trust. Applications for
grants are considered by the Trustees in line with the Trust's obiectwes.
Achlevements and perfomianc8
The Trust made donations totslling £210,736 in the year. Of the donations madè, £200,000 was donated
to Breast Cancer Now.
Financial r8Yi8w
The receipts and payments account for the period is sel out on page 6. Income for the ye8r was
£213,617 12022.. £125,000). The Trust's main source of income for the year wa$ donations from the
Trustees.
The Trust made donations totalling £210,736 (2022.. £214,￿1) and paid overheads of £1,453 {2022.-
£35}.
The Trust ended the year with £45.117 {2022." £43,689) cash availabkg for use in future periods.

Reserves
The Trust doas not receive any donations, grants and other Sources of fun¢Jraising where restridions
are imposed that are narrower than the Trust's overall objectives.
The Trustees are confident thatthework ofthe Trust can continue. Futurefunding will mainly b8 d8rived
from direct donations by Emity Dysen4Jaley and lan Paley, and as such the Trustees Can ensure
conlinualion.
Th8 Trust's fixed costs arè not signif￿ant and Signrf￿ant reserves are not usualty maintained, the
Trustee's prefer to donate funds On￿ when planned expenditure is due to exceed current reserves.
Plans forfutureperiods
The Trust will Continue to seek out opportunities to further its charilable objec15 by provHling donations
and grants to organisalions and individuals.

I report to the trustees on my examination of the accounts of The Mimosa Trust for the year endeLI 31
December 2023 which are sel out on pages S to 6.
This report is made solely to the Charity's trustee8, as a body. in accordance wrth section 154 of the
Charities Act 2011. My independent examiner's work has been undartaken so that I might state lo the
tharty's trustees those matters l am required to slate lo them in an independent examine¢s report
and for no other purpose. To the fullest extent permitted by law. I do not accept or assume
responsibility to anyone other than the charity, the charity's members as a br)dy and the charty's
trustèes as a body for my Indapandent examin6rf$ work, for this report, or for the opinitsns I have
fomied.
Responsibilities and basis of rèport
As the Trustees of the Charity you are responsible forthe preparation of the accounts in ￿cOrdance
with the requirements of the Charities Act 2011 ('the 2011 Art).
I report in respect of my examination of the Trust's accounts carried out under secliorb 145 of the 2011
Act and in carrying out my examination I have followed all tho applrabl* Directions given by the
Charity Commission under section 1451Sllbl of the 2011 Act.
Independent examlnerfs statement
I have completed my examination. I confirm that no material matt8rs hav8 come to my all8ntion in
connection with the examination giving me cause to believe that in any material respect..
a¢counting records were not kept in respect of the Charity as required by section 130 of the
2011 Act- or
2. the accounts do not accord with those records., or
3. the accounts do not comply with the applicable requirements conceming the form and content
of accounts set out in the Charities {A¢counts and Reports) Regulations 2008 other than any
requirement that the accounts give a'true and fair view, which is not a matter considered as
part of an independent examination.
I have no concerns and have com8 across no other matters in connection with the examination lo
which attention should be drawn in this report in order to enable a proper understsncling of the
accounts to be reached.
