REPORT FOR THE FINANCIAL YEAR and SEASON 2023/24 and a REVIEW FOR 2024/25

This Report sets out the Trustees Review of the Season 2023/24 for which the Financial Accounts are presented at the Annual General Meeting on 23[rd] May 2024 and provides an overview of the work undertaken by Trustees during the year from May 2024 to May 2025.

PART ONE:

REPORT FOR THE SEASON 2023/24

The ongoing closure of Leeds Town Hall which for 150 years has been the main performance venue for the Society and its Chorus certainly means that there are significant challenges in delivering concerts.

Our autumn concert in November 2023 was a collaboration with the Halifax Choral Society, bringing Mendelssohn’s great oratorio “Elijah” to the stage of the Victoria Theatre in Halifax. Initially planned to have been a performance of Elgar’s “The Apostles”, this was changed after the Director of the Halifax Choral Society left his post and the new incoming chorus master was unfamiliar with the Elgar. It was great to collaborate with the Halifax Choral Society again, the last joint event being “Messiah” in Leeds Town Hall in December 2019 with the Black Dyke Band and the Dortmund Philharmonic Choir conducted by David Hill. The Victoria Theatre is a very large venue and it was disappointing that the audience numbers were very low. There was reluctance from the Leeds based audience to travel to Halifax in winter, which will need to be borne in mind if other collaborations are considered.

During autumn 2023 the Society was approached by promoters of “Home Alone” through the Chorus Master to take part in a number of arena

showings of the Christmas movie “Home Alone” which would be given with live orchestra and chorus. The invitation was not received until the autumn but the chorus members rose to the challenge and a good many agreed to perform in Leeds, Liverpool and Nottingham Arenas. Poor sales in Nottingham caused that performance to be cancelled. The other two performances went ahead. The choir travelled to Liverpool on a cold December day in 2023 and were very pleased and excited by the reception afforded by the audience in Liverpool M&S Bank Arena. Although the journey home through freezing fog and a closure of the M62 over the summit of the Pennines made the journey home rather more stressful than hoped for. It was a real pleasure for the Society to perform in in the First Direct Arena in Leeds for the first time. Both performances were given jointly with about 15 members of London Voices which really consolidated the sound and gave extra confidence. The Heritage Orchestra with significant additional percussion played the John Williams Score with conductor Stefan Geiger who was very clear and expert in conducting films scores and very in touch with the technicalities of film score production and delivery.

The annual performances at the Lord Mayor’s Carols are a great and ongoing part of the Phil’s music making in the city, and with the heating repaired in the Minster. The Minster was full for both performances and they always make a great start to Christmas for many people.

The Spring concert for March 2024 was the first time the Society had used St Edmund’s Church Roundhay, Leeds for a performance. The Bach “Magnificat” and Handel “Dettingen Te Deum” were conducted by our Chorus Master Joseph Judge and together with young soloists were performed to a full house in the church supported by the Skipton Building Society Camerata. The acoustics of the church are very welcoming and easy to perform in. We are grateful to the Clergy and Staff at St Edmund’s for their assistance and patience as we rearrange the worship spaces to accommodate the chorus and orchestra. The use of St Edmund’s was regarded as a great success and it has become a regular performance space for the chorus. The facilities at the church are generally excellent, although the chorus members have to spend time erecting staging in the choir area and arranging audience seats. A great team of members worked hard to ensure everything was in place for the start of the rehearsal

Having performed at the first “Rob Burrow Marathon” in 2023 the Society was very pleased to be asked to provide entertainment for the runners and bystanders for a second time. About 25 singers mounted the steps of Leeds University’s Parkinson Building early on a fine Sunday morning and really enjoyed providing entertainment to the runners (including a number of the society’s members) taking part in both the full marathon and half marathon races and bystanders. The numbers taking part in the outdoor performances were down from the previous year and the result was not as satisfying from the performance point of view as previously. The runners and bystanders did however seem to enjoy the hard work Chorus members put in.

Our final concert of the year was given in the Priory Church at Bolton Abbey. We are very grateful to have been invited again to perform in this delightful venue. Our programme was a bit different with a range of unaccompanied and piano/organ supported pieces together with a brand new commission to celebrate 60 years Membership in the Society of one of the Tenors, David Lunn. The Trustees considered how best to commemorate and celebrate the commitment to the Society that David has shown over more than 60

years membership and decided to commission a new work. This was the first time the Society had celebrated the loyal support of one of its Members in this way. The composer selected was Alexander Campkin, who was commissioned to write a celebratory work. His “Dance of the Sunbeams” somehow captures David’s love of singing and the interplay between words and music with its mischievous elements and delight in life and movement being the essence of David himself. When any other Member reached 60 years Membership there will be a further commission to celebrate.

During the year the Leeds City College venue became more difficult in terms of its availability. We were very grateful that one of the Members of the Alto section of the Chorus (Ruth Clark) is also a staff member at the Leeds Conservatoire. Working with Joseph Judge arrangements were put in place to use space at the Conservatoire for some of the rehearsals towards the end of the Season 2023/24.

The Chorus Master together with the staff at the Conservatoire also started work on a collaborative process between the Society and Conservatoire whereby closer links between the college and its students and the Society would benefit both organisations. This has become a reality during Season 2024/25 and will be considered in more detail in Part Two of this Report.

Towards the end of the Season Alan Horsey, our accompanist for the previous 17 years indicated that he wished to step down from the role. This came as a great shock to Trustees and members of the Chorus. Alan has been a welcome and integral part of the artistic staff of the Society and Chorus whose work on behalf of the Chorus has been greatly appreciated. A formal leaving present was given to Alan in June 2024. He will continue to work on occasion with the Chorus and as a member of supporting orchestras when needed and appropriate.

Overall the season’s music making was at a high level and included new works and familiar staples of the choral repertoire and the development of the collaborations with the Leeds Conservatoire

helped to support and develop the Society’s charitable objects.

ORGANISATIONAL REVIEW

Trustees have been aware for some time that whilst Members of the Society are really supportive and keen to be involved in specific projects and tasks the role of “Trustee and Manager” is far less attractive. During 2023/24 Trustees explored ways in which the governance of the Charity that is the Leeds Philharmonic Society (CIO) may be undertaken whilst also managing the day-to-day affairs of the chorus. Board meetings occasionally get bogged down in the minutiae of day-to-day activities rather than considering the overall strategic direction and overall Governance.

The way in which Trustees decided to manage this was to break the link between being a Trustee and delivering a particular service. The Constitution does not specify that Service Managers should be Trustees. The combination of roles developed as a convention over the years but was formalised in the Business Plan prepared under a previous Chair.

The Organisational Review is continuing under the guidance of the current Chai,r Ruth Shann, and further ways in which the Committee would deal with Governance Matters as distinct from Management are being developed. In particular the separation between Governance and day-to-day matters has been beneficial and has streamlined Board meetings.

In terms of Governance, we are pleased to confirm that there were no issues arising relating to compliance with the Constitution, Data Protection, or Safeguarding identified during the year.

Further work is needed to engage with the members of the society to ensure the direction of travel is fully supported by members and that they can also help to steer and shape the path ahead and this will be priority for the coming year.

As previously all Trustees and Service Manager are confirmed in their roles by the Membership at the AGM.

Trustees have streamlined the work of the Board and tried to ensure board meeting are succinct and deal with matters that need decisions rather than just lengthy discussions. Further work is needed to engage with the members of the society to ensure the direction of travel is fully supported by members and that they can also help to steer and shape the path ahead.

This increase is encouraging, but there is need to attract more Tenors and Basses. The Chorus is singing well together and both the Chorus Master and Music Director have been complimentary over the standard of performances.

FINANCES

The details of the Financial Results for the Season are contained within the separate unaudited Financial Statements for the year ended 31 July 2024. These show an increase in Total funds available during the Financial Year from £168,815 in 2023 to £184,282 at the end of July 2024. The increase in funds is attributable to an additional £27,397 that was received from the estate of the late Maureen Cliff, meaning that around £83,000 has been received from her Estate. We are incredibly grateful to Maureen for her generous gift to the Society.

RESULTS FOR SPECIFIC CONCERTS

Concerts are the main outgoing for the Society. For the first time a specific statement for each concert is provided to inform Members of the importance of achieving good audiences and supporting income generation. It is notable that only our participation in the Home Alone performances and the Lord Mayor’s Carols achieved a surplus. Other concerts contributed significant losses totalling £11,678.01.

TRUSTEES REPORT FOR 2024/25

This part of the Annual Review provides information regarding the work of the Trustees and the Society in the last calendar year.

TRUSTEES AND SERVICE MANAGERS 2024/25

At the AGM held on 23rd May 2024, a revised way of appointing Trustees and Service Managers was introduced. 10 of the 12 Trustees named positions were taken up. Those of Income Generation Manager, and Tour Manager did not attract applications. The Year 2024/25 should be regarded as an experimental transitional year and further work is needed to ensure clarity of governance and operational efficiency.

Trustees are pleased to report that there were no issues relating to non-compliance with the Constitution or Data Protection identified during the year. The Society’s Safeguarding Policy was reviewed and refreshed as necessary.

During 2024/25, most of the Society’s meetings were held using Zoom conferencing software. There were also four meetings of the Music Planning Group during the year which also includes non-Trustees and is open to all members of the Society.

The list of Trustees and Service Manager’s appointed for Season 2024/25. During the Year there were 8 meetings including one called at short notice to deal specifically with financial matters as determined by our bankers. The attendance at meetings is shown in the Table below:

for the Governance Board have focussed on compliance, health and safety, data protection, safeguarding, strategy and finance with other matters also discussed as needed. Other parts of Agendas have related to concert promotion and delivery. The Service Management aspects of Meetings will continue as before with operational matters being discussed and highlighted in reports.

COLLABORATION WITH THE LEEDS CONSERVATOIRE

During the latter part of Season 2023/24 the Chorus started rehearsing with one of the studios at Leeds Conservatoire. This came about when the Leeds City College rooms become difficult to book and the times that the college was open started to restrict chorus activities. Whilst the Conservatoire cost more than the College the facilities are much better with a grand piano, raked seating and better facilities generally. We are grateful to Joseph Judge and Ruth Clark at the Conservatoire for working together to establish this venue as a rehearsal space. Alongside this the Chorus master has develop a programme alongside the staff at the Conservatoire facilitating educational outreach and enabling closer working relationships with the Society and the Conservatoire. This provides benefits for both the Conservatoire and the Society and continues to expanding the educational aspects of our Charitable Objects.

Following the resignation of Alan Horsey as Accompanist at the end of Season 2023/24 Trustees advertised widely for a new accompanist. Several applications were received and Russell Medley was appointed as Accompanist of the

ONGOING CLOSURE OF LEEDS TOWN HALL

The ongoing closure of Leeds Town Hall is a real cause for concern. It is now likely that the Town Hall will not re-open until summer 2026 with the first concerts in the restored venue unlikely until the autumn. Efforts will continue to be made to secure collaborative performances as well as opportunities across the City and wider regions to showcase the Leeds Phil, but this also continues to be difficult.

SIMON LINDLEY FRCO – a short appreciation

Simon Lindley was a great friend of the Leeds Phil. He became Chorus Master of the Society soon after his arrival in Leeds and was Chorus Master for about 6 years. He remained associated with the Society and in more recent years became a Vice President, a position he retained at his death, as well as being a “Friend of the Leeds Phil”. He was Music Programme Manager when Richard Wilberforce was the Chorus Master and remained an active participant in the Society’s activities when his health allowed.

His musical knowledge and advice on musical matters were always pertinent and made meetings both challenging and enjoyable. His continued support of the Leeds Phil was greatly appreciated and he was part of the Music Planning Team about 2 years ago. He will be sorely missed.

At his Funeral the Leeds Philharmonic Society was represented by the Secretary (Philip Ratcliffe), along with David Lunn, Penny Dean and Roger Shirley. Other members of the Society were also in attendance or sang in the choir that provided a musical focus to the service.

THANKS

The Society is very grateful to our Chorus Master, Joseph Judge and Accompanist, Russel Medley, for their work during the season coaching the Chorus to deliver high standard performances. Joe has also conducted a number of memorable performances which have been very satisfying to perform and have been well received. He has worked hard with the Leeds Conservatoire in bringing together the closer collaboration which is now developing. Trustees are very grateful for the work Joe has undertaken and helping to raise the profile of the Society both within the city and further afield. The performances of Home Alone in particular came through links that he had developed.

The Society is also grateful to David Hill for his continued involvement in the Phil. We were very pleased to welcome David to conduct the concert in November 2024 and look forward to being able to engage him again before the Town Hall reopens. We look forward to our continuing relationship with him.

Thanks are given to Joanne Sims, Paul Hunt, Andrew Gibson and Penny Dean for their work on the Safeguarding Policy which was reviewed and refreshed. To Irene Truman and Richard Staveley for undertaking the weekly Raffle at rehearsal, to Julia Baxter who has worked on the “100 Club”, to Harriet Timmis for working on the Subscriptions and HMRC Tax Rebates. We are very grateful that Chris Robinson (Bass) and Vikki Sutcliffe (Soprano) have volunteered to take on the activities relating to Subscriptions and HMRC, whilst Richard Stavely will take on the “100 Club).

Finally, thanks must be given to our Members, both singing and non-singing, for their on-going support, patience and commitment to the Society. Without our Membership we cannot achieve our charitable objects and as the Organisational Design review rolls forward it is hoped that Members will become more actively engaged in helping to deliver a bright future.

LEEDS PHILHARMONIC SOCIETY CIO TRUSTEES. REPORT FOR THE YEAR ENDED 31 JULY 2024 The trustees present their report with the financial statements of the charity for the year ended 31 July 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). OBJECTIVES AND ACTIVITIES With the continuing closure of Leeds Town Hall, the Society looked for other venues and collaborations for meeting its Charitable aims. In particular the Society was grateful to receive an invitation from the Huddersfield Choral Society for a small number of men to join them in a televised BBC Prom Performance at the Royal Albert Hall in August 2023. A collaboration with the Halifax Choral Society for our first main concert performance of Mendelssohn's "Elijah" at the Victoria Theatre in Halifax was artistically excellent but financially a significant disaster. The Leeds audience was not keen to travel to Halifax on a dark Sunday evening so reducing the attendance and hence leading to a large loss on this concert. The Chorus was delighted to be invited to take part in a number of performances of the John Williams score of "Home Alone" being shown with live orchestra on big screens in the Arenas in both Liverpool and Leeds. This took the name of the Society to a much wider audience in un familiar venues. The Society used St Edmund's Church in Roundhay Leeds for the first time which was a great success in terms of audience attendance and is likely to continue to be a preferred venue for concerts in future seasons. The final concert of the Season was given at the Priory Church at Bolton Abbey. During this concert we celebrated the Membership of one of our Tenors for over 60 years with a specially commissioned work "Dance of the Sunbeams" by Alexander Campkin. The Society will celebrate other Members reaching this mile stone in a similar manner. A small increase in Membership was achieved during the year, which led to space difficulties at the Leeds City College. Further difficulties with examinations there led to the venue being unavailable for the latter part of the Season for rehearsals. We were grateful that we were able to make use of rehearsal space at Leeds Conservatoire which became our permanent home in September 2024. Collaboration with the Leeds Conservatoire in terms of widening educational opportunities for students as well as meeting the Charitable Objectives of the Society are being developed further. As indicated above work the Leeds Conservatoire became a focus during the latter part of the Season, and we as a Society are seeking further opportunities to expand these relationships. FINANCIAL REVIEW Financial position Over the season we performed in five concerts. Sadly, only one of these concerts was not loss making and, overall, our concerts made a loss of just over £9,000. In a year when we collaborate with the Leeds International Concert Season, we would expect to pay out £4,000 for each of two concerts, so this puts the above loss into perspective. At present the Leeds Town Hall is unavailable due to refurbishment and we are not expecting it to reopen until 2026 so there will not be any LICS concerts during 2025. On a brighter note our investment interest received has shown an increase of just over £1,700 during the year. The Society was very grateful to receive legacies amounting to a little over £27,000 during the year and this has enabled us to cover the costs of all our own promoted concerts and commission a work to celebrate 60 years of singing for one of our members. At the end of the financial year our reserves had increased by just short of £17,500. Without the legacies and taking into account exceptional expenditure on a commissioned work, there would have been a deficit of nearly £5,000. Investment policy There are no restrictions on the Trustees, powers of investment, but the investment is governed by the rules of the Trustees Act 2000 as established by the CIO constitution. Trustees have taken advantage of better interest rates by investing in a one-year bond and a three-year bond with the United Trust Bank. We also continue to hold funds within the Monmouthshire Building Society at a fair rate of interest. The Trustees continue to look for a good return on invested monies and plan to invest in new bonds next year after the maturation of the current United Trust Bank bonds. Page 2

REPORT FOR THE YEAR ENDED 31 JULY 2024 FINANCIAL REVIEW Reserves At the end of the year, our unrestricted funds have increased to £180,596 and restricted funds have reduced to £3,686 giving total funds carried forward of £184,282 (2023 - £166,815). Amounts in unrestricted reserves of the Society represent monies available for the achievement of the charitable objectives of the Society. Restricted reserves relate to: The Mrs T Cooke prize fund which supports individual vocal training for members of the chorus The Tour Fund is in respect of monies relating to Choir Tours The Leeds Philharmonic School Singing Competition STRUCTURE, GOVERNANCE AND MANAGEMENT Governing document The charity is controlled by its governing document, and is a Registered Charitable Incorporated Organisation (cio). Organisational review The Organisational Review is continuing under the guidance of the current Chair Ruth Shann, and further ways in which the Committee would deal with Governance Matters as distinct from Management are being developed. In particular the separation between Governance and day-to-day matters has been beneficial and has streamlined Board meetings. In terms of Governance we are pleased to confirm that there no issues arising relating to compliance with the Constitution, Data Protection, or Safeguarding identified during the year. Further work is needed to engage with the members of the society to ensure the direction of travel is fully supported by members and that they can also help to steer and shape the path ahead and this will be priority for the coming year. As previously all Trustees and Service Manager are confirmed in their roles by the Membership at the AGM. Risk management The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. A review of Safeguarding Policy is indicated as required and other risks will be addressed as necessary. Whilst Covid has not gone away the regulatory framework has changed significantly, with individuals, rather than organisations being responsible. Trustees continue to advise Members to follow the national guidance to reduce risk to others. Responsibilities and basis of report As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act,). I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act. Independent examiner's statement I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or the accounts do not accord with those records; or the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination. LEEDS PHILHARMONIC SOCIETY CIO NOTES TO THE FINANCIAL STATEMENTS FOR THE YEAR ENDED 31 JULY 2024 ACCOUNTING POLICIES Basis of preparing the financial statements The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019),, Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland, and the Charities Act 2011. The financial statements have been prepared under the historical cost convention. The financial statements are presented in sterling which is the functional currency of the charity rounded to the nearest pound. Income All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. Expenditure Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. Taxation The charity is exempt from tax on its charitable activities. Fund accounting Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
