# **REPORT FOR THE FINANCIAL YEAR and SEASON 2022/23 and a REVIEW FOR 2023/24** 

## **Presented to the Annual General Meeting of the Society** 

## **Thursday 23[rd] MAY 2024** 

This Report sets out the Trustees Review of the Season 2022/23 for which the Financial Accounts are presented at the Annual General Meeting on 23[rd] May 2024 and provides an overview of the work undertaken by Trustees during the year from May 2023 to May 2024. 

## **PART ONE:** 

“Secular Requiem” in a setting for organ and percussion was the first performance of that version of the work and was given in the presence of the composer. The powerful setting of secular words considering aspects of death made a huge impression on both the chorus and the audience who were in attendance. Berstein’s “Chichester Psalms” and Eric Whitacre’s “Cloudburst” made for a memorable concert. 

## **REPORT FOR THE SEASON 2022/23** 

The ongoing closure of Leeds Town Hall which for 150 years has been the main performance venue for the Society and its Chorus certainly means that there are significant challenges in delivering concerts. 

Our autumn concert in November 2022 presented at St Anne’s Cathedral, Leeds. This fine city centre church has great facilities but fitting in with services and confessional arrangements within the cathedral has its challenges. Our Music Director David Hill conducted fine performances of both the John Rutter “Requiem” and his own arrangement for small forces of the Gabriel Faure “Requiem”. The audience numbers attending this concert were very impressive and it was produced with only a small deficit. Another 40 in the audience would have covered this loss. 

The annual performances at the Lord Mayor’s Carols are a great and ongoing part of the Phil’s music making in the city, but the Leeds Minster proved to be very cold that year. 

The concert in Bradford Cathedral in March 2023 was the second time the Society had used that venue. The presentation of Russell Pascoe’s 

An Easter performance of Handel’s Messiah at the Leeds Minster, led by Joseph Judge with the Skipton Camerata was well attended and the heating problems at the Minster had been resolved. 

The Chorus was really pleased to be invited to participate in the entertainment for runners at the first “Rob Burrow Marathon” About 35 singers mounted the steps of Leeds University’s Parkinson Building early on a fine Sunday morning and really enjoyed providing entertainment to the runners (including a number of the society’s members) taking part in both the full marathon and half marathon races and bystanders. 

In May 2023, just before the AGM the Society was pleased to collaborate with the Durham Choral Society, who were celebrating their 60[th] Anniversary in performances of Haydn’s “Nelson Mass” conducted by our Music Director David Hill, and the “Requiem” by Mozart conducted by Durham’s Director Mike Summers. The full Cathedral enjoyed the concert and the members of the Leeds Phil were delighted to take part in the short tour…. many asking as a result “When are we going to do a tour again? 



Before the summer break the Society held a “Come and Sing” Workshop held in June 2023 gave an opportunity for the Society to host outside singers and the leader of the “Stay at Home Choir” Tori Longdon to rehearse and sing the choruses from Haydn’s Creation. Whilst not attracting as many participants as had been hoped for the event was very well received by attendees and resulted in four additional Members. Further opportunities for such events are being explored. 

Overall the season’s music making was at a high level and included new works and familiar staples of the choral repertoire. The impacts of the covid pandemic were still felt but the Society was still able to meets its charitable objects. 

prefer to assist with the Governance of the Charity. Interest in delivering a service will also be expressed by candidates for Trustee Service. Services Managers do not necessarily have to be Elected Trustees. All Trustees and Service Managers are confirmed by the Membership at the AGM. 

Additionally, during the year the Society started paying for the storage of music at The Big Yellow facility in Leeds. Our music library, which has pieces that on occasion is loaned to other choral societies has been moved from the home of the Secretary and former Librarian to a more accessible facility where the new Librarian and others with correct codes can gain access to the music when required. 

## **ORGANISATIONAL REVIEW** 

## **MEMBERSHIP – 2022/23** 

Trustees have been aware for some time that whilst Members of the Society are really supportive and keen to be involved in specific projects and tasks the role of “Trustee and Manager” is far less attractive. During 2022/23 Trustees explored ways in which the governance of the Charity that is the Leeds Philharmonic Society (CIO) may be undertaken whilst also managing the day-to-day affairs of the chorus. Board meetings occasionally get bogged down in the minutiae of day-to-day activities rather than considering the overall strategic direction and overall Governance. 

The way in which Trustees decided to manage this was to break the link between being a Trustee and delivering a particular service. The Constitution does not specify that Service Managers should be Trustees. The combination of roles developed as a convention over the years but was formalised in the Business Plan prepared under a previous Chair. The Organisational Review is continuing under the guidance of the current Chair Ruth Shann, and further ways in which the Committee would deal with Governance Matters as distinct from Management are under consideration. 

The AGM in 2023 agreed the changes in the way Trustees and Service Managers are appointed. Whilst the Chair, Secretary and Treasurer will remain as named Trustee positions, up to 9 other Trustees can also elected at the AGM.  These Trustees may become a Service Manager or may

## **FINANCES** 

At the start of Season 2022/23 the Society had over £170,000 available. At the end of the Season Reserves had diminished slightly to over slightly £163,000. The details can be seen in the Financial Statements report which are presented separately from this report. 

## **RESULTS FOR SPECIFIC CONCERTS** 

Concerts are the main outgoing for the Society. For the first time a specific statement for each concert is provided to inform Members of the

importance of achieving good audiences and supporting income generation.

## **TRUSTEES REPORT FOR 2023/24** 

This part of the Annual Review provides information regarding the work of the Trustees and the Society in the last calendar year. 

## **TRUSTEES 2023/24** 

At the AGM held on 25[th] May 2023, a revised way of appointing Trustees and Service Managers was introduced. 10 of the 12 Trustees named positions were taken up. Those of Income Generation Manager, and Tour Manager did not attract applications. 

The Year 2023/24 should be regarded as an experimental transitional year and further work 

needed to ensure clarity of governance and operational efficiency. 

The Chair, Ruth Shann, has led the Society through difficult times with the covid pandemic and finding a new rehearsal venue and we are very grateful to her for her insights and management. 

During 2023/24, most of the Society’s meetings were held using Zoom conferencing software. However there were also two “in-person” workshops helping to drive forward organisational changes that were signaled at the AGM in 2023. The first of these in July 2023 was followed by a second in February 2024. These workshops have helped discussions relating to governance, service management and member engagement.

The ongoing Organisation Review has started to consider the Governance and Management of the Society as two separate, but inter linked processes. New Agendas for the Governance Board will focus on compliance, health and safety, data protection, safeguarding, strategy and finance with other matters also discussed as needed. The Service Management aspects of Meetings will continue as before with operational matters being discussed and highlighted in reports. 

## **ONGOING CLOSURE OF LEEDS TOWN HALL** 

The ongoing closure of Leeds Town Hall is a real cause for concern. It is now likely that the Town Hall will not re-open until Spring 2026. Efforts will continue to be made to secure collaborative performances as well as opportunities across the City and wider regions to showcase the Leeds Phil, but also continue to be difficult. 

## **THANKS** 

The Society is very grateful to our Chorus Master, Joseph Judge and Accompanist, Alan Horsey, for their work during the season coaching to Chorus to deliver high standard performances. Joe has also conducted a number of memorable performances which have been very satisfying to perform and have been well received. 

Particular thanks are given to Alan Horsey our accompanist for 17 years, who, just as this review was being prepared handed in his resignation as Accompanist. The Society is hugely grateful to Alan for his work over the years, his humour and insights which have helped mould some stunning performances. He will be sorely missed by Members at rehearsals. 

The Society is also grateful to David Hill for his continued involvement in the Phil. Whilst we have not seen him during 2023/24 he will be conducting us again during Season 2024/25 and we look forward to our continuing relationship with him. 

During this year a group of Members undertook a review of Uniform that is worn at concerts. Following a survey of Members Maggie Sheen, led by this team. A new dress code was proposed and agreed by Trustees and will be reviewed again by Trustees after the AGM. Thanks is given to all who participated in the Uniform Committee. 

All Trustees and Service Managers work hard on their respective portfolios but a special mention and thanks is given to David Lunn, for 60 years a singing member with much of that time also being involved in Concert Management and Librarianship. To celebrate this commitment to the Society, Trustees have commissioned a new piece

from Alexander Campkin which will be premiered at the Bolton Abbey Concert in June 2024 which is Dedicated with thanks to David and the Leeds Philharmonic Chorus. 

This year Harriet Timmis, who has been the Subscription Secretary for a number of years is stepping down. We are very grateful to Harriet for her work in keeping track of Members Subscriptions as well as applying to the HMRC for Tax Rebates on those subscriptions. These additional funds are an important part of the income of the Society. Jo-Anne Clark has agreed to pick up the mantle of Subscription Secretary and we are grateful to her for agreeing to undertake this very important work.

Finally, thanks must be given to our Members, both singing and non-singing, for their on-going support, patience and commitment to the Society. Without our Membership we cannot achieve our charitable objects and as the Organisation Design review rolls forward it is hoped that Members will become more actively engaged in helping to deliver a bright future.

## **TRUSTEES' REPORT FOR THE YEAR ENDED 31 JULY 2023** 

The trustees present their report with the financial statements of the charity for the year ended 31 July 2023. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

With Leeds Town Hall still closed and Covid continuing to impact to some extent, the Society was still able to present concerts in various venues across the north of England including in Bradford Cathedral, Leeds Cathedral, Durham Cathedral, the Priory Church at Bolton Abbey and the City Hall in Hull during this year. The Hull concert was particularly affected by Covid with a number of singers having to withdraw from the concert in the week leading up to the performance. 

A small decline in singing Membership over the year reflects the challenges that the new post-covid world represents, settling into our new rehearsal venue at Leeds City College Quarry Hill Campus, with the earlier start time and Members having to pay for parking to attend rehearsals. 

## **OBJECTIVES AND ACTIVITIES** 

Our charitable Objects continue to relate to educating members and the public in the art and science of choral music. The wide range of venues used spread the name of the Leeds Philharmonic Society to a wider audience. We were particularly pleased to be able to present the premiere of "A Secular Requiem" by Russell Pascoe at Bradford Cathedral in a new version for organ and percussion in the presence of the composer. 

The Annual Lord Mayor's Carols continued to be held in the Minster at Leeds as the Town Hall remains closed. It is unlikely that the Leeds Town Hall will re-open until 2026. This means that planning concerts becomes more difficult as appropriate venues around Leeds are rare. 

Trustees undertook further work on Organisation Design and review and the AGM in 2023 introduced a new way of considering the roles of Trustee and Service Managers from the strict Trustee only position previously held. This was successful in expanding the field of potential candidates for service managers whilst achieving the highest number of Trustees for a number of years. 

## **FINANCIAL REVIEW** 

## **Financial position** 

Over the season we performed in five concerts. Sadly, only one of these concerts was not loss making and overall our concerts made a loss of just under £11,000. In a year when we collaborate with the Leeds International Concert Season, we would expect to pay out £4,000 for each of two concerts, so this puts the above loss into perspective. At present the Leeds Town Hall is unavailable due to refurbishment and we are not expecting it to reopen until 2026 so there will not be any LICS concerts for the next two years. On a brighter note our investment interest has risen as interest rates have crept higher. There were no significant Donations nor Legacies during the year and our overall position stays sound with General reserves at £162,890. 

## **Investment policy** 

There are no restrictions on the Trustees' powers of investment, but the investment is governed by the rules of the Trustees Act 2000 as established by the CIO constitution. Trustees have taken advantage of better interest rates by investing in a one year bond and a three year bond with the United Trust Bank. We also continue to hold funds within the Monmouthshire Building Society at a good rate of interest 

## **Reserves** 

At the end of the year, our unrestricted funds had reduced to £162,890 and restricted funds have increased to £3,925 giving total funds carried forward of £166,815 (2022 - £170,378). 

Amounts in unrestricted reserves of the Society represent monies available for the achievement of the charitable objectives of the Society. 

Restricted reserves relate to: 

- The Mrs T Cooke prize fund which supports individual vocal training for members of the chorus 

- The Tour Fund is in respect of monies relating to Choir Tours 

- The Leeds Philharmonic School Singing Competition

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is controlled by its governing document, and is a Registered Charitable Incorporated Organisation (CIO). 

## **Organisational review** 

The year (2022/23) started with a reduced complement of Trustees appointed at the Annual General Meeting in May 2022. All Board meetings during the year were held using Zoom. It has become clear that there is a reluctance on the part of members to take on Trustee Roles, but there is a willingness to help deliver specific events and activities. Considering how the Board can effectively govern the Charity whilst allowing a freer operation of day to day organisational matters is a particular priority. 

## **Risk management** 

The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. 

A review of Safeguarding Policy is indicated as required and other risks will be addressed as necessary. Whilst Covid has not gone away the regulatory framework has changed significantly, with individuals, rather than organisations being responsible. Trustees continue to advise Members to follow the national guidance to reduce risk to others.

## **Independent examiner's report to the trustees of Leeds Philharmonic Society CIO** 

I report to the charity trustees on my examination of the accounts of Leeds Philharmonic Society CIO (the Trust) for the year ended 31 July 2023. 

## **Responsibilities and basis of report** 

As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act'). 

I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements  have been prepared under the historical cost convention. 

The financial statements are presented in sterling which is the functional currency of the charity rounded to the nearest pound. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have  been allocated to activities on a basis consistent with the use of resources. 

Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure. 

## **Taxation** 

The charity is exempt from tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

## **TRUSTEES' REPORT FOR THE YEAR ENDED 31 JULY 2023** 

The trustees present their report with the financial statements of the charity for the year ended 31 July 2023. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

With Leeds Town Hall still closed and Covid continuing to impact to some extent, the Society was still able to present concerts in various venues across the north of England including in Bradford Cathedral, Leeds Cathedral, Durham Cathedral, the Priory Church at Bolton Abbey and the City Hall in Hull during this year. The Hull concert was particularly affected by Covid with a number of singers having to withdraw from the concert in the week leading up to the performance. 

A small decline in singing Membership over the year reflects the challenges that the new post-covid world represents, settling into our new rehearsal venue at Leeds City College Quarry Hill Campus, with the earlier start time and Members having to pay for parking to attend rehearsals. 

## **OBJECTIVES AND ACTIVITIES** 

Our charitable Objects continue to relate to educating members and the public in the art and science of choral music. The wide range of venues used spread the name of the Leeds Philharmonic Society to a wider audience. We were particularly pleased to be able to present the premiere of "A Secular Requiem" by Russell Pascoe at Bradford Cathedral in a new version for organ and percussion in the presence of the composer. 

The Annual Lord Mayor's Carols continued to be held in the Minster at Leeds as the Town Hall remains closed. It is unlikely that the Leeds Town Hall will re-open until 2026. This means that planning concerts becomes more difficult as appropriate venues around Leeds are rare. 

Trustees undertook further work on Organisation Design and review and the AGM in 2023 introduced a new way of considering the roles of Trustee and Service Managers from the strict Trustee only position previously held. This was successful in expanding the field of potential candidates for service managers whilst achieving the highest number of Trustees for a number of years. 

## **FINANCIAL REVIEW** 

## **Financial position** 

Over the season we performed in five concerts. Sadly, only one of these concerts was not loss making and overall our concerts made a loss of just under £11,000. In a year when we collaborate with the Leeds International Concert Season, we would expect to pay out £4,000 for each of two concerts, so this puts the above loss into perspective. At present the Leeds Town Hall is unavailable due to refurbishment and we are not expecting it to reopen until 2026 so there will not be any LICS concerts for the next two years. On a brighter note our investment interest has risen as interest rates have crept higher. There were no significant Donations nor Legacies during the year and our overall position stays sound with General reserves at £162,890. 

## **Investment policy** 

There are no restrictions on the Trustees' powers of investment, but the investment is governed by the rules of the Trustees Act 2000 as established by the CIO constitution. Trustees have taken advantage of better interest rates by investing in a one year bond and a three year bond with the United Trust Bank. We also continue to hold funds within the Monmouthshire Building Society at a good rate of interest 

## **Reserves** 

At the end of the year, our unrestricted funds had reduced to £162,890 and restricted funds have increased to £3,925 giving total funds carried forward of £166,815 (2022 - £170,378). 

Amounts in unrestricted reserves of the Society represent monies available for the achievement of the charitable objectives of the Society. 

Restricted reserves relate to: 

- The Mrs T Cooke prize fund which supports individual vocal training for members of the chorus 

- The Tour Fund is in respect of monies relating to Choir Tours 

- The Leeds Philharmonic School Singing Competition

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is controlled by its governing document, and is a Registered Charitable Incorporated Organisation (CIO). 

## **Organisational review** 

The year (2022/23) started with a reduced complement of Trustees appointed at the Annual General Meeting in May 2022. All Board meetings during the year were held using Zoom. It has become clear that there is a reluctance on the part of members to take on Trustee Roles, but there is a willingness to help deliver specific events and activities. Considering how the Board can effectively govern the Charity whilst allowing a freer operation of day to day organisational matters is a particular priority. 

## **Risk management** 

The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. 

A review of Safeguarding Policy is indicated as required and other risks will be addressed as necessary. Whilst Covid has not gone away the regulatory framework has changed significantly, with individuals, rather than organisations being responsible. Trustees continue to advise Members to follow the national guidance to reduce risk to others.

I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements  have been prepared under the historical cost convention. 

The financial statements are presented in sterling which is the functional currency of the charity rounded to the nearest pound. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have  been allocated to activities on a basis consistent with the use of resources. 

Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure. 

## **Taxation** 

The charity is exempt from tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
