## **Presented to the Annual General Meeting of the Society**

This Report sets out the Trustees Review of the Season 2021/22 for which the Financial Accounts are presented at the Annual General Meeting on 16[th] May 2023 and provides an overview of the work undertaken by Trustees during the year from May 2022 to May 2023.
## **PART ONE:**
## **REPORT FOR THE SEASON 2021/22**
This year saw 10 of the 12 Trustee position occupied. The post of Income Generation Manager and a Trustee without Portfolio were vacant from May 2021.
One resignation occurred during the year that of Rosemary O’Dea, Tour Manager, who stepped down in November 2021. The Society are grateful to her for her input to Board meetings and are pleased that she continues to sing with the Chorus and acts as Secretary to the Friends.
To support the Board, Trustees appointed a new Trustee Without Portfolio, in accordance with the Rules in the Constitution. Anne Prinn was appointed in December 2021.
Whilst the Covid Hiatus has been a serious challenge for all Members of the Society, the challenge in the loss of St George’s Church, our long-time rehearsal provided another headache. Trustees established a framework of consideration and Risk Assessment to enable venues to be compared. All Trustees took part in the exercise but Rowena Herbert and Rosemary O’Dea
considered many potential venues. This came together with Ruth Shann leading a small delegation to the new Leeds City College, Quarry Hill Campus, which was followed up in August 2021 by a further visit. Trustees were attracted by the facilities on offer, their Covid secure nature and the overall cost, which is significantly lower than any other city centre venue. Whilst Members would have to pay for parking at The Victoria Gate Car Park Trustees reflected this with a slight reduction in Subscriptions for the year. Rehearsals commenced in the College in September 2021 making use of the large Theatre and smaller studios as necessary and available. We are still learning to live with the spaces available and hope that Members are happy with the facilities and rehearsals provided.
Whilst Covid was still very much present during this Season, Trustees tried to ensure a Covid free environment during rehearsals. To this effect all Members were asked to undertake a Covid 19 Test before each rehearsal and present the result to Trustees when entering the venue. Even so Covid impacted a number of times during the Season. The spread of the Omicron variant throughout the country and community including at the Christmas Carol Concert and the concert at Hull City Hall, where 15 Members were unable to participate because of Covid infection.
Covid also impacted upon the membership of the Trustees with one, the Tour Manager Rosemary O’Dea resigning during the year. She was replaced by Anne Prinn.
During the Season seven concerts were given as seen in the table below. The varied nature of the programming including baroque and contemporary works was attractive to both the Chorus and to audiences. We were finally able to present our 150[th] Anniversary Commission from Philp Wilby “At the Round Earths Imagined Corners” at the concert in Bolton Priory Church in June 2022. The Chorus looks forward to be able to present to the world this piece in its full setting with brass and percussion at a later date.
The Society was pleased to perform the Symphony No 2 by Gustav Mahler with the Orchestra and Chorus of Opera North and the Leeds Festival Chorus at the end of October 2021, marking the closing of Leeds Town Hall for a major refurbishment and rebuild of the organ. Initially expected to reopen during 2023, it is now thought likely that Leeds Town Hall will not be available for concerts until later in 2024. The lack of appropriately sized venues in the city of Leeds gives a major headache for the planning of concerts and Trustees have opted on a number of occasions to make use of St Anne’s Cathedral in Leeds and the Bradford Cathedral for concerts. More recently Leeds Minster has also been used as a venue for the presentation of Handel’s Messiah.
Meetings of the Music Programme Group also took place during the year to plan out future concert arrangements. In the current Covid circumstances and closure of Leeds Town Hall this has been quite difficult. A planned collaboration with the Huddersfield Choral Society to be undertaken in April 2022 performing Verdi Requiem to be conducted by David Hill was abandoned because of the uncertainties and a hoped for collaboration with the Sheffield Philharmonic Chorus in May 2022 to perform Walton’s Belshazzar’s Feast was also lost.
The Chorus’s first performance in Bradford Cathedral marked a new venue for the Society. The manner in which the Cathedral staff supported the delivery of the concert was very much appreciated. The performance of the Brahms Ein Deutsches Requiem in Brahms own arrangement for two pianos, harp and timpani was a delight for all those who know and love the version with full orchestra.
The Chorus was honoured to be asked to sing at the Beacon Lighting outside Leeds Municipal Buildings on Millennium Square for the Platinum Jubilee celebrations for Queen Elizabeth II, held on 2[nd] June 2022.
Our Season finished with a concert given in the Priory Church at Bolton Abbey, where our 150th Anniversary Commission from Philip Wilby “At the round earth’s imagined corners” received its first performance.
During the year the Society has been left a legacy in the Will of a former Singing member. The Society records its thanks to Maureen Cliff, whose legacy in excess of £56,000 was received.
Legacies and gifts in Wills are an important part of the income of the Society and news is anticipated regarding further legacies of which we have been informed by Executors.
It was disappointing that it was not possible to programme in our Music Director David Hill during this season to conduct a performance or give a workshop. This was rectified in the Season 2022/23 when David was able to conduct the Chorus twice during the Season.

## **TRUSTEES REPORT FOR 2022/23**
This part of the Annual Review provides information regarding the work of the Trustees and the Society in the last calendar year.
## **TRUSTEES 2022/23**
At the AGM held on 19[th] May 2022, 10 of the12 Trustees positions were taken up. Those of Income Generation Manager, and Tour Manager did not attract applications. As a Society we are dependent upon Members stepping up to the mark to take responsibility and help run the Society.
The new Chair, Ruth Shann, has led the Society through difficult times and we are very grateful to her for her insights and management.
During 2022/23, all Trustee’s meetings were held using Zoom conferencing software. Nine (9) meetings were held during the year during which Trustees have grappled with the issues surrounding Covid Secure rehearsals, the selection of a new rehearsal venue, and ongoing issues relating to the Governance of the Society.

## **ONGOING CLOSURE OF LEEDS TOWN HALL**
## **ORGANISATIONAL REVIEW**
Trustees have been aware for some time that whilst Members of the Society are really supportive and keen to be involved in specific projects and tasks the role of “Trustee and Manager” is far less attractive. Trustees have been exploring ways in which the governance of the Charity that is the Leeds Philharmonic Society (CIO) may be undertaken whilst also managing the day-to-day affairs of the chorus. Current Board meetings occasionally get bogged down in the minutiae of day-to-day activities rather than considering the overall strategic direction and overall Governance.
The way in which Trustees are manging this is to initially break the link between being a Trustee and delivering a particular service. The Constitution does not specify that Managers should be Trustees. This has developed as a convention over the years but is formalised in the Business Plan, which Trustees prepare. Whilst the Chair, Secretary and Treasurer will remain as named Trustee positions, to be agreed by the AGM, and up to 9 other Trustees will also be elected at the AGM. Service managers will not be appointed by the AGM, but rather by Trustees elected at the AGM. Services will not necessarily have to be provided by Elected Trustees. The Year 2023/24 should be regarded as an experimental transitional year and further work will be needed to ensure clarity of governance and operational efficiency.
As Members will know the Leeds Town Hall is currently undergoing major refurbishment work. It is now likely that the Town Hall will not re-open until Spring 2025. This gives ongoing challenges to concert planning. However, we have secured a collaboration with the Halifax Choral Society for a major concert in November 2023.
## **THANKS**
The Society is very grateful to our Chorus Master, Joseph Judge and Accompanist, Alan Horsey, for their work during the season coaching to Chorus to deliver high standard performances.
The Society is also deeply grateful to David Hill for his continued leadership as Music Director and for the concerts he has concerted during the year., both in Leeds and at Durham.
All Trustees work hard on their respective portfolios but a special mention and thanks to Jill Foalks who has kept Members engaged and informed by the weekly production of the “Keeping in Touch” newsletter, managing the weekly rehearsals at the College and facilitating the Come and Sing Day in June 2023. All Members are very grateful to her for her work. Jill is stepping down as Membership Manager and as a Trustee at this year’s Annual General Meeting
Finally, thanks must be given to our Members, both singing and non-singing, for their on-going support, patience and commitment to the Society.

TRUSTEES, REPORT
FOR THE YEAR ENDED 31 JULY 2022
The trustees present their report with the financial statements of the charity for the year ended 31 July 2022.
The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of
Recommended Practice applicable to charities preparing their accounts in accordance with the Financial
Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
The continuing effects of the pandemic and the closure of Leeds Town Hall as our main performance venue
have both had a significant impacts on the ability of the Society to deliver its Charitable Objectives. However,
concerts have taken place, rehearsals and choir training are continuing. The post-pandemic "normal" is quite
different to that pre-pandemic.
After 28 years the loss of our long-term rehearsal base, St George's Church in the centre of Leeds was a
particularly significant event in the life of the Society resulting in the Chorus relocating to the Leeds City
College Quarry Hill Campus, making use of the Theatre and various Studios and we commenced rehearsals
there in September 2021.
Throughout 2021122 we have continued to use the College, but the decision by the College during late 2022
that it would lock its doors at 9.00pm has meant that rehearsal times have had to be moved forward to start
at 6.30pm to allow us to vacate the premises in good time. This has impacted on some members of the
chorus but generally it seems to be well received.
OBJECTIVES AND ACTIVITIES
The focus for the Society in delivering its Charitable Objects during this year became centred on continuing
to deliver education relating to the art and science of choral music and the steady reintroduction of
"in-person" concerts. The Chorus was particularly pleased to be able to participate in the concert arrange by
Leeds International Concert Season (LICS) to mark the closure of Leeds Town Hall for its major renovation
works. The performance of Mahler's Symphony No 2, with the Orchestra of Opera North together with the
Opera North Chorus, Leeds Festival Chorus and Leeds Philharmonic Chorus was a significant celebration of
renewal in coming together to perform but also looking forward to the refurbishment of the Town Hall.
The Annual Lord Mayor's Carol Concert was switched to Leeds Minster, because of the closure of the Town
Hall, and the performances were well attended by the people of Leeds. The Society was finally able to partly
celebrate its 150th Anniversary in a performance of the commission from Philip Wilby at Bolton Priory
Church in Summer 2022.
Administratively work commenced on the refresh of the Business Plan together with deeper strategy
consideration of the way forward, which has continued into 2022123.
FINANCIAL REVIEW
Financial position
We were very pleased to receive a legacy of £56,433 from Maureen Cliffe's estate during the year which
boosted our annual surplus to £52,309 (2021 - £33,362) Without the legacy, the Society would have had a
deficit of just over £4,000.
During this season, the "100 Club" continued to function but as we were unable to countersign cheques the
prizes were paid out of the main account via internet banking. These monies were repaid to the main
account from the 100 Club" account once face-to-face rehearsals returned.
Investment policy
There are no restrictions on the Trustees, powers of investment, but the investment is governed by the rules
of the Trustee Act 2000 as established by the CIO Constitution. Whilst interest rates remained low Trustees
transferred some capital to a new account, taking advantage of slightly higher interest rates.

Reserves
At the end of the year, our unrestricted funds had increased to £166,834 and restricted funds have reduced
to £3,544 giving total funds carried fOard of £170,378 (2021- £118,069).
Amounts in unrestricted reserves of the Society represent monies available for the achievement of the
charitable objectives of the Society.
Restricted reserves relate to:
The Mrs T Cooke prize fund which supports individual vocal training for members of the chorus
The Tour Fund is in respect of monies relating to Choir Tours
The Leeds Philharmonic School Singing Competition
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, and is a Registered Charitable Incorporated
Organisation (CIO).
Organisational review
The year (2021122) started with a reduced complement of Trustees appointed at the Annual General
Meeting in May 2021. All Board meetings during the year were held using Zoom. It has become clear that
there is a reluctance on the part of members to take on Trustee Roles, but there is a willingness to help
deliver specific events and activities. Considering how the Board can effectively govern the Charity whilst
allowing a freer operation of day to day organisational matters is a particular priority.
Risk management
The Trustees have a duty to identify and review the risks to which the charity is exposed. Whilst appropriate
controls are in place to provide reasonable assurance against fraud and error the arrival of risks caused by
the Covid-19 Pandemic meant that Trustees also had to consider keeping members safe and following the
Regulatory Framework.
Members were asked to undertake Covid Tests before each rehearsal or concert, and certainly not to attend
if they had Covid, Cold or Flu symptoms to reduce the risk of disease spreading. Even so there were a
number of occasions when small scale "super-spreader" events did occur at rehearsals.
Risk Assessments continue to be undertaken on a more limited basis as thÈngs return to "normal"

Independent examiner's report to the trustees of Leeds Philharmonic Society CIO
I report to the charity trustees on my examination of the accounts of Leeds Philharmonic Society CIO (the
Trust) for the year ended 31 July 2022.
Responsibilities and basis of report
As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance
with the requirements of the Charities Act 2011 ('the Act,).
I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in
carrying out my examination I have followed all applicable Directions given by the Charity Commission under
Section 145(5)(b) of the Act.

I have completed my examination. I confirm that no material matters have come to my attention in
connection with the examination giving me cause to believe that in any material respect:
accounting records were not kept in respect of the Trust as required by Section 130 of the Act. or
the accounts do not accord with those records. or
the accounts do not comply with the applicable requirements concerning the fonm and content of
accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any
requirement that the accounts give a true and fair view which is not a matter considered as part of an
independent examination.
I have no concerns and have come across no other matters in connection with the examination to which
attention should be drawn in this report in order to enable a proper understanding of the accounts to be
reached.

ACCOUNTING POLICIES
Basis of preparing the financial statements
The financial statements of the charity, which is a public benefit entity under FRS 102, have been
prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities:
Statement of Recommended Practice applicable to charities preparing their accounts in accordance
with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)
(effective 1 January 2019),, Financial Reporting Standard 102 'The Financial Reporting Standard
applicable in the UK and Republic of Ireland, and the Charities Act 2011. The financial statements
have been prepared under the historical cost convention.
The financial statements are presented in sterling which is the functional currency of the charity
rounded to the nearest pound.
Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to
the funds, it is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation
committing the charity to that expenditure, it is probable that a transfer of economic benefits will be
required in settlement and the amount of the obligation can be measured reliably. Expenditure is
accounted for on an accruals basis and has been classified under headings that aggregate all cost
related to the category. Where costs cannot be directly attributed to particular headings they have
been allocated to activities on a basis consistent with the use of resources.
Grants offered subject to conditions which have not been met at the year end date are noted as a
commitment but not accrued as expenditure.
Taxation
The charity is exempt from tax on its charitable activities.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the
trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity.
Restrictions arise when specified by the donor or when funds are raised for particular restricted
purposes.

statements.

FOR THE YEAR ENDED 31 JULY 2022
The trustees present their report with the financial statements of the charity for the year ended 31 July 2022.
The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of
Recommended Practice applicable to charities preparing their accounts in accordance with the Financial
Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
The continuing effects of the pandemic and the closure of Leeds Town Hall as our main performance venue
have both had a significant impacts on the ability of the Society to deliver its Charitable Objectives. However,
concerts have taken place, rehearsals and choir training are continuing. The post-pandemic "normal" is quite
different to that pre-pandemic.
After 28 years the loss of our long-term rehearsal base, St George's Church in the centre of Leeds was a
particularly significant event in the life of the Society resulting in the Chorus relocating to the Leeds City
College Quarry Hill Campus, making use of the Theatre and various Studios and we commenced rehearsals
there in September 2021.
Throughout 2021122 we have continued to use the College, but the decision by the College during late 2022
that it would lock its doors at 9.00pm has meant that rehearsal times have had to be moved forward to start
at 6.30pm to allow us to vacate the premises in good time. This has impacted on some members of the
chorus but generally it seems to be well received.
OBJECTIVES AND ACTIVITIES
The focus for the Society in delivering its Charitable Objects during this year became centred on continuing
to deliver education relating to the art and science of choral music and the steady reintroduction of
"in-person" concerts. The Chorus was particularly pleased to be able to participate in the concert arrange by
Leeds International Concert Season (LICS) to mark the closure of Leeds Town Hall for its major renovation
works. The performance of Mahler's Symphony No 2, with the Orchestra of Opera North together with the
Opera North Chorus, Leeds Festival Chorus and Leeds Philharmonic Chorus was a significant celebration of
renewal in coming together to perform but also looking forward to the refurbishment of the Town Hall.
The Annual Lord Mayor's Carol Concert was switched to Leeds Minster, because of the closure of the Town
Hall, and the performances were well attended by the people of Leeds. The Society was finally able to partly
celebrate its 150th Anniversary in a performance of the commission from Philip Wilby at Bolton Priory
Church in Summer 2022.
Administratively work commenced on the refresh of the Business Plan together with deeper strategy
consideration of the way forward, which has continued into 2022123.
FINANCIAL REVIEW
Financial position
We were very pleased to receive a legacy of £56,433 from Maureen Cliffe's estate during the year which
boosted our annual surplus to £52,309 (2021 - £33,362) Without the legacy, the Society would have had a
deficit of just over £4,000.
During this season, the "100 Club" continued to function but as we were unable to countersign cheques the
prizes were paid out of the main account via internet banking. These monies were repaid to the main
account from the 100 Club" account once face-to-face rehearsals returned.
Investment policy
There are no restrictions on the Trustees, powers of investment, but the investment is governed by the rules
of the Trustee Act 2000 as established by the CIO Constitution. Whilst interest rates remained low Trustees
transferred some capital to a new account, taking advantage of slightly higher interest rates.

FINANCIAL REVIEW
Reserves
At the end of the year, our unrestricted funds had increased to £166,834 and restricted funds have reduced
to £3,544 giving total funds carried fOard of £170,378 (2021- £118,069).
Amounts in unrestricted reserves of the Society represent monies available for the achievement of the
charitable objectives of the Society.
Restricted reserves relate to:
The Mrs T Cooke prize fund which supports individual vocal training for members of the chorus
The Tour Fund is in respect of monies relating to Choir Tours
The Leeds Philharmonic School Singing Competition
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, and is a Registered Charitable Incorporated
Organisation (CIO).
Organisational review
The year (2021122) started with a reduced complement of Trustees appointed at the Annual General
Meeting in May 2021. All Board meetings during the year were held using Zoom. It has become clear that
there is a reluctance on the part of members to take on Trustee Roles, but there is a willingness to help
deliver specific events and activities. Considering how the Board can effectively govern the Charity whilst
allowing a freer operation of day to day organisational matters is a particular priority.
Risk management
The Trustees have a duty to identify and review the risks to which the charity is exposed. Whilst appropriate
controls are in place to provide reasonable assurance against fraud and error the arrival of risks caused by
the Covid-19 Pandemic meant that Trustees also had to consider keeping members safe and following the
Regulatory Framework.
Members were asked to undertake Covid Tests before each rehearsal or concert, and certainly not to attend
if they had Covid, Cold or Flu symptoms to reduce the risk of disease spreading. Even so there were a
number of occasions when small scale "super-spreader" events did occur at rehearsals.
Risk Assessments continue to be undertaken on a more limited basis as thÈngs return to "normal"
