REPORT FOR THE SEASON 2020/21 and

REVIEW FOR 2021/22

Presented to the Annual General Meeting of the Society

Thursday 19[th] May 2022

This Report sets out the Trustees Review of the Season 2020/21 for which the Financial Accounts are presented at the Annual General Meeting on 19[th] May 2022 and provides an overview of the work undertaken by Trustees during the year May 2021 to May 2022.

PART ONE:

REPORT FOR THE SEASON 2020/21 150[th] Anniversary Season - A Season in Lockdown

This was the Season interrupted by Covid-19. No public performances were undertaken during this year as the impact of the pandemic brought Regulatory “lockdown” and significant restrictions upon activities. Needless to say the Covid Crisis has been the dominant aspect of the Trustees’ responsibilities for this year and it was been extremely disappointing that the 150[th] Anniversary season was not able to take place. This is the first time in its history that an international crisis has stopped the Phil singing and performing. The Phil managed to continue to rehearse and perform during both of the World Wars.

This health crisis however was different. Evidence regarding the Coronavirus causing Covid-19 suggested that singing was an extremely risky activity associated with the spread and contraction of the disease. As a result, the Government, as part of their response to the public health crisis prohibited singing in groups, churches or outside your personal bubble. Social distancing, ventilation concerns as well as the risks associated

with Covid-19 also meant that all performance venues were closed from the introduction of Lockdown.

Trustees have been guided by the legal framework, formal Regulations and the advice of Making Music in dealing with the Covid Crisis. Risk Assessment Frameworks were developed and used by Trustees in determining the way forward.

A survey of Members was undertaken in July 2020 seeking views on the Covid Crisis with a hope that the Regulatory Framework would be relaxed. Whilst a number of singers stated that they would not be returning until an effective vaccination had been produced, many were willing to abide by the Regulatory Framework and return to rehearsing when this was possible.

The restrictions on rehearsing in person were initially lifted in August 2020. Guidance stated that only 30 people could be in attendance and the Risk Assessments would need to be undertaken, both by the rehearsing body and the venue. Given that over 90 Members wanted to return to in-person rehearsing the chorus was split into 3 groups which would attend rehearsals in succession. So, there was some hope that a sense of normality might have resumed during autumn 2020.

The first in-person rehearsal making use of socialdistance guidance was held at St George’s Church on 10[th] September 2020, which was the first inperson gathering since March 2020. The Covid secure arrangements were considered to be effective and plans were initiated to resume ongoing in-person rehearsals. These rehearsals

1

were streamed live to members and recorded for viewing on the web-site as a learning resource.

However, the church authorities at St George’s withdrew permission to make use of the church as our rehearsal venue during the Season, due to their need to use the church for Ministerial purposes on a Thursday evening. They offered the sister church, St Augustine’s Wrangthorn, Headingley as a potential venue. This was assessed and Trustees agreed to hold in-person rehearsals there in October 2020. Two rehearsals were held before the Government introduced new restrictions in the light of the growing Covid Crisis. St Augustine’s Church was not ideal and given the Covid-19 environment that developed during later 2020 all thought of in-person rehearsals were abandoned, not resuming until September 2021.

The second wave of the virus and the huge surge in cases later in 2020 and early 2021 meant that all in-person planned activity, including concerts associated with the150[th] Anniversary Season, were cancelled.

The Society lost a great friend during the year. Dame Ingrid Roscoe, our President, died suddenly after a short illness. We were all saddened by her death and have recorded thanks for her inspiration and dedication to the Society over the years. Trustees have put on hold the appointment of a successor until more normal times return, but this is now a priority for 2022.

OUTGOINGS DURING THE YEAR 2020/21

Whilst no concerts were given during the year and only a few in-person rehearsals were held necessitating the hiring of a hall, this does not mean that the year passed with no outgoings.

Trustees purchased the Annual Licence for Zoom to facilitate Board meetings and the holding of Rehearsals to ensure that the Membership could be engaged during the lockdowns.

Throughout the pandemic Trustees continued to provide a fee payment to both the Chorus Master and Accompanist. In the early stages of the pandemic this was a retainer but was later

increased to cover the work they undertook preparing for Zoom rehearsals.

They also sought to deliver shorter weekly Zoom rehearsals. This approach was mirrored in choral and music making groups across the country as we all became familiar with the term Zoom Rehearsals and the restrictions/difficulties and opportunities that this provided for everyone.

Singing members contributed individual vocal and video elements to a number of recordings during the year. These were amalgamated and produced into high quality audio-visual presnetations each of which cost around £500.

Following the success of the recording of Mendelssohn “He that shall endure to the end” from Elijah undertaken during Season 2019/20 two further video recordings have been made. For Christmas 2020 the Sally Beamish carol “In the stillness” and Joseph Judge’s setting of “The long day closes” which was released in April 2021. The chorus also participated in recording “Hark the Herald Angels Sing” in sound only for use by LICS as a Christmas greeting to the City.

Trustees were saddened when Dr Tom Chilton resigned as Income Generation Manager in October 2020 and also resigned as a Member of the chorus. Tom had been a valued member of the Tenor section for a number of years, before leaving the Chorus and then returning as a Bass. We are grateful to him for putting himself forward as Income Generation Manager, and for the large amount of work that he undertook during the short time he held the post. One big success from Tom’s activities is that the Phil receives a quarterly donation from the Co-Op Trust being their Member’s dividends provided to designated recipients.

MEMBERSHIP FEES DURING COVID

Trustees are very aware that the value of membership of the Society could be regarded as compromised for Singing members as a result of the Covid-19 crisis, a result, it was decided to split the annual membership fees into separate terms. This would allow for consideration of the

conditions pertaining at the time the Fees were requested. An initial membership Fee of £50.00 was requested in September 2020, followed by £50.00 in January 2021 (with a recommendation that £80.00 be given). Many Members have paid these fees and also given additional donations to keep the finances looking healthy during these difficult times.

Whilst there will be a reduction in the income for the 2020/21 Season, the lack of outgoings in terms of concert fees, it is hoped will allow a balance to be maintained.

Trustees were saddened that the visit to Leeds Twin City, Dortmund in Germany scheduled for June 2020 did not take place, nor did the potential rescheduling in February 2021 or the performance rescheduled for February 2022. The links with the Dortmund Philharmonic Chorus remain in place and it is hoped that visits may be able to resume in future years.

This was the first time for a number of years that all Management positions had been sought by Members. As a Society we are dependent upon Members stepping up to the mark to take responsibility and help run the Society. A new Chair, Ruth Shann, was appointed together with new Trustees, Dr Tom Chilton (Income Generation Manager), Rowena Herbert, Charlotte Mulliner and Lewis Hemingway, each coming forward as Trustee without Portfolio.

OUR SINGING MEMBERSHIP at End of 2020/201 Season

The pandemic led to a significant loss in Members, as can be seen in the table below. An overall loss of just over 22.4% or a little over a fifth and short of a quarter. Each Section has also seen declines with 24% in both the Alto and Bass Ssections an 21% in the Soprano. The Tenors have declined by 17%.

Voice 2017/18 2018/19 2019/20 2020/21 %
Sop 32 39 42 33 -21%
Alto 48 49 45 34 -24%
Tenor 15 17 17 14 -17%
Bass 20 23 25 19 -24%
TOTAL 113 128 129 100 -22%

Increasing chorus numbers after the pandemic is a significant challenge. Numbers have increased in most sections since in-person rehearsals recommenced most sections.

Our membership as at May 2022 currently stands at 111, so a 11% increase since the pandemic.

Individual voice parts have generally also increased as can be seen here:

Soprano =38 Alto = 36 Tenor = 15 Bass = 22

During 2020/21, the circumstances dictated that all Trustee’s meetings were held using Zoom conferencing software. It was necessary to hold 9 Trustee Meetings, some at fairly short notice as the Regulatory Framework changed concerning Covid-19.

During meetings Trustees have grappled with the issues surrounding Covid Secure rehearsals, the use of Zoom, engaging with Members, finding a new rehearsal venue, considering the way forward after Covid and many other issues.

PART TWO:

TRUSTEES REPORT FOR 2021/22

This year saw 10 of the 12 Trustee position occupied. The post of Income Generation manager and a Trustee without Portfolio were vacant from May 2021.

One resignation occurred during the year that of Rosemary O’Dea, Tour Manager, who stepped down in November 2021. The Society are grateful to her for her input to Board meetings and are pleased that she continue to sings with the Chorus and acts as Secretary to the Friends.

To support the Board, Trustees appointed a new Trustee Without Portfolio, in accordance with the Rules in the Constitution. Anne Prinn was appointed in December 2021.

Whilst the Covid Hiatus has been a serious challenge for all Members of the Society, the challenge in the loss of St George’s Church, our long-time rehearsal provided another headache. Trustees established a framework of consideration and Risk Assessment to enable venues to be compared. All Trustees took part in the exercise but Rowena Herbert and Rosemary O’Dea considered many potential venues. This came together with Ruth Shann leading a small delegation to the new Leeds City College, Quarry Hill Campus, which was followed up in August 2021 by a further visit. Trustees were taken by the facilities on offer, their Covid secure nature and the overall cost, which is significantly lower than any other city centre venue. Whilst Members have to pay for parking (most at The John Lewis Car Park – at a reasonable rate) Trustees reflected this with a slight reduction in Subscriptions for the year. Rehearsals commenced in the College in September 2021. We are still learning to live with

5

the spaces provided and hope that Members are happy with the facilities and rehearsals provided.

TRUSTEES’ MEETINGS 2021/22

At the AGM held on 23[rd] May 2021, 10 of the12 Trustees positions were taken up. Those of Income Generation Manager and a Trustee without Portfolio did not attract applications. As a Society we are dependent upon Members stepping up to the mark to take responsibility and help run the Society.

The new Chair, Ruth Shann, has led the Society through difficult times and we are very grateful to her for her insights and management.

During 2021/22, all Trustee’s meetings were held using Zoom conferencing software. Nine (9) meetings were held during the year during which Trustees have grappled with the issues surrounding Covid Secure rehearsals, the selection of a new rehearsal venue, the President and recommencing concert giving.

Also in attendance at a number of Trustees meetings was Councillor Jane Dowson, a Representative nominated by Leeds City Council. We thank her for her input to meetings.

Meetings of the Music Programme Group also occurred to plan out future concert arrangements. In the current Covid circumstances and closure of Leeds Town Hall this has been quite difficult. A planned collaboration with the Huddersfield Choral Society performing Verdi Requiem to be conducted by David Hill was abandoned because of the uncertainties and a hoped for collaboration with the Sheffield Philharmonic Chorus to perform Walton’s Belshazzar’s Feast was also lost.

Finding suitable venues for larger performances in Leeds is very difficult and as a result the decision to relocate to Bradford Cathedral for a concert is a trial and also a risk. Opera North have been talking about leading a major choral concert based in the Grand Theatre but this too is only at the very early stages with no dates or firm commitments.

It is disappointing that it has not been possible to programme in our Music Director David Hill during this season to conduct a performance or give a workshop. We expect to rectify this next year. We are also very grateful to David for reducing his retainer during the Covid crisis.

THANKS

The Society is very grateful to our Chorus Master, Joseph Judge and Accompanist, Alan Horsey, for facilitating Zoom rehearsals during lockdown and for their in-person good humour and flexibility as we grapple with a new rehearsal venue.

6

All Trustees work hard on their respective portfolios but a special mention and thanks to Jill Foalks who has kept Members engaged and informed by the weekly production of the “Keeping in Touch” newsletter. All Members are very grateful to her for her work.

Finally thanks must be given to our Members, both singing and non-singing for their on-going support, patience and commitment to the Society.

During the past year the Society has been left a legacy in the Will of a former Singing member. The Society records its thanks to Maureen Cliff, whose legacy in excess of £56,000 has been received.

TRUSTEES' REPORT FOR THE YEAR ENDED 31 JULY 2021

The trustees present their report with the financial statements of the charity for the year ended 31 July 2021. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

In the financial year 2020/21 the Leeds Philharmonic Society was due to celebrate its greatly anticipated 150th Anniversary. This was adversely affected by the Covid-19 Pandemic as the Society was not able to deliver the celebratory events that had been planned. All concerts planned for 2020/21 were cancelled, as was a planned visit of the Chorus to Dortmund in June 2020.

Covid-19 Pandemic lockdown Laws and Regulations meant that "in-person" concerts and rehearsals were not possible. As a result, the celebratory nature of the year was lost and there was a significant danger of losing singing members and audiences. The Society's focus transitioned towards maintaining the engagement of members using Zoom software to provide online rehearsals and workshops thus continuing to deliver the educational objective.

The Season also saw the loss of our long-term rehearsal base, St George's Church in the centre of Leeds. Having been at the church for about 25 years this was a particularly significant event in the life of the Society. Consequently, the Chorus relocated to the Leeds City College Quarry Hill Campus, making use of the Theatre and various Studios commencing rehearsals from September 2021.

OBJECTIVES AND ACTIVITIES

The focus for the Society in delivering its Charitable Objects this year became centred on continuing to deliver education relating to the art and science of choral music. Maintaining contact and engagement with singing members through the delivery of online zoom rehearsals and social sessions became the new "norm". Engagement with audiences was achieved through provision of online video recordings undertaken by members and spliced together which could be accessed from anywhere in the world from the Society's website.

In September/October 2020 restrictions were eased allowing the Chorus to hold socially distance group rehearsals limited to 30 singers, initially at St George's Church but subsequently at St Augustine's Wrangthorn, Headingley. As the pandemic increased its severity during autumn 2020, these were also cancelled. In-person rehearsals did not resume until the start of September 2021.

Performances within the Leeds International Concert Season (LICS) during the year were cancelled including our 150th Anniversary Concert. The Chorus did however participate, through the provision of an audio recording, in a Christmas Greeting delivered by the City online in December 2020.

The Society also produced three video recordings, which were released onto the website for a wider audience. Members recorded their parts individually and these were then combined into a finished production. The Society also streamed a truncated version of Handel's "Messiah" before Christmas 2020 to a worldwide audience.

Overall, this was a very frustrating and worrying year for the Society in terms of music-making but also regarding its future, with the focus being almost entirely dominated by the Covid-19 pandemic. The use of zoom for rehearsals and board meetings allowed meetings to be held more frequently as advice changed.

FINANCIAL REVIEW

Financial position

The persistence of the Covid-19 pandemic meant that we were unable to promote any concerts during the 2020/21 season. The Trustees decided that the annual subscription would be reviewed from term to term to achieve a break-even income/expenditure situation. A reduced sum was requested from the members, some of whom generously gave over and above what was asked for. Our accompanist and choirmaster received a monthly "retainer" to assist with their financial situation during the enforced cessation of rehearsals and other costs, for example insurance and accountancy, remained as before. We were very pleased to receive a legacy of £31,765 from Joan Crabtree's estate during the year which boosted our annual surplus to £33,362 (2020 - £11,978) Without the legacy, the Society would still have had a small surplus of just under £2,000.

During this season the "100 Club" continued to function but as we were unable to countersign cheques the prizes were paid out of the main account via internet banking. These monies were repaid to the main account from the "100 Club" account once face-to-face rehearsals returned.

Investment policy

There are no restrictions on the Trustees' powers of investment, but the investment is governed by the rules of the Trustee Act 2000 as established by the CIO Constitution. Whilst interest rates remained low Trustees transferred some capital to a new account, taking advantage of slightly higher interest rates.

Reserves

At the end of the year, our unrestricted funds had increased to £114,025 and restricted funds remained unchanged at £4,044 giving total funds carried forward of £118,069 (2020 - £84,707).

Amounts in unrestricted reserves of the Society represent monies available for the achievement of the charitable objectives of the Society.

Restricted reserves relate to:

STRUCTURE, GOVERNANCE AND MANAGEMENT

Governing document

The charity is controlled by its governing document, and is a Registered Charitable Incorporated Organisation (CIO).

Organisational review

The financial year 2020/21 started with a full complement of Trustees appointed at the Annual General Meeting on 23rd May 2020. This included the Society's new Chair Ruth Shann. All Board meetings during the year were held using zoom. During the year Dr Tom Chilton, the Income Generation Manager resigned from the Board and as a Member of the Society in September 2020. The position of Income Generation Manager on the Board remained vacant throughout the financial year 2020/21.

Trustees reviewed the ever-changing Covid-19 regulations, advice from Making Music and emerging evidence relating to the pandemic on a regular basis during 2020. They determined the strategy to safely return to in-person rehearsals and other matters relating to the operation of the Chorus during the pandemic. Trustees took a cautious approach developed from survey responses of singing Members.

During the year the death of Dame Ingrid Roscoe, the Society's President was a significant loss to the Society. The Society has taken a cautious approach to appoint a new President prioritising actions arising from the Covid pandemic. The consideration of a new President is a priority for Trustees during 2022.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Risk management

The Trustees have a duty to identify and review the risks to which the charity is exposed. Whilst appropriate controls are in place to provide reasonable assurance against fraud and error the arrival of risks caused by the Covid-19 Pandemic meant that Trustees also had to consider keeping members safe and following the Regulatory Framework. Risks Assessments for returning to rehearsals were undertaken and only when the balance showed that risks to health were reasonably reduced did the Society restart rehearsals in September 2020, in a socially distanced manner. The rise in Covid-19 numbers and changes in the regulatory framework later in 2020 meant that in-person rehearsals were deemed unsafe, and all in-person activity was suspended for the remainder of the year. No public concerts were given during the year due to the risks associated with the spread of the virus in the regulatory framework that the Government had established.

Approved by order of the board of trustees on 16 March 2022 and signed on its behalf by:

P Ratcliffe - Trustee

NOTES TO THE FINANCIAL STATEMENTS FOR THE YEAR ENDED 31 JULY 2021

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements have been prepared under the historical cost convention.

The financial statements are presented in sterling which is the functional currency of the charity rounded to the nearest pound.

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure.

Taxation

The charity is exempt from tax on its charitable activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.

TRUSTEES' REPORT FOR THE YEAR ENDED 31 JULY 2021

Independent examiner's statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:
