Struts and Frets is a Charitable Incorporated Organization, governed by a Foundation Model Constitution since 301h July 2015. Structure, governance and managemenL Struts and Frets has three trustees, two of whom have been in place since foundation, and the third replaced in 2022. There have been no other trustees or custodians, and there are no plans to recruit or appoint any more trustees. No other person or body external to the charity Is entitled to appoint one or more of the trustees. The charity trustees have complied with thelr duty to have due regard to the guidance on public benefit published by the commission in exercising thelr powers or duties. The daily operational runnin8 of the charity has been dele8ated to the Director. All activities undertaken by Struts and Frets have been entirely for the public benefit, whether recruiting for productions as widely, openly and transparently as possible from the general public, performing for free, collaborating with as many artists, designers, directors as possible at no expense to them and to no private benefit to ourselves. We have covered the cost of all productions and reimbursed all participants, have benefitted the public in free or discounted live and recorded performances, free workshops In schools, and have made no financial or other gain ourselves. Performance and Achlevements th Ih Between l? March 2025 and 16 March 2026, the main focus of the year, after the acquisition of Panteinion Hall as a creative retreat and evénts venue in March 2025 was the operation of Panteinion Hall as a rehearsal space and residential retreat for other creative companies, offering it to the National Theatre WalesnEAM as a free space as part of a charity-to-charity Wales and Welsh language partnership. Paying guests providing the income to allow us to host non-paying artlstic guests for free, benefltting us both. We also entered into two collaboratlons with two Welsh based murder mystery events companies to host events at Panteinion Hall - Black Box Events North Wales and Death on Demand in south Wales. The guests paid the performers directly, allowing the artists to benefit financially while we benefitted by gainin8 a reputation as an arts and events venue. The company took a break from performing in 2025 to regroup and apply for appropriate funding to continue the tour of YMt7binogi In smaller and more sustainable ways to every school in Wales for every year from 2026. We also sought out other venues beside those managed by CADW, including local museums, National Trust managed sites, local festivals, Botanic Gardens and any party with an interest in either children's theatre, folklore and Welsh language, even outside Wales. This meant breaking down and developing the stories to blend with the specific areas in which the performances would happen according to requirements, with smaller and local groups of actors, to make it more environmentally and economlcally more sustainable. It made for a more flexible, better distributed and ultimately more rewarding performance and workshop schedule. Research was undertaken and partnerships made to produce and organize a yearly festival in Aberystwyth, "AberEleFesV' with Am ueddfa Ceredi ion Museum and other local and cultural organisations to celebrate Aberystwyth's hlstorical and cultural past, basin8 it on the occasion in 1911 when the elephants swam in the bay and when Aberystwyth was at its most commercially successful as a seaside resort and centre of tourism. The museum is now closed for essential repairs until 2027, allowing us time to develop more partnerships, receive and adapt to feedback and successfully apply for fundin8 to make this a yearly event.

As wlth Ymabinogl, we intend this to be a mutually beneficial and lon8Standing venture so we are benefitting from the time allowed with the museuiii's closure to better establish a solid and sustainable network of partnerships and fundin8 model for the future. A comedy musical play is in draft and in the process of devising, focusing on the Victorian spiritualism, which should be ready for previev¥s in late 2026.
