The following report and financial review have been prepared in accordance with the
Charities Act 2011, and the Statement of Recommended Practice applicable to charities
preparing their accounts in accordance with the Financial Reporting Standards for Smal ler
Entities.
Struts and Frets is a Charitable Incorporated Organization, governed by a Foundation Model
Constitution since 30th July 2015.
Sti"ucture, goveriiance and management
Struts and Frets has three trustees, two of whom have been in place since foundation, and
the third replaced in 2022. There have been no other trustees or custodians, and there are
no plans to recruit or appointment any more trustees. No other person or body external to
the charity is entitled to appoint one or more of the trustee5.
The charity trustees have complied with their duty to have due regard to the guidance on
public benefit published by the commission in exercising their powers or duties.
The daily operational running of the charity ha5 been delegated to the Director.
All activities undertaken by Struts and Frets have been entirely for the public benefit,
whether recruiting for productions as widely, openly and transparently as possible from the
general public, to performing for free, collaborating with as many artists, designers,
directors as possible at no expense to them and to no private benefit to ourselves. We have
covered the cost of all productions and reimbursed all participants, have benefitted the
public in free live or recorded performances. or discounted live performances, and have
made no financial or other gain ourselves.

The directors of the charitable company (the charity) are its trustees for the purpose of
charity law.

The Objectives of Struts and Frets is to advance, improve, develop and maintain public
educatioii in, and appreciation of, the art of drama by any means the trustees see fit,
including through the presentation of public performances.

Between 171h March 2024 and 16th March 2025, the main focus of the year was the
acquisition of Panteinion Hall as_a creative retr.eat and events venue rehearsal space and
residential retreat for other creative companies, offering it to the National Theatre
WalesnEAM as a free space as part of a charlty-to-charity Wales and Welsh language
partnership. The lease was signed on 14th March 2025 and the 'Land and Pro

updated accordingly.
Plans foi. futui'e periods
The company took a break in 2024 to regroup and apply for appropriate funding to continue
the tour of Y Mabinogi in smaller and more sustainable ways to every school in Wales for
every year from 2026. This would mean bieaking down and developing the stories to blend
with the specific areas in which the performances would happen, with smaller and local
groups of actors, to make it more environmentally and economically more sustainable.
We also entered into I￿0 collaborations with two Welsh based murder mystery events
companies to host events at Panteinion Hall Black Box Events North Wales and Death on
Demand in south Wales.
Research and partnerships were made to host a yearly festival in Aberystwyth with
ueddfa Ceredi
ion Museum and other local and cultural organisations, based on the
occasion in 1911 when the elephants swam in the bay. Funding applications are in progress.
Financial review
For the year ending 16th March 202S Struts and Frets balanced out their payments and
receipts.
Total expenditure for the charity for the year ending 16th March 2025 was £0.
The charity received £0 in ticket sales or donations.
Struts and Frets has no investments, no reserves and no assets.
The Director has been responsible for the financial management of Struts and Frets. The
detailed transactions and the summarised statements have been reviewed by the Trustees.
