3.3 Recruitment and a

The Constiution dated 29th Jun8, 2015 provided for a minimum of three trustees and a maximum of
twelve trustees. This was Garrred forward to the amended and restated Constitution dat8d 8th
February. 2021.
Under thes8 Versions of the Constitution, new trustees wer8 appointed by the Trustees for a term of
three years. Trustees could then b8 re-appointed for a further 3-year lem) and exceptionally for
another 3-year t8rm (18 maximum 9 years), after which they needed to Stand down for an interval of at
least ona year before any further appoinlmenl could be made by th8 Trustees.
Further amendments made to the Constitution and approved by the Charity Commission on 10th
S8Ptember, 2024 remov8d the need for a Trustee to stand down for a year before any further
appolntment after 9 years and instead now requires the Trustees to give full consideration In re-
8ppointing an individual for any further temi as to whether the appointm8nt remains In th8 best
interests of the Charity.

3.4 Mana
The Trustees hold a minimum of three meetings a year at whlch they develop stralegy and agree and
review 8rea8 of activity for Ihe CIO including marketing and fund-raising, grant-maklng, pollGy-maklng
and perfomance.
The Trustees work closely wlth the Kwf in Nairobi which is the CIO'S eyes and ears on the ground in
Kenya and upon vthose granl making and monrtoring and evaluation framework the Clo relies
significantly for many of the grants it makes. The infomats'on provided by the KWT assists the
Tnjstees In assessing the perf0rrnan￿ of grants to date and in c£)nsidering the extension, c•$68tion
or su8penaion of existing grant approvals.
Whilst on one hand placing r8liance on tho Kwf's framework, the CIO will always retain ils
indep8ndène@ over where its monies might be granted, to the Kwf or elsewhere. where it can
contribute for the public benefrt and meet its objectives.

Additionally. some of the Trustees usually visit one or more of the projects which the CIO is
supporting and meet with key project directors. annualty. as well as having regular contact face to
face with the KWT in N8irobi. The Trustees also encourage directors of projects that the CIO
is supporting and the directors and staff of the IQNf to make contsct when they are in the UK and to
meet with the Trustees. Since the COVID restrictions have been lifted in both UK and Kenya, all the
Truste8s have visited Kenya at least twice both making contact and meeting with KWT and visiting
the Kwfs flagship programme, MPCP, and have been updated by the current team.
All of theTrustees glve of their time freely and are not remunerated. Details of any Truste8 8xp8nses
and r8lated party transactions are disdosed in the notes to the accounts. Trustees are requlred to
disclose all relevant inlerests and register them at the start of every meeting and in accordan¢e with
th8 CIO'S policy must withdraw from decisions where a confilct of interests arises.

The Trustees have developed a Risk Management Policy which sets out how the Trust8es manage
risk and the 8PPètite that the Trustees have for taking rfsk. Thls Pollcy was approved at the me8ting
held on 23rd June, 2020.
The Trustees have identbfied the key rlsks to which the CIO is exposed and have assessed Ihe
likelihood and impacl of certain events. The Trustees maintain a risk register which is periodically
revlewed. the Trustees have given consideration to the major risks to which the Charity is exposed
and satisfied themselves that systems or pr£￿edureS are estsblished in order to manage those risks.

and procedur8S, to mitigat8 nsk.
Thè CIO registered wth Ihe Infomiatlon Commisslonerfs OffiGe (ICO) on 31st May, 2018 as required
by GDPR at the time, and continued to ba registered as required by UK GDPR unts'l May 2025 when,
following a review and re-¢ompletion of the data protection fa8 seW ass8ssment it was concluded that
KWT-UK met the requirements as a nol-for-profit organisailon, qualifying for exemption from payment
of the dats proteckn.on fee. Accordingly, the Trustees requested to d&register and this was granted by
the ICO on 25th April. 2025. It should be noted that whilst KWT-UK is legally no longer required to
pay the data protecllon fee Ihe CharTty must Still comply with tho rel•v8nt dat8 protèction I￿lSIation.
The CIO maintains trustee Indemnity insurance for the Tnjstees.

3.6.Grant-Makin
The GIO believes in making grants to trusted partners who demonstrate a track recA)rd of suGcess,
and who ara then oxpected to comrnit to clearfy articulated outcomes and tar9ets within a given
timeframe as part of a grant agreement. In awarding grants, the Tnjstees give due consideration to

Once a grant has been awarded, the CIO uses a monitoring and evaluation framework to help
manage their grant porfolios with the inrycounty assistance of the Kwt. Under this framework
monitoring is continuous end routs'ne dats co118Ction and reporting takes place to ensure that the
project activities are meeting the set objectivas. Once the project or the programme is completed then
it is evaluated and assessed to improve ongoing impact and effectiveness.

The KWT was established in 2007 by leaders in the Kenyan safari industry led by guides from the
original Ker and Downey Safans. with the principle aim of strengthening the connection betwèen
conservation and tourism. In 2013. the ￿ moved into project implementation with the
establishment of the flagship lion and cheetah montioring projects in the Maasai Mara. now
consolidated as th8 Mara Predator conservab.on PrryJramme.
The Kwf is dedicated to protecting Kenya's predators through a ne￿Ork of high-impact conseNation
Initiatives in some of Kenya's and East Africa's important wildlife landscapes, including the Greater
Mara. Laikipla- Samburu,
8nd Amboseli - Tsavo. Kwf recognises that rt is vid8ly a￿epted that top (apèx) predators pl8y a
ritlcal role in maintaining healthy and sustainable ecosystems by enhancing biodiversity, improving
system ￿s111enCe, providing economic benefits from ecotourism, and acting as indicalors of overall
ecosystem health. The KWT'S key objoctive is to achleve optlmal predator populations in th880
8COSyStems at their potential carying capacity and ensuring their long-tem conservation and
protectlon. KWT recognises that local communities are essential partners for protecting predators and
se8ks to support communities through proj8cts that enable them to C08XlSt with wildlife while also
enhanclng their economic. soclal well-belng, and cultural traditions.
In 2012, a conventional charitable trust was fomied under UK Law by British supporters and
registered with the Charfty Commisslon. However. It soon became apparent that, in order to attract
$i9nlficant donors and donations in the UK. which in turn would enable a greater contribution to some
of thè projects in Kenya and enhance our 811ian¢8 with the KWT, it needed hlgher profile trustees wlth
SP8cific skills. prepared to S8rv8 on the board. The Trustees did not believe this lo be possible whilst
continuing with thal structure and therefore set about a restructure with the help of the Charity
Commission. It was concluded thai a then relatively new charitable structura called a CIO, would be
the most suitable successor body and The Friends of Kenya Wildlife Trust UK was forme¢J, as a CIO,
on 29th June. 2015 and register8d with the Charity Commission on 22nd July, 2015. Th8 Trust8es
then wound down the original trust and transferred it's funds to the CIO. Subsequent to this, the CIO
changed its name on 8th February, 2021 to Kenya Wildlife Trust UK.
The CIO and the KWT share similar charitable objectives. vision, mission and values. The CIO aims
to. but d088 not exGlusively, make substantial grants of our own by way of funding to projects that the
KWT supports.

The CIO is a registered UK Chanty and is also registered wlth HM Revenue and Customs for tax
purposès. This enables the Charity to reclaim tax in relation to donations made by UK resident
individuals via the Gift Aid scheme and gives UK tax exemptions in relation to income and capital
gains arising in the course of its charitable activities.

Ecosystem by providing scientific evidence for conservation action. The programme embodies the
Kwf's value proposition of being drlven by sclence and focussed on people. MPCP'S objactives
and activities are realised through two teams - Research and Community who work to ensure that
predators and people m-exist peacefully. GenLJine community engagement complements practical
conservation management recommendations, solutions and ideas developed through robust research
and monitoring praCti￿S.

People: We support conservation work which is strongly anchored in collaborating with communities
living alongsida wildlife. The KWT works with and empowers local communitias and educates all
stakeholders about conservation and environmental stewardship. Fundamental to this is the K￿,8
Conservation Leadership Programme which hopes to ensure that the unique knowledge of young
people in Kenya's core ecosystems of th8 Greater Mara. Amboselirrsavo and Laikipialsamburu can
be enhanced by a quality higher education degree. The programm8 offars full funding lo study wildlif8
conSerVat￿n at undergraduate level at a group of hand-picked univ8rsikn.es in Kenya and works with
local schools and NGOS to select gifted students with leadership potential who would not otherwise
hav8 th8 Opportunity to pursue a qualrty education.
Partnorships: We believe a target driven and collective approach will lead to muGh more effective
work in these core ecosystems. We develop and strengthen partnerships with like-minded
organisations working together to athieve greater impacis In predator conseNalion. We support
orant-making to strengthen grassroots organisations. many of whom know more about the realities of
these ecosystems than anyone. We are prepared to make grants to organisations focusing on
protectlon of predators as well as community health and education proj8cts.
5.6 AdlvltiO8
KWT-UK seeks to support projects and activities in Kenya that broadly assist in the conservation of
predator populations in some of Kenya's most iconic and globally important wldlife landscapes.
Funding prlorities are focusèd on supporting leading-edge research on the gcology and behaviour of
predators and the sodal and economie needs 8nd d)allengas of locAI (>Jmmunities coexistlng wlth
predators and wikllrfe in these 8COSyStems.
In common wlth the W, K￿-UK is committed to raising funds to support data-driv8n and
community-supported predator conservation efforts. We belleve in making grants to trusted partners
that have a demonstrated Irack record of success. We expeci to build a relationship based on trust so
that grants can be primarily unrestrlcted allowing grantees to utilise resources as they see flt, so that
they can achieve th8 greatest amount of impact themselves. Grantees are selected because they
8mbody our values.
Whilst our natural link and philosophy are to the W. we believe In supporbng the diver8ity of Trew
African civil organisatlons that are demonstrably well-run and govemed and whosè missions coincide
with ours. Consèqueniiy. we have a gr)nt appli*)tstion proco¢e thgt runs inrlADondontly of the fundinq
needs of the Kwf. Whilst we aim primarily to fund efforts within Kenya's three most Important
ecosystems, we will consider projects in other areas of Kenya which support broader predator
monitoring and conservation.
In this year under review Kwf-UK provided funding to both th8 Kv￿ (£8,000) of a general support
nature and MPCP (£4,500) which covered both general support, fuel for research vehicles and collars
for predators.

5.7 Commltmont
There has been some foGus placed on idents'fylng possibl8 fvnding sources for KWT-UK this y8ar
although the Trustees continue to find it hard to attract new trustees with the righl qualifications who
can support the CIO.
The Twstees still feel we should be able to find our own nlche in the very comp8titiv8 UK market for
fund-raising for conservation in Afn'ca. However, we also feel that before we can do that we n68d to
revitalis8 the Board of Trustees and encourage the involvemenl of new blood with more experience
and higher profiles Ihan oursèlves. With this in mind we are making some tentalive steps towards
recruiting new l)oard members.
5.8 Fundln
and fundralsln
The CIO'S funding is curr8ntly received from individuals. film o)mpanies and small corporatlons and
Institutions. Most often, the first individual donation results from a vacation experience in K8nya
wh8re individuals are engaged in Gonversation with their guides and hosts and bacoma exposed for
the first time lo Ihe alms and objeclives of the CIO in the LX)mmunits'es.
Social media sites such as Facelx)ok conts'nue to be important to us providing a steady stream of
funds, mostly from individuals.
Currently the CIO will accept ch8quas drawn on a UK bank account (preferably. with a completed Gift
Aid declaration) and direct donaiions Into the CIO'S Paypal Giving account. We also mantsin
payment arrangements with the major fund-raising platforms such as Just Giving and CAF.
Individuals, in the UK, can also gn2 thgir tsx repayments as a donath)n to the CIO through their tax
return by quoting reference EW39224 in the appropriatè $8ctlon of thelr tax retum.

6. FinanGlal Reviow
Tha CIO currently holds its funds in 8 UK bank account. Sufficient funds are held to enable the CIO to
respond to unexpected events. The Trustees expect to make funding available for specific purposes
and prolects identified and approved by Ihem.
Our income is currently still at a low level and we have worked wilh KWT to identify where w8 mlght
be of the most assistance. We have been aiming to support th8 ongoing equipment n8eds of the
Mara Predator Conservation Programme. With this objective we can provide funding on a small scale
quickly, m88ting equipment needs which are often overlooked or not eligible from large grants. We
feel this is a valuable role, and of course fomis a base for very good story-telling from the field.
The CIO aims to be able to make grants based on all donations {unles8 specifically donated for
operational SUPFQrt) and aims to limlt its other expenses, where possible, such as advertising and
bro¢hur6slleaflets, to funds r8c8iV8d as a result of Gift Aid claims.
6.1 Income re
The totsl income received in the year, which included investmenl income of £16812024 £97), was
made up from donations, together with rélated tax recoverablè totalling £2.74612024 £10,539)- £460
(2024 £7,030) of the income had restrictions placed upon its usage.

The Trustees are responsible for preparing 8 trustees, annual report and financial statements in
accordance with applicable law and United Kingdom Accounting Stsndards (United Kingdom
Generally Accepted Accounting Practice).
Th@ law 8pplicable to charities in England and Wales requires charity trustees to prepare financial
statemenls for each year which giv8 a true and fair view of the state of affairs of the charity and of the
incoming resources and application of resources, of the charity for that period.
In preparing tha Financial Statements, for the year 8nded 30th April. 2025. set out on pages 16-20 of
this Annual Report and Financial Statements, the Trustees have: .
