amended and restated Constitution dated 8th February, 2021.

3.3 Recrultment and a
ointment of Trustses
The amended and restated Con8titution dated 8th February. 2021 prowdes for a minimum of three
trustees and a maximum of Iwelve trusteas.
New trustees are appointed by the Truste88 for a term of three years. Trustees can be re-appointed
for a further 3-year term and exceptionalty for another 3-year temi (ie maximum 9 years), after which
they must stand down for an inten￿1 of at least one year before any further appointment can be made
by the Trustees.
The first Trustses namely Mark Rangeley Stanley Price, Robin Neville Cullen and Helen Caroline
Cullen wer8 originally appointed for terms of 2 years, 3 years and 4 years respe￿1Ve1Y from 29th
June, 2015.
On 30th May, 2017 the Trustees re-appointed Mark Rangeley Stanley Price as a Trustee for a further
term of 3 years from 29th June, 2017 and on 24th June, 2020 for a further term of 3 years from 29th
June, 2020 in accordance wrth the Constrtution.
On 21 st May, 2018 the Trustees re-appointed Robin Neville Cullen as a Trustee for a further tem of 3
years from 29th June, 2018 and on 3rd June, 2021 for a further temi of 3 years from 29th June, 2021
In accordance with the Constitution.
On 12th June, 2019 the Trustees re-appointed Helen Caroline Cullen as a Trustee for a further tem
of 3 year8 from 29th June 2019.
Christopher Hugh Tuite was originally appointed as a Trustee for 3 years from 12th October, 2015
and on 13th September, 2018 for a further temi of 3 years from 12th October, 2018 and on 16th
September, 2021 for a further term of 3 years from 12th October. 2021 in accordance with the
Constitution.
On 30th July, 2020 the Trustee6 appointed Elizabeth Rosa Wark Prins as a Trustee for an initial term
of 3 years.
On 11 th May. 2022. the Trustees re-appointed Helen Caroline Cullen a8 a Trustee for a further temi
of 3 years from 29th June. 2022.
On 13th De￿Mber, 2022, Mark Rangeley Stanley Price passed away. His name was removed from
the list of trustees on 11th January, 2023. On that date Christopher Hugh Tuite was appointed
Chairman of Trustees.

The TrUSt￿S hold a minimum of three meetings a year at which they develop strategy and agree and
review areas of activity for the CIO including marketing and fund-raising, grant-making, policy-making
and performance.

The Trustees work closely with Ihe Kwf in Nairobi whiGh is the GlQ'3 eyes and ear8 on the ground in
Kenya and upon whose grant making and monitoring and evaluation framework the CIO relies
significantly for many of the gtants it makes. The information provided by the Kwf assists the
Trustees in assessing the performance of grants to date and in considering the extension. cessation
or suspension of existing grant approvals.
Vvhilst on one hand placing reliance on the Kwf's framework, the CIO seeks always to retain its
Independen￿ over where its monies might be granted. to the W or elsewhere, where it can
contribute for the public benefit and meet its objectives.
Additionally, some of the Trustees usually visit one or more of the projects which the CIO is
supporting and meet with key project directors, annualty, as well as having regular contact face to
face with the W in Nairobi. The Trustees also encourage project directors of projects that the CIO
Is supporting and the directors and staff of the Kwf to make contact when they are in the UK and to
meet with the Trustees. sin￿ the COVID restrictions have been lifted in both UK and Kenya, all the
Trustees have vlsited Kenya at least ￿￿ce both making contad and meeting with Kwf and visiting
the MPCP and have been updated by the current team.
All of theTru8tees give of their time freely and are not remunerated. Details of any Trustee expenses
and related party transactions are disclosed in the notes to the accounts. Trustees are required to
disclose all relevant interests and register them at the start of every meeting and in accordance with
the CIO'S policy must wrthdraw from decisions where a conflict of interests arise8.
The day to day processlng and admlnlstration of donatlons and grants Is handled by the Secretary,
3.5 Rl k Mana
The Trustees have developed a Risk Management Policy which sets out how the Trustees manage
risk and the appetite that the Trustees have for laking risk. This Policy was approved at the meeting
held on 23rd June, 2020.
The Trustees have identif￿d the key risks to which the CIO is exposed and have assessed the
likelihood and impact of certain events. The Truslees maintain a risk register which is periodically,.
they have given consideration to the major risks to which the Charity is exposed and satisfied
themselves that 8yslems or procedures are established in order to manage those risk8.
Thè Tru9tees continually review and develop the risk register and, where appropriate, the systems
and procedures, to mitigate risk.
The CIO registered with the Informats'on Commissioner'8 Office on 31 st May, 2018 as required by
GDPR at the time, and continues to be registered as required by UK GDPR.

3.6.Grant-Makin
The CIO believes in making grants to trusted partners who demonstrate a track record of SUC￿$5,
and who are then expected to commit to cleady articulated outcomes and targets within a given
timeframe as part of a grant agreement. In awarding grants, the Trustees give du8 consideration to
eligibility of the prospective grantee. geographical area within Kenya, whether organisation or
individual, known background and history and views, knowledge and recommendations of the Kwr.
Once a grant has been awarded. the CIO uses a monltoring and evaluation framework to h81p
manage their grant porfolios with the in-country assistance of the Kwf. Under thi8 framework
monitoring is continuous and routine data co1￿ctIon and reporting takes Pla￿ to ensure that the
project adivities are meeting the set objectives. on￿ the proiec# or the programme is completed then
il is evaluated and assessed to improve ongoing impact and effectiveness.

The Kwf was established in 2007 by leaders in the Kenyan safari industry led by guides from the
original Ker and Downey Safaris, with the principle aim of strengthening the connection beiw8en
conservation and tourism. In 2013, the W moved into project implementation with the
establishment of the flagship lion and cheetah montioring projects in the Maasai Mara, now
consolidated as the Mara Predator ConseDiation Programme.
The Kwf is dedicated to protecting Kenya's predators through a network of high-impact conservation
Initiatives in the most important ecosystems for wildlife-based tourism.. the Greater Mara, Laikipia I
Samburu and Amboseli l Tsavo. The Kw's key objective is to achieve measurable predator
population increases in these ecosystems to their potential carrying capacity then ensuring thos8
figur8S Stabilise. A further goal is to work with and support community projects which reinforce
predator conservatlon, whilst providing a primary healthcare seprfice to isolated populations and
supporting higher education which will ensure the future conservation of Kenya's wildlife.
In 2012, a conventional Charitab￿ trust was fomed under UK Law by British supporters and
registered with the Charity Commission. However, rt soon became apparent that, in order to attracl
significant donors and donations in the UK, which in turn would enable a greater contribution to some
of the projeds in Kenya and enhance our allian￿ wilh the KWT, It needed higher profile trustees with
speGific skills, prepared to serve on the board. The Trustees dbd not believe this to be possible whilst
continuing with that structure and therefore set about a restructure wrth the help of the Charity
Commission. It was ¢oncluded that a then relativety new charrtable structure called a CIO, would be
the most suitable successor body and The Friends of Kenya Wildlife Trust UK was fomed, as a CIO,
on 29th June, 2015 and registered with the Charity Commission on 22nd July, 2015. The Trustees
then wound down the Or￿inal trust and transferred it's funds to the CIO. Subsequent to this, the CIO
changed its nam8 on 8th February, 2021 to Kenya Wildlife Trust UK.
The CIO and the Kwf share similar charitable objeGtives, vision, mission and values. The CIO aims
to, but doe8 not exclusivety, make substantial grants of our own by way of funding to projécts that the
Kwf supports.

5.1 Dr Mark Slane
Prlce
It is with great sadness that we report that Mark passed away at his home in Oxford on 13th
December, 2022. He had been Chairman since the inception of the charty. A remarkable
conservation scientist with 40 years of exper￿nce working in Africa and West Asia, Mark's
professional achievements were many and we won't restate them here since the many obltuarie8
available on the internet cannot be surpassed with repetition.
Mark was a truly likeable. wam and engaging person. He always managed to get the best out of our
little board and strtved determinedly to raise our profile. Always honest. he usually found a way and
achieved consensus without appearing to try very hard. It was, by turns, effortless and brilliant. His
motivational enthusiasm and energy will be extremely hard to repla￿. A life well-lived, achieving so
much for the future, he will be sadly missed but remembered for his joy in it.
Karen, Mark's wife, has been especially kind to all the Trustees in supporting our meetings at their
home near Oxford. over the years, and has sep4ed up the most enjoyable and convivial lunches. Our
thoughts are wrth her and their daughters, Te&8a and Freya.
.2 Admlnlstratlon
The CIO Is a registsred UK Charrty and is also registered wrth HM Revenue and Cu81oms for tax
purposes. This enables the Charity to reclaim tax in relation to donations made by UK resident
Individuals via the Grfl Aid scheme and gives UK tax exemptions in relation to income and capital
gains arising in the course of its charitable actNities.

The CIO shares a common focus wrth the Kwf and we maintain close links in support of their work in
Kenya.
Predators: Kwf-UK is a finn supporter of the MPCP, Kwfs flagship programme, whose
overarching objective is to support stable. healthy predator populations in the Greater Mara
Ecosystem by providing scientific eviden￿ for conservation action. The programme embodies the
Kwf's value proposrtion of being drivèn by sciénce and focussed on people. MPCP'S objectives
and activitles are realised through two teams- Re8earGh and Community who work to ensure that
predators and people co-exist peacefully Genuine community engagement complements praGtical
Conservation management recommendations, solutions and ideas developed through robust research
and monitoring practI￿S.
Poople: We support conservation work which is strongly anchored in collaborating with communities
living alongside wildlife. The Kwf works with and empowers local communities and educates all
stakeholders about conseNation and environmental stewardship. Fundamental to this is thè Kwf's
Conservation Leadership Programme which hopes to ensure Ihat the unique knowledge of young
people in Kenya's core ecosystems of the Greater Mara, Amboselirrsavo and Laikipialsamburu can
be enhanced by a quality higher education degree. The programme offers full funding to study wildlife
Gonservatk)n at undergraduate level at a group of hand-picked universities in Kenya and works with
local schools and NGOS to select gifted students with leadership potential who would not otherwise
have the opportunity to pursue a qualty education.
Partnershlps: We belteve a target driven and collective approach will lead to much more effectiva
work in these core ecosystems. We develop and strengthen partnerships with like-minded
organlsations working together to achieve greater impacts in predator conservation. We support
granl-making to strengthen grassroots organisations, many of whom know more about the realrties of
these ecosystems than anyone. We are prepared to make grants to organisations focusing on
protection of predators as well as community health and education pro}ects.
Activitles
For Kenya. wildlife is a major contributor to both national and IoGal economies. Tourism earns foreign
exchange, whilst tourist facilities and c￿aliVe land-use models, such as the ever-spreading
conservancies, channel funds to local communits.es both through employment opportunities and also
a8 rents to the traditional land-owners.

Much of Kenya comprises semi-arid and arKI common access lands. 8UPPOrting populations which
have different cultures, traditions and beliefs. Many of them are semi-nomadic and these days they
need to cooxist with other peoples with different objectrves and whose diverse livelihoods include
both working the land and conservation. Tourism is often a fundamentsl part of the land use in such
areas. There is nothing to bring tourists and visrtors to these areas in numbers without the wildlife.
Thls wildlrfe is unique to Africa and under threat from pre8sure of people everywhere. It Is tough for
these peoples to eke out a living and most often rt is the wildlife habitat that is destroyed andlor wild
animals who ar8 forced to move or be killed.
In such 8ltuation8 of competition for resources, or even of direct conflict, it is commonly the large
carnivores that are first targeted or suffer reduction or even local extinction but the impact extends to
other wildlife, particularly birds, especially Whe￿ poisoning is involved. Our vision seeks to create an
environment In which people and camivores SUCCAssfully co-exist.. where pèople recogni8e the value
of the wildlife and want to presepie it as part of their heritage and Kenya's future.
In common with the Kwf, KWT-UK is committed to raising funds to support data4riven and
community-supported predator conservation efforts. We believe in making grants to trusted partners
that have a demonstrated track record of success. We expect to buiid a relationship based on trust so
that grants can be primarity unrestricted allowing grantees to utilise resources as they see fit, so that
they can achieve the greatest amount of impact themselves. Grante•9 aré selected because they
embody our values.
Whilst our natural link and philosophy are to the Kwf, we believe in 3UPPOrting the diversity of new
African civil organi8alion3 that are demonstrably welkrun and govemed and whose missions coincide
with ours. Consequently, we have a grant application process that runs independently of the funding
needs of the Kwf. lthilst we aim primarity to fund efforts wrthin Kenya's three most important
ecosystems, we will consider projects in other areas of Kenya which support broader predator
monitoring and conservation.

Identifying possible funding sources for Kwf, the Twstees have found it difficult to move on following
the death of Mark Stanley Price.
The Trustees still feel we should be able to find our own niche in the very competitive UK market for
fund-raising for conseniation in Africa. However, we also feel that before we can do that we need to
revitalise the Board of Trustees and encourage the invofvement of new blood with more experience
and higher profiles than ourselves. this in mind we have been taking some tentative step$
towards recruiting new board membepJ.

More importantly, though. we need to develop a strategic plan which will guvje us for at least 3 years.
Moving forwards is dependent upon having a plan and for that we need a fully functioning and
collectively more experienced board of trustees who I￿n execute the plan. More to follow on this in
the future.
We feel that the UK Board and CIO is an important support to in many ways other than as a
mere provider of funding. As such. it makes for an unusual model, and will guide the search for
further trustees with the aim of enhancing this technical<um- social support. But the more strategic
issue remains for resolution in 2023124 of whether Kwf-UK can play a valuable support role,
especially if and when the Kwf is awarded very significant grant money for ecA)system-wide
research.
5.5 Fundlng and fundral8lng
The CIO'8 funding is currently received from individuals, film companies and small corporations and
institutions. Most often, the first Indivldual donation results from a vacation experience in Kenya
where individuals are engaged in conversation with their guides and hosts and become exposed for
the first time to the aims and objectlves of the CIO in the communities.
Social media sites suth as Facebook continue to be inportant to us provising a steady stream of
funds, mostly from individuals
Currently the CIO will accept cheques drawn on a UK bank aGGount and direct donations into the
CIO'S PayPal Giving account (both. preferably. with a complèted Gfft Aid declaration). We also
mantain payment arrangements with the major fund-raising platforms 8uch a8 Just GNing and CAF.
IndNiduals, in the UK, can also grft their tax repayments as a donation to the CIO through their tax
return by quoting reference EW39224 in the appropriate section of their tsx return.

lal Review
The CIO currently holds its fund8 in a UK bank account. Sufficient funds are held to enable the CIO to
respond to unexpected evenls. The Trustees expect to make funding available for specific purposes
and projects Identified and approved by them.
Our income is Gurrently still at a low level and we have worked with Kwf to identify where we might
be of the most assistance. We have baen aiming to support the ongoing equipment needs of the
Mara Predator Consetvation Programme. With this objective we can provide funding on a small scale
quickly, meeting equipment needs which are often overlooked or not eligible from large granls. We
feel this 18 a valuable role, and of Gourse forms a base for very good story-telling from the field.
The CIO aims to be able to make grants based on all donations (unless specifically donated for
operational support) and aims to limit its other expenses. suGh as advertising and brochureslleaflets,
to funds received as a result of Gift Aid claims.

was £7,512 (2022 £18,051). £4,06912022 £3.200) of the income had restrictions placed upon its
usage.
6.2 Result for the Y

6.3 Fund8 held
At the end of the accounting period the CIO'S funds carried forward were £9,243 (2022 £13,726).
These funds were held mainly as cash at bank at the year end.
The CIO keeps minimal funds carried foNard in order to moet it's own immediate future co8t8 a8 well
as being able to continue to fund those projects it supports.

8. Statemant of Trustees, responsibllltles In relatlon to the flnancial Statements
The Trustees are responsible for preparing a trustees, annual report and financial slatements in
accordance with applicable law and United Kingdom Accounting Standards (United Kingdom
Generally Accepted Accounting Practice).
The law applicable to charities In England and Wales requires charity trustees to prepara financial
statements for each year which give a true and fair view of the state of affairs of the charity and of the
incoming resources and application of resources, of the charity for that period.
In preparing the Financial Statements, for the year 8nded 30th April, 2023, set out on pages 17-21 of
th18 Annual Report and Financial Statements, the Trustees hav8: _

The Trustees are responsible for keeping proper accounting records which disclose with reasonable
a￿uracY at any time the financial position of the Charity and for ensuring that the financial statements
comply with the Charities Act 2011, the applicable Charitie8 {Accounts and Reports) Regulations, and
the provlsions of the Constilution. They are also responsible for safeguarding the assets and hence
for taking reasonable steps for the prevention and detection of fraud and other irregularrties.
