and constituted as a Charittble IncorporJced Or¥Jnisation (CIO) under a Constitution dated the 4th
May 2015. The conversion of the charitable trust into a CIO VAS approved at an Exrraordinary
Genernl Meeting of the mwnbers of the Charity held in the Village Hall. Paxton on the 29th january
2015. The Con5tstution was arnended at the Annual Genernl Meeong in DKember 2021 to allow
the Trustees to Invi￿ an appropriate organisation opernting in the parishes of Horncliffe or Hutton
to nomina* a resident of the FArish to reyeswt the interests of the community of that parish on
the CIO in the e¥￿t of the inabili¢y w fJilure of I￿14￿sh w Community ￿ncIl. as the case may
to appoint a repr￿l￿tbwe in that capacity.

statemet)ts compty with the Charities Act 2011 (England and Wales) and the Ch¥itie5 and Trustee

the Charity's Constitution dated 4th May 2015. They are also responsible for safeguarding the assets

the Chaiity Commissioners and the Offitt of the Sc¢)ttish CPAri¢y P4e8ulator.

but ad hoc Comm￿tee5 and workbng groups are appointed from to time to deal with specific

The Friends, Constiwtion of 2015 wti￿ded that the t*x) p¥islfrlevel council& Horncliffe
Parish Council. representtng the parish of Hon)diffe in Northumberland. and Hutton and Paxttjn
Communiry Council. representing the parish of Hutton in Ber•￿ck$hir< should have the right to
nominate representatives to seTrE on the Trustee commitw Cllr Alex McGregor had represented
HuttA)n and P￿tOn Community Council from the forffAuon of the CIO resI￿ed as a truscee in
February 2021. The Community Council were unatle to nominate a successor from viithin the
Council but appoirKed a member of the ￿rIsh community v#tho. they made clear. represented only
hlmself. This unaccep(abie to the trustees as 1¢ VA5 ¢onsidertrJ that the bw interests of the
riparian community woukl not necewrily be served by a personal aP￿ints11enL When Hutton and
Pdxton Communiry Council wt into abvrano shordy afcerwd5. the trustees c¢)nsidered that the
most expediert Nfdy of avoiding x denxmtic defKi¢ within the rArish of Hutton VAS to amend the
Constiturion of the CIO to provide thac in the elent that either prish-level council VAS unable or
unwilling to appoint a mernber of the council or of the community to rer*esent the interests of the

communrry to appoint a membw of the communicy to rewnt that communrty's interests.
Accordin8ty. the Hutton and Fknon Cornmunity Mw'ne commrttee were invited to aP￿int to the
CIO and the trustees were pleased to Dr El￿abeth Edgerton to the committe< to
represent the in*rexs of the Farish of Hu¢ton until the forthcoming AGM. Lhvid 05man. who had
been ChairrrAn of the Hutton and Paxton C<Mnmunity c￿n¢11 during thi5 period. retired as a rru5ree
in May2021.
When David Walker, who had re• Horndiffe Parish Council on the CIO retired from the
Council in May 2021. he also retired from the CIO and was succeeded as the Gxncil's represenrative
by John Hamilton who vfis already a trustee in his ovm right During the course ofthe year. however,
John Hamilton from Horndiffe Parish C¢)uncil but continuexj to serve as an ordinary trustee.
At that time there vras no Yacanq on the for a Horndiffwpointtsl trus￿ bu¢ thi5 will
be rertified at the fOrthco￿n¥ AGM.

removed and restored in situ) with an OFporLunity to secure a 3D print A contribution of £500

The Trustees sup￿rted a within the P4ri5h of Hutton. to forrn a Communrty Develownent
Trust for the F4rish. vthich con5idereAJ woukl be beneficd not only for the Hutron community
as a whole but for the &idge and its environs in tAnicular.

and the need for the authorities to make yoper arrangements for the txesentation of the presri&"ous
IHCEL Award promoted ty the tNil engtneering inststsrrions of the un￿e￿ JaFAn and the UK.
The Chairn)an of the CIO as well as the trustee commi¢w Rol￿ Hunw. represents the Charit￿$
interests at regular meetin85 of the Project 8oard and continue5 to ensure that the viev<s and interests
of the local communityes - wtth panicu&r T￿eren￿ to traffic nwYaryL (3r wking and visitor
ameniues- are wopthy arnculated.
The Friends, quarterly print Newsletter, A from the &>lge. which covers not only matters directly
concerned with the Bridge* its heritage and restoration. Ixrt also items of wider interest contsrned
with the Bridge and the area in which r¢ is wwated, c¢)ntinues to be supplemented for the duration of
the restordtion work by an elettronic fvIIy411ustrated $i￿r publication wrth detailed information on
the progress of the conrracL k is intended, once the resrorntion work is complet¢ to change the
NewsIe¢￿r pr¢ylucuon w an elec¢ronic publication twice a year. withou¢ supplemenrary issues except
vthere considered necessary.
In addition to their roFe as a eommuniry-bosed SUPP)r￿ of the local authorities in their proiert
to restore the Bridge to a full state of repair to ￿rantre irs continuing existence for a fvrther 120
years, it is a principal fvnttion ofthe Friends to Proff￿ and publicise the Bridge s unique engineerin&
architecturnl and historic herNage thlly and fijrther afidd, nationally and internationally.
Through the course of the con¢racL Jim Gibson, a professional photO8rapher of Norham. with the
assisrance of trustee Martha Andrew& has assembled a comprehensive photowdphic and film archive
of the works. visiting the site several times a week securing an exrraordinarily derailed record of the
works, without having access to the contrart sirE itself. It is intrnded ￿ preF4re a virtual photogrdphic
rdllery record on a r￿eSIgned and other oppc*tunities to make the Images awdilable to the
wider public are under consideration. To continue to maintain the wofile of the Bridge and the
restoration Proje￿ the Truste￿ Friends and Supp)￿r5 have secured publicity through various
medii including telemsion and rddio. Focal and rrdtiorAI rxess and periodicals: ar￿ through talks and
presentations to local org4nisats(xi&
The Trustees have enjoyed gcA)d ￿￿rkIng relations with the Bridge contrdttor& the 5￿Cer Group
of Hull and with the officw5 of the princi￿1 authxities and look forth to wmpletion of the
restoration work early in 2023.
