The Trustees, who are also directors for the purpose of company law, have pleasure in presenting their report and the financial statements for the charitable company for the year ended 31 December 2022. The Trustees have adopted the provisions of Accounting and Reporting by Charities Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and the Republic of Ireland (FRS 102) effective 1 January 2015. 

## **Chair's report** 

The year again was difficult following the control of the COVID pandemic and there continued to be a general reluctance amongst many senior people to gather in large groups for fear of infection. This mood did relax as the year progressed and we did have an excellent summer which meant that for about 3 months many people enjoyed outside activities and sport was able to take place. However, we had the early onset of rain in late November that largely continued through the rest of the year which disturbed football activity and thus bar revenue. 

We had to continue investment in the main building due to its age but at the year-end we generally felt that all major costs had now been exhausted. Purchases of wedding stock fell sharply as we completed our purchases of all reasonable stock to support our function events.

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

Objectives & Activities: 

The purpose of the Charity is the furtherance of sporting activities of all types, the provision of sporting and exercise facilities and all forms of leisure activities for the benefit of all in the community irrespective of age, sex, religion, gender, colour or creed as well as able and non-able-bodied people. Whilst we naturally appeal in the main to residents in the immediate community, we welcome all potential participants wherever they may reside. 

The Charity furthers its charitable aims through the provision of space, sporting and exercise facilities and leisure activities at the lowest possible cost to users and without any prejudice's as stated above. 

At all times the Charity's aim is to directly and indirectly support all major as well as more modest charitable institutions in all of their activities to raise funds as well as to enhance their profile in the immediate community or beyond. 

The Charity with its club premises acts as a hub for a number of local sporting institutions where operational plans and procedures can be openly discussed 

## Activities Undertaken: 

Being registered under the Sports element of the relevant Charities Act the prime sporting activity in season over the weekend days is football, supported with three (3) full sized football pitches, with the ability to insert within any or all of the three full-sized pitches smaller pitches for non-adult football such as 7 and 9-a-side pitches for ages under 12 years of age. Smaller portable goals are maintained for this purpose all goals being erected in accordance with FA guidelines on portable goals safety. 

We currently support with pitches over 8 clubs who have a total of 17 teams in all. We provide playing facilities for adult men and junior boys as well as for adult females and junior females. The pitch costs have been increased only once in the past 10 years despite rising costs of maintenance and are still one of the most competitive in the borough, given also that the club premises are available within that cost for pre-match and post-match receptions. In addition to contracted clubs/teams we also provide pitches for charity games as well as for other clubs seeking a playing surface 

Pre-season we have a number of small sided finals where we also retain a stock of smaller goals, again all FA graded. 

Additionally, from an internal sporting perspective, every Tuesday & Thursday evening we host a major local Karate club for both adults as well as younger participants in the main hall, as well as supporting local exercise and aerobic groups (BOUNCE being the major one). For younger age groups we host football coaching schemes for young players such as Bright Boots Coaching and Corey Coaching. 

In furtherance of the charitable aims of the club we have been working to enhance and establish the connections that we have for all local charities/institutions of deserving interest as follows;

As a charitable trust we are acutely aware of our social responsibility to all our guests who contribute now to a Loyalty scheme rather than the previous Membership basis.

We have a policy of assisting all members who are in need of our facilities for any special occasion i.e. in the event of bereavement and we often provide the premises for post-funeral receptions/Celebrations of Life free of charge. 

The trustees have considered the Charity Commision's guidance on public benefit, including the guidance 'public benefit: running a charity (PB2)'. 

## **Social investments** 

Future Plans: 

In the broadest terms we are seeking to achieve the following; 

a.To increase the number of recognised sporting events at the club by a further 20% in number during 2023 and after that a further 20% in 2024, and 

b.To increase the number of charitable organisations/deserving institutions dealt with by 20% in 2023 and a further 20% in 2024 

We have identified internally the times during the week and the days of the month as well as the periods of the year when certain areas of the club's premises are not in use and we are then seeking to match local charities/deserving causes that may avail themselves of the use of our site during these times to maximise the use of the site. 

Of particular interest is our main hall which is reputedly the largest hall in the Borough and can possibly be used for expanded children's play. There are other areas that are of interest and all are being explored. 

We intend to open discussions with many of the local senior citizens premises in the nearby area to see if we can resuscitate activities such as afternoon bingo as well as other activities for the elderly. 

As we are due at some time in the next 3 years to be a part of the local redevelopment of the area, we do need to be mindful of laying any long-term plans that might be exposed by this development.

## **ACHIEVEMENTS AND PERFORMANCE** 

Achievement & Performance Review: 

Achieving charitable status has meant a complete review of all of our activities, aims and objectives as we seek to plug a void that we have felt for a long time existed in the community. Whilst we have the excellent Basildon Sporting Village locally, there was no general locale where people could meet and generally participate in all forms of sporting and leisure activity at a modest cost. 

We feel that we have successfully delivered the message to all our past as well as our new supporters that provided that they can illustrate a cause for the common good and/or a cause linked to the widest definition of sport, then we will do all we can to accommodate their needs and to meet their hopes and aspirations. 

During 2022 despite the reducing impact of COVID and the economic impact this has had the use of our premises for sporting &/or charitable use has increased by over 15% (these are individual bookings of various descriptions). The number of people using our premises has risen by over 20% (in 2021 the rough number of visitors was 175,000) and in 2023 continues to rise. Due to our remote location, we have always maintained that getting people to visit our site is the most important aspect, as once they know where we are and view our site then they tend to return or recommend our site for various activities and/or functions. 

Additionally, we support as stated a number of sporting teams/activities and are seeking to increase this area constantly. Whilst historically football has always been the main sport, our remit has expanded dramatically over the past three trading years to include other sporting themes. Our members have been;

In connection with all football we encourage a weekly review of the scheduled games, the pitches, the dressing rooms and after match hospitality. 

After all other events we seek a post-event review and monitor what the users say about the facilities and the support. 

## Monitoring Achievement: 

During the opening times of the club's premises the Managing Trustee or at least one trustee is always in attendance to attend to any issues. Prior to major events, there are always staff meetings as well as meetings with all the trustees and for major events most of the trustees will be seconded to assist with the operation of the stated event. These duties will incorporate health and safety, operation of car parks, safe ceding of visitors to the site, serving customers with food and beverages, security etc. 

Normally for all major events there is a post-event review either within the club or with the client themselves. This will normally include all senior staff as well as many of the trustees as possible. 

Our record keeping is being reviewed and will be expanded to tabulate all activities throughout the year with a hoped-for achievement rating that will then post-event be matched with an internal as well as a client rating so that achievement criteria can be monitored. 

## **Investment performance** 

The main club premises were built and opened in late 1982 and due to their age need constant repair and maintenance. 

Over the past four years we have invested heavily in not only essential repairs but also a programme to enhance the general appearance especially of the internal areas of the club's main premises. 

All areas have been re-decorated now and following a series of attempted break-ins some six years ago, security to allow continuance use of the premises has been enhanced with the result that attempted illegal entries have been stopped. 

The areas surrounding the club have also been tidied up with the removal of ugly and annoying brambles/thorny bushes now cut-back and areas of intense shrubbery cut-back also. New fencing has been installed in the main car-park as well as enhanced lighting in that area that is also an aid to security late at night. 

The premises re-decoration has been greatly assisted with our tie-in with the Basildon Probation Service where persons that have received Community Service orders have been gainfully employed in painting the premises as well as outside seats and outbuildings and attending to ground-clearing and tidying up activities. The patio area, a focal point, has been enhanced with new planters and we have a keen gardener that maintains blooms. This programme will continue for the foreseeable future. 

Due to the increased numbers of person using the premises, we have installed a  defibrillator and have trained three personnel in its use. This was purchased six years ago and thankfully at the time of this report has never been called upon. 

## **FINANCIAL REVIEW** 

## **Going concern** 

We have learned a lot during the year and the staff and I have used the periods of non-activity to reflect and to plan for the future. 

Our image I believe has increased tremendously. People who use the club love the place and the staff have all gone that extra mile to make each and every one of our clients feel special. 

Bookings for this year for weddings especially appear to be extremely good with very few Fridays/Saturdays I understand being available between April and October. 

We re-negotiated our car parking revenue from Amazon who are now paying us around £ 6,000.00 monthly plus VAT

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The organisation is a charitable company limited by guarantee, incorporated on 12th June 2014 and registered as a charity on 15th July 2015. The company was established under a Memorandum of Association which established the objects and powers of the charitable company and is governed under its Articles of Association. In the event of the company being wound up members are required to contribute an amount not exceeding £10. 

The responsibilities of the Trustees are governed by the articles of association. 

Our overall responsibility is to ensure that the charities main objectives are fulfilled in each and every way during the year and that the aims and objectives for the future are met. 

As we are in contact with each other on a daily basis this is under constant review and monitoring. 

## **Recruitment and appointment of trustees** 

The club is headed by a Board of Trustees (currently three in number) the names of whom are as follows; 

a.Peter King b.George Hyland c.David Coghill MBE (retired JP) 

Peter King carries the title of Managing Trustee and is assisted in his daily duties by a Bar Manager, Anthony Watts. There is one other bar area staff, John Stubbington and a part-time grounds-person. For all events where needed casual staff are engaged. Peter King assumed his role officially on 4th March 2020 and works without a salary. 

Apart from Peter King all other Trustees are long-standing members of the club; indeed, George Hyland has been a member for over 57 years. All attend the club several times a week and are almost on a daily basis appraised of all matters to do with the club and its operation. 

We formally meet every month but as stated we are in contact on a daily basis. 

Trustees Responsibilities: 

The responsibilities of the Trustees are governed by the articles of association. 

Our overall responsibility is to ensure that the charities main objectives are fulfilled in each and every way during the year and that the aims and objectives for the future are met. 

As we are in contact with each other on a daily basis this is under constant review and monitoring. 

## **Pay policy for senior staff** 

Conflicts of interest are governed by the articles of association of the club and have never arisen. All involved in the management or operation of the club know that conflicts, if they arise, need to be dealt with in an approved manner. 

We have four (4) salaried staff (an Events Manager, two Bar staff and a grounds-person). All trustees carry out their duties without any financial recompense at all.

I report to the trustees on my examination of the accounts of the charitable company for the year ended 31 December 2022. 

## **Responsibilities and basis of report** 

As the charity Trustees, who are also directors for the purposes of company law, are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts carried out under section 145 of the Charities Act 2011 ('the 2011 Act').  In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiners statement** 

Since the Charitable company's gross income exceeded £250,000, your examiner must be a member of a body listed in section 145 of the 2011 Act.  I confirm that I am qualified to undertake the examination by virtue of my membership of , which is one of the listed bodies. 

I have completed my examination.  I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

## **1. Accounting Policies** 

## **Basis of accounting** 

The financial statements have been prepared under the historical cost convention, except for investments which are included at market value and the revaluation of certain fixed assets and in accordance with the Charities SORP (FRS 102) ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015)', Financial Reporting Standard 102 the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102), and the Companies Act 2006. 

Basildon Sport & Leisure Club meets the definition of a public benefit entity under FRS 102.  Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note(s). 

## **Funds** 

Unrestricted income funds comprise those funds which the trustees are free to use for any purpose in furtherance of the chairtable objectives. 

## **Incoming resources** 

All incoming resources are included in the statement of financial activities when the Charity is entitled to the income and the amount can be quantified with reasonable accuracy.  The following specific policies are applied to particular categories of income: 

- Incoming resources from charitable trading activity are accounted for when earned. 

## **Resources expended** 

Liabilities are recognised as resources expended when there is a legal or constructive obligation committing the Charity to the expenditure: 

## **Tangible fixed assets** 

Tangible fixed assets, other than freehold land, are stated at cost or valuation less depreciation and any provision for impairment. Depreciation is provided at rates calculated to write off the cost or valuation of fixed assets, less their estimated residual value, over their expected useful lives on the following basis:

## **Debtors** 

Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due. 

## **Current asset investments** 

Cash at bank in hand and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account. 

## **Pensions** 

Contributions to defined contribution plans are expensed in the period to which they relate.
